The Township will remit payment on undisputed invoices or undisputed portions of invoices within thirty (30) days of receiving the invoice, but in no event shall a payment be made if such payment will result in the contractor receiving an amount that exceeds the value of services performed to date. The invoice must be accompanied by the “Partial Waiver of Lien” in Attachment G.

Upon final completion and acceptance of the Work, the Contractor may submit for final payment. The invoice for the final payment must be accompanied by the “Contractor’s Affidavit” in Attachment H, the “Notice of Final Completion” in Attachment I and the “Final Unconditional Waiver of Lien” in Attachment J.

For this project, the awarded Proposer will be required to submit a progress payment invoice upon completion of work at one of the fire stations prior to June 30, 2025, and a final invoice for work on the second fire station after June 30, 2025. The Township’s budget mandates that the project be completed across two fiscal years.

SECTION 5 – PRICE AND PAYMENT PROCEDURE

A. BREAKDOWN OF CONTRACT AMOUNT

1. In cases where lump sum prices are required in the bid form, the Contractor shall, within 10 days of receipt of the Notice to Proceed, submit a complete breakdown of the Contract Amount. The breakdown shall show the value assigned to each part of the Work, including an allowance for profit and overhead. Upon approval of the breakdown by the Township, it shall be used as a basis for all requests for payment.

B. REQUESTS FOR PAYMENT

1. Periodically, the Contractor may submit to the Township a request for payment for Work performed. A copy of the Contractor’s Declaration (in Attachment K) and the Contractor’s Affidavit (in Attachment H) shall be completed, signed, and attached to each Request for Payment. Partial Waivers of Lien (in Attachment G) may be required from subcontractors and suppliers when they have notified the Township in writing of a claim on the project. Also to be included are any other periodic reports required (such as monthly payrolls, etc.).

2. In cases where Unit Prices form the basis for payment under the Contract, the Request for Payment shall state the units of Work completed to date. If the Request for Payment includes materials and equipment stored on the site, it shall be accompanied by invoices from the manufacturer or Supplier or such other information satisfactory to the Township. In cases where Lump Sum items are included in a Unit Price Contract, the Contractor shall be paid for the percentage of Work completed, as determined by the Township.

C. PROGRESS PAYMENTS TO THE CONTRACTOR

1. Invoices shall be submitted no more frequently than monthly and shall coincide with the value of Work performed. The Township will remit payment on undisputed invoices or undisputed portions of invoices within thirty (30) days of receiving the invoice, but in no event shall a payment be made if such payment will result in the contractor receiving an amount that exceeds the value of services performed to date.

2. Notarized AIA Document G702 (Application and Certificate for Payment) supported by AIA Document

G703 (Continuation Sheet) shall be submitted to request payments. To ensure proper performance of the Contract, the Township shall retain 10% of the amount of the requested payment for completed Work and/or stored materials until completion and acceptance of all Work covered by the Contract.

However, the maximum amount so retained shall not exceed 5% of the bid contract amount.

D. TOWNSHIP’S RIGHT TO WITHHOLD PROGRESS PAYMENTS

1. The Township may withhold any progress payment, in whole or in part, to the extent necessary to protect itself from loss on account of any of the following causes discovered:

i. Defective Work.

ii. Evidence indicating probable filing of claims by other parties against the Contractor.

iii. Failure of the Contractor to make payment to Subcontractors and/or material suppliers.

iv. Damage to another Contractor’s work.

v. Failure to submit periodic reports required by the Contract Documents.

E. PAYMENT FOR REJECTED WORK AND MATERIALS

1. The removal of rejected Work and materials and the re-execution of such Work in an acceptable state shall be done at the expense of the Contractor; and he shall pay the cost of replacing other contractors’ work which is destroyed or damaged by the removal and subsequent replacement of the rejected Work or materials.

2. The cost of removing rejected Work or materials by the Township shall be paid by the Contractor within 30 days after written notice to pay is given by the Township. If the Contractor does not pay the expenses of such removal, the Township may sell the materials at auction or at private sale and shall pay to the Contractor the net proceeds therefrom after deducting all the cost and expenses incurred by the Township for such removal. Should the sale price of such material be insufficient to pay the cost of removal, the difference shall be deducted from payments due the Contractor for Work done under this Contract.

F. PAYMENT FOR UNCORRECTED WORK

1. Should the Township direct the Contractor not to correct work that has been damaged or that has not been performed in accordance with the Contract documents, an equitable deduction from the Contract Price shall be made to compensate the Township for the uncorrected work.

G. PAYMENT FOR WORK BY THE TOWNSHIP

1. The cost of the Work performed by the Township in removing equipment, tools, supplies, and restoration and for correcting deficiencies shall be paid by the Contractor.

H. PAYMENT FOR WORK SUSPENDED BY THE TOWNSHIP

1. If the Work or any part thereof shall be suspended by the Township and abandoned by the Contractor, the Contractor will then be entitled to payment for all Work done on the portions so abandoned plus 15% of the value of the abandoned Work to compensate for overhead, expenses, and profit on such abandoned work.

I. PAYMENT FOR WORK DONE BY THE TOWNSHIP FOLLOWING ITS TERMINATION OF THE

CONTRACT

1. Upon termination of the Contract by the Township, no further payments shall be due the Contractor until the Work is completed. If the unpaid balance of the Contract Amount shall exceed the cost of completing the Work (including all overhead cost), the excess shall be paid to the Contractor. If the cost of completing the Work shall exceed the unpaid balance, the Contractor shall pay the difference to the Township. The cost incurred by the Township and the damage incurred through the Contractor’s default, shall be certified and approved by the Township.

J. PAYMENT FOR WORK TERMINATED BY THE CONTRACTOR

1. Upon suspension of the Work or termination of the Contract by the Contractor, the Contractor shall recover payment from the Township for the Work performed.

K. PAYMENT FOR EXTRA WORK

1. The Township’s order for extra Work shall be in the form of a Change Order to be signed by both the Township and the Contractor and shall specify any extension of the Contract time and one of the following methods of payment.

i. Unit Prices or combinations of Unit Prices which formed the basis of the original Contract.

ii. A Lump Sum based on the Contractor’s estimate, approved by the Township.

iii. Actual cost of direct Work by the Contractor plus 15% for overhead and profit. Actual cost of Subcontract Work shall include 5% of the Contractor’s overhead and profit. Actual cost of direct Work by the Contractor shall be:

1. Labor Costs shall be the amount shown on the Contractor’s payroll plus unemployment taxes and Workmen’s Compensation insurance when such additional taxes or insurance costs can be shown to have been incurred.

2. Material Costs shall be the net price paid for material delivered to the site of the Work.

3. Equipment and equipment rental shall be the actual additional costs incurred for necessary equipment actually used in the Extra Work. No payment will be made for equipment not used in the Extra Work.

2. No claim for Payment for extra work shall be valid unless so made in writing. In all cases, the Contractor’s itemized estimate sheets showing all labor and materials shall be submitted to the Township.

L. MATERIAL STORED ON SITE

1. The cost of materials and/or equipment not incorporated in the Work that meet the contract requirements, may be paid when the following conditions are met:

i. Delivered materials/equipment are stored or stockpiled at the project site or at a location approved by the Township.

ii. The value of the delivered Materials to be used in one item of the Work is greater than

$3,000 and is not scheduled for placement in the Work within 30 days of delivery.

iii. The invoiced amount is certified by the Supplier.

2. If the Supplier notifies the Township that payment authorized by the Township has not been received, and the Supplier claim remains unsatisfied for more than 30 days after the Township’s payment to the Contractor, then the amount provided by payment to the Supplier shall be deducted from the next Contractor Application for Payment.

M. ACCEPTANCE AND FINAL PAYMENT

1. Upon final completion and acceptance of the Work, the Contractor may submit for final payment. The invoice for the final payment must be accompanied by the Contractors Declaration in Attachment K, Contractor’s Affidavit in Attachment H, the Notice of Final Completion in Attachment I and the Final Unconditional Waiver of Lien in Attachment J and claims from all Suppliers and Subcontractors indicating that all debts for labor, materials, and equipment incurred in connection with this contract have been paid in full, and Consent of Surety Company.

2. Before work shall be considered ready for final inspection, the contractor shall have completed all items of work under this contract and shall have removed all debris and waste materials from the work areas.

The Township will review all data submitted for compliance with the Contract requirements and, when approved, will accept the Work, release the Contractor (except as to the conditions of the Performance Bond, any legal rights of the Township, warranties, guarantees, and Correction of Faulty Work after Final Payment), and make final payment to the Contractor.

N. WARRANTIES AND GUARANTEES

1. The Contractor shall warrant all equipment furnished and Work performed by the Contractor or its subcontractors for a period of two years, in accordance with the “Maintenance and Guarantee Bond,” from the date of final payment for the Contract Work regardless of the terms of any manufacturer or supplier warranties, unless specifically identified in the detailed specifications or supplemental conditions that warranties for certain items are to exceed the two-year warranty.

2. Even if not specifically stated in the Specifications, warranties are required for all work. All work specified to be designed or supplied by the Contractor will be guaranteed to perform as specified.

Contractor shall supply any service material, equipment required because of the defect, or additional repairs required due to the defect without charge.

3. All parts of the work or equipment will be warranted to be free from defects in workmanship, design and materials. In the opinion of the Township, if any part of the equipment should fail during the warranty period, it will be replaced and the unit(s) restored to service at no expense to the Township. Then, the two-year warranty period will begin again for that item after repair of equipment and other parts repaired in system. Contractor shall perform repairs expeditiously as directed by the Township.

4. Warranty from the manufacturer will be provided for all major pieces of equipment supplied under this Contract. The manufacturer’s warranty period will be concurrent with the Contractors running at a minimum of one year from date of final acceptance, unless otherwise specified. The Township reserves the right to request warranties for equipment not classified as major. Contractor shall warrant equipment not considered to be “major” in the Contractor’s two-year warranty period even though certificates of warranty may not be required. This warranty from the manufacturer will not relieve the contractor of the two-year warranty starting at the time of the Township’s final acceptance of the equipment.

O. COMMENCEMENT OF WARRANTY PERIOD

1. The Contractor shall guarantee all parts of the Contract Work for two years from date of final acceptance, unless otherwise specified. Contractor shall remove and replace or repair in a manner satisfactory to the Township, at no cost to the Township, all parts of the Work, including equipment, which in the opinion of the Township prove defective either in material, workmanship, or operation.

Contractor shall supply without charge any service, material, or equipment required because of such defect. The Contractor shall also guarantee the design and performance of the Work specified, as well as any Work repaired or replaced.

2. If the Township chooses to occupy and use any completed portion of the Work prior to final completion, the two-year warranty for such portion of the Work will begin on the date of project final acceptance, unless otherwise specified.

3. The guarantee of operation, materials, workmanship, design, and performance for all equipment and Work replaced or repaired shall be continued for two years, unless otherwise specified after the date of written acceptance of the replacement or repair.

P. USE OF COMPLETED PORTIONS OF THE WORK

1. The Township shall have the right to take possession of and use any completed or partially completed portions of the Work, notwithstanding that the time for completing the entire Work or such portions may not have expired; but such taking possession and use shall not be deemed an acceptance of any Work not completed in accordance with the Contract Documents. If such prior use increases the cost of, or delays, the completion of uncompleted Work or causes refinishing of completed Work, the Contractor shall be entitled to such extra compensation, or extension of time, or both, as the Township may determine.

Q. RELEASE OF LIENS

1. The Contractor shall deliver to the Township a complete release of all liens or claims arising out of this

Contract before the retained percentage or the final Request for Payment are paid. If any lien or claim remains unsatisfied after all payments are made, the Contractor shall refund to the Township such amounts as the Township may have been compelled to pay in discharging such liens, or claims, including all costs and a reasonable attorney's fee.
