FAR 52.212-1 Instructions to Offerors – Commercial Products and Commercial Services

1. BASIS OF AWARD

The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer conforms to the solicitation and will be the most advantageous to the Government, price and technical factors considered. The Government intends to determine the best value outcome by utilizing the Lowest Price Technically Acceptable (LPTA) source selection process. LPTA is when best value is expected to result from selection of a technically acceptable offer with the lowest evaluated price.

Award will be made on the basis of the lowest evaluated price of quotes/offers meeting or exceeding the technical acceptability standard. An offer is technically acceptable if it is fully compliant with all of the requirements of terms and conditions herein. To be eligible for award, the Offeror must qualify as a small business concern under NAICS Code 541870.

A written notice of award or acceptance of an offer, electronically mailed or otherwise furnished to the successful offeror within the time for acceptance specified for the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

The Government intends to evaluate offers and award a contract without clarifications with Offeror. Therefore, the Offeror’s initial offer should contain the Offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct clarifications if later determined by the Contracting Officer to be necessary.

The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer;

and waive informalities and minor irregularities in offers received. (FAR 52.212-1(G)).

1.1. Submission of Offer:

1.1.1 Offeror is expected to examine this entire request for offer. Failure to do so shall be at the Offeror’s own risk.

1.1.2 Offeror shall set forth full, accurate, and complete information as required by the RFQ package (including Attachments). The penalty for making false statements is prescribed in 18 U.S.C 1001.

1.1.3 In responding to this RFQ, it is the Offeror’s responsibility to provide current, complete, and accurate information in their offer. If in reviewing the offer the Government identifies or otherwise learns that the provided offer information is not accurate or misrepresents the Offeror’s status or capabilities, that information may be used by the Contracting Officer as part of the Offeror’s responsibility determination and could result in the Offeror not being eligible for award.

1.1.4 Offer must be clear, coherent, and prepared in sufficient detail for effective evaluation. Failure to comply with all terms and conditions of the solicitation may result in the offer being ineligible for an award.

1.1.5 Offers shall be submitted to Terry.Lawrence@bep.gov no later than 3:00 p.m. CST Tuesday, August 25, 2026. Please submit questions no later than 12:00 p.m. CST Friday, August 21, 2026 via email to Terry.Lawrence@bep.gov. The Offeror is responsible for submitting offers, and any modifications or revisions, so as to reach the Government office designated in the RFQ by the time specified. The Offeror may submit modifications to their offers at any time before the RFQ closing date and time. The Offeror may submit revised offers only if requested or allowed by the CO. Any offer modification received at the Government office designated in the RFQ after the exact time specified for receipt of offers is “late” and may not be considered.

1.1.6 Offers may be withdrawn by written notice received any time before award. The Offeror shall submit offers in response to this RFQ in English and in U.S. dollars. Withdrawals are effective upon receipt of notice by the CO.

1.1.7 Period of Acceptance of Offers: The Offeror agrees to hold prices in its offer firm for 60 calendar days from the date specified for receipt of offers.

1.2 Technical Acceptability

The Government will evaluate each Offeror’s quotation to determine technical acceptability based on the Offeror’s demonstrated ability to successfully perform the services described in the Performance Work Statement (PWS). The Offeror shall provide a clear and sufficiently detailed technical approach describing how it will perform and manage the required distribution and display services throughout the period of performance. The technical approach shall demonstrate an understanding of the PWS requirements and describe the methods, resources, and processes the Offeror will use to successfully accomplish the required services. At a minimum, the Offeror’s technical approach shall address:

• Technical Approach: The proposed methodology and plan for accomplishing the tasks and meeting the performance standards identified in the PWS and Performance Requirements Summary (PRS).

• Distribution and Display Approach: The proposed approach for distributing, displaying, monitoring, and replenishing BEP educational and informational materials at high-traffic, tourist-oriented locations within the required geographic area.

• Transportation and Resources: The Offeror’s ability to provide the transportation, display systems, equipment, and other contractor-furnished resources necessary to perform the required services.

• Insurance: Information demonstrating the Offeror’s ability to meet the applicable insurance requirements of the solicitation.

• Quality Control: The Offeror’s approach to monitoring performance and ensuring that the services meet the quality and performance standards established in the PWS.

• Relevant Experience/Past Performance (Optional): Examples of recent or relevant experience performing services of a similar nature, scope, or complexity.

A quotation will be rated Technically Acceptable when it demonstrates an adequate understanding of the requirement and provides a reasonable approach for successfully performing the services in accordance with the PWS. A quotation that fails to demonstrate an adequate understanding of the requirement or the ability to meet the material requirements of the PWS may be rated Technically Unacceptable and will not be considered for award.

1.3 Price Reasonableness

The Government will evaluate prices to determine whether they are fair and reasonable. The Government will use any combination of the price analysis techniques available under FAR 13.106-3. A pricing elements worksheet is provided as Attachment 4. Offerors shall provide pricing consistent with their proposed technical approach.

Offerors should use this worksheet as a guide. However, Offeror pricing should reflect their specific technical approach.

2. CONTRACT ADMINISTRATION DATA

The Contractor shall provide sufficient management to ensure that this contract is performed efficiently, accurately, on-time, and in compliance with the requirements of this document. Specifically, the Contractor shall designate oversight for this contract and supervise staff assigned to this contract.

3. CONTRACTING OFFICER’S AUTHORITY

The Contracting Officer is the only person authorized to make or approve any changes in any of the requirements of this contract, and, notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely in the Contracting Officer. In the event the Contractor makes any changes at the directions of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made to the contract terms and conditions, including price.

4. NON-PERSONAL SERVICES CONRACT

This contract is a "non-personal services contract" as defined in the FAR Subpart 37.101. It is understood and agreed that the Contractor and/or Contractor's employees, consultants and Subcontractors:

(a) Shall perform the services specified herein as independent Contractors, not as employees of the Government.

(b) Shall be responsible for their own management and administration of the work required and bear sole responsibility for complying with any and all technical, schedule, or financial requirements or constraints attendant to the performance of this contract.

(c) Shall be free from any direct or indirect supervision or control by any Government employee with respect to the manner or method of performance of the services specified; however, Shall, pursuant to the government rights under contract clauses such as "Inspection," and "Key Personnel" comply with such general direction of authorized Government employees as is necessary and appropriate to ensure accomplishment of the contract requirements and objectives.

52.217-8 Option to Extend Services (NOV 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

(End of clause)

52.217-9 Option to Extend the Term of the Contract (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years and six (6) months.

(End of clause)
