L1.1 AMS Clause 3.2.2.3-20 Offers (January 2018)

(a) The offeror (you) must submit responses to this SIR by the following electronic means: See Section L.19.1. Your offer must arrive at the place and by the time specified in the SIR.

(b) Such offers must refer to this SIR and include, as applicable, the item or sub-items, quantities, unit prices, time and place of delivery, all representations and other information

L-2 required and a statement specifying the extent of your agreement with all the FAA's (we) terms, conditions, and provisions.

(c) We may decline to consider offers that do not include required information, or that reject any of the terms, conditions and provisions of the SIR.

(d) See Section L.17.1 for offer submission requirements.

(e) We will not be responsible for any failure attributable to transmitting or receiving the offer, unless it falls under section (a) of AMS provision 3.2.2.3-14 "Late Submissions, Modifications, and Withdrawals of Submittals".

L.1.2 AMS 3.2.2.3-38 Alternate II Requirements for Certified Cost or Pricing Data or Data Other Than Certified Cost or Pricing Data (Jan 2022)

(a) The FAA does not require a submission of certified cost or pricing data.

(b) The offeror must provide the following data:

A financial statement for the last three (3) complete fiscal years of business for the corporation, and for any affiliate, subsidiary, or division proposed to perform work delineated in Section C for which separate financial records are maintained. Financial statements must include the following as a minimum:

1. Balance Sheet

2. Profit and Loss Statement

3. Statement of Cash Flow (Source & Application of Funds)

4. Statement of Retained Earnings

The Offeror must also submit any other information, which could potentially affect its financial conditions such as, bankruptcy filings, suits, liens, judgments, changes in management and ownership and any key financial changes. Include the balance sheet and income statement with the financial statements.

L.2 TYPE OF CONTRACT (AMS 3.2.4-1) (APRIL 1996)

The FAA contemplates award of a firm-fixed price contract. The FAA reserves the right to award multiple contracts or no contract if it is determined to be in the best interest of the Government.

L.5 PROTEST (AMS 3.9.1-3) (JANUARY 2020)

AS A CONDITION OF SUBMITTING AN OFFER OR RESPONSE TO THIS SIR (OR

OTHER SOLICITATION, IF APPROPRIATE), THE OFFEROR OR POTENTIAL OFFEROR

AGREES TO BE BOUND BY THE FOLLOWING PROVISIONS RELATING TO

PROTESTS:

(a) Protests concerning Federal Aviation Administration Screening Information Requests (SIRs) or awards of contracts shall be resolved through the Federal Aviation Administration (FAA) dispute resolution system at the Office of Dispute Resolution for Acquisition (ODRA) and shall be governed by the procedures set forth in 14 C.F.R. Parts 14 and 17, which are hereby incorporated by reference. Judicial review, where available, will be in accordance with 49 U.S.C.

46110 and shall apply only to final agency decisions. A protestor may seek review of a final FAA decision only after its administrative remedies have been exhausted.

(b) Offerors initially should attempt to resolve any issues concerning potential protests with the Contracting Officer. The Contracting Officer should make reasonable efforts to answer questions promptly and completely, and, where possible, to resolve concerns or controversies. The protest time limitations, however, will not be extended by attempts to resolve a potential protest with the Contracting Officer.

(c) The filing of a protest with the ODRA may be accomplished by mail, overnight delivery, hand delivery, or by facsimile or if permitted by order of the ODRA, by electronic filing. A protest is considered to be filed on the date it is received by the ODRA during normal business hours. The ODRA's normal business hours are from 8:30 am to 5:00 pm Eastern Time.

(d) Only an interested party may file a protest. An interested party is one whose direct economic interest has been or would be affected by the award or failure to award an FAA contract.

Proposed subcontractors are not "interested parties" within this definition.

(e) A written protest must be filed with the ODRA within the times set forth below, or the protest shall be dismissed as untimely:

(1) Protests based upon alleged improprieties in a solicitation or a SIR that are apparent prior to bid opening or the time set for receipt of initial proposals shall be filed prior to bid opening or the time set for the receipt of initial proposals.

(2) In procurements where proposals are requested, alleged improprieties that do not exist in the initial solicitation, but which are subsequently incorporated into the solicitation, must be protested not later than the next closing time for receipt of proposals following the incorporation.

(3) For protests other than those related to alleged solicitation improprieties, the protest must be filed on the later of the following two dates:

(i) Not later than seven (7) business days after the date the protester knew or should have known of the grounds for the protest; or

(ii) If the protester has requested a post-award debriefing from the FAA Product Team, not later than five (5) business days after the date on which the Product Team holds that debriefing.

(f) Protests shall be filed at:

(1) For filing by hand delivery, courier or other form of in-person delivery:

(g) At the same time as filing the protest with the ODRA, the protester shall serve a copy of the protest on the Contracting Officer and any other official designated in the SIR for receipt of protests by means reasonably calculated to be received by the Contracting Officer on the same day as it is to be received by the ODRA. The protest shall include a signed statement from the protester, certifying to the ODRA the manner of service, date, and time when a copy of the protest was served on the Contracting Officer and other designated official(s).

L.6 EXPENSES RELATED TO OFFEROR SUBMISSIONS

The Government will not commit to any costs incurred in the preparation of, or the submission of any response to this solicitation.

L.7 DISCUSSIONS WITH OFFERORS

Communication with potential Offerors may take place throughout the source selection process.

The purpose of communications is to ensure there are mutual understandings between FAA and the Offerors on all aspects of the procurement. Information disclosed as a result of oral or written communication with an Offeror may be considered in the evaluation of an Offeror's submittal(s).

To ensure that Offerors fully understand the intent of the SIR (and FAA's needs stated therein), the FAA may hold one-on-one meetings with an individual Offeror as it pertains to its Offer.

One-on-one communications may continue throughout the process, as required, at the FAA's discretion. Communications with one Offeror may not necessitate communications with other Offerors. In accordance with FAA AMS policy, the FAA reserves the right to conduct discussions with specific Offerors only, or with all Offerors, as circumstances warrant.

L.8 DISPOSITION OF PROPOSALS

After contract award, an electronic copy of each unsuccessful proposal will be retained in the official Government contract files.

L.9 CONTRACT CONVERSION

It is anticipated that SIR SECTIONS A, B, C, D, E, F, G, H, I, and J (excluding all solicitation attachments) will be converted to a contract at the award of this solicitation.

L.10 DEBRIEFING OF UNSUCCESSFUL OFFERORS

Written notice to unsuccessful offerors and contract award information will be promptly released. Successful or unsuccessful offerors may request a debriefing by providing a written request to the Contracting Officer. Debriefing shall be conducted only after source selection activities have been completed and the contract awarded. Debriefings are conducted with the goal of identifying to unsuccessful offerors areas where changes can be made to improve future source selection participation. To that end, source selection debriefing well be conducted with only one offeror at a time. The debriefing will be confined to discussion of the offeror’s proposal only. A point by point comparison with other offeror’s proposals will not be made.

The debriefing will neither discuss nor reveal the relative merits, nor will it reveal the evaluation of other offeror's proposals.

During and after completion of the Debrief, time will be provided for the offeror to ask questions. Offerors are encouraged to submit written questions prior to the Debrief to help facilitate the discussion.

L.11 PROJECTED MILESTONE SCHEDULE

The following represents the projected procurement milestone schedule as of the release date of the SIR. This schedule is for planning purposes only and is subject to change.

L.12 TIME, DATE, PLACE, AND SUBMISSION OF PROPOSALS

L.12.1 MAILING/DELIVERY ADDRESS

Proposals must be submitted via email to the KSN website. Please see Section L.17.1 for submission instructions.

L.12.2 QUESTIONS

Any questions or clarification concerning any aspect of the SIR must be submitted to the Contracting Officer via electronic mail on Attachment No. XX Question/Comment Form to Christian.C.Lindsay@faa.gov. Questions must refer to the applicable section of the SIR.

Offerors’ questions and the responses by the Government may form the basis of an amendment

L-7 to the SIR. Final submission of questions will be XXXX, XX, XXXX and no verbal questions will be entertained.

L.12.3 TIME AND DATE

Proposals must be received by the Contracting Officer at the address listed in provision L.13 (a) no later than 1:00 p.m. EDT on XXXX XX, XXXX.

L.12.4 SIGNED ORIGINALS

Proposals must contain the signed original of all documents requiring signature by the Offeror.

Use of reproductions of signed originals is authorized for all other copies of the proposal.

L.12.5 PROPOSAL SUBMISSION

Each offeror should note that there are ten service areas associated with this solicitation, two of which are outside the CONUS. Offerors should also note that proposals may be submitted for more than one service area but awards are limited to no more than two service areas in the CONUS and 2 service areas outside of the CONUS for a total of four services areas. Therefore, each offeror may submit proposals for each service area with the understanding that only a maximum of four service areas can be awarded to any individual offeror. The offeror must assume the full responsibility of ensuring that all proposals are received in accordance with the instructions of this solicitation.

L.13 RESERVED

L.14 EVALUATION OF PROPOSALS BY NON-GOVERNMENT PERSONNEL

Offerors are hereby notified that the FAA may utilize contractor support personnel to advise and assist the Government in performing evaluation of the proposals. All non-Government personnel and their corporations have signed, or will sign before the evaluation process begins, non-disclosure and no conflict of interest statements. The exclusive responsibility for source selection however, will remain with the FAA. The following organizations may advise and assist the Government during proposal evaluations:

L.15 PRE-AWARD AUDITS

A pre-award audit is an evaluation of a prospective contractor's capability to perform a proposed contract and is used as a means for assisting the Contracting Officer in making a determination that an Offeror is a responsible prospective contractor. The FAA reserves the right to conduct pre-award audits, on any entity included by the Offeror. If a pre-award audit is conducted, it does not mean that an Offeror has been selected for award.

L.16 MINIMUM QUALIFICATION REQUIREMENTS

To be eligible to compete for this procurement, the potential offeror must have, as a minimum requirement, the following experience or capabilities:

1. A minimum of three years of experience as an operating business entity.

2. A minimum of three years of experience in providing administrative and operational support to personnel working at geographically separated locations.

3. A minimum of three years of experience in providing air traffic control services.

L.17 PROPOSAL INSTRUCTIONS

L.17.1 SUBMISSION OF OFFER AND OTHER INFORMATION

In response to this SIR, each Offeror must submit electronic copies as described in L.17.2 "Proposal Organization".

In addition, Offerors are required to submit an electronic submission of proposals identified by Volume number and title and other required documentation in response to the FCT SIR in the account established in the Knowledge Sharing Network (KSN) Website: https://ksn2.faa.gov/contracts/xxxxxxx/Pages/Default.aspx.

Electronic proposals must be received by the Contracting Officer at the address listed in provision L.12.2 (a) no later than 1:00 p.m., EDT on XXX XX, XXXX.

ELECTRONIC ACCOUNT SET-UP

To request an account, please send an email to gary.ctr.suarez@faa.gov containing the following information:

• First and last name

• Company name

• Full Company address and business size

• Company’s Authorized Point of Contact’s phone number

• Company’s Authorized Point of Contact’s e-mail address

Offerors must confirm the above data prior to submitting their request; the government is not responsible for incorrect or incomplete requests.

The e-mail address provided will be the primary means of contact for automated updates;

password reset requests, basic KSN site usage questions only and site troubleshooting of any technical issues while working on the KSN website.

When setting up an account, only one contact per Offeror is needed.

For security purposes, Offerors’ submitted documentation is visible only to the submitter and to the appropriate government personnel and not to any other Offeror. The KSN website will also mailto:gary.ctr.suarez@faa.gov

L-9 enable submitter to see the status of submitted questions, view the government response to questions as well as other announcements regarding the FCT SIR.

Proposals must be complete and conform to the instructions in this section. Incomplete proposals or proposals which contain significant deviation may result in the exclusion of such proposals from further consideration. General statements that the Offeror understands the requirements of the work to be performed, or simple rephrasing or restating of the FAA’s requirements, will not be considered adequate and will be reflected in lower evaluation scores or may be cause for rejection of the proposal.

All proposals will be screened initially for timeliness and SIR conformance. Offerors whose proposals that do not meet the above initial screening criteria will not be evaluated further or considered for contract award.

• Timeliness – means Offeror’s proposal is received on time by the proposal due date as stated in the SIR.

• Conformance – means meeting all requirements addressed in Section L and due by the Offeror per SIR instructions are in compliance.

It is the Offeror’s responsibility to ensure the completeness of the proposal. The evaluation of proposals will be conducted on the basis of the information contained in the written proposal.

The Government will not assume that an Offeror possesses any capabilities not specified in the written proposal.

Any data that may contain trade secrets, copyright data, and/or financial information which the Offeror or proposed subcontractors do not want disclosed for any purpose other than the evaluation of the proposal must be marked in accordance with AMS 3.2.2.3-16, Restricting, Disclosing and Using Data (July 2004).

The proposal must be signed by an official who is legally authorized to obligate the Offeror to a contract.

Offerors must not submit any electronic files that have been “zipped” using file compression software. The material presented in electronic format must be the identical to the hard (i.e., printed) copy. If there are discrepancies between the hardcopy and electronic version of a document, the hardcopy will be used as the version for evaluation.

Please note the functional relationship between Sections L and M of this SIR. Section L provides information for the purpose of organizing the proposal and is not intended to be all-inclusive. Section M describes evaluation factors for award. Since the Government evaluation of proposals will cover all areas identified in Section M, proposals should address all such areas for evaluation.

If the offeror submits offers on more than two (2) service areas, the offeror must indicate its order of preference for information purposes only. The Government is not bound to utilize the Offeror’s order of preference in the evaluation of offers.

Although this section is cross-referenced, Offerors are cautioned to read the SIR and proposal instructions in their entirety and respond accordingly. In case of a discrepancy, Section M takes control and takes precedence.

L.17.3 WRITTEN PROPOSAL PRESENTATION

L.17.3.1 Binding and Labeling - A cover sheet must be affixed to each volume, which clearly identifies each volume, volume number,, solicitation number and identification, and Offeror's name. The name of the offeror must only be included on the “Table of Contents” page of each volume. All other pages must not contain any information, which identifies the offeror, such as company name, address, or logo.

L.17.3.2 Indexing - The indexing must be used to identify all proposed sections. Each volume must be organized such that an extensive search of the proposal is not necessary for its review.

Information not in its appropriate section and not appropriately referenced may be assumed to have been omitted.

L.17.3.3 Page Size, Typing, Spacing, Page Numbering and Maximum Page Limits

L.17.3.3.1 Page size must be 8-1/2 by 11 inches. The type size must not be less than 12 point with a space and a half between lines.

L.17.3.3.2 Each section within a volume must be sequentially numbered starting with the number 1.

L.17.3.3.3 Volume I will be evaluated for completeness however not scored. The maximum page limit for Volume II - Technical Proposal (page count does not include the Staffing Plans and Schedules) is 125 pages. The maximum page limit for Volume III - Corporate Management Proposal Section A is 25 pages (page count does not include resumes submitted in accordance with L.20.1.2.1).The maximum page limit for Volume III - Corporate Management Proposal Section B is also 25 pages (page count does not include the past performance questionnaire).

There is no maximum page limit for Volume IV – Price Proposal.

L.18 VOLUME I - OFFER & SOLICITATION DOCUMENTS

L.18.1 This volume consists of and must include the following:

L.18.1.1 Tab A – SF – 33 Solicitation/Offer and Award: the offeror must complete block 14, if applicable and blocks 15 through 18. The representative who signs this form must be authorized to contractually bind the company making the proposal.

L.18.1.2 Tab B – CLAUSE I.14 Statement of Equivalent Rates for Federal Hires: The Offeror must complete the information requested in the clause.

L.18.1.3 Tab C – SIR Section K - Representations, Certifications and Other Statements of Offerors: The Offeror must complete all Representations, Certifications and Other Statements included in Section K of the SIR.

L.18.1.4 Tab D - Business Declaration Form: The Offeror must complete attachment S-4 in its entirety.

L.18.1.5 Tab E – Minimum Qualification Brief: The Offeror must address the minimum qualification requirements and provide a brief synopsis that clearly demonstrates that the Offeror meets all of the three minimum qualification criteria as addressed in Clause L.16 "Minimum Qualification Requirements". Maximum page limit is 10 pages.

L.18.1.6 Tab F – Subcontracting Plan - This volume consists of and must include the following (if utilized):

L.18.1.6.1 Offerors that intend to do 100% of the work are not required to submit a subcontracting plan. For offerors not intending to do 100% of the work, you must provide a detailed Small Business and Small Disadvantaged Business Subcontracting Plan that fulfills all requirements contained within FAA AMS clause 3.6.1-4 entitled Small, Small Disadvantaged, and Women-Owned Small Business Subcontracting Plans. The Offeror must ensure its plan fully addresses each of the elements listed in FAA AMS clause 3.6.1-4.

L.18.1.6.2 The Subcontracting Plan must identify the percentage of the planned subcontract dollar value allocated to small businesses by type (e.g., woman-owned, veteran-owned, etc.) and the names of the subcontractors. If a particular subcontractor’s role is limited to only a portion of the contract duration, the Subcontracting Plan must address changes over time and demonstrate how subcontracting goals will be met for the life of the contract. The Government has identified the following subcontracting goals: At least five (5) percent or more of the planned subcontract dollar value shall be allocated to small businesses including the following: small business concerns, small disadvantage business concerns, women-owned small business concerns and service disabled veteran owned small business concerns. Subcontracting activity must be reported in accordance with Section H.29 . To the extent that proposed plan goals deviate from the FAA goals, the offeror must provide a detailed justification/rationale for proposed goals. Proposed goals must apply over the full life of the contract. See Also Section H.29.

L.19 VOLUME II - TECHNICAL PROPOSAL (Factor 1)

L.19.1 The Technical Proposal, Volume II, will consist of the following:

L.19.1.1 Volume II - Tab A

L.19.1.1.1 - Staffing Plans and Sample Schedules (Sub-factor 1)

The Offeror must provide site-specific staffing plans for each site in each area that the Offeror proposes to contract. For ease of evaluation, format must be consistent for each prospective site, with a limit of five (5) pages per site.

L.19.1.1.1.1 Section 1, Staffing Numbers - The Offeror must provide staffing numbers for both supervisory and non-supervisory personnel in the form of full time equivalents.

L.19.1.1.1.2 Section 2, Sample Shift Schedule - The Offeror must provide facility shift schedules based on hours of operation specified in Section J, Attachment J-3. The schedules must specify shift start and end times and number of employees on each shift. The use of charts is encouraged. The Offeror must discuss periods where the facility is expected to be staffed with only one employee.

L.19.1.1.1.3 Section 3, Leave Coverage - A detailed plan must be provided to accommodate coverage for periods of personal, vacation, sick and other types of leave.

L.19.1.1.2 Volume II - Tab B

L.19.1.1.2.1 Technical Implementation Plans (Sub-factor 2)

L.19.1.1.2.1.1 Each Offeror must submit the following Technical Implementation Plans in accordance with Section C of the SIR:

L.19.1.1.2.1.2 Section 1, Facility Training Plan -The Offeror must provide a detailed Facility Training Plan, which addresses all of the requirements in Section C.3.7 "Facility Training Program". This plan must address how the Offeror must approach training employees with different qualifications, i.e., former FAA controllers who held/hold CTO certificates vice prospective employees. The Offeror must demonstrate a thorough knowledge of various types of training, the certification process, along with a thorough knowledge of the applicable FAA documents, directives and regulations.

L.19.1.1.2.1.3 Section 2, Quality Control Plan - The Offeror must provide a detailed Quality Control Program plan, which addresses all of the requirements in Section C.3.8 "Quality Control Program." The plan must address strategies for operational accident/incident prevention and education, including the process for correcting actions as required. The Offeror must demonstrate a thorough knowledge of various types of operational incidents, the operation of recording/playback equipment, and completion of appropriate forms.

PART IV - SECTION L

INSTRUCTIONS, CONDITIONS AND NOTICES TO OFFERORS

L.19.1.1.2.1.4 Section 3, Contingency Plan - The Offeror must describe in details their contingency plan for special events (which may increase or restrict of air traffic) and emergencies, such as system failures and natural disasters.

L.19.1.1.2.1.5 Section 4, Phase-In/Phase-Out Plan - The Offeror must provide a detailed phase-in/phase out plan in accordance with the requirements in Section C.3.10 "Phase-in/Phase-out Plan." The Offeror must address the methodology for ensuring the assumption of ATC services at any Areas site within 60 days of assumption or relinquishment of responsibilities for ATC services. Attention should be given to simultaneous startup at multiple sites. An additional page may be added to this section for each site which may require special procedures.

The Offeror must also address the methodology for ensuring orderly phase-out in the event that the responsibility for provision of ATC services are transferred to a subcontractor, another contractor, or the FAA.

L.19.1.1.2.1.6 Section 5, Safety Management System Implementation Plan- The Offeror submit a plan for accomplishing this requirement as part of the FCT SMS Implementation Plan required by Section C.3.11 of the Statement of Work. The plan should include the offeror’s process for conducting SRM, reviewing documentation, and communicating with the government.

L.19.1.1.2.1.7 Section 6, Drug Testing Program Plan - The Offeror must provide a detailed anti-drug plan in accordance with the requirements in Section C.3.12 "Drug Testing Program.”

The Offeror must address the methodology for reporting results and activities to the FCT program office.

L.19.1.1.2.1.8 Section 7, Alcohol Misuse Prevention Program Plan- The Offeror must provide a detailed alcohol misuse prevention program plan in accordance with the requirements in Section C.3.13 "Alcohol Misuse Prevention Program." The Offeror must address the methodology for reporting results and activities to the FCT program office.

L.20 VOLUME III - CORPORATE/MANAGEMENT PROPOSAL (Factor 2)

L.20.1 This volume consists of Tabs A, B and C, as follows:

Tab A - Overall Corporate Structure Tab B - Management Plan TAB C – Key Personnel Resumes

L.20.1.1 TAB A - OVERALL CORPORATE STRUCTURE (Sub-factor 1)

L.20.1.1.1 Offerors must provide a proposed organizational chart showing their internal corporate organization and establishing clear lines of authority and responsibility within the Organization. Proposed personnel assignments must be outlined, with key personnel and/or

L-15 positions prominently identified. The Offeror must discuss delegation of authority and lines of succession, showing the span of control used to manage a program of this magnitude.

L.20.1.1.2 If the Offeror is submitting a proposal for (i.e. bidding on) more than one Area and the information is different, the Offeror must provide the organizational information for each area separately. The Offeror is allowed a limit of five (5) extra pages per additional area to fulfill this requirement.

L.20.1.2 TAB B - MANAGEMENT PLAN (Sub-factor 2)

L.20.1.2.1 The Offeror must include a resume (limited to 2 pages per employee) of the proposed management team.

L.20.1.2.2 The Offeror must provide a management plan, which describes the extent of management involvement in daily operations at FCT sites. The management plan needs to address the methodology for interfacing with FAA management to successfully accomplish contract requirements.

L.20.1.2.3 The Offeror must discuss management's approach to enforcing all applicable FAA rules and regulations while providing ATC services at FCT locations. In addition, the Offeror must identify the management level and discuss the methodology which the management team will utilize in situations requiring decision-making.

L.20.1.2.4 A description of any other management tools contemplated for use on the FCT program.

L.20.1.2.5 The Offeror must address the methodology proposed in adhering to Department of Labor (DOL) rules and regulations including approach in ensuring that DOL minimum wage rates and standards will be met. The Offeror must also demonstrate the ability and management approach utilized in administering a complex requirement with multiple sites, geographical area and contracts.

L.20.1.3 KEY PERSONNEL RESUMES (Sub-Factor 3)

L.20.1.3.1 The offeror must provide two key personnel. One key personnel must be the Operations Manager and one key personnel must be a person of your choosing. The Offeror must submit a resume for the Operations Manager, which addresses the minimum qualification identified in H.28.

L.21 VOL IV - PAST PERFORMANCE (Factor 3)

L.21.1 This volume consists of and must include the following:

L.21.1.1 Offerors must submit the following information as part of their proposal for both the offeror and proposed subcontractors:

L.21.1.2 A list of all existing and prior contracts and subcontracts, completed during the past five years for the same or similar kind of work. Include the following information for each contract and subcontract:

1. Name of contracting activity

2. Contract number

3. Contract type

4. Total contract value

5. Contract work/description

6. Contracting Officer and telephone

7. Program manager and telephone

8. List of major subcontractors

L.21.1.3 The offeror may provide information on problems encountered on the contracts and subcontracts identified in (A) above and corrective actions taken to resolve those problems.

Offerors should provide general information on their performance on the identified contracts.

General performance information will be obtained from the references.

L.21.1.4 The offeror may also describe any quality awards or certifications that indicate the offeror possesses a high-quality process for developing and producing the product or service required. Such awards or certifications include, for example, the Malcolm Baldridge Quality Award, other government quality awards, and private sector awards or certifications (e.g., the automobile industry's QS 9000, Sematech's SSQA, or ANSI/EIA-599). Identify what segment of the company (one division or the entire company) that received the award or certification.

Describe when the award or certification was bestowed. If the award or certification is over three years old, present evidence that the qualifications still apply.

L.21.1.5 Offerors must submit a list of at least three references and send each listed reference the Client Authorization Letter provided in Part III - SECTION J as Attachment S-2 authorizing the reference to provide past performance information to the government and the Past Performance Questionnaire provided as Attachment S-3 in Part III – SECTION J. (Will be provided at final SIR release)

L.21.1.6 Each offeror will be evaluated on his/her performance under existing and prior contracts for similar products or services. Performance information may be used for both responsibility determinations and as an evaluation factor against which offerors' relative rankings will be compared to assure best value to the government. The government will focus on information that demonstrates quality of performance relative to the size and complexity of the procurement under consideration. The FAA may contact references other than those identified by the offeror with the information received in the evaluation of the offeror's past performance.

L.22 – Volume V Price

The Price Volume must be a separate proposal volume and properly identified. Data submitted in the price proposal should be information only essential to document or support the price position. No pricing information should be included in any other volume. If price information is included elsewhere in the proposal documentation, the pricing information included in the other volumes will not be evaluated. Pricing information included in other volumes may result in the proposal being deemed inadequate and removed from competition. The Offeror’s proposal must adhere to the pricing structure established in Section B of the SIR. The Offeror must not make any stipulations on the Price Proposal Form nor qualify the Price Proposal in any manner.

The Offeror is responsible for submitting sufficient information to enable the FAA to fully evaluate its Price proposal. The Offeror must ensure there is consistency between the Technical and Price Volumes. The Offeror must ensure that the hourly rates and the total proposed price are reasonable and commensurate with the work required by the SIR and the technical and program management approaches identified in Volume X of the proposal. The Offeror must explain any inconsistency between proposed approach and the proposed price, as well as any appearance of unbalanced pricing in the proposal.

L.22.1 - Price Volume Content The Offeror must provide the following information on the first page of the Offeror’s pricing proposal:

a. Solicitation number.

b. Name and address of Offeror, point of contact information for an authorized negotiator, CAGE code(s), and DUNS Number(s).

c. Total proposed price.

d. Name, address, telephone, and email address of the Government cognizant contract audit office for the prime and each subcontractor/team member, if available.

e. Name, address, telephone, and email address of the Government cognizant contract administration office for the prime and each subcontractor/team member, if available.

The following documents and information must be included in the Offeror’s pricing proposal:

a. Fully completed Exhibit B-00X.

b. Price Narrative to support the information included in Exhibit B-00X.

c. Any exceptions, deviations, or assumptions made regarding the SIR.

d. Information regarding financial capability.

Pricing information must not be contained in any other volume, and, if included within other volumes, may result in the proposal being rejected and excluded from the evaluation. The Government anticipates adequate competition for this procurement, therefore not requiring the submission of certified cost or pricing data. The Government anticipates that the data required by this SIR will be adequate for its price evaluation; however, the Government reserves the right to request additional information other than certified cost or pricing data, if the Contracting Officer determines it is necessary to ensure a fair and reasonable price.

Failure to submit the above information may make an offer unacceptable, and the proposal unawardable.

L.22.2 Price Proposal The Offeror must complete each individual tab within Exhibit B-00X of this SIR. The Offeror must complete all tabs within the Exhibit that contain cells shaded in XXXX. The Offeror is advised that a submission with discrepancies or omissions may be considered incomplete and eliminated from further evaluation. The Offeror must complete Section B of this SIR by proposing a fixed price for each CLIN. The Total Evaluated Price (TEP) will be based on the quantities provided by the FAA in Section B. The Offeror must propose a fixed price for each contract line item number (CLIN) that is fully inclusive of all costs including labor (workers, management, aids, assistants, operators), materials, supplies, subcontractors, indirect expenses (for example, fringe benefits, overhead, general and administrative (G&A)), and profit.

L.22.3 Price Proposal Narrative The Offeror must provide a narrative describing the rationale and methodology and calculation used to determine the proposed firm fixed prices. The Government reserves the right to request any additional data, supporting schedules, or substantiation which will facilitate the Government's evaluation of the proposal. The narrative must also include:

- Rationale used for the development of proposed escalation.

- Discuss Offeror’s and proposed subcontractors policy for uncompensated overtime.

The Offeror must submit a complete listing of all proposed subcontractors/consultants including:

- Name of subcontractors

- Name of consultant (where a consultant is not used on a long term basis) The Government reserves the right to request any additional data, supporting schedules, or substantiation which will facilitate the Government's evaluation of the proposal. The Offeror should provide any and all information it feels supports its proposed price, including, but not limited to forward pricing rate recommendations or proposals, updated Collective Bargaining Agreements, subcontractor support,etc.

L.22.4 Exceptions, Deviations, and Assumptions The Offeror’s price proposal must include any exceptions, deviations, and assumptions section that identifies and explains in detail any exceptions, deviations, or conditional assumptions taken with the requirements of the SIR. Any exceptions, deviations, and/or assumptions taken must contain sufficient amplification and justification to permit evaluation. All exceptions, deviations, assumptions, and benefits to the FAA must be fully explained for each exception taken.

Exceptions and deviations will not, of themselves, automatically cause a proposal to be termed unacceptable. However, the Government advises the Offeror that taking exception to or deviating from any term or condition of the SIR may make an offer unacceptable, and the proposal unawardable.

If no exceptions, deviations, or assumptions are taken, the proposal must affirmatively state that none have been taken.

L.22.5 Audit Evaluation

Notice is hereby given that the Contracting Officer may initiate an audit any time after receipt of your price proposal in response to this solicitation. By submission of a proposal, the Offeror grants to the Contracting Officer, or his/her authorized representative, the right to examine, for the purpose of verifying the cost or pricing data submitted, those books, records, documents and other supporting data which will permit adequate evaluation of such cost or pricing data, along with the computations and projections used therein. This right may be exercised in connection with any negotiations prior to contract award.
