A. The Bidder (also referred to as “Contractor”) shall thoroughly examine and become familiar with all of the various parts of the bid documents and determine the nature and location of the Work, the general and local conditions, and all other matters which can in any way affect the Work under this Contract. Failure to make an examination necessary for this determination shall not release the Bidder from the obligations of this Contract. Bid submission is Contractor’s acknowledgment that it has examined the job site and bid documents and is satisfied with:
1. General and local conditions to be encountered

4. Character, quality, and quantity of surface and subsurface materials or obstacles

21929198.2 Part I-2
will otherwise modify the meaning or intent of this solicitation shall be submitted to Santa Cruz METRO in writing as described in Section 1.04.
Attendance at the pre-bid conference and job walk is not mandatory but is strongly encouraged.
1.04 QUESTIONS, CLARIFICATIONS AND IFB REVISIONS
A. Santa Cruz METRO has made every attempt to provide all information needed by bidders for a thorough understanding of the project terms, conditions and other requirements. It is expressly understood that it is the bidder’s responsibility to examine and evaluate the Work required under this IFB and the terms and conditions under which the Work is to be performed.
If omissions, discrepancies (including discrepancies that are observed between codes, laws, ordinances, and regulations, and the specifications and drawings pertaining to this Work), apparent errors or ambiguities are found in the IFB, the Bidder shall report such to Santa Cruz METRO as detailed below.
B. All questions, requests for clarification or modification of the IFB, and requests for approved equals should be submitted via the Bonfire procurement portal by clicking the “Ask a question” link to the right of the Questions Due Date. Questions are preferred before the pre-bid conference, but in any case by the deadline for formal questions, which is August 15, 2025 at 5:00 p.m. Questions and requests for clarification submitted prior to the questions deadline will be answered, if appropriate, by written addenda to the IFB, which shall be posted on Santa Cruz METRO’s Procurement Portal. Upon posting, such addenda will become a part of the bid documents and are binding on all eligible Bidders.
Bidders will not be able to submit questions via the Procurement Portal after the deadline for formal questions has passed. General inquiries regarding the IFB can be emailed to the Purchasing Manager at procurements@scmtd.com.
C. Santa Cruz METRO reserves the right to revise the IFB prior to the bid opening. Such revisions, if any, will be made by addenda to this IFB. If an addendum includes significant changes, the bid opening due date may be postponed by a number of days that Santa Cruz METRO considers appropriate for Bidders to revise their bids. The announcement of a new date, if any, will be included in the addendum. In any event, the last addendum will be issued no later than seven (7) calendar days prior to the bid opening.
D. Bidders that accessed any of the documents of the IFB via the Procurement Portal will be notified of the issuance of any addenda or response to requests for clarification; however, it is the Bidder’s responsibility to monitor Santa Cruz METRO’s Procurement Portal on a regular basis. Only written addenda issued by Santa Cruz METRO Purchasing Department authorized personnel are binding. Bidders shall acknowledge receipt of all addenda to the IFB documents in their bid. Failure to acknowledge receipt of all addenda may render the bid non-responsive.
1.05 SPECIFICATIONS BY BRAND OR TRADE NAME
It should be understood that specifying a brand name or specific types of components and/or equipment in these specifications shall not relieve the Bidder from its responsibility to furnish the end product in accordance with the warranty and contractual requirements. The Bidder is responsible for notifying Santa Cruz METRO of any inappropriate brand names, or types of mailto:procurements@scmtd.com
21929198.2 Part I-3
components and/or equipment that may be called for in these specifications and to propose a suitable substitute for consideration.
Santa Cruz METRO does not intend in any manner to limit the bidding directly or indirectly by calling for a designated material, product, item, or service by a specific brand or trade name. If a brand or trade name exists in the IFB, the words “or equal” are intended to follow so that bidders may furnish any equal material, product, item, or service. A Bidder shall, at its own expense, submit data substantiating a request for a substitution of “an equal item” by the deadline for formal questions/requests for approved equals specified in the IFB. Santa Cruz METRO will inform all Bidders of the request in the final addendum and whether Santa Cruz METRO accepts or rejects the requested substitution.
1.06 EXPENSES TO BE INCLUDED IN BID PRICE
A. Unless otherwise specified in the IFB, the bid price must include all costs and expenses necessary for the construction of Bus Overflow Parking Project at 809 W. Beach Street, Watsonville, CA, complete and ready for immediate use by Santa Cruz METRO without additional expense. Bid price must include, without limitation, all costs for labor, services, equipment, materials, supplies, transportation, installation, overhead, packing, insurance, licenses, fees, taxes, delivery charges, permits, engineering plans required for permits, bonds, warranties, inspection, and all other costs and expenses necessary to satisfy the provisions of the IFB, expressed and implied.
B. Unless bidder is specifically instructed to do otherwise, sales tax in the amount of 9.75% must be included in the bid price for applicable bid items. Federal Excise Tax, from which Santa Cruz METRO is exempt, should not be included in the bid price. A Federal Excise Tax Exemption certificate will be furnished to the successful bidder upon request.
C. When required, samples of items must be furnished to Santa Cruz METRO at no additional cost. If the samples are not destroyed by tests, the Bidder may request, at the time the samples are furnished, that the samples be returned to it, at its expense.

1.16 DISQUALIFICATION OF BIDDERS
More than one bid from an individual, firm, partnership, corporation, or combination thereof under the same or different names will not be considered. Reasonable grounds for believing that any individual, firm, partnership, corporation, or combination thereof is interested as a principal in more than one bid for the work contemplated may cause the rejection of all bids in which such individual, firm, partnership, corporation, or combination thereof is interested. The Bidder will complete, and include with its bid, the Non-Collusion Declaration (Bid Form – Document 3). If there is reason for believing that collusion exists among the bidders, any or all bids may be rejected. If Santa Cruz METRO learns that the person, firm or corporation to whom a Contract has been awarded has, in presenting any bid or bids, colluded with any other party or parties, then the Contract so awarded shall be null and void and the Contractor and its bondsmen shall be liable to Santa Cruz METRO for all loss or damage which Santa Cruz METRO may suffer thereby and Santa Cruz METRO may advertise for a new Contract for said labor, supplies, materials or equipment. A party who has quoted prices on materials or work to a Bidder is not thereby disqualified from quoting prices to other Bidders, or from submitting a bid directly for the materials or work. A bid may be rejected on the basis of a Bidder, any officer of such Bidder, or any employee of such Bidder who has a proprietary interest in such Bidder, having been disqualified, removed, or otherwise prevented from bidding on, or completing, a federal, state, or local project because of a violation of law or a safety regulation.

In addition to the rights set forth above, Santa Cruz METRO may reject the bid: 1) of any party who has been delinquent or unfaithful in the performance of any contract with Santa Cruz METRO;
2) from a bidder who cannot satisfactorily prove that it is responsible as required in the IFB; 3) from any entity that is a parent, affiliate, or subsidiary, or that is under common ownership, control, or management with any other entity submitting a bid on the project; or 4) that is not responsive.
Bids may be rejected if they show such items including, but not limited to, the following: any alteration of form; additions not called for; conditional bids; incomplete bids; erasures;
irregularities which make the bids incomplete, indefinite, or ambiguous; no acceptable bid security;
signature by other than an authorized person; addenda not properly acknowledged; failure to use designated Bid Form; or bid materially fails to conform to the requirements of the bid documents.

1.20 PROTEST PROCEDURES
It is the policy of Santa Cruz METRO that it is responsible for resolving all Pre-Bid and Pre-Award Procurement Protest disputes using good administrative practices and sound business judgment. It is Santa Cruz METRO’s intention that its procurement process provides for fair and open competition in compliance with federal and state laws and Santa Cruz METRO policies.
Santa Cruz METRO has established a Solicitation Protest Policy so that all procurement protests/disputes are filed, processed and resolved in a manner consistent with the requirements of the Federal Transit Administration (FTA) Circular (4220.1F) Third Party Contracting Guidance, revision 4, dated March 18, 2013. The FTA Circular and Santa Cruz METRO’s Protest Policy are on file at Santa Cruz METRO’s Administrative Offices, 110 Vernon Street, Santa Cruz, California 95060, and available upon request. http://scmtd.com/images/department/procurement/Solicitation_Protest_Policy_Rev._6.25.2021.pdf
1.21 GRATUITIES
It is illegal for any Santa Cruz METRO Director, officer, employee or agent to solicit, accept, or agree to accept consideration in any form, including gratuities, favors, or contingent fees, from a Bidder with the implication, suggestion or statement that the Bidder’s provision of the consideration may secure more favorable treatment for the Bidder in the award of the contract or that the Bidder’s failure to provide such consideration may negatively affect Santa Cruz METRO’s consideration of the bidder’s submission. A Bidder shall immediately report any attempt by a Santa Cruz METRO employee or agent to solicit such illegal consideration.
1.22 SUBCONTRACTING
A. The Contractor will not subcontract any Work to be performed under this Contract without the prior written approval of Santa Cruz METRO. The Bidder shall submit with its bid the names and business addresses of each subcontractor who will perform work under the contract in excess of ½ of 1 percent (.5%) of the amount of the total bid and shall list the portion of the Work which will be done by each subcontractor. This information shall be supplied on the Designation of Subcontractors Form, which is part of the Bid Form (Bid Form – Document 5). Attention is directed to the requirements of Sections 4100 to 4114, inclusive, of the California Public Contract Code, which are applicable to this Contract. When a portion of the Work, which has been subcontracted by the contractor, is not being performed in a manner satisfactory to Santa Cruz METRO, the subcontractor shall be removed immediately on the request of Santa Cruz METRO and shall not again be employed on the Work.
A. The Contractor will require, by written contract, each subcontractor, and each vendor, agent, and subconsultant (“subcontractors”) to be bound to the Contractor by the terms of the contract documents and to assume toward the Contractor all the obligations and responsibilities which the Contractor, by the Contract, assumes toward Santa Cruz METRO, to the extent of the Work to be performed by the subcontractor. Each subcontract shall preserve and protect the rights of Santa Cruz METRO under the Contract with respect to the Work to be performed by the subcontractor so that subcontracting will not prejudice such rights. Each subcontract will require the subcontractor to meet the same indemnification and insurance requirements applicable to the Contractor.

21929198.2 Part I-9
C. Santa Cruz METRO reserves the right to review any subcontracts to ensure compliance with any flow down requirements set forth herein. Any corrections required pursuant to this Agreement in said subcontracts must be made by the Contractor within ten calendar days of notice by Santa Cruz METRO. At Santa Cruz METRO’s sole discretion, any payments due may be withheld until Contractor meets any requirements set forth herein that are applicable to subcontractors.
1.23 BOND REQUIREMENTS
A. Bidder’s Security
1. All bids must be accompanied by bidder security in an amount not less than ten percent (10%) of the Total Contract Price, payable to Santa Cruz METRO. The bidder’s security must be in the form of cash, a cashier’s check, a certified check, or a Bidder’s Bond. If a Bidder’s Bond is furnished, it must conform to the form enclosed in the IFB (Bid Form – Document 4). In submitting a bid, it is understood and agreed by Bidder that the right is reserved by Santa Cruz METRO to reject any and all bids, or part of any bid, and it is agreed that the bid may not be withdrawn for a period of one hundred twenty (120) days subsequent to the opening of the bids without the written consent of Santa Cruz METRO.
However, the successful bidder shall have no rights to the contract until the contract has been fully executed by Santa Cruz METRO and a Notice to Proceed has been issued to the successful bidder
2. It is also understood and agreed that if the Bidder should withdraw any part or all of their bid within ninety (90) days after the bid opening without the written consent of Santa Cruz METRO, shall refuse or be unable to enter into a contract, as provided herein, refuse or be unable to furnish adequate and acceptable Payment and Performance Bonds, as provided herein, or refuse or be unable to furnish adequate and acceptable insurance, as required herein, the Bidder shall forfeit their bid security to the extent of Santa Cruz METRO’s damages occasioned by such withdrawal, refusal or inability to enter into an agreement, or provide the required security therefore.
3. It is further understood and agreed that to the extent the defaulting Bidder’s bid bond, certified check, cashier’s check, or cash shall prove inadequate to fully recompense Santa Cruz METRO for the damages occasioned by default, then the Bidder agrees to indemnify Santa Cruz METRO and pay over to Santa Cruz METRO the difference between the bid security and Santa Cruz METRO’s total damages, so as to make Santa Cruz METRO whole.
4. The Bidder’s Bond must be issued by a fully qualified, admitted surety company acceptable to Santa Cruz METRO and listed as a company currently authorized under 31 Code of Federal Regulations (CFR), Part 223 as possessing a Certificate of Authority as described thereunder, and listed as a company possessing the authority to issue surety bonds in the State of California. Bidders’ securities will be held until a Contract has been fully executed, after which all Bidders’ securities, except any Bidders’ securities which have been forfeited, will be returned to the respective Bidders as soon as practicable, but in no event more than sixty (60) days from the date of award of the Contract.
21929198.2 Part I-10
B. Payment Bond
A payment bond in the form set forth in the IFB (Part V) shall be executed within ten (10) working days after receipt of the Notice of Award, in an amount not less than one hundred percent (100%) of the Total Contract Price.
C. Performance Bond
A performance bond in the form set forth in the IFB (Part V) shall be executed within ten
(10) working days after receipt of the Notice of Award in an amount not less than one hundred percent (100%) of the Total Contract Price. Granting, or acceptance, of extensions of time to complete the Work or furnish the labor, supplies, materials or equipment, or any one of the aforementioned, will not operate as a release to Contractor or the surety on Contractor’s faithful performance bond from said guarantee.
1.24 AWARD OF CONTRACT
A. Santa Cruz METRO intends to make an award to the lowest responsive and responsible Bidder.
Any such award will be made pursuant to a Notice of Award signed by Santa Cruz METRO within ninety (90) days after bid opening. If the lowest responsive, responsible Bidder refuses or fails to execute a Contract as herein provided and furnish the said bonds and insurance certificates, the award will be annulled and an award may, in the discretion of Santa Cruz METRO, be made to the next lowest responsive, responsible Bidder, or Santa Cruz METRO solicit new bids.
B. Santa Cruz METRO will select the lowest responsive and responsible Bidder based on a determination of (1) which Bidder is the lowest monetary Bidder based on the total unit price amounts (Base Bid); (2) whether or not the lowest monetary Bidder submitted a responsive bid; and (3) whether or not the lowest monetary bidder is responsible.
C. A bid will be determined to be “responsive” if it does what the bidding instructions demand and all required documentation is provided.
D. A Bidder is “responsible” if the Bidder has demonstrated the attribute of trustworthiness, as well as quality, fitness, capacity, and experience to satisfactorily perform the Contract. Bidder may be required to prove to the satisfaction of Santa Cruz METRO that it has the skill and experience and that it has necessary facilities and ample financial resources to perform the Contract in a satisfactory manner and within the required time.
1.25 EXECUTION OF CONTRACT
The Contractor shall execute the Contract provided by Santa Cruz METRO, which shall be in substantially the same form as provided in Part V, upon receipt of the Notice of Intent to Award, and shall submit the required insurance certificate(s) within ten (10) working days after receipt of the Notice of Award. Successful Bidder’s execution of the Contract and delivery of the insurance certificate(s) and Payment and Performance Bonds specified in the IFB is a condition precedent to the finalization of the Contract. In no event shall the successful Bidder commence work until it has received the final signed Contract and notification from Santa Cruz METRO that the required insurance certificate(s) and Bonds have been approved. The Contract will be executed in the manner described in Section 1.3 of the General Conditions.
21929198.2 Part I-11
1.26 COST BREAKDOWN
The lowest responsive and responsible bidder must prepare and submit a detailed cost breakdown for approval by Santa Cruz METRO. This breakdown is to serve as the basis for progress payments and is to be submitted before work commences. The cost breakdown must be segmented into basic items of work corresponding to the Construction Specifications with the aggregate equaling the Total Contract Price. Cost breakdowns containing prices that appear to be unbalanced may be rejected.
The following general guidelines shall be followed:
1. There must be sufficient detail included to allow the Contract Administrator to verify progress in accordance with the progress payments specified elsewhere. At a minimum, the cost of each Specification section shall be identified.
2. Each price must include the cost of material, equipment, and labor stated separately.
The Contract Administrator will not authorize progress payments until the detailed cost breakdown has been approved.
1.27 SANTA CRUZ METRO’S USE OF CONSULTANTS
No limitation shall be imposed on Santa Cruz METRO’s use of consultants in any activity related to the Construction Specifications. The consultants, if any, at the direction of Santa Cruz METRO’s Project Manager, shall be accorded the same access to facilities and participation in the Work activity as any agent of Santa Cruz METRO would be. Involvement of consultants may include, but shall not be limited to, supervision of construction, contract administration, inspection, progress and technical meetings, conference calls, document review, etc., as directed by Santa Cruz METRO. Santa Cruz METRO shall have the option of adding consultants to the distribution list to receive all or selected contract documents.
1.28 PUBLIC RECORDS ACT
Responses to this IFB shall be subject to the provisions of the California Public Records Act (Government Code Sections §7920.000 et seq.) By submitting a bid, a Bidder (i) consents to the release of its bid, in the form submitted to Santa Cruz METRO and without any redactions, and (ii) waives all claims against Santa Cruz METRO, its directors, officers, employees and agents, for the disclosure of Bidder’s bid.
1.29 DISADVANTAGED BUSINESS ENTERPRISES
The Board of Directors of the Santa Cruz METRO has adopted a Disadvantaged Business Enterprise Policy to promote the participation of disadvantaged business enterprises (DBE) in all areas of Santa Cruz METRO contracting, to the maximum extent practicable. Consistent with the DBE Policy, the Bidder shall take all necessary and reasonable steps to ensure that DBE firms have the maximum practicable opportunity to participate in the performance of this project and any subcontracting opportunities thereof.
It is Santa Cruz METRO’s policy:
1. To ensure nondiscrimination in the award and administration of DOT-assisted contracts;
21929198.2 Part I-12
2. To create a level playing field on which DBEs can compete fairly for DOT-assisted contracts;
3. To ensure that the DBE Program is narrowly tailored in accordance with applicable law;
4. To ensure that only firms that fully meet 49 CFR Part 26 eligibility standards are permitted to participate as DBEs;
5. To help remove barriers to the participation of DBEs in DOT-assisted contracts;
6. To assist the development of firms that can compete successfully in the market place outside the DBE Program.
Bidder is encouraged to utilize a DBE financial institution when doing business with Santa Cruz METRO. The State of California, Department of General Services maintains a directory of financial institutions owned and controlled by DBEs at https://www.dgs.ca.gov/. The directory can be queried to locate DBE financial institutions from the “Services” section of the site.

The Environmental Quality Act (Public Resources Code, Section 21000 to 21176) may be applicable to permits, licenses and other authorizations which the Contractor must obtain from State or local agencies in connection with performing the Work of the Contract.
