About this file

This is an Insurance and Bonding Requirements exhibit for a construction project involving Harris Health (Harris County Hospital District) in Texas. The document establishes comprehensive insurance coverage mandates for the Loading Dock Expansion at Ben Taub Hospital, a $2.5 million estimated project. The Owner will implement a Rolling Owner Controlled Insurance Program (ROCIP) administered by Alliant Insurance Services, Inc., with mandatory enrollment for all eligible contractors and subcontractors performing work at the project site prior to commencing construction activities. The ROCIP covers Workers' Compensation and Employer's Liability insurance, Commercial General Liability insurance with $2 million per occurrence limits and $4 million general aggregate limits, and Excess Liability insurance with $25 million per occurrence and aggregate limits. Builder's Risk Insurance on an "All Risk" replacement cost basis will be obtained and maintained by the Owner, with deductibles of $50,000 for all perils except water damage ($100,000-$250,000). The contract term extends through the applicable statute of repose period under Texas law, with a ten-year Products and Completed Operations tail requirement for certain coverages.

Excluded parties—including architects, engineers, surveyors, vendors, suppliers, hazardous materials contractors, security services, and equipment rental companies—must procure their own insurance meeting specified limits rather than enrolling in the ROCIP. The Contractor must submit a net bid excluding the "Costs of ROCIP Coverage," defined as reduction in insurance premiums and related taxes due to ROCIP eligibility. All insurers must be licensed by the Texas Department of Insurance and rated no less than A-VII by A.M. Best, with policies written on an occurrence basis. The Owner pays all ROCIP premiums and receives adjustments, dividends, and return premiums, with the Contractor assigning rights to such adjustments. All liability policies require waivers of subrogation, additional insured endorsements naming the Owner and Indemnitees, and primary/non-contributing status. The Contractor must furnish Performance and Payment Bonds with automatic penal sum adjustments up to ten percent without surety consent. Contractor Equipment is excluded from Builder's Risk coverage; contractors electing to self-insure such equipment waive all claims for loss or damage in favor of the Owner.

EXHIBIT E

INSURANCE AND BONDING REQUIREMENTS

Owner and Contractor shall provide and maintain in effect at all times during the full term of the Work, insurance coverages with limits not less than those set forth below, subject to the conditions and requirements set forth herein.

None of the requirements contained herein, including but not limited to requirements relating to types and limits of coverage, are intended to and shall not in any manner limit, qualify, or quantify the liabilities and obligations assumed by either party under the Agreement or as otherwise provided by law. As used herein, defined terms shall each have the meanings set forth in the Agreement including but not limited to “Agreement”, “Owner,” “Indemnitee,” “Indemnitees,” “Contractor,” “Subcontractor”, and “Project”.

I. BUILDER’S RISK INSURANCE COVERAGE

A. ALL RISK COVERAGE.

1. Prior to commencement of the Work and as otherwise agreed by the parties in writing, Owner shall obtain and thereafter at all times during the performance of the Work maintain Builder’s Risk Insurance on a “Special Form” or “All Risk” replacement cost basis to all buildings, structures, materials and real property on Site, domestic offsite, and in domestic transit, which are intended to be, or have already been incorporated into and form part of the Project. Owner shall be responsible for obtaining extensions to the Builder’s Risk Insurance, if the Project duration is extended. The policy shall insure the interests of Owner, Owner’s Lender (if requested), Harris County Hospital District d/b/a Harris Health, Contractor, and Subcontractors (of every tier) as their interests may appear, set forth in the single policy. Such insurance shall be evidenced by the kind of policy which does not have to be adjusted or reported upon periodically, but shall provide constant insurance at full 100% of all insurable values as they are created during construction by performance of this Agreement and until ”Final Completion” as defined in the Agreement. The insurance shall apply on a replacement cost basis except for coverage for delay in completion which would be paid on an actual loss sustained basis based on the specified period of indemnity.

2. The insurance shall be written to cover all risks of physical loss, and shall insure at least against the perils of fire, lightning, explosion, theft, vandalism, terrorism and malicious mischief, collapse, false-work, temporary buildings and debris removal including demolition occasioned by enforcement of any applicable legal requirements, windstorm or hail, smoke, aircraft or vehicles, riot, civil commotion, and extended coverage, including flood and earthquake, earth movement or settlement.

3. Owner shall be the First Named Insured. Harris Health, Contractor, and all Subcontractors shall be included as insureds on this policy. The insurance shall be specific as to coverage and not considered as contributing insurance with any other permanent insurance maintained on the premises. This policy shall contain an endorsement that the policy is primary to any other insurance available to Owner with respect to claims arising under the Agreement.

Loss under the Builder's Risk insurance shall be adjusted by Owner and Contractor. The Contractor shall pay Subcontractors their just shares of insurance proceeds received by the

Contractor by appropriate agreements, written where legally required for validity, shall require Subcontractors to make payments to their sub-subcontractors in similar manner.

Waiver of subrogation in favor of Contractor and Subcontractors of every tier shall be provided as required in the Agreement. Except as provided by I(C) below, Owner shall be solely responsible for all policy deductibles, sub-limits and exclusions.

4. Owner shall provide Contractor with a copy of the Builder’s Risk policy for review within a reasonable period of time after Contractor’s request and allow mutual alignment on the terms, conditions, coverages, sub-limits and limits of the Builder’s Risk policy prior to procurement of the policy and commencement of Work.

B. CONTRACTOR’S EQUIPMENT. The Builder’s Risk coverage obtained for the Project may not cover Contractor’s or Subcontractors’ equipment, tools, apparatus, machinery, scaffolding, hoists, forms, staging, shoring and similar items commonly referred to as construction equipment, which may be on the site and the capital value of which is not included in the Work. Any insurance policy covering Contractor’s or any Subcontractor’s equipment against loss by physical damage shall include an endorsement waiving the insurer's right of subrogation against the Owner. SHOULD

CONTRACTOR OR ANY SUBCONTRACTOR CHOOSE TO SELF-INSURE THIS RISK, IT

IS EXPRESSLY AGREED THAT CONTRACTOR AND ANY SUBCONTRACTOR HEREBY

WAIVE ANY CLAIM FOR DAMAGE OR LOSS TO SAID EQUIPMENT IN FAVOR OF THE

OWNER AND ALL INDEMNITEES. CONTRACTOR WILL OBTAIN SIMILAR WAIVERS

IN FAVOR OF OWNER AND INDEMNITEES FROM ANY SUBCONTRACTOR ELECTING

TO SELF-INSURE THIS RISK.

C. DEDUCTIBLES. Deductibles under the Builder’s Risk Policy are set forth below.

Deductible Water Damage $100,000 - 250,000 per occurrence

All Other Perils $50,000 per occurrence

II. ROLLING OWNER CONTROLLED INSURANCE PROGRAM COVERAGE (

A. INSURANCE REQUIREMENTS.

1. Rolling Owner Controlled Insurance Program. Owner shall implement a Rolling Owner Controlled Insurance Program (“”) for the Project. The is more fully described in the insurance manual (the “Insurance Manual”) for the Project, which is incorporated herein by this reference as a Contract Document. Owner has designated Alliant Insurance Services, Inc. as the Administrator (“ Administrator”) for the Project. The will include Workers’ Compensation and Employer’s Liability insurance, Commercial General Liability insurance, and Excess Liability insurance, as summarily described below, in connection with the Project. The insurance provided under the Program shall be referred to herein as “ Coverages.”

2. Eligible and Enrolled Parties. Parties eligible to enroll in the ROCIP are the Contractor and Subcontractors performing a portion of the Work on the Project Site (“Eligible Parties”). Upon enrollment, an Eligible Party shall become an “Enrolled Party.” Owner’s separate contractors that furnish labor, materials and/or services on, or at, the Project Site may enroll in the ROCIP as Enrolled Parties.

Only to the extent that they bear workers compensation responsibilities, temporary labor services and leasing companies are to be included as Subcontractor(s). Eligible Contractors and

Subcontractor(s) of all tiers must complete all necessary enrollment forms in Alliant’s (WrapX) system. Acceptance into the ROCIP is evidenced by a confirmation of enrollment letter and Proof of Insurance prior to commencing work on the project.

Participation in the ROCIP is mandatory for ALL Subcontractors and their Sub-subcontractors of any tier unless excluded by SPONSOR or as outlined later in this manual. However, enrollment is not automatic. Work will not be permitted at the project site until the Subcontractor, regardless of tier, are properly enrolled in the ROCIP. To be properly enrolled in the ROCIP, an enrolled Subcontractor must complete their insurance enrollment through Alliant’s online platform (WrapX) and upload the necessary documents as described in this Project Insurance Manual for review by ROCIP Administrator.

Coverage applies only to work performed at the project site by the enrolled parties. Enrolled parties must provide their own insurance for off-site activities including but not limited to work at their permanent shops, fabrication or manufacturing of building products, materials or supplies and travel to and from the project.

3. Excluded Parties. Parties that are ineligible to enroll in the ROCIP, and who are excluded from the ROCIP (the “Excluded Parties”), are:

(i) Any Subcontractor of any tier that does not perform any actual labor or services at the Project Site; and

(j) Any other party or entity not specifically identified herein, that is excluded by Owner in its sole discretion, even if such party or entity is otherwise eligible.

All Excluded Parties and/or non-enrolled parties shall carry the insurance required in Section III herein.

4. Summary of ROCIP Coverages. The ROCIP Coverages shall apply only to those operations of each Enrolled Party performed at the Project Site in connection with the Work, and only to Enrolled Parties that are eligible for the ROCIP. ROCIP Coverages shall not apply to ineligible parties. An Enrolled Party’s operations away from the Project Site, including product manufacturing, assembling, or otherwise, shall only be covered if such off-Site operations are identified and are dedicated solely to the Project. ROCIP Coverages shall not cover off-Site operations until the Enrolled Party requesting off-Site coverage receives written acknowledgment of such coverage from the ROCIP Administrator that includes an ROCIP Certificate of Insurance. A summary of the coverages provided under the ROCIP is set out below.
