TDLINE: (b) Options. The Government will evaluate offers for award purposes by
TDLINE: adding the total price for all options to the total price for the basic
TDLINE: requirement. The Government may determine that an offer is unacceptable
TDLINE: if the option prices are significantly unbalanced. Evaluation
TDLINE: of options shall not obligate the Government to exercise the option(s).
TDLINE: (c) A written notice of award or acceptance of an offer, mailed or
TDLINE: otherwise furnished to the successful offeror within the time for
TDLINE: acceptance specified in the offer<(>,<)> shall result in a binding

TDLINE: (a) Any supplies and services to be furnished under this contract shall
TDLINE: be ordered by issuance of delivery orders or task orders by the
TDLINE: individuals or activities designated in the Schedule. Such orders may be
TDLINE: issued from date of award through the end of the base year.
TDLINE: (b) All delivery orders or task orders are subject to the terms and
TDLINE: conditions of this contract. In the event of conflict between a delivery
TDLINE: order or task order and this contract, the contract shall control.

TDLINE: limitations in paragraph (b), unless that order(or orders) is returned

TDLINE: stating the Contractor’s intent not to ship the item(or items) called
TDLINE: for and the reasons. Upon receiving this notice, the Government may
TDLINE: acquire the supplies or services from another source.

TDLINE: (a) This is a requirements contract for the supplies or services
TDLINE: specified, and effective for the period stated, in the Schedule. The
TDLINE: quantities of supplies or services specified in the Schedule are
TDLINE: estimates only and are not purchased by this contract. Except as this
TDLINE: contract may otherwise provide, if the Government’s requirements do not
TDLINE: result in orders in the quantities described as “estimated” or “maximum”
TDLINE: in the Schedule, that fact shall not constitute the basis for an
TDLINE: equitable price adjustment.
TDLINE: (b) Delivery or performance shall be made only as authorized by orders
TDLINE: issued in accordance with the Ordering clause. Subject to any
TDLINE: limitations in the Order Limitations clause or elsewhere in this
TDLINE: contract, the Contractor shall furnish to the Government all supplies or
TDLINE: services specified in the Schedule and called for by orders issued in
TDLINE: accordance with the Ordering clause. The Government may issue orders
TDLINE: requiring delivery to multiple destinations or performance at multiple
TDLINE: locations.
TDLINE: (c) Except as this contract otherwise provides, the Government shall
TDLINE: order from the Contractor all the supplies or services specified in the
TDLINE: Schedule that are required to be purchased by the Government activity or
TDLINE: activities specified in the Schedule.
TDLINE: (d) The Government is not required to purchase from the Contractor
TDLINE: requirements in excess of any limit on total orders under this contract.
TDLINE: (e) If the Government urgently requires delivery of any quantity of an
TDLINE: item before the earliest date that delivery may be specified under this
TDLINE: contract, and if the Contractor will not accept an order providing for
TDLINE: the accelerated delivery, the Government may acquire the urgently
TDLINE: required goods or services from another source.
TDLINE: (f) Any order issued during the effective period of this contract and
TDLINE: not completed within that period shall be completed by the Contractor
TDLINE: within the time specified in the order. The contract shall govern the
TDLINE: Contractor’s and Government’s rights and obligations with respect to
TDLINE: that order to the same extent as if the order were completed during the
TDLINE: contract’s effective period; provided, that the Contractor shall not be
TDLINE: required to make any deliveries under this contract after ___30 days
TDLINE: past the period of performance.

TDLINE: (c) The estimated quantities are not the total requirements of the
TDLINE: Government activity specified in the Schedule, but are estimates of
