I. Basis of Payment The basis of payment for this effort shall be the successful accomplishment of event milestones scheduled for each Space Launch Service (SLS) mission throughout the period of performance of any order issued under the contract. The milestones represent meaningful efforts or actions that are an integral and necessary part of order performance. The basis for an event should be either specifically described events or a measurable criterion of performance. Included within this Payment Plan is a description of what constitutes successful performance of each event. For purposes of establishing and calculating payment amounts, a percentage of the total contract price for all applicable firm fixed price (FFP) Contract Line Item Numbers (CLINs) pertaining to the mission (CLINs 1000 – 3000) will be assigned to each milestone. The dollar amount associated with each milestone will be calculated based on the percentages assigned to each milestone. This contract is for the procurement of a GPS III mission only; therefore, requirements with specific NRO-only references are not applicable. NRO-only references appear in grey text.
A. Milestone Success Criteria and Completion Evidence Each event milestone has associated measurable success criteria that serve to validate milestone accomplishment. All milestone success criteria must be met before the milestone payment will be authorized. When the Launch Vehicle Contractor (LVC) has successfully completed all applicable milestone success criteria, the LVC shall provide a written Request for Interim Payment (RIP) to the Procurement Contracting Officer (PCO). This RIP shall include supporting documentation to substantiate meeting the milestone success criteria as provided in the completion evidence defined herein.
To support milestone tracking and verification, launch vehicle manifest and production management (schedule alerts) shall be prepared in accordance with (IAW) the LVC’s command media, and include reference to applicable SLS CLINs. Delivery of RIP supporting documentation to the Government shall be in electronic format on the My Mission Link (MML) web-based collaborative environment, followed by prompt email notification of the directory location of the documents to the PCO and Government Mission Integration Manager (GMIM) (for Air Force missions) or Office of Space Launch (OSL) Mission Manager (OMM) and OSL Launch Service Contracting Officer’s Technical Representative (COTR) (for National Reconnaissance Office [NRO] missions).
B. Event Milestone Payments and Event Timing The RIP may not be submitted more often than once monthly, regardless of how many milestones have been completed in that month. Therefore, the RIP may include a payment request for multiple milestones. Completion of milestones and subsequent RIPs may be submitted non-successively (e.g., if milestone two is completed before milestone one, then the LVC may submit a RIP for milestone two before a RIP for milestone one). In the event the LVC completes a milestone ahead of the milestone completion date, the LVC may submit a proper invoice and the Government will consider on a case-by-case basis, the early payment of the milestone.
The PCO will determine whether or not the LVC has successfully met each of the milestone success criteria based on inputs provided by the United States Government (USG) Team (for Air Force missions) and the Mission Team (for NRO missions).
For Air Force missions, the USG Team consists of the Air Force Space and Missile Systems Center, Launch Systems Directorate (SMC/LR) and Air Force Program Executive Officer for Space (AFPEO/SP) office personnel, but also includes The Aerospace Corporation, LR’s Systems Engineering and Integration (SE&I) Contractor, LR’s Systems Engineering and Technical Assistance (SETA) support Contractors, the NRO/OSL (as applicable), the SMC Independent Readiness Review Team (IRRT), Defense Contract Management Agency (DCMA), Defense Contract Audit Agency (DCAA), 30th Space Wing (30 SW), 45th Space Wing (45 SW), and other organizations as designated by the SMC/LR PCO.
For NRO missions, in addition to the USG Team listed above for Air Force missions, the Mission Team consists of the OMM, the OSL COTR, and their support personnel (to include Government, Aerospace Corporation, and SETA personnel). At their discretion, the OMM and COTR may solicit inputs from SMC/LR to assist in their determination of the LVC’s satisfactory completion of the milestone success criteria. Written concurrence from both the OMM and COTR that the LVC has successfully met the milestone success criteria is required before the PCO will authorize payment of the milestone.
To the maximum extent possible within fifteen (15) business days after receipt of the LVC’s RIP, the PCO will provide written notification to the LVC specifying which milestones contained in the RIP are determined to be “met” (complete) and, if necessary, which are considered “not met” (incomplete). For milestones identified as incomplete, the PCO will: (1) specify in the notification the issue(s) that led to the determination based upon the milestone success criteria and completion evidence provided herein, and
(2) the corrective action(s) required to complete the milestone. The Government and LVC will ensure agreement and understanding of the corrective actions, and the LVC will make a good faith effort to quickly reconcile any incomplete milestones. When the LVC accomplishes the corrective actions, the LVC will submit an RIP addendum to the PCO for Government review. To the maximum extent possible within fifteen (15) business days after receipt of the LVC’s RIP addendum, the PCO will provide a written notification to the LVC specifying whether the Government concurs that all corrective actions have been accomplished and the milestone has been “met” (completed).
For each milestone, the Estimated Completion Date is the estimated date that the LVC will complete the payment event and submit the associated RIP for payment of each milestone under this Plan. For each milestone, the value in the percentage “%” column of Table 1 indicates the percentage of the contract value of all applicable FFP CLINs (CLINs 1000 – 3000) that will be used to calculate the dollar amount to be paid to the LVC upon successful completion of the milestone. The Government reserves the right to withhold up to fifty percent (50%) of the total payment value for any milestone(s) in the event of a Government-approved Class 1 change required for the launch service that is not implemented/completed to the Government’s satisfaction by the implementation deadlines specified in and IAW Performance Work Statement (PWS) section 3.2.4, Table 1.
C. Event Milestone Schedule Criteria for payment of each event milestones appear in Table 1. In no event shall the LVC receive payments in excess of 80% of the total contract price until after contract completion [Space Vehicle (SV) delivery on orbit IAW contract clause Federal Acquisition Regulation (FAR) 52.212-04, Addendum to Contract Terms and Conditions—Commercial Items (Sep 2013)]. Given that defects in service for the last milestone 10, Acceptance of Launch Service, are not suitable for correction by re-performance, the Contracting Officer has determined that pursuant to FAR 52.246-4(e) the appropriate relief for the Government in the event of milestone 10 defect, e.g. mission failure, is to reduce the contract price by the amount of the full milestone 10 payment, which appropriately reflects the reduced value of the services performed.

MILESTONE 5: Preliminary Coupled Loads Analysis and Preliminary Mission Integration
Design Review (MIDR-1) Completed Description:
1. Preliminary Coupled Loads Analysis (CLA). LVC has completed preliminary CLA, submitted the preliminary CLA data, and the Government has accepted the CLA data IAW CDRL A020.
2. Preliminary Mission Integration Design Review (MIDR-1): The LVC shall conduct MIDR-1.
1. LVC has completed preliminary CLA, submitted the preliminary CLA data, and the Government has accepted the CLA data IAW CDRL A020.
2. The LVC has conducted the MIDR-1 with actions and action closure plans identified and accepted by the Government.

MILESTONE 6: Flight and Ground Hardware Interface Checks Completed, Second Draft
Baseline Mission ICD and Verification Planning Matrix (VPM) Approved, and Launch Service Provider SFW NRE Work Complete
1. Flight and Ground Hardware Interface Tests. The LVC shall perform tests to verify the compatibility of the physical and electrical interfaces and clearances between the LV and SV IAW PWS sections 3.4.11 and 3.4.12 and CDRL A023. The LVC shall perform mechanical fit-checks of the adapter harness to the standard electrical interface panel for each SV. The testing shall verify that all physical interfaces meet mission ICD requirements. These tests shall be performed, with Space Vehicle Contractor (SVC)/Launch System Integration Contractor (LSIC) support, to satisfy all applicable requirements in the ICD, contract PWS, and CDRL A023.
2. Second Draft Baseline Mission ICD: LVC’s second submission of the baseline mission ICD IAW CDRL A019 has been approved by the Government.
3. Second Draft Verification Planning Matrix (VPM): LVC has submitted and the Government has approved the second draft VPM IAW CDRL A021.
4. Launch Service Provider SFW NRE Work Complete. LVC’s launch service provider SFW NRE work is complete and all action items have been closed IAW the LVC’s Government-approved baseline SFW NRE work closure plan and schedule, PWS paragraph 3.6 and CDRL A032.
1a. Flight and ground hardware interface checks have been performed IAW PWS sections 3.4.11 and
3.4.12 and CDRL A023.
1b. CDRL A023 second submission of as-run interface check procedures received and accepted by the Government.

MILESTONE 8: Launch Countdown Parameters and Operational Redline Limits Baseline, and

1. The LVC shall provide the launch countdown parameters and operational redline limits baseline
IAW PWS Section 3.2.6.
2. The LVC shall submit the following Mission Assurance Independent Assessment and Design data
IAW CDRL A020:
a. Intermediate unguided 3DOF
b. CCAM memo
c. Acoustics, shock, and vibration environments
d. Vibroacoustic modeling and analysis

1. The LVC has provided and the Government has accepted the launch countdown parameters and operational redline limits baseline IAW PWS Section 3.2.6.

MILESTONE 10: Acceptance of Launch Service
1. Final Post Flight Assessment Report completed and delivered IAW CDRL A016.
2. The Launch Service Order has been accepted by the Government IAW contract clause FAR
52.212-04 and contract Attachment 4, Launch Service Acceptance Criteria (LSAC).
Success Criteria:
1. Final Post Flight Assessment Report has been completed, delivered to, and accepted by the Government IAW CDRL A016.
2. The mission has not been deemed a “Mission Failure” IAW contract clause FAR 52.212-04 and Attachment 4, LSAC.
3. The Launch Service Order has been accepted by the PCO IAW contract clause FAR 52.212-04 and contract Attachment 4, LSAC.
1. CDRL A016 final submission acceptance sheet signed by the PCO, appropriate COR or appropriate
COTR.
2. No written determination by the Director, Space and Missile Systems Center, Launch Systems Directorate (SMC/LR) deeming the Launch Service Order a “Mission Failure” IAW contract clause FAR 52.212-04 and Attachment 4, LSAC.
3. PCO’s written notification to the LVC that the mission launched has been accepted by the Government IAW contract clause FAR 52.212-04 and contract Attachment 4, LSAC.
