IMPORTANT NOTES:
Blanket Purchase Agreement (BPA): Contractors shall provide a bid for some or all services listed in the enclosed Schedule of items (SOI 01 TASK PUMPING, , SOI 02 BASIC INSPECTIONS SO3 CLEANING). This award shall be made under the policies and procedures prescribed in Federal Acquisition Regulation (FAR) Part 12, Acquisition of Commercial Items, in conjunction with FAR Part 13, Simplified Acquisition Procedures.
Contractors shall list pricing for every item they wish to perform and in which Zones, during BPA performance period listed in the schedule of items. If vendor only has capability to perform some of the tasks, and not all tasks they shall only enter prices in tasks that they are capable of performing and leave all other tasks blank. This requirement is a total small business set-aside.
Call Orders: Will be awarded if funding is provided by Congress, each fiscal year, over the life of the contract.
Individual Call Orders will be issued for various project areas. Performance specifications may vary by call order. Call Orders will be placed in accordance with the ordering guide, to be provided at award for the Government and contractor procedures.
Once a Task Order is accepted and obligated: Awarded Contractor is required to complete the work of the Call Order or be subject to default as defined in FAR 52.249-8 Default (Fixed-Price Supply and Service) APR 1984.
WAGE DETERMINATION CLARIFICATION WAGE DETERMINATION CLARIFICATION – Each Call Order awarded off of this BPA will include a Wage Determination applicable to that Call Order and locality. The current Wage Rates can also be found at www.sam.gov.
TYPE OF CONTRACT: The Forest Service has a need for wastewater services to the Southwestern Region of the US Forest Service and intends to award a Firm-Fixed price, multi-award, Blanket Purchase Agreement (BPA) type contract for an ordering period of five years. Call orders will be awarded on an as needed basis as a commercial purchase, paid VIA Government Purchase Card or IPP. Interested Contractors shall have the ability to accept both forms of payment.
CONTRACT AND ORDER LIMITATIONS: Delivery shall be made only as authorized on orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies specified in the Schedule of Items over the life of the contract. There is no minimum amount guaranteed. The obligation of funds and specific quantities will be ordered through individual call orders and the Government Purchase Card Program.
PRICING AND CONTRACT LENGTH: Contractor shall provide a complete pricing list for the services listed in the schedule of items, refer to attachments (SOI 01 TASK PUMPING, SOI 02 BASIC INSPECTIONS SOI 03 CLEANING). Itemized pricing shall be provided for the base period and four option years.

QUALITY ASSURANCE
A Quality Assurance Surveillance Plan is provided as an attachment.
This Quality Assurance Surveillance Plan (QASP) is pursuant to the requirements listed in the statement of work of this contract. This plan sets forth the procedures and guidelines that the USDA, USFS Southwestern Region will use in ensuring the required performance standards or services levels are achieved by the contractor.
Purpose The purpose of the QASP is to describe the systematic methods used to measure performance and to identify the reports required and the resources to be employed. The QASP provides a means for evaluating whether the contractor is meeting the performance standards identified in the Statement of Work. This QASP is designed to define roles and responsibilities, identify the performance objectives, define the methodologies used to monitor and evaluate the contractor’s performance, describe quality assurance reporting, and describe the analysis of quality assurance monitoring results.

In the event the contractor encounters difficulty in meeting performance requirements, or when the contractor anticipates difficulty in complying with contract delivery schedules, or whenever the contractor has knowledge that any actual or potential situation is delaying or threatens to delay the timely performance of this contract, the contractor shall immediately notify the CO in writing, giving pertinent details;
provided, however, that this data shall be informational only and that provision shall not be construed as a waiver by the Government of any delivery schedule or date, or any rights or remedies provided by law or under this contract.

INVOICING REQUIREMENTS
(a) The contractor shall submit an original itemized invoice directly to the Invoice Processing Platform
(IPP).
To constitute a proper invoice, each invoice shall be annotated with the following information:
(1) Name of vendor;
(2) Invoice date;
(3) Government contract/deliver order number, or authorization for delivery of goods or services;
(4) Vendor invoice number, account number, and/or any other identifying number agreed to by the contract;
(5) Description (including contract line/subline), price, and quantity of goods and services rendered;
(6) Taxpayer Identification Number (TIN);
(7) Banking information necessary to facilitate an electronic funds transfer (EFT) payment;
(8) Contact name (where practicable), title and telephone number;
Effective January 1, 2021, all commercial invoices shall be submitted via the following new process: The invoice shall be uploaded into the Invoice Processing Platform (IPP). It is imperative that the invoice contains current and accurate contract information (as requested above), otherwise risks being rejected.
PAYMENT
Payment shall be made by through IPP in accordance with the Prompt Payment Act upon Delivery Location POC certification of receipt of supplies. Unless services provided fall under the micro purchase threshold ($2,500.00)
SMALL BUSINESS ACCELERATED PAYMENT
The contractor must indicate its business size on each invoice to assist the payment office in determining eligibility for accelerated payment in accordance with OMB Memo M-11-32, ‘ACCELERATING PAYMENTS TO SMALL BUSINESSES FOR GOODS AND SERVICES’, dated 10/14/2011. The Prompt Payment Act still applies to this action; however, the agency will make best efforts to pay proper invoices within 15 days.
WITHHOLDING OF CONTRACT PAYMENTS
Notwithstanding any other payment provision of this contract, failure of the Contractor to submit required reports when due or failure to perform or deliver required work, supplies, or services will result in the withholding of payments under this contract unless such failure arises out of causes beyond the control, and without the fault or negligence of the Contractor as defined by the terms and conditions of the contract. The Government shall promptly notify the contractor of its intention to withhold payment of any invoice or voucher submitted.

DISCLOSURE OF DATA UNDER THE FREEDOM OF INFORMATION ACT (FOIA)
If a request for information contained in a proposal is requested under the FOIA, the Government shall have the right to disclose any information or data contained in a proposal that results in a contract to the extent provided under the FOIA, notwithstanding any restrictive legends that may have been placed upon it in accordance with other contract provisions. The Government will, before disclosure, make an administrative determination on a case basis as to whether the information requested is exempt from disclosure by one of the established exceptions to the ACT. In making this determination the procedures outlined in 28 CFR, paragraph 16.7 shall be followed which, in part, affords the submitter of a proposal an opportunity to object to disclosure.

Performance under this contract will require access to Forest Service locations.
SYSTEM FOR AWARD MANAGEMENT
The contractor shall be registered in System for Award Management (SAM)- All vendors must be registered in SAM, effective July 29, 2012 to receive Government contracts. SAM is located at beta.SAM.gov. If any current FOREST SERVICE vendor data conflicts with SAM Data, the information contained in SAM may override our current information. Please ensure that your company’s SAM information is updated and accurate. This includes: TIN, EFT, UEIs, addresses and contact information. The EFT banking information on file in SAM will be what the FOREST SERVICE uses to process payment to your organization.
