About this file
This document is a Questions and Answers (Q&A) clarification record for RFQ 1231ME26Q0001, addressing industry inquiries regarding contractor eligibility and organizational structure requirements for a legal services contract involving foreclosure management and technical support across North Carolina, South Carolina, and Arkansas.
The government clarified two critical eligibility requirements through responses to industry questions. First, the prime offeror must be a licensed law firm in good standing in all three jurisdictions (North Carolina, South Carolina, and Arkansas), regardless of the NAICS code cited (531390) or the inclusion of technical support services in the solicitation scope. Second, while the prime offeror may structure itself as a joint venture or similar contractor team arrangement to meet multi-state licensing requirements, the prime entity itself must hold active bar licenses in all three states. The Performance Work Statement's requirement that the contractor act as "sole entity responsible for all services" does not preclude the use of subcontracts or teaming agreements, provided all attorneys are identified in a staffing matrix by name, bar number, and state. These answers establish that foreclosure management companies or non-law firms cannot serve as prime contractors, and single-state law firms cannot prime the contract unless structured as a joint venture with licensed partners in the other required jurisdictions.

1 face page of the solicitation — the SF 1449, which is the very first page of 1231ME26Q0001.pdf. Page 1
The solicitation references NAICS 531390 (Other Activities Related to Real Estate) rather than NAICS 541110 (Offices of Lawyers). The solicitation title also includes "Related Technical Support." Will the Government consider an offeror who is not itself a law firm but who proposes to prime this contract as a foreclosure management and technical support entity, with licensed attorneys in NC, SC, and AR identified as key subcontractors responsible for all legal services?
Alternatively, is the intent that the prime offeror itself must be a licensed law firm, and if so, does a teaming arrangement qualify if the law firm is the prime and the management company is the subcontractor?
1. No, per RFQ Attachment 1 p. 7 "The offeror must demonstrate that they are a licensed law firm in good standing in North Carolina, South Carolina, and Arkansas jurisdictions."
2. The prime offeror must be a licensed law firm in good standing in North Carolina, South Carolina, and Arkansas jurisdictions.
2 Attachment 2 — the Performance Work Statement (PWS), specifically Section A.3, Scope Third paragraph Page 1
The PWS states the contractor "shall act as the sole entity responsible for all services." Will the Government permit a prime contractor to utilize teaming agreements or subcontracts to fulfill the licensed attorney requirement across all three states (AR, NC, SC), provided all attorneys are identified by name, bar number, and state in a staffing matrix? Or must a single law firm entity hold active bar licenses in all three states?
1. The prime offeror may be a joint venture or similar contractor team arragement.
2. The prime offeror must be a licensed law firm in good standing in North Carolina, South Carolina, and Arkansas jurisdictions.
