1. Insurance Requirements
1.1 Contractor and subcontractors shall procure and maintain until all of their obligations have been discharged, including any warranty periods under this Contract are satisfied, insurance against claims for injury to persons or damage to property which may arise from or in connection with the performance of the work hereunder by the Contractor, his agents, representatives, employees, or subcontractors.
1.2 The insurance requirements herein are minimum requirements for this Contract and in no way limit the indemnity covenants contained in this Contract. The Library in no way warrants that the minimum limits contained herein are sufficient to protect the Contractor from liabilities that might arise out of the performance of the work under this contract by the Contractor, his agents, representatives, employees, or subcontractors, and Contractor is free to purchase additional insurance as may be determined necessary.
2. Minimum Scope and Limits of Insurance
2.1 Contractor shall provide coverage with limits of liability not less than those stated below.
2.2 Commercial General Liability (CGL) insurance shall be required with the Library named as an additional insured. The minimum amount shall be $1,000,000 per occurrence, with a general aggregate of $2,000,000 and $2,000,000 products and completed operations aggregate. These limits can be covered either under a CGL insurance policy alone, or a combination of a CGL insurance policy and an excess insurance policy. The policy shall protect the Library, Contractor, and any subcontractor from claims for damages for personal injury, including accidental death, and from claims for property damage that may arise from Contractor’s operations under this Agreement, whether performed by Contractor itself, any subcontractor, or anyone directly or indirectly employed by either of them. Such insurance shall provide coverage for premises operations, acts of independent Contractors, and completed operations. The minimum limits and coverage of liability insurance shall not limit Contractor’s indemnification obligations hereunder.
The certificate and policy shall provide that coverage thereunder shall not be canceled or modified without at least thirty (30) days prior written notice to the Library. Such policy shall name the Library as an additional insured.
2.3 Worker’s Compensation and employer’s liability insurance shall be provided in an amount sufficient under Utah law to cover all of Contractor’s employees employed on the Project. In the event Contractor subcontracts any work on the Project, Contractor shall require its subcontractor(s) to provide worker’s compensation insurance for all of the latter’s employees, unless a waiver of coverage is allowed and acquired pursuant to Utah law. The certificate and policy shall provide that coverage thereunder shall not be canceled or reduced without at least thirty (30) days prior written notice to the Library.
2.4 If vehicles are used in the performance of the Services, Commercial automobile liability insurance that provides coverage for owned, hired, and non-owned automobiles shall be required in the minimum amount of $1,000,000 per occurrence. Alternatively, Contractor may obtain liability insurance that provides coverage for scheduled automobiles in the minimum amount of $1,000,000 per occurrence, with the understanding that only those scheduled automobiles shall be used when performing Contractor’s obligations under this agreement. The insurance certificate and policy shall provide that coverage thereunder shall not be canceled or modified without at least thirty (30) days written notice to the Library. Such policy shall name the Library as an additional insured. Policy must contain a waiver of subrogation endorsement in favor of the Library and its officers, officials, agents, and employees for losses arising from work performed by or on behalf of the contractor.
2.5 Professional liability insurance in the minimum amount of $1,000,000 per claim made with a $1,000,000 annual aggregate limit shall be required. Such policy will list the Library as an Additional Insured and provide a Waiver of Subrogation in favor of the Library.
2.6 Cyber Risk Insurance, subject to a limit of at least $1,000,000 per claim, shall be maintained for the duration of this Agreement and three years following its termination, to respond to privacy and network security liability claims including, but not limited to:
2.6.1 Liability arising from theft, dissemination, and/or use of Salt Lake Public Library confidential information, including, but not limited to, bank, credit card account, and personally identifiable information such as name, address, and social security numbers, regardless of how the information is stored or transmitted.
2.6.2 Network security liability arising from unauthorized access to, use of, or tampering with computer systems, including hacker attacks, or the inability of an authorized third party to gain access to supplier systems and/or Salt Lake City Public Library data, including denial of service, unless caused by a mechanical or electrical failure.
2.6.3 Liability arising from the introduction of a computer virus into, or otherwise causing damage to, a customer's or third person’s computer, computer system, network, or similar computer-related property and the data, software, and programs thereon.
2.6.4 Crisis-management expenses, including notification, public relations, reputation damage, and forensics, shall be covered for a data breach.
2.6.5 Cyber Risk Insurance lists the Library as an Additional Insured and provides a Waiver of Subrogation in favor of the Library.
2.7 If any insurance coverage required herein is written on a “claims-made” form rather than on an “occurrence” form, the policy shall provide full prior acts coverage or have a retroactive date effective before the date of this Agreement and be maintained for a period of three (3) years following the end of the term of this Agreement or contain a comparable “extended discovery” clause for “tail coverage.”
2.8 All policies of insurance provided shall be issued by insurance companies licensed to do business in the State of Utah and either rated with an A- or better rating in the most current edition of Best’s Key Rating Guide Property-Casualty United States, or listed in the United States Treasury Department’s current Listing of Approved Sureties (Department Circular 570, as amended).
2.9 Offeror shall furnish certificates of insurance, acceptable to the Library, verifying the foregoing concurrent with the execution of this contract, at each renewal, and thereafter as required.
2.10 In the event that governmental immunity limits are subsequently altered by legislation or judicial opinion, the Contractor shall be required to provide a new certificate of insurance within thirty (30) days of being notified thereof in writing by the Library, certifying coverage in compliance with the modified limits or, if no new limits are specified, in such an amount as may be acceptable to the Salt Lake City Attorney.
3. Notice of Cancellation
3.1 Each insurance policy required by the insurance provisions of this Contract shall provide the required coverage and shall not be suspended, voided, canceled, reduced in coverage, or endorsed to lower limits except after thirty (30) days prior written notice has been given to the Library.

All services and deliverables shall be provided within the timeframe set forth in the approved project schedule.
4.2 The Contract shall become effective upon execution of the agreement(s) governing this project, provided it has been approved by the Library’s Chief Executive Officer (CEO) or Board of Directors, as applicable. The Contract shall remain in effect unless terminated, canceled, or extended as otherwise provided herein.
4.3 In the event that the Library exercises such rights, all terms, conditions, and provisions of the original contract shall remain the same and apply during the renewal period with the possible exception of rate adjustments and minor scope additions and/or deletions which may be agreed upon.
5. Rate Adjustments
5.1 Any request for rate adjustments must be fully documented and submitted in writing during the term of the contract.
5.2 The Library will only consider rate adjustments if unforeseen conditions arise that materially impact the cost of performance, and only upon mutual agreement by both parties.
5.3 The Contractor shall provide clear justification for any proposed adjustment, including supporting documentation tied to verifiable industry standards or market conditions.
5.4 Any approved adjustment must be documented through a written amendment signed by authorized representatives of both parties. No rate adjustment shall take effect without prior written approval from the Library’s Chief Executive Officer.
