33. CHANGES IN THE WORK: Changes in the Work shall be advanced in accordance with the terms and conditions as described in A201-2017, Article 7, “Changes in the Work”, and as supplemented by the terms and conditions described herein for advancing Change Orders.

a. Without invalidating this Contract, the Owner may at any time order additions, deletions, deductions or revisions in the Work. These shall be authorized by a change order, and the Contract price and time may only be changed by a change order. A change order shall be issued to the Contractor only after approval by the Owner of the Contractor’s proposal or request submitted pursuant to Paragraph 33.b or 33.c. Upon receipt of a change order, the Contractor shall promptly proceed with the Work involved which shall be performed under the applicable conditions of the Contract Documents.

b. Owner may initiate the change order procedure by issuing a request for proposal to the Contractor, accompanied by drawings and specifications. The Contractor shall, within the time period stated in the request for proposal, submit to the Owner and Engineer for evaluation detailed information concerning the cost and time adjustments, if any, as may be necessary to perform the proposed change order work.

c. The requested cost and time adjustment, with supporting data, shall be delivered within thirty (30) days after the end of such occurrence and shall be accompanied by a written statement that the amount requested includes all known amounts, direct, indirect and consequential, incurred as a result of the occurrence of the event. If the Contractor fails to comply with all provisions of this Paragraph, the

Contractor shall have waived any and all rights it may have against the Owner.

d. The Owner and Engineer shall review the Contractor’s detailed information regarding proposed or requested changes to the contract price or time, and will initiate discussions with the Contractor to determine a price and time adjustment that is acceptable to the Owner. Additional information may be requested by the Owner and Engineer from the Contractor during this review.

e. If the Contractor and Owner are unable to arrive at an agreement as to the change in the Contract price or time, the terms and conditions of A201-2017, Paragraph 7.3, “Construction Change Directives”, shall apply.

f. The Contractor shall not be entitled to an increase in the Contract price or an extension of the Contract time with respect to any work performed that is not required by the Contract Documents as amended, modified and supplemented, except as specifically provided herein.

If notice of any change affecting the extent or character of the Work or the provisions of the Contract

Documents including, but not limited to, Contract price or Contract time is required by any surety providing a bond on behalf of the Contractor, the giving of any such notice shall be the Contractor’s responsibility and the amount of each applicable bond shall be adjusted accordingly.

g. Change of the Contract Price. The value of the Work included in a Change Order will be paid in the following manner:

(1) Application of unit prices stated in the Contract or subsequently agreed upon; or

(2) Documented increase in equipment, materials and supplies; or

(3) A lump-sum price agreed to by both the Owner and the Contractor. The term “Lump Sum Price” means the sum of all costs which will be necessarily incurred and paid by the Contractor in the proper performance of the Change Order Work. The Lump Sum Price shall include such items as:

• Anticipated payroll costs for employees in the direct employ of the Contractor in the performance of the Change Order Work.

• Cost of all materials and equipment to be furnished and incorporated in the Work, including costs of transportation and storage thereof, and suppliers’ field services required in connection therewith.

• Payments to be made by the Contractor to the subcontractors for the Change Order Work to be performed. The Contractor’s fee shall not exceed five (5) percent of the Subcontractor’s total lump sum proposal.

• Costs for special consultants or services and rental costs for construction equipment and machinery needed to advance the Change Order Work.

• Other costs related to advancing the Change Order Work as documented by the Contractor.

h. Change of the Contract Time. The Contract time shall only be adjusted if an event occurs that changes the duration of the critical path, and that event is beyond the Contractor’s control. Such events shall include, but not be limited to, acts by the Owner, documented disruptions in supply chain schedules or to fires, floods, labor disputes, epidemics, abnormal weather conditions, or acts of God.

All proposed or requested changes in the Contract time shall include an analysis showing the actual effect of the event on the Construction Schedule and the critical path. The time extension granted due to causes beyond the control of the Owner and Contractor shall be equal to the time lost due to such cause.
