About this file

This is a Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman in conjunction with a notice of intent to award a contract for Internet Archive services without engaging in a standard procurement process. The form is designed for claimants to protect trade secrets and commercial financial information from public disclosure under the Government Records Access and Management Act (GRAMA), specifically under Utah Code 63G-2-305 and 63G-2-309. Claimants must submit both redacted and non-redacted versions of their proposals, with the form requiring identification of specific pages, paragraphs, and reasons for each confidentiality claim. The Division of Purchasing will not perform redactions on behalf of claimants who fail to provide a redacted copy.

The confidentiality claim process requires claimants to provide detailed information including company name, address, contact representative details, and a concise statement explaining why specific portions of their proposal warrant protection from public records requests. Claimants must identify the governmental entity receiving the submission, the reason for submission, and clearly delineate which sections of their proposal contain trade secrets or commercial financial information that could result in unfair competitive injury if disclosed. It is important to note that submitting a confidentiality claim does not guarantee that information will be protected; the governmental entity retains discretion in determining whether protected classification should be granted in response to GRAMA records requests.

Business Request for GRAMA Business Confidentiality Claim

Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
