About this file

This is a Business Confidentiality Claim Form issued by the Utah State Archives Office of the Government Records Ombudsman for use in conjunction with a state and local contract opportunity for an Officer Wellness Program being conducted by the State of Utah Division of Purchasing and the Office of the Utah Attorney General. The form is designed to allow vendors submitting qualifications to claim protection for trade secrets and commercial financial information under Utah Code 63G-2-305 and 63G-2-309. Vendors seeking confidentiality protection must submit both redacted and non-redacted versions of their proposals, with the redacted version identifying specific pages and paragraphs containing sensitive information along with the reasons for protection claims. The Division of Purchasing will not perform redaction services on behalf of vendors who fail to provide properly redacted copies. The contract opportunity is for a five-year Officer Wellness Program professional services engagement under Utah Procurement Code 63G-6a Part 15, with selection based on statements of qualifications ranked by the state, followed by contract negotiations with the highest-ranked vendor at fair and reasonable compensation to be determined during negotiations.

No pricing information should be included in vendor qualifications submissions. The form emphasizes that while vendors may submit confidentiality claims, such claims do not guarantee protected classification if the government receives subsequent records requests under the Government Records Access and Management Act (GRAMA). Claimants must provide complete company information, the name of a company representative, contact details, and a concise written statement explaining the reasons for confidentiality protection for each claimed element. If agreement on fair and reasonable compensation, contract requirements, or contract documents cannot be reached with the highest-ranked vendor, the state retains the right to proceed with negotiations with the next highest-ranked vendor.

Business Request for GRAMA Business Confidentiality Claim

Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
