About this file

This is a Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman in conjunction with a state and local contract opportunity for America250 Utah Communications Services managed by the State of Utah Division of Purchasing and the Department of Cultural and Community Engagement. The form serves as a template for vendors submitting qualifications to claim trade secrets or commercial financial information as confidential under Utah Code 63G-2-305 and 63G-2-309. The procurement seeks Design Professional Service Providers and Consultants for professional communications services under an 8-month contract term. Vendors are instructed that confidentiality claims do not guarantee protected classification if the government receives records requests, and that both redacted and non-redacted versions of proposals must be submitted, with claimants responsible for providing the redacted copy or risk having their proposal unredacted by default.

The form requires claimants to provide detailed company information, identify specific pages and paragraphs subject to confidentiality claims, and submit a concise statement of reasons supporting protection requests. Vendors are explicitly prohibited from including pricing information in their qualifications submissions, as the contract will be awarded based on ranked qualifications with compensation negotiated separately with the highest-ranked vendor. If fair and reasonable compensation cannot be agreed upon with the top-ranked vendor, the state reserves the right to negotiate with the next highest-ranked vendor. The form emphasizes compliance with Utah's Government Records Access and Management Act (GRAMA) requirements and provides references to applicable state code sections governing trade secret and commercial financial information protection.

Business Request for GRAMA Business Confidentiality Claim

Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
