d. No oral explanations in regard to the meaning of the Bidding Documents will be made and no oral instructions will be given before the award of the Contract except as described in the sub-paragraph entitled "Pre-bid Conference" herewith.

C. Basis for Bidding -Trade Names:

a. When reference is made in the Contract Documents to trade names, brand names, or to the names of manufacturers, such references are made solely to indicate that products of the description may be furnished and are not intended to restrict competitive bidding. If it is desired to use products of trade or brand names or of manufacturer’s names which are different from those mentioned in the Contract Documents, application for the approval of the use of such products must be in receipt of the Architect within ten (10) days prior to the bid date. The latter provision is a restriction which applies only to the party making a submittal. Therefore, the aforesaid restriction does not inhibit the Architect from adding or deleting trade names, brand names or names of manufacturers by addendum. The burden of proving acceptability of a proposed product for use in place of a product or products designated by trade name or names, brand name or names, or by the name or names of manufacturers in the Contract Documents rests on the party submitting the request of approval. The written application for approval of proposed product must be accompanied by technical data, which the party requesting approval desires to submit in support of his application. The Architect will give consideration to reports from reputable independent testing laboratories, verified experience records showing the reputation of the proposed product with previous users, evidence of reputation of the manufacturer for prompt delivery, evidence of reputation of the manufacturer for efficiency in servicing its products, or any other written information that is helpful in the circumstances. The application to the Architect for approval of a proposed product must be accompanied by a schedule setting forth in which respects the materials or equipment submitted for consideration differ from the materials or equipment designated in the Contract Documents. The degree of proof required for approval of a proposed product as acceptable for use in place of a named product or named products is that amount of proof necessary to convince a reasonable person beyond all doubt to be approved, a proposed product must also meet or exceed all express requirements of the Contract Documents. If the submittal is approved by the Architect, an addendum will be issued by the Architect to all prospective bidders. Issuance of an addendum is a representation to all bidders that the Architect in the exercise of his professional discretion established that the product submitted for approval is acceptable and meets or exceeds all express requirements. In order for the Architect to prepare an addendum intelligently, an application for approval of a product must be accompanied by a copy of the published recommendations of the manufacturer for the installation of the product together with a complete schedule of changes in the drawings and specifications, if any, which must be made in other work in order to permit the use and installation of the proposed product in accordance with the recommendations of the manufacturer of a product. (The Contract requires the Contractor to do all cutting and fitting that might be required to make the several parts of his work come together properly and fit.) Unless requests for approvals or other products have been received and approvals have been published by addendum in accordance with the above procedure, the successful bidder may furnish no products of any trade names, brand names, or manufacturers; names except those designated in the Contract Documents with the exception of any changes or substitution that may be affected via Change Order in accordance with the Contract. Any party who alleges that rejection of a submittal is the result of bias, prejudice, caprice, or error on the part of the Architect may request a conference with a representative or the Owner, provided that the request for said conference, submitted in writing, shall have reached the Owner at least five (5) days prior to the date set for the opening of bids, time being of the essence.

D. Addenda:

a. The Architect and Construction Manager are responsible for addenda to be mailed or delivered to all who are known by the Architect and Construction Manager to have received a Bid Package or a complete set of Bidding Documents. The Architect and Construction Manager will not be responsible for the issuance or receipt of addenda forwarded to bidder by mail carrier.

b. Copies of addenda will be made available for inspection wherever Bidding Documents are on file for that purpose

C. Acceptance of the Bid:

a. It is the intent of the Construction Manager to Award a Contract to the lowest responsible bidder provided the bid has been submitted in accordance with the requirements of the Bidding Documents and does not exceed the funds available. The Owner and Construction Manager shall have the right to waive any informality or irregularity in any bid or bids received, accept bids in any order or combination, accept or reject portions of bids, make modifications to the work after bidding and to accept the bid or bids which, in their judgment, are in their own best interests.

1.07 AWARD:

A. In the event the Contract is awarded to this bidder, the bidder shall enter into a formal written Agreement with the

Construction Manager in accordance with the accepted bid within ten (10) calendar days after said Contract is submitted to them and will furnish to the Construction Manager a Contract Performance and Payment Bond with good and sufficient sureties, satisfactory to the Construction Manager in the amount of 100% of the accepted bid.

The bidder further agrees that in the event of the bidders default or breach of any of the Agreements of this proposal, the said Bid Security shall be forfeited. And further, the Construction Manager then may either award the Contract to another responsible bidder, or re-advertise for bids, and may charge against the defaulting bidder the difference between the amount of the bid and the amount for which a Contract for the work is subsequently executed, irrespective of whether the amount due exceeds the amount of the Bid Bonds. If a more favorable bid is received by advertising, the defaulting bidder shall have no claim against the Construction Manager.

B. Unless waived by the Construction Manager, the successful bidder for each phase of the Project shall, within ten

(10) days of notification of selection, submit the following information to the Construction Manager:

A. Acknowledgement shall be made for receipt of the addenda issued during the bidding period on the Form Proposal.

1.09 TIME OF COMPLETION:

A. The time of completion of the Project is of great importance to the Owner. It is highly desirable that the Project be substantially completed and ready for occupancy at the earliest possible time. Work shall commence when the Trade Contractor is given written Notice to Proceed and is to be Substantially Complete within the time established in each Bid Package from Notice to Proceed. The work shall reach Final Completion within thirty (30) calendar days after the date of Substantial completion. See Tentative Construction Schedule for milestone dates for each Bid Package.

B. Time of completion will be written into the basic Contract, unless different times of completion are mutually agreed upon in writing by the Trade Contractor and The Construction Manager prior to the execution of the Contract.

C. The Trade Contractor shall furnish sufficient forces, construction plant and equipment, and to work such hours, including overtime operations, as may be necessary to insure the prosecution of the work, to allow the Substantial Completion and Final Completion of the Project within the specified times. Normal inclement weather will not be sufficient reason to allow an extension of time on the Project, only exceptional weather conditions or acts of God which might cause delay in the work, or other factors outlined in the Contract agreement between Construction Manager and Trade Contractor, will be considered as justifiable reasons for an extension of time.

D. Failure on the part of the Trade Contractor to comply with the conditions of the basic Contract concerning the time in which the Project is to be completed will be considered by the Construction Manager as a justifiable reason to invoke the conditions of the Contract relating to termination; or, at its sole option, to avail itself of the rights per the contract concerning Liquidated Damages.

E. Bidders are informed that the following paragraphs concerning Liquidated Damages will be inserted in the basic Contract.

a. Trade Contractor and Construction Manager agree that time is of the essence and that Construction Manager will suffer financial loss if the Work is not substantially completed within the Contract Time, as said Contract Time may be adjusted as provided for herein. In such event, the total amount of the Construction Manager’s damages, will be difficult, if not impossible, to definitely ascertain and quantify.
