Avenue in McKees Rocks. Also included is pest control, erosion control, asbestos disposal, utility termination, and site restoration.

2.0 PREPARATION OF BIDS

Each Bid must be submitted electronically via PennBid at https://pennbid.bonfirehub.com on the

Form of Proposal provided by PennBid. All blank spaces for Bid prices must be filled in and must be fully completed and executed when submitted.

3.0 BIDDER'S RESPONSIBILITY

Each Bidder shall familiarize themself with all the attached forms: Instructions to Bidders, Technical Provisions, Contract Agreement, Specifications, etc., before submitting their Proposal and shall satisfy themself by personal examination or otherwise, as to actual conditions affecting the work. No allowance will be made for any claim that the Bid was based on incomplete information as to the type of work or materials to be furnished or as to the working conditions.

The successful Bidder may be required to submit experience and financial questionnaires for review by the Owner and the Engineer. Failure to submit satisfactory questionnaires will be sufficient grounds for the Owner to ignore the Proposal.

4.0 SPECIFICATIONS

The Specifications, which form the basis of any Bid, will be considered a part thereof and will form a part of the Contract.

Copies of the Specifications and other Contract Documents can be obtained at no cost on PennBid at https://pennbid.bonfirehub.com.

5.0 GUARANTY

The Proposal shall be accompanied by a Certified Check or Bid Bond in an amount of not less than ten percent (10%) of the Bid made payable to Char-West Council of Governments. This Certified

Check or Bid Bond shall be forfeited as liquidated damages, if the Contractor fails to enter into a Contract on the form provided and furnish bonds and insurance as required within seven (7) days after written notification of the award of the Contract to them.

The successful Bidder shall furnish satisfactory Performance and Payment Bonds each in the amount of one hundred percent (100%) of the Contract Price and Two (2) Year Maintenance Bond in the amount of one hundred percent (100%) of the Contract Price.

B-2

6.0 ESTIMATED QUANTITIES

The Bidder’s attention is called to the fact that the estimate of quantities of work to be done under the Specifications may be shown on the Bid Form, and if shown is approximate and is given only as a basis of calculation upon which the bids will be compared. The Owner does not assume any responsibility that the quantities set forth shall be realized strictly in the work, nor shall the Contractor plead misunderstanding or deception because of such estimate of quantities or of the character of the work, location, or other conditions pertaining thereto. The Owner reserves the right to increase or decrease any or all of the above-mentioned quantities of work or to omit any of them, as it may deem necessary, and such increase or decrease of the quantities given for any of the items shall not be considered as sufficient grounds for granting an increase in the unit prices bid. The Contractor will be paid at the unit prices bid for actual work performed under the Contract.

The Bidder is required to prepare their own estimate of quantities from the Construction Drawings and actual site investigation for “Lump Sum” Items or Contract.

7.0 RIGHT TO REJECT AND AWARD BIDS

The right is reserved by the Owner to accept or reject any or all bids or parts of bids and to waive technical defects, if, in the judgement of the Owner, the best interests of the Owner shall require such action, as deemed necessary by the Owner in its sole discretion.

More than one (1) bid for a project from an individual, partnership, corporation, joint venture, or other legal entity under the same or different names will invalidate all bids from such Bidders.

A joint venture bid will be acceptable.

Bids in which the bid prices are obviously unbalanced may be rejected. This includes lump sum items such as Mobilization and Demobilization, as well as unit price items.

The award of the Contract, if made, will be made to the lowest responsible Bidder, who qualifies by filing all insurance certificates, experience, and financial questionnaires.

The Contract shall be deemed to have been awarded, when formal notice of award shall have been duly served upon the intended awardee by an agent of the Owner duly authorized to give such notice.

No Proposal will be considered from any Bidder unless they are known to be skilled in work of a similar nature to that covered by the Contract and has sufficient working capital to meet all obligations to be incurred in carrying out the work. The low Bidder may be required to submit an Experience and

Financial Questionnaire giving information as to working capital available, plant, equipment, and their experience and general qualifications. The Owner may make further investigations of any Bidder, and the

Bidder shall furnish to the Owner all such additional information and data for this purpose as the Owner may request. The Owner reserves the right to reject any Bid, if the data submitted or uncovered by investigation fails to satisfy the Owner that such Bidder is properly qualified to carry out the obligations of the Contract and to complete the work contemplated therein.

8.0 WITHDRAWAL OF BIDS

Any Bidder may withdraw, alter, or otherwise modify their Bid within PennBid prior to the scheduled bid due date and time. No Bid may be withdrawn for a period of sixty (60) days after the time of opening of Bids.

B-3

9.0 CHANGES WHILE BIDDING

During the bidding period, Bidders may be furnished addenda for additions to, deletions from, or alterations of the Contract Documents, which shall be included in the work covered by the Proposal and shall become a part of the Contract Documents. Bidders who have registered with PennBid and have downloaded documents for this project from PennBid will be notified by email when a change or addenda has been posted.

10.0 LIQUIDATED DAMAGES

All time limits stated are of the essence of the Contract. Liquidated damages will be assessed under this Contract in the amount of five hundred dollars ($500.00) per day for each calendar day that any work shall remain incomplete after the time specified for completion. The above amount will be deducted by the Owner from monies due the Contractor, not as a penalty but as liquidated damages by reason of extra expense sustained by the Owner. Items of expense include, but are not limited to, Engineering, supervision/inspection, and overhead.

11.0 SUBCONTRACTS

The Bidder is specifically advised that any person, firm, or other party to whom it is proposed to award a Subcontract under this Contract must be acceptable to the Owner.

12.0 MODIFICATIONS

Any Bidder may withdraw, alter, or otherwise modify their Bid within PennBid at any time prior to the scheduled due date and time for receipt of Bids.

13.0 ADDENDA AND INTERPRETATIONS

No interpretation of the meaning of the Plans, Specifications or other prebid documents will be made to any Bidder orally.

Every request for such interpretation should be electronically submitted in writing via the “ask a question” feature in PennBid at https://pennbid.bonfirehub.com, and to be given consideration must be received at least five (5) days prior to the Bid due date and time.

14.0 POWER OF ATTORNEY

Attorneys-in-fact who sign Bid Bonds or Contract Bonds must file with each Bond a certified and effectively dated copy of their power of attorney.

15.0 LAWS AND REGULATIONS

The Bidder's attention is directed to the fact that all applicable State laws, municipal ordinances, and the rules and regulations of all authorities having jurisdiction over construction of the project, shall apply to the Contract throughout, and they will be deemed to be included in the Contract the same as though herein written out in full.

B-4

16.0 PENNSYLVANIA STATE SALES TAX EXEMPTION

The successful Bidder will receive a Pennsylvania Sales Tax Exemption Certification Form from the Owner. The Contractor may utilize the Sales Tax Exemption Certificate to purchase materials which are eligible for exemption from the Pennsylvania State Sales Tax. It shall be the Contractor’s responsibility to determine which materials, if any, for this project are exempt from Sales Tax in accordance with

Pennsylvania State Law.

17.0 SUBSTITUTE AND “OR EQUAL” ITEMS

The Contract, if awarded, will be on the basis of materials and equipment specified or described in the Bidding documents, or those substitute or “or-equal” materials and equipment approved by Engineer and identified by Addendum. The materials and equipment described in the Bidding Documents establish a standard of required type, function, and quality to be met by any proposed substitute or “or-equal” item.

No item of materials or equipment will be considered by Engineer as a substitute or “or-equal” item unless written request for approval has been submitted by Bidder and has been received by Engineer at least fifteen

(15) days prior to the date for receipt of Bids. Each such request shall conform to the requirements of

Paragraph 6.05 of the General Conditions. The burden of proof of the merit of the proposed item is upon

Bidder. Engineer’s decision of approval or disapproval of a proposed item will be final. If Engineer approves any proposed item, such approval will be set forth in an Addendum issued to all prospective

Bidders. Bidders shall not rely upon approvals made in any other manner.

18.0 BASIS OF BID

Bidders shall submit a Bid, based on a combination of Unit Prices and Lump Sums for the Items of

Work listed in the Bid Schedule.

The total of all estimated prices will be the sum of the products of the estimated quantity of each item and the corresponding unit price. The final quantities and Contract Price will be determined in accordance with Paragraph 11.03 of the Standard General Conditions.

Discrepancies between the multiplication of Units of Work and Unit Prices will be resolved in favor of the Unit Prices. Discrepancies between the indicated sum of any column of figures and the correct sum thereof will be resolved in favor of the correct sum. Discrepancies between words and figures will be resolved in favor of the words.

19.0 PUBLIC WORKS EMPLOYMENT VERIFICATION ACT (PWEVA)

As a condition precedent to being awarded any Contract for the work to be performed, all

Contractors and Subcontractors shall be required to submit employee verification forms to the Borough and otherwise fully comply with the provisions of PWEVA and shall be subject to all sanctions and penalties for their failure to so comply. A copy of PWEVA is available on the Internet. A copy of the Verification form is included on Page 00800-12 of the Supplementary Condition of the Specifications.
