SECTION C - DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK

Section C: Statement of Work

C.1. Background

The Library of Congress (“Library”) is the world’s largest library. Its mission is to support Congress in fulfilling its constitutional duties and to further the progress of knowledge and creativity for the benefit of the American people. As the national library, it is important that it directly reaches the public it serves. More information about the Library can be found on the website www.loc.gov.

The Library has an adjustable traveling exhibit booth (“Booth”) that is a centerpiece attraction at National conferences, festivals, and other events (“Events”). The Booth’s primary purpose is to promote awareness of Library collections, programs, services, outreach, and initiatives. The Booth promotes learning and provides authoritative information to visitors at as many Events as possible. Visitors leave with the impression that the Library is a remarkable institution which encourages them to visit the Library either online or in-person. More information about the Booth can be found in Section C.8.

C.2 Scope

Contractor shall transport, set up, dismantle, dispose, maintain/repair, and store the Booth.

C.3 Requirements

C.3.1 Design and Project Management

As further defined in each order, and prior to the deployment of the Booth, the Contractor shall submit a final event plan which must include:

a) A completed venue-required space plan;

b) Construction details and step-by-step construction drawings;

c) Venue deadline schedule and list of material(s) to be ordered;

d) Arrangements for freight for Booth and accompanying Library materials and equipment;

e) CAD images of assembled Booth;

f) Electrical plan;

g) Internet plan; and

h) Packing list.

The final event plan shall be provided to the COR in an electronic format. Upon approval of final plan, Contractor shall order any of the above listed goods and services required to fulfill the plan.

C.3.2 Booth Deployment and Dismantling

As further specified in each order, the Contractor shall transport the applicable Booth components in their storage crates from Contractor’s storage facility to the Event venue. Identified Booth components will be located at the Contractor’s storage facility and come from the list of Government Furnished Property described in C.8.

The Contractor shall construct the Booth according to the venue's configuration requirements, which will be specified in each order. At the end of the Event, the Contractor shall dismantle the Booth, pack all Booth components into shipping crates to transport all components and ship the Booth and components back to the Contractor-provided storage location. The Contractor shall provide all arrangements for the coordination of pick-up, delivery and return of separate Library of Congress equipment and materials to and from the Washington, DC metro area. Given the importance of the Booth, Library materials, and equipment, all items shall be transported using the safest most-direct manner possible, while limiting item transfers between vehicles and warehouses.

Depending on Event’s venue requirements, the Contractor may be required to subcontract services for the installation of the Booth at the Event’s venue to the Event’s venue approved subcontractors. The Contractor shall use the Event’s venue approved subcontractors. The information will be provided in the order.

The Contractor must comply with all local code regulations.

The Contractor must provide the fully assembled Booth to the COR no later than the date and time specified in the order for each Event, which shall be generally no later than eight (8) hours before the start of event. This will be further defined in each order.

C.3.3 Booth Services

As further specified in each order, the Contractor shall:

C.3.3.1 Install and remove Booth components, which may include drayage for exhibit components and Library materials, electric service and labor, lighting installation, miscellaneous installation and packing materials, internet connection, port switch rental, carpet vacuuming, audio/visual labor, furniture, carpet, space definition, and the venue’s required associated costs as specified in each order. The Contractor must directly supervise all work, including subcontracted work at the Event venue.

C.3.3.2 Provide on-site supervision, design, and project management to execute a successful deployment, including shipping Booth components and accompanying Library of Congress equipment and materials.

C.3.3.3 Provide a booth inspection report at least 14 days prior to each Event, or as otherwise defined in the order. The report must include recommendations for maintenance and/or repairs and projected costs.

C.3.3.4 The Contracting Officer will issue the Order as stated in LC52.16-18 and LC52.216-18 Alt. The Contractor shall review the request and shall prepare the proposal and quote/price(s) using the established prices in this contract. For the prices of Event venue specific supplies and services, Contractor shall negotiate the selection of venue specific supplies and services in coordination with the Contracting Officer and the COR. These venue specific supplies and services shall be treated as actual costs; no Contractor markup will be authorized. The Contractor shall provide cost-saving recommendations to the Contracting Officer based on the requirements stated in the Order. The price breakdown shall be as stated in the Order and at a minimum must include prices for the following:

Exhibit booth management;

On-site venue specific sub-contractor costs, including internet, electrical, etc.;

Cost to fix and/or update Booth components, as needed;

Shipping

The final quote/price for all services in the Order must be provided by the Contractor no later than 10 days after completion of the negotiation, or as stated in the Order.

C.3.3.5 Comply with the Event and the Event’s venue manual for official exhibitor appointed contractors, as further specified in each order, and confirm compliance with the COR by email.

C.3.3.6 Provide the following goods and services, as further specified in each order, in compliance with early registrations for advanced order discounts:

a) Material handling

b) Electrical services and labor

c) Internet connections

d) Installation and dismantle labor

e) Cleaning (e.g. vacuum carpet)

f) Hanging signs

g) Decorations (as appropriate for each venue city)

h) Audio/visual

i) Furniture

All goods and services must be approved by the COR in advance of Event registration, as part of the final event plan as required in this contract.

C.4 Booth Storage

The Contractor shall provide approximately 2,250 cubic feet of storage space needed to store all components related to the Booth. The Booth and Government Furnished Property described in C.8 shall be stored in its current crates in a Contractor-determined, climate-controlled, severe weather resistant location located in the contiguous United States of America. For purposes of this contract, severe weather is defined as any or all weather events identified by the National Oceanic and Atmospheric Administration at the following link: https://www.nssl.noaa.gov/education/svrwx101/. The location of the storage must be provided to the COR. Contractor must not change storage space or move the Booth, its components and Government Furnished Property without the COR’s approval. More information on the specifics of the Booth can be found in Section C.8.

C.5 Booth Transition In

Services under this contract are vital to the Library and must continue without interruption. Upon award of this contract, Contractor must exercise its best efforts and cooperation to ensure an orderly and efficient transition-in process for the Booth that is currently located in Cheshire, CT. As further defined in the order and requested by the COR, the Contractor shall arrange for transportation of all Booth components from the current storage facility to the Contractor-provided storage facility. Once all Booth components have arrived at Contractor’s storage facility, Contractor shall review and take an inventory of all components, and provide an updated detailed report to the COR.

C.6 Booth Transition Out

Services under this contract are vital to the Library and must continue without interruption. The Library may issue a successor contract (“Successor”) to provide management, transportation, set up, dismantling, and storage services. The Contractor shall use its best efforts and cooperation to ensure an orderly and efficient transition to Successor or to the Library, as further defined in an order. The Library may require disposal of the entire Booth or selected components.

C.6.1 Booth Transition Out to Successor

As further defined in an order, Contractor shall arrange for and transport the Booth, its components and Government Furnished Property described in C.8 to the Successor. Such services might include the arranging for and transportation of the Booth, all Booth components and Government Furnished Property described in C.8 from Contractor’s storage facility to the Successor’s storage facility or assistance with the transportation to the Successor at Contractor’s storage facility, such as assisting with the move of the Booth, all Booth components and Government Furnished Property described in C.8 to Successor’s trucks. Before any Booth components are transitioned, Contractor shall review and inventory all components, and provide a detailed electronic inventory report to the COR. Within five (5) business days of receipt, the COR will provide feedback, if any, to the Contractor. Within five (5) business days of receiving feedback, if any, the Contractor shall submit a revised final inventory report incorporating feedback from the COR.

C.6.2 Booth Transition Out to Library of Congress

As further defined in an order, Contractor shall arrange for and transport the Booth, its components and Government Furnished Property described in C.8 to the Library’s storage facility in the Washington, D.C. metro area. Before any Booth components are transitioned, Contractor shall review and inventory all components, and provide a detailed electronic inventory report to the COR. Within five (5) business days of receipt, the COR will provide feedback, if any, to the Contractor. Within five (5) business days of receiving feedback, if any, the Contractor shall submit a revised final inventory report incorporating feedback from the COR.

C.6.3 Booth Disposal

The Library may require disposal of the entire Booth or selected components, as further defined in an order. The Booth and/or sub-components must be excessed based on Library Integrated Support Services/Logistics Services/Asset Control guidelines, GSA guidelines, and/or COR instruction. Guidelines may be subject to change. The COR will advise the Contractor of any relevant changes in these guidelines at the time of order issuance. In addition, before any Booth components are disposed, Contractor shall review and inventory all components, and provide a detailed electronic inventory report to the COR. Within five (5) business days of receipt, the COR will provide feedback, if any, to the Contractor. Within five (5) business days of receiving feedback, if any, the Contractor shall submit a revised final inventory report incorporating feedback from the COR.

C.7 Meetings

Contractor shall:

a) Participate in a virtual kick-off meeting within five (5) days of the Period of Performance start date. All Key Personnel must attend.

b) As requested by the COR and/or specified in the order, participate in Event meetings with the Library Team (staff and contractors) at least monthly (during order periods of performance), and more often, as deemed necessary by the Contractor or the Library.

c) Participate in a debrief meeting as described in each order. All Contractor’s key personnel shall attend.

C.8 Government Furnished Property

The Booth can accommodate exhibit spaces ranging from 20’ by 20’ to 30’ by 40’ in an island booth configuration (See Attachments J-2, J-3, J-4 and J-5). The Library will provide the following Government Property:

a) Aluvision Frame structure

i. Columns;

ii. Overhead Arches;

iii. Storage Closet with Door;

iv. Wrap around logo banner;

v. Computer stations;

vi. SEG fabric graphics;

vii. HP vinyl graphics;

viii. Ceiling and wall trough with LED lighting.

b) Selfie screen graphic with 6” thick dimensional “Library” letters;

c) Hanging Banners, including the following:

i. One (1) 15’ w x 4’ h;

ii. One (1) 8’ w x 4’ h;

d) Four (4) touchscreen kiosk stands (not including actual touchscreen machines);

e) One (1) giveaway counter with 3” thick dimensional logo letters;

f) One (1) presentation stage with LED edge lighting;

g) Podiums for presentations, including the following:

i. One (1) for 30’ by 40’ booth;

ii. One (1) for 20’ x 20’ booth;

h) One (1) facsimile counter with LED lighting;

i) One (1) counter-height table and four (4) counter height chairs;

j) 50oz carpet with 1”thick padding, including the following:

i. One (1) 30’ x 40’;

ii. One (1) 20’ x 20’;

i) Eight (8) speakers and speaker wire with case; and

j) One (1) 84” LCD television with custom case.

The specifications and labor estimates based on past conferences are as follows:

a) Fourteen (14) crates for all Booth components;

b) One skid for the 20’ x 20’ and 30’ x 40’ carpets;

c) Shipping weight is 13,789 pounds;

d) Storage space for all components is 2,327.46 cubic feet;

e) Average on site union “installation” labor for 30’ x 40’ booth is 115 man hours;

f) Average on site union “dismantle” labor for 30’ by 40’ booth is 56 man hours; and

g) Average on site supervision is 3 days for installation, 2 days for dismantle, and 2 days for travel.

h) Images of the current booth configurations can be found in Attachment J.2, J.3, J.4, and J.5.

The above Government Furnished Property is in storage along with the exhibit in Cheshire, CT. All items are crated and within the storage dimensions of 2,327.46 cubic feet listed in the above specifications.

C.9 Key Personnel

The Contractor shall provide an experienced Project Manager.

Project Manager:

Contractor shall provide a Project Manager for this contract. The Project Manager must have at least 5 years of experience in exhibit booth project management, and experience planning, operating, and executing exhibit booth deployments for cultural, educational, governmental or non-profit organizations.

All other Key Personnel will be identified in the Order as applicable.

(a) SAFETY. Trucks making deliveries to the Library of Congress must meet the following minimum clearances: 13 ft high, 9 ft wide and 20 ft long. Contractor vehicles exceeding that limitation shall not be permitted access to the Loading Dock area. The Contractor shall ensure that ceiling; doors or walls are not disturbed or damaged. The Contractor shall be held responsible for all costs of repairs to ceiling, doors, etc. and any secondary damage resulting from that damage. The maximum ceiling height inside the loading dock is 14′-8″.

(b) SECURITY. The contractor must adhere to all Library of Congress and U.S. Capitol Police physical security protocols and offsite screening procedures. These requirements may change during the course of the contract and it is the responsibility of the contractor to stay in compliance with current regulations. The most current procedures for accessing only the Madison Loading Dock are as follows:

(c) SCREENING PROCESS FOR ALL VEHICLES COMING TO LIBRARY OF CONGRESS LOADING DOCKS & JEFFERSON EAST

PARKING LOT FREIGHT ELEVATOR

Process includes all trucks, cars and vans coming to the LC Capitol Hill campus. All contractors are now required to notify the Off-Site Delivery Center (OSDC) no later than 24 HOURS PRIOR TO ARRIVAL (48-72 hours if possible)

Contractors are required to have a letter on file with the U.S. Capitol Police. The letter must be on company letterhead accompanied by signature of the owner, president or manager and sent directly to the OSDC email:

OSDCAdmin@USCP.GOV and the COR. The letter shall be protected with a password, and the password shall be sent separately. Requests for access must be renewed every year and should contain the following information:

All deliveries must include a Bill of Lading and designate a Library Point of Contact (POC) name and telephone number for deliveries. If making more than one delivery on the Hill, make the Library of Congress your last stop. If you do not, you will have to go through the screening process again after leaving the Library.

Vehicles leaving the Library are not resealed.

(d) DELIVERIES BEFORE 3:00 P.M. – OFF-SITE DELIVERY CENTER (OSDC)

The OSDC is open Mon-Fri. 4:30 a.m. to 3:00 p.m. at 4700 Shepherd Parkway S.W. for screening by the U.S. Capitol Police. Once cleared, proceed to D Street and Delaware Avenue S.W. (open Mon-Fri.4:45 am – 3:00 pm) to gain access to Capitol Hill. The OSDC phone number is (202)224-0202.

When a vehicle enters the OSDC:

1. Drivers information is checked.

2. Truck unloaded and material X-rayed and screened.

3. Material is replaced and the vehicle is sealed.

4. Vehicle proceeds to Delaware Avenue, seal is verified, and truck is cleared to first destination.

5. If multiple deliveries on the Hill the vehicle will be resealed upon departure from each delivery location – except the Library of Congress.

6. Vehicle arrives at the Library of Congress. The seal is verified and removed by the police.

(e) DELIVERIE S AFTER 3:00 P.M. Weekdays or Saturday – ALL DELIVERIES / WITH COORDINATION WITH USCP LIBRARY DIVISION (Exception basis for same day delivery only)

Provide all information as above and copy the Library Division at police_support@loc.gov (underscore between police and support) and a fax to (202) 707-1030 and include the estimated arrival time. The inspection location is the 600 block of New Jersey Ave. S.E., and C St NW near the power plant. Call the Library Division at (202) 707-1000 who will arrange for the vehicle to be swept. The vehicle will then be escorted to the Library. All containers have a designated placement location and the Contractor shall not leave any container in any area except those identified in this contract. This expressly designates Independence Avenue, C Street, 1st, 2nd, 3rd Streets and East Capitol Street, SE as areas off limits for staging of containers. All delivery vehicles shall have clearly identified company signage. Driver and all onsite staff shall wear distinguishable company uniform and/or company ID. The Contractor shall not travel beyond the dock area of the Madison Loading Dock. The Contractor shall comply with the Library security procedures. Contractor will be briefed by the COR on Library’s security procedures currently in effect. The security procedures vary periodically.

SECTION H - SPECIAL CONTRACT REQUIREMENTS

H.1 LC52.201-1 CONTRACTING OFFICER'S REPRESENTATIVE (COR) APPOINTMENT AND

AUTHORITY (JAN 2016)

(a) Performance of work under this contract is subject to the technical direction of the COR. The term “technical direction” includes, without limitation, direction to the contractor that directs or redirects the labor effort, shifts the work between work areas or locations, and/or fills in details and otherwise serves to ensure that tasks outlined in the contract are accomplished satisfactorily.

(b) Technical direction must be within the scope of the contract specification(s)/work statement. The COR does not have authority to issue technical direction that:

(1) Constitutes additional work outside the contract specification(s)/work statement;

(2) Constitutes a change as defined in the “Changes” clause of this contract;

(3) Causes an increase or decrease in the contract price, or the time required for contract performance;

(4) Changes any of the terms, conditions, or specification(s)/work statement of the contract;

(5) Interferes with the contractor's right to perform under the terms and conditions of the contract; or

(6) Directs, supervises or otherwise controls the actions of the contractor's employees.

(c) Technical direction may be oral or in writing. The COR must confirm oral direction in writing within five workdays, with a copy to the Contracting Officer.

(d) The Contractor shall proceed promptly with performance resulting from the technical direction issued by the COR.

If, in the opinion of the contractor, any direction of the COR or the designated representative falls within the limitations of (b) above, the contractor shall immediately notify the Contracting Officer no later than the beginning of the next Government work day.

(e) Failure of the Contractor and the Contracting Officer to agree that technical direction is within the scope of the contract shall be subject to the terms of the “Disputes” clause of this contract.

H.2 LC52.203-1 CONTRACTOR PUBLICITY (OCT 2013)

The Contractor, or any entity or representative acting on behalf of the Contractor, may not refer to the equipment or services furnished pursuant to the provisions of this contract in any news release or commercial advertising, or in connection with any news release or commercial advertising, without first obtaining explicit written consent to do so from the Contracting Officer. Should any reference to such equipment or services appear in any news release or commercial advertising issued by or on behalf of the Contractor without the required consent, the Government will consider institution of all remedies available under applicable law.

H.3 LC52.204-2 CONDUCT ON LIBRARY PREMISES (JUL 2021)

1. Access to Library buildings and grounds is governed by 36 C.F.R. part 702 - Conduct on Library Premises. Contractor staff must comply with these requirements and restrictions and related Library of Congress Regulations and Directives.

2. The Library is committed to preventing and addressing all forms of discriminatory harassment and to ensuring that Equal Employment Opportunity (EEO) principles are fundamental to Library culture. Everyone — employees, interns, volunteers, contractors, researchers, and visitors — is expected to help make the Library a respectful environment free from offensive behavior.

a. Library of Congress employees, contractors, interns, volunteers, researchers, patrons, and other visitors have a right to Library facilities that are free from discrimination based on their race, color, national origin, religion, sex, sexual orientation, gender identity, age (40 and over), disability, genetic information, union affiliation, political affiliation, or marital status.

b. The Library does not tolerate discrimination – including sexual harassment, other forms of harassment, or a hostile work environment – based on these factors. The Library does not tolerate retaliation against anyone who engages in any form of protected EEO activity.

c. Contractor (including subcontractor) staff alleged to have engaged in discrimination or retaliation in the performance of this contract may be prohibited from entering Library facilities to perform work under their contracts.

Contractors are required to promptly respond to all Library inquiries into allegations of discrimination, and must, in good faith, cooperate with Library investigations. Good faith cooperation includes, but is not limited to, making contractor staff available for:

1. Formal and informal interviews by Library agents investigating allegations of discrimination;

2. Reviewing and signing appropriate affidavits or declarations summarizing statements provided by such contractor staff during the course of an investigation;

3. Producing documents requested by the Library agents conducting the investigation; and

4. Preparing for and providing testimony in depositions or in administrative hearings.

H.4 LC52.204-4 CONTRACTOR EMPLOYEE FITNESS (SEP 2024)

“Contractor employee fitness” means fitness based on character and conduct for work for or on behalf of the Government as a contractor employee.

Work under this contract is unclassified. However, the Library of Congress shall conduct background investigations of contractor personnel who will have 1) regular, ongoing, unescorted access to the Library’s buildings, grounds, or collections, 2) access to Library information technology systems, and/or 3) access to Library information not available to the public, including information determined to be Controlled Unclassified Information (CUI), to ensure they meet basic standards of honesty and trustworthiness pursuant to Library regulations. The Library does not determine the fitness of employees to work for the contractor firm that hires them. The Library’s interest is in determining whether contractor personnel should be granted greater access than the general public to Library facilities, Library information technology systems, and/or non-public Library information.

(1) Any access to non-public Library facilities, Library information technology systems, and/or non-public Library information will require a contractor employee fitness determination. All initial, existing, and reciprocal contractor employee fitness determinations will be subject to continuous vetting. Continuous vetting will vary based on position risk level. An example of continuous vetting is outlined in Trusted Workforce 2.0 (https://www.performance.gov/trusted-workforce/ and https://www.dcsa.mil/Personnel-Security/Continuous- Vetting/).

(2) A favorable contractor employee fitness determination requires completion and successful adjudication of a security application request (release forms, fingerprints, and a full background investigation). To facilitate the fitness determination, the prospective contractor employee shall submit to the Library complete and accurate information as identified on the National Background Investigation Services (NBIS)’s eAPP (https://eapp.nbis.mil) or other system as provided by the Personnel Security Division (PSD). Contractors should anticipate a minimum of two weeks for the process, provided all requested information is timely, accurate and complete and that no adverse information is received. A background investigation generally will require that the candidate has cumulatively resided in the United States for at least three of the past five years. This requirement is subject to certain exceptions assessed on a case-by-case basis by PSD in accordance with established federal personnel vetting standards.

(3) After the contractor employee fitness determination, each contractor employee with a favorably adjudicated background investigation shall be enrolled in and subject to the Library’s continuous vetting process. Enrollment in the Library’s continuous vetting process also requires enrollment in the Federal Bureau of Investigation (FBI) Record of Arrest and Prosecution Background (“Rap Back”) program, which provides the Library with notification of any criminal activity by the enrollee. Upon enrollment in Rap Back, the Library shall provide each enrollee with a notification of their rights with respect to the collection and use of their fingerprints and to the accuracy of the information obtained from Rap Back, as well as a copy of the FBI Privacy Act Statement that describes how FBI may use their fingerprint images.

(4) The fact that the Library may conduct background investigations and continuous vetting on assigned contractor personnel does not relieve the contractor of the responsibility to provide qualified, reliable personnel of sound character and conduct. This includes providing contractor personnel who can maintain compliance with the Library’s requirement of a drug-free workplace and federal laws regarding controlled substances (see the Controlled Substances Act, 21 U.S.C.

§ 801 et seq. for the definition of controlled substances). In the event that drug testing is required for a contractor employee to obtain a favorable fitness determination, the contractor will be responsible for bearing the costs of such testing, conducting the testing in a manner consistent with federal vetting standards, which are based on the testing protocols published by the Substance Abuse and Mental Health Services Administration (SAMHSA), and providing the results to the Library.

(5) The Library may require removal of contractor staff from Library facilities and revocation of access to Library information technology systems and non-public Library information if investigative results raise concerns regarding a contractor employee’s fitness or the contractor employee is non-compliant with the Library’s instructions or requests for information during the vetting process. In such cases, the Contracting Officer (CO) or Contracting Officer Representative (COR) will notify the contractor of the unfit determination and need for the contractor employee to return all government equipment such as badges, keys and network tokens if issued. Contractor management staff may be required to escort the contractor employee from Library premises.

(6) The contractor will ensure the COR and CO are notified of all changes to those contractor personnel performing work on this contract that require non-public access.

H.5 LC52.204-27 HANDLING OF FEDERAL RECORDS (JUL 2021)

(a) Definitions “Records,” as defined in 36 C.F.R. § 703.4(a), includes all books, papers, maps, photographs, reports, and other documentary materials, exclusive of materials in the Library’s collections, regardless of physical form or characteristics, made or received and under the control of the Library in pursuance of law or in connection with the transaction of public business, and retained, or appropriate for retention, by the Library as evidence of the organization, functions, policies, decisions, procedures, operations, or other activities of the government or because of the informational value of data contained therein. The term refers only to such items in being and under the control of the Library. It does not include the compiling or procuring of a record, nor does the term include objects or articles, such as furniture, paintings, sculpture, three-dimensional models, structures, vehicles, and equipment. All data created for Government use and delivered to, or falling under the legal control of, the Government are Federal records subject to the provisions of 44 U.S.C. chapters 21, 29, 31, and 33, the Privacy Act of 1974 (5 U.S.C. 552a), as amended, and Library of Congress regulations at 36 CFR Part 703.

(b) Requirements

1. Contractor shall comply with all applicable records management laws and regulations, as well as National Archives and Records Administration (NARA) records policies, including but not limited to the Federal Records Act (44 U.S.C. chs.

21, 29, 31, 33), NARA regulations at 36 CFR Chapter XII Subchapter B, Library of Congress regulations at 36 CFR Part 703 and those policies associated with the safeguarding of records covered by the Privacy Act of 1974 (5 U.S.C. 552a). These policies include the preservation of all records, regardless of form or characteristics, mode of transmission, or state of completion.

2. In accordance with 36 CFR 1222.32, Contractor shall manage and schedule records for disposition only as permitted by statute or regulation.

3. The Contractor shall not retain, use, sell, or disseminate copies of any deliverable that contains information covered by the Privacy Act of 1974 or which is exempted from public disclosure by 36 C.F.R. 703.5.

4. The Library of Congress shall own the rights to all data and records produced as part of this contract. All deliverables under the contract are the property of the U.S. Government for which the Library of Congress shall have unlimited rights to use, dispose of, or disclose such data contained therein as it determines to be in the public interest.

Any Contractor rights in the data or deliverables must be identified as required by FAR 52.227-11 through FAR 52.227- 20.

5. In accordance with 36 CFR 1222.32, Contractor shall maintain and manage all records in accordance with Federal law. Electronic records and associated metadata must be accompanied by sufficient technical documentation to permit understanding and use of the records and data.

6. The Contractor shall only remove records from the legal custody of the Library of Congress or destroy them in accordance with the provisions of the agency records schedules and with the written concurrence of the Head of the Contracting Activity. Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701. In the event of any unlawful or accidental removal, defacing, alteration, or destruction of records, Contractor must report the event to the Contracting Officer.

7. The Contractor shall ensure that the appropriate personnel, administrative, technical, and physical safeguards are established to ensure the security and confidentiality of this information, data, documentary material, records and/or equipment is properly protected. The Contractor shall not remove material from Government facilities or systems, or facilities or systems operated or maintained on the Government’s behalf, without the express written permission of the Head of the Contracting Activity. When information, data, documentary material, records and/or equipment is no longer required, it shall be returned to Library of Congress control unless otherwise directed by the Contracting Officer.

8. Items returned to the Government shall be hand carried, mailed, emailed, or securely electronically transmitted to the Contracting Officer or address prescribed in the contract vehicle in accordance with instructions provided by the Contracting Officer. Destruction of records is EXPRESSLY PROHIBITED unless in accordance with Paragraph (4).

9. The Contractor shall not create or maintain any records containing any non-public Library of Congress information that are not specifically authorized by the contract.

10. All Contractor employees assigned to this contract who create, work with, receive, store, or otherwise handle records shall take Library of Congress-provided records management training. The Contractor shall be responsible for confirming training has been completed.

11. The Contractor shall obtain the Contracting Officer’s approval prior to engaging in any contractual relationship (sub-contractor) in support of this contract requiring the disclosure of information, documentary material and/or records generated under, or relating to, contracts.

12. The Contractor (and any sub-contractor) shall abide by Government and Library of Congress guidance for protecting sensitive, proprietary information, classified, and controlled unclassified information. The Contractor shall immediately notify the Contracting Officer upon discovery of any inadvertent or unauthorized disclosures of information, data, documentary materials, records or equipment.

(c) Flowdown of requirements to subcontractors

1. The Contractor shall incorporate the substance of this clause, its terms and requirements including this paragraph, in all subcontracts under this contract vehicle, and require written subcontractor acknowledgment of same.

2. Violation by a subcontractor of any provision set forth in this clause will be attributed to the Contractor.
