Question

Question
Response
Did this change the solicitation?
1.
UL 912 Spec, should be used as the spec for line items 6 through 10
Updated Exhibit B, Specifications to clarify the products.
YES

Exhibit B AMD1 – Specifications

2.
“WA Igniter Flares” is the spec that is currently embedded in the current contract for line items 11 through 16 and would need to be again. The current solicitation appears to have combined the language for traditional Highway emergency flares and Auto ignition flares. In addition to that, the spec in the new solicitation changed Igniter Flares to Signal Flares throughout the spec and that should be corrected by embedding the attached spec for Igniter Flares.
Updated Exhibit B, Specifications to clarify the products this section applies to and replaced the word “Signal” with the word “Igniter” throughout Exhibit B, Specifications.
YES

Exhibit B AMD1 – Specifications

3.
The current contract has a 30 case minimum order for igniter flares. We would like the State to include a 30 case minimum (per delivery location) for all purchases of all items. The 30 case minimum would allow for free freight, dock to dock delivery. Any order under 30 cases (per delivery location) would have the freight charges added to the invoice.

Added minimum order requirements to Exhibit D, Contract provision 8.1 Ordering Requirements (a), 8.2 Delivery Requirements (b), and 9.1. Contractor Invoice (i) to add minimum case order language.

YES

Exhibit D, Contract

4.
Contract, 1. Term – we would like this language changed to “………………………………..Enterprise Services, with mutual consent of Contractor, shall extend the term of this Contract, by written amendment, up to twenty-four (24) months……………………….”

Updated Exhibit D, Contract provision 1 Term to include with mutual consent language.

YES

Exhibit D, Contract

5.
Contract, 3.3 Economic Adjustment – as the manufacturer, we use specialty chemicals that are unique in manufacturing. A standard PPI does not always capture the adjustments in raw material pricing for these specialty chemicals. We request language that identifies that PPI will be used as a source, but other sources and documentation (invoices from suppliers, etc) will be used to determine an economic adjustment, NOT PPI only. Also, we would request that any economic adjustment, whether increase or decrease, be made by mutual consent (State and Contractor).

Updated Exhibit D, Contract provision 3.3 Economic Adjustment with updated language.

YES

Exhibit D, Contract

6.
Contract, 3.4 Price Ceiling – the Exhibit listed indicates “B”, I believe it should be Exhibit C.
Exhibit B Prices for Goods/Services referenced in Exhibit D, Contract, is the correct reference in the draft Exhibit D, Contract for Provision 3.4 Price Ceiling.

If Bidder is awarded a contract, Exhibit C – Bid Price from the Solicitation Document will be incorporated into the resulting contract currently labeled Exhibit D, Contract as Exhibit B – Prices for Goods/Services (on page 25).

NO

7.
Contract, 8.2 (b) – the 30 case minimum order for free freight (dock to dock delivery) should be indicated in this section.

Updated Exhibit D, Contract provision 8.2 Delivery Requirements Adjustment to add the 30 case minimum order for free freight.

YES

8.
Contract, 8.4 (a) – PST should change to EST
The Purchasers/ Customers/ Users of this agreement are in the Pacific Standard Time (PST); this section will remain as initially written.

8.4 ON SITE REQUIREMENTS

(a) CUSTOMER SERVICE. Contractor shall be available via email or phone, Monday through Friday 8:00 am – 5:00 pm PST. Customer service may include, billing and invoicing, or other general questions. Contractor shall respond to customer inquiries within forty-eight (48) hours. Order acknowledgment. Contactor must acknowledge the order within one business day from the time of the receipt of the order.

NO

9.
Contract, 9.5 – This section states no additional charges, however, there are additional charges that could incur based on the requests of receiver. At times the receiver requests additional handling like appointment requests for liftgate deliveries (as with the current contract). As such, this section should be modified/deleted.
Updated Exhibit D, Contract provision 9.1 Contractor Invoice (h) to add language regarding authorized additional fees from Bidder’s Exhibit C, Bid Price.

NO changed were made to provision 9.5 No Additional Charges.

9.5 NO ADDITIONAL CHARGES. Unless otherwise specified herein, Contractor shall not include or impose any additional charges including, but not limited to, charges for shipping, handling, insurance, or payment processing.

· In Exhibit C, Bid Price, on the Signal Flares Bid Prices tab, there is an OPTIONAL: Additional Fess (NOT SCORED) section green where Bidder’s must list any additional fees starting on row 21/section is colored in green.

· Also see the instructions tab on Exhibit C, Bid Price rows 21 – 26 for more information, section is also color coded in green.

· If Bidder is awarded a contract, Exhibit C – Bid Price from the solicitation document will be incorporated into the resulting contract currently labeled Exhibit D, Contract as Exhibit B – Prices for Goods/Services (on page 25) which would include any additional fees listed in that section.
