About this file
This is Amendment 3 to a Master Services Agreement (MSA) for wireless management services between Wireless Watchdogs LLC (Contractor-Assignor), Dataprise LLC (Contractor-Assignee), and the State of Oregon Department of Administrative Services, State Procurement Services (DASPS). The amendment documents the assignment of all rights and delegation of all obligations under the original MSA (Agreement 0573, dated September 30, 2020) from Wireless Watchdogs to Dataprise LLC, effective upon the Transfer Date when Wireless Watchdogs transfers its assets, liabilities, and operations to Dataprise. The contract number has been updated from MSA 0573 to PO-10700-00040868. DASPS has provided written consent to the assignment and assumption of all contractual rights and obligations, making Dataprise the new contractor of record under the agreement.
Dataprise LLC has provided comprehensive representations and warranties as the Contractor-Assignee, including guarantees that it possesses the skill and knowledge to perform all obligations in strict conformance with the MSA terms, that all goods and services will be free of liens and defects, and that no third-party intellectual property rights will be infringed. Wireless Watchdogs LLC remains obligated to the State following the Transfer Date and has warranted that the MSA is in full force and effect with no outstanding defaults or unpaid amounts. The amendment requires Dataprise to comply with Oregon wage equity laws (ORS 652.220) and provide a Pay Equity Compliance Certificate within 30 days, as well as maintain policies preventing sexual harassment, sexual assault, and discrimination in accordance with ORS 279A.112. The amendment was signed on November 20, 2024, with state approval completed on November 25, 2024.
