SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

SECTION L

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

A. General Instructions

1. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, in addition to those identified as evaluation factors or subfactors. The proposal shall be compliant with the requirements as stated in the Performance Work Statement (PWS), Past Performance, Pricing Table, and the remainder of the Request for Proposal (RFP).

Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Failure to meet a requirement may result in an offer being ineligible for award. Alternate proposals will not be accepted.

2. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal shall not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale and details that address how the Offeror intends to meet these requirements. Offerors shall assume that (1) the Government has no prior knowledge of their facilities and experience, and (2) the Government will base the evaluation on the information presented in the Offeror’s proposal.

3. The Contracting Officer (KO) and/or Contract Specialist (CS) are the only points of contact for this acquisition. Address any questions or concerns you may have to the KO Jessica L. Fields, 520-538-6334, jessica.l.fields.civ@mail.mil or the CS, Charles Friend, 520-533-6435, charles.l.friend.civ@mail.mil. Changes to the Contracting Office point of contact will be made by amendment to the solicitation. Written requests for clarification (questions) may be sent using the provided excel document title “Attachment 12- Questions Spreadsheet” to the KO and CS by 2:00pm (ARIZONA TIME) 11 March 2021. The subject of the email shall be “Questions – W91RUS-21-R-0001.” Questions shall annotate a reference to the specific solicitation element to which they pertain as stated in Attachment 12. The Offeror is advised that the Government will make available to the public any Offeror questions and comments and the Government’s associated responses; therefore the Offeror shall not provide questions or comments of a proprietary nature. The Government is not obligated to provide responses to all questions, but will consider them and incorporate changes into the RFP as deemed necessary. Offerors are required to continuously monitor the https://beta.sam.gov website for RFP amendments and other information regarding the acquisition.

4. The submission/proposal acceptance period is specified in Section L of the solicitation. The offeror shall make a clear statement in Section A of Volume I, General, that the proposal is valid for a period of not less than 270 days from the close of the solicitation.

5. Award Without Discussions:

a. In accordance with contract provision 52.215-1, Instructions to Offerors– Competitive Acquisition, the Government intends to award approximately twelve (12) contracts without discussions, but reserves the right to hold discussions if necessary.

Since Offerors may correct deficiencies, as defined in FAR 15.001, only through discussions, Offerors are cautioned to examine this solicitation in its entirety and to ensure that their proposal contains all necessary information, provides all required documentation, and is complete in all respects.

b. The Government may hold discussions during proposal evaluations. If face to face discussions are held, they will be conducted at a site determined by the Government. The Offeror is limited to a total of six (6) participants at any one time for any face-to-face discussions during proposal evaluations. The composition of that team shall be at the discretion of the Offeror.

c. In accordance with FAR 15.306(d), discussion sessions with each offeror may be held. Should discussions take place, all offerors in the competitive range will be allowed a minimum of three (3) calendar days to submit Final Proposal Revisions.

d. If discussions are conducted, the Contracting Officer will schedule the discussion sessions, and each offeror will be notified of the time and place. The Contracting Officer will provide additional instructions with the notification. The discussion sessions will take place at ACC-APG Huachuca Division, through the issuance of Evaluation Notices (ENs), or via teleconference, or other suitable venue with consideration given to COVID-19 restrictions.

6. THE OFFEROR MUST PROVIDE A GROUP E-MAIL ADDRESS FOR

GOVERNMENT COMMUNICATIONS.

The group e-mail address shall be provided in the cover letter submitted with the proposal. The e-mail address supplied may be used by the Government for communications from the Contracting Officer or Contract Specialist. Because important communications e-mailed to only one person might go unnoticed if that person is out of the office for a period of time, the Government requests that the Offeror provide a group e-mail address. A group e-mail address will help ensure that the Offeror is aware of any Government notifications.

7. Proposal Submission:

a. Each Offeror shall submit only one proposal which addresses all Government requirements outlined in the solicitation. Offerors shall submit the proposals, with cover letter, by 2:00pm (ARIZONA TIME) 31 March 2021.

b. Proposals shall be sent electronically using ARL Secure Access File Exchange (SAFE) at https://safe.apps.mil/. This is a secure site that encrypts while in transfer in the network. ARL SAFE allows files up to 8.0 GB. Process is as follows:

i. Twelve (12) calendar days prior to the proposal due date interested vendors whom wish to submit a proposal shall request ARL SAFE access with the Offerors point(s) of contact (PoC) email(s), to both the Contracting Officer and Contract Specialist via email.

No more than three PoCs.

ii. Contracting will send a “drop-off” (access) request to each Offeror that submits a written request. Each Offeror will receive an email from the site with a link and unique request code. The request code is only usable for one delivery.

iii. To submit proposals, access the site and select “Drop-off.” The Offeror will be prompted to enter their request code to access the site. After entering the request code Offerors will be able to upload one or more files as a single item for delivery to a person or people. If a file is encrypted prior to uploading, Offerors shall provide the password to both the Contracting Officer and Contract Specialist via email.

iv. Offerors shall add the Contracting Officer’s and Contract Specialist’s email in the “to” by clicking the green plus sign, “+.”

v. Offerors may add a short note to be sent with their submission. This note will NOT be considered in the evaluation.

vi. Upon submission a notification is sent to the “to” recipients, notifying them a drop-off has been made. Once the recipient picks-up the submission, the Offeror POCs will receive an automated notice from the SAFE site.

Note: If an Offeror does not receive a drop-off request five (5) calendar days prior to the proposal due date, contact both the Contracting Officer and Contract Specialist via email. If more than one access session is required, make a written request to both the Contracting Officer and Contract Specialist via email.

c. Late submission. Refer to FAR 52.215-1(c) (3) (ii) (A) (1), (2) and (3).

d. Acknowledgement of Solicitation Amendments. Should amendments be issued against this solicitation, the Offeror shall acknowledge by signing the Standard Form (SF) 30 entitled Amendment of Solicitation/Modification of Contract and include it in the proposal submission.

B. Proposal Organization/Number of Copies/Page Limits

Combat is considered one of the Army’s large installations containing combat and combat support organizations, Garrison organizations, and other tenant activities. Ft. Combat’s terrain varies from a common cantonment area to geographically dispersed training areas with hills, mountains, and forested areas. There are training ranges for small arms and large weapons systems qualification. Ft. Combat’s climate consists of cold, snowy winters, mild spring, and a rainy summer and fall.

This Sample Task order represents task orders that may be performed under the IMCS IV contract. The offeror shall describe an approach, methodology, and associated processes, tools, and techniques required to accomplish the work in the sample PWS.

The offeror shall demonstrate a clear understanding of the work to be performed and propose an effective solution capable of performing the required task order and present an appropriate mix of labor categories and hours summarized by labor category.

2. Offerors shall provide their proposal in accordance with Attachment 2 – Fort Combat Sample Task Order Instructions.

F. VOLUME III - PRICE

1. Offerors shall prepare a complete firm fixed price proposal for the Sample Task Order Fort Combat, Kansas in Section J. Pricing for the Sample Task Order will be used to evaluate price for award.

Provide a price proposal for the sample task order Fort Combat, Kansas that clearly delineates the proposed labor categories, number of hours proposed per labor category, and proposed price per labor category for the base period and all option periods.

Complete the Pricing Worksheet in Section J, Attachment 11. Pricing for the sample task order will be used to evaluate price for award. Exempt Labor category rates proposed for the IDIQ PWS, which may not be required for the Sample Task Order, shall be evaluated for price reasonableness. The Contractor shall utilize national average market salaries to price Exempt Labor categories. The Offeror’s fully burdened, fixed-price Exempt labor rates will be binding and incorporated into the resultant contract. Adjustments to fully burdened Service Contract Labor Standard (SCLS) labor rates will be limited to changes in the applicable Department of Labor (DOL) Wage Determination (WD). Adjustments to fully burdened Exempt labor rates will be subject to downward negotiation only. Labor categories introduced after contract award shall require approval by the Contracting Officer.

The preponderance of the IMCS IV requirements involve professional labor categories.

However, requirements may include work associated with the SCLS labor categories and will incorporate a DOL WD should Offerors propose SCLS labor categories. SCLS proposed labor categories shall be subject to the requirement of FAR Subpart 22.10 and applicable clauses for the IMCS IV requirement.

Each offeror’s proposal should respond to the evaluation criteria of this solicitation. Any inconsistency between proposed performance and price shall be explained in the proposal. An inconsistency, if unexplained, may raise a question of the Offeror’s understanding of the nature and scope of work required and its ability to perform the Government’s identified requirements. All information relating to price must be included in this volume. Under no circumstances shall cost or pricing data be included elsewhere.

2. Price Volume Organization

The price volume shall be organized according to the outline below:

Section 1 Table of Contents (to include a list of tables, figures, etc.)

Section 2 Price Proposal Methodology/Assumptions/Exceptions (Price narrative) Section 3 Completed Pricing Worksheet (Section J, Attachment 11)

3. Price Reasonableness, Completeness and Balance

This section is to assist the Offeror in submitting sufficient pricing information that demonstrates reasonableness, completeness, and balance of the proposed price.

Failure to comply with these requirements may result in rejection of Offeror’s proposal.

Unreasonable proposed prices, initially or subsequently, may be grounds for eliminating a proposal from competition. Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an Offeror’s proposal. The burden of proof for credibility of proposed prices rests with the Offeror. In accordance with FAR 15.403-1(b) and 15.403-3(a), information other than cost or pricing data may be requested to determine price reasonableness.

It is anticipated that adequate competition will exist for this procurement and that the FAR exception to requiring cost or pricing data at FAR 15.403-1(b) (1) and (c) (1) will apply. However, other than certified cost and pricing data and Forward Pricing Rate (FPR) submissions and other supporting data may be requested to determine reasonableness of rates for non SCLS labor categories and to verify proposed fringe benefit, overhead, and General and Administrative (G&A) rates.

The Offeror shall complete all proposal attachments in Section J associated with the Price proposal. All data provided by the Offeror shall be traceable throughout the proposal. For example, all data provided at lower levels in the Price Volume should add up to the totals on the Price Volume’s summary formats as well as the prices in Section B; the information shall also be traceable to that provided in the Mission Support Volume and other volumes (where applicable).

The Price proposal shall not include information beyond that required by this instruction unless the Offeror considers it essential to document or support Offeror’s price position.

All information relating to the proposed price, including all required supporting documentation must be included in this part or assumptions of the proposal.

All dollar amounts provided shall be rounded to the nearest penny (two decimal places only). Failure to round unit prices to no more than two decimals may result in rejection of proposal.

4. Section 1 - Table of Contents

The table of contents shall specify by page number the location of information requested in these instructions.

5. Section 2 - Price Proposal Methodology/Assumptions/Exceptions (Price Narrative: 5 Page limitation)

The Offeror shall provide the methodology used to establish its proposed prices and fully loaded rates. Offerors shall depict how direct and indirect rates were derived for all fully burdened labor rates. Clearly and concisely state the scope, pricing basis, allowances, assumptions, escalations for labor and basis of escalation, exclusions, and any deviations. Demonstrate the prices reflected are reasonable for the work to be performed, reflect a clear understanding of the requirements, and are consistent with the approach described in the Offeror’s Mission Support Volume proposal. The Contractor may submit any other pricing data that it believes is prudent and necessary to justify its price proposal.

Any inconsistency, whether real or apparent, between promised performance and price should be explained. For example, if the intended use of new and innovative procedures, processes or tools is the basis for an abnormally low or high price, the nature of these innovative efforts and their impact on price must be explained and fully justified. The price information should demonstrate that the Offeror understands the level of work necessary to successfully meet the requirements in order for the Government to consider that a price proposal submitted, as a result of this solicitation, is reasonable.

6. Section 3 – Schedule B

Offerors shall not complete Section B of the RFP. Offerors shall instead complete the Pricing Worksheet (Section J, Attachment 11) using the instructions in Section L, paragraph F.7, below.

7. Section 4 - Pricing Worksheet (Section J, Attachment 11).

a. Offerors shall not complete tab 12 titled “Schedule B” in the Pricing Worksheet (Section J, Attachment 11). Offeror proposed pricing for the Sample Task Order shall be used as a basis for price analysis and reasonableness determination in the awarding of the IDIQ contracts. Attachment 11 tabs 3 through 10 pertain to the Sample Task Order pricing. Tabs 11-15 Exempt Fully Burden rates and labor categories will be incorporated into the five year ordering period of the IDIQ.

The Offeror shall provide a complete breakout of the cost items that make up the all-inclusive, fully-burdened labor rates for all labor categories in Section B for all five years of the Ordering Period (this includes Exempt labor categories required for the IDIQ PWS which may not be required for the sample task order). Offerors shall propose all hourly rates based on a 40-hour work week (2,080 hours per year). This labor rate breakout shall include all direct, indirect, general and administrative costs and profit associated with providing the required skill. The fully-burdened labor rates shall include all labor and labor-related costs, such as, but not limited to, the following list of representative labor-related costs: salaries, wages, bonuses to include stock bonuses, incentive awards, employee stock options, stock appreciation rights, employee stock ownership plans, employee insurance, fringe benefits, contributions to pension, other post-retirement benefits, annuity, employee incentive compensation plans, incentive pay, shift differentials, overtime, vacation time, sick pay, holidays and all other allowances based upon a comprehensive employee compensation plan. The use of uncompensated overtime is not allowed.

The Pricing Worksheet shall show the rate build-up that clearly identifies the methodology used to arrive at the fully loaded labor rates. The Exempt Fully Burdened Labor Rate table (Tab 14) represents the fully-loaded hourly labor rates for all exempt labor categories proposed for the IDIQ five year ordering period. Exempt IDIQ labor categories and labor rate build up is reflected in Tab 15. The offeror may submit any other pricing data that it believes is prudent and necessary to justify its price proposal.

Additional columns may be added to Pricing Worksheet tabs as required to price the Sample Task Order.

Wage Determinations may be provided for each task order in accordance with the location of the task order. Section J attachment 5 is provided for the Ft. Combat Sample Task Order. Adjustments to SCLS labor categories will be limited to those allowed in FAR clause 52.222-43, Fair Labor standards Act and Service Contract Act – Price Adjustment (Multiple Year and Option Contracts).

All labor categories must be priced for all contract years. Failure to price all labor categories for all years will result in a rejection of the Offeror’s proposal. A description of duties shall also be provided at tab 13.

All prices shall be proposed in U.S. dollars. Price all Contract Line Item Numbers (CLINs). Do not leave any CLIN blank. Each Offeror shall enter the proposed unit price (rounded to the nearest cent and no more than 2 decimal places) for all CLINs and all corresponding option years. The abbreviations Not Separately Priced (NSP) and No Charge (N/C) are not acceptable entries. If providing a CLIN to the Government at no charge, ―$0.00 must be entered for that CLIN. Offerors shall propose a firm fixed monthly unit price for work based on the workload data presented in the Sample Task PWS. Ensure that the proposed monthly unit price multiplied by 12 equals the proposed annual price.

Requirements in this solicitation, and task order requirements resulting from contract award, may include work associated with SCLS labor categories. Therefore, FAR clause 52.222-41, Service Contract Labor Standards, is incorporated in Section I of this solicitation. Offeror proposals containing SCLS labor categories shall be subject to the requirements at FAR Subpart 22.10, associated clauses, and applicable DOL Wage Determinations. Offerors shall ensure employee’s wages meet the minimums outlined in the attached Wage Determination. If applicable, labor classifications should cross-reference to Department of Labor (DOL) wage determination classifications as much as possible. As part of the price proposal, the Offeror shall furnish the titles of the proposed labor categories and the corresponding labor categories from the attached Wage Determination as well as documentation of compliance with the minimum monetary wages and fringe benefits for service employees as specified in the sample task order Wage Determination provided in Section J, Attachment 5 of this solicitation.

The Prime Contractor must justify the reasonableness of each subcontractor’s price. A discussion for the basis of this determination is required for each proposed subcontractor. If a subcontractor utilizes fully burdened labor rates in its proposal to the prime, the subcontractor shall provide its own Pricing Worksheet (Section J, Attachment

11) delineating the buildup of those rates to the Government. Subcontractors will submit the required information through the ARL Safe.

b. CLINs 0007 Overtime, CLINs 0008 Third Party Damages, 0009 Special Projects/Davis Bacon, 0010 Other Direct Costs, 0011 Travel, 0012 Training, and 0013 Materials are Cost Clins. The amounts provided by the Government for these CLINs are estimates and these estimates shall be used for evaluation purposes by adding estimated cost to proposed labor costs to arrive at a total price.

CLIN 0009, Special Projects/Davis Bacon represents Special Projects and Davis Bacon work as described in the IDIQ PWS and local clause Special Project or Davis Bacon Proposals. This CLIN applies to ‘normal’ work as described in the clause at section H of this contract. For Davis Bacon work, invoicing for this CLIN will only be the difference between SCLS wages and Davis Bacon wages. This hourly wage rate difference is the differential to be paid to employees for Davis Bacon Act work performed during regular work hours, on a day-to-day basis, and is within the scope of the contract. Invoices are to identify the number of Davis-Bacon hours worked. No additional fee will be reimbursable under this CLIN. The Special Project/Davis Bacon CLIN will not be funded annually, as funding will be provided via the execution of a special project by modification to the task order or the performance of Davis Bacon work.

The following amounts provided by the Government for the CLINs below are estimates and will be used for evaluation purposes:

G. VOLUME IV PAST PERFORMANCE

General

1. Present/Past Performance Information (PPI)

PPI is required on the Offeror, partnerships/joint ventures who are proposed to perform 10% or more of the proposed price based on the total proposed price or perform aspects of the effort the Offeror considers critical to overall successful performance.

Offerors are cautioned that the Government will use data provided by each Offeror in this part and data obtained from other sources in the evaluation of past performance.

Evaluation of past performance individually by each joint venture partner as well as past performance completed by the joint venture itself will be allowable.

The Offeror shall identify any contracts performed by the Offeror or major Subcontractors proposed to perform 10% or more of the total proposed price (within three years of the release of this RFP) which contain efforts similar to those required by this RFP (e.g. tasks, complexity, contract type, dollar value, etc.). Offerors shall not reference an Indefinite Delivery/Indefinite Quantity contract without referencing the appropriate task order containing the effort similar in nature to this requirement. List the contracts in order of relevancy from the most relevant to the least relevant

2. New Corporate Entities.

New corporate entities or Joint Ventures may submit data on prior contracts involving its officers, employees, and key personnel who have relevant experience, and/or data of efforts that will perform major or critical aspects of the requirement. Discuss the roles and responsibilities of personnel involved in the prior contracts cited.

3. Reference Data.

The Government reserves the right to contact and use information provided by the references and any other sources. The Government will also obtain and consider information about other contracts not mentioned in the Offeror’s proposal, but which the Government believes to be similar to the proposed effort. It is the Offeror’s responsibility to ensure all reference data is current and correct so that the Government can properly evaluate past performance.

4. Past Performance Questionnaires (PPQ).

Offeror shall submit PPQs on recent contracts that are considered most relevant in demonstrating the ability to perform the proposed effort. Offeror shall submit past performance questionnaires on no more than five (5) recent contracts.

Partnerships/joint ventures shall submit no more than five (5) questionnaires total. Two

(2) questionnaires shall be submitted for each major subcontractors proposed to perform 10% or more of the total proposed price. PPQs submitted on behalf of a partnership/joint venture may be in the name of any member of the partnership/joint venture or in the name of the partnership/joint venture itself. List the contracts in order of relevancy from the most relevant and recent. Recent is defined as efforts that are ongoing or have been performed in the past three years from the date of issuance of the solicitation. Relevant is defined as experience with the requirements as defined in the PWS. Do not duplicate a contract reference for prime and subcontractor but rather explain the role each played within the contract reference itself. Include rationale supporting your assertion of relevance.

Each contract shall only be referenced once except in the case of Government-wide Acquisition Contracts (GWACs), Multiple Award Contracts (MACs), or Indefinite Delivery/Indefinite Quantity (IDIQ) contracts where Task Orders are issued by various agencies against a single master contract. In such cases, Task Orders may be treated as separate contract vehicles for past performance purposes. If the referenced contract is a Task Order, identify the contract number and the Task Order number.

The Offeror is responsible for the distribution and tracking of the Past Performance Questionnaire contained in Section J, Attachment 6. The offeror shall provide at least two POCs (e.g., KO, COR, Program/Project Manager) per relevant contract. The offeror shall send the questionnaire to all POCs. Completed Past Performance Questionnaires shall be submitted directly to the KO at mailto:

Jessica.l.fields.civ@mail.mil and Contract Specialist at charles.l.friend.civ@mail.mil by 31 March 2021, 2:00 PM Arizona Time. Offeror shall submit information on contracts considered most relevant to the Mission Support subfactors and the price factor in demonstrating the ability to perform the proposed effort. PPI is required on the Offeror, Similarly Situated Entities (SSEs), partnerships/joint ventures, and major subcontractors. Prime Offerors shall submit a maximum of five (5) PPIDs and a maximum of two (2) PPIDs for each major subcontractors. Partnerships/joint ventures shall also submit a maximum of five (5) PPIDs. Any additional PPIDs submitted will not be evaluated. The Offeror shall submit PPIDs in accordance with Section J, Attachment 7 including a Past Performance Questionnaire Cover Letter (Section J, Attachment 8). Past performance on IDIQ type contracts should be submitted at the delivery/task order level unless performance is only assessed for the IDIQ contract as a whole. Offerors are required to explain what aspects of the contracts are deemed relevant to the IMCS IV effort. Where problems existed, clearly describe management actions employed in overcoming these problems and the effects of those actions, in terms of improvements achieved or problems rectified.
