SB DEVIATION CLAUSES
The following FAR and DFARS Small Business Deviation clauses are added below by text due to the contract writing system not being updated with the most recent versions.
52.219-6 Notice of Total Small Business Set-Aside (DEVIATION 2019-O0003).
(a) Definition. “Small business concern,” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the size standards in this solicitation.
(b) Applicability. This clause applies only to—
(1) Contracts that have been totally set aside or reserved for small business concerns; and (2) Orders set aside for small business concerns under multiple-award contracts as described in 8.405-5 and 16.505(b)(2)(i)(F).
(c) General.
(1) Offers are solicited only from small business concerns. Offers received from concerns that are not small business concerns shall be considered nonresponsive and will be rejected.
(2) Any award resulting from this solicitation will be made to a small business concern.
(d) Agreement.
(1) For a contract at or below the simplified acquisition threshold, a small business concern may provide the end item of any domestic firm. For a contract exceeding the simplified acquisition threshold, a small business concern that provides an end item it did not manufacture, process, or produce, shall—
(i) Provide an end item that a small business has manufactured, processed, or produced in the United States or its outlying areas;
(ii) Be primarily engaged in the retail or wholesale trade and normally sell the type of item being supplied; and
(iii) Take ownership or possession of the item(s) with its personnel, equipment, or facilities in a manner consistent with industry practice; for example, providing storage, transportation, or delivery.
(2) Paragraph (d)(1) of this clause does not apply to construction or service contracts.
(End of clause)
52.219-14 Limitations on Subcontracting (DEVIATION 2019-O0003)
(a) This clause does not apply to the unrestricted portion of a partial set-aside.
(b) Definition. As used in this clause—
“Similarly situated entity” means a first-tier subcontractor, including an independent contractor, that has the same small business program status as that which qualified the prime contractor for the award and that is considered small for the NAICS code the prime contractor assigned to the subcontract the subcontractor will perform. An example of a similarly situated entity is a first-tier subcontractor that is a HUBZone small business concern for a HUBZone setaside or sole source award under the HUBZone Program.
(c) Applicability. This clause applies only to—
(1) Contracts that have been set aside or reserved for small business concerns or 8(a) participants;
(2) Part or parts of a multiple-award contract that have been set aside for small business concerns or 8(a) participants; and
(3) Orders set aside for small business or 8(a) participants under multiple-award contracts as described in 8.405-5 and 16.505(b)(2)(i)(F).
(d) Independent contractors. An independent contractor shall be considered a subcontractor.
(e) Agreement. By submission of an offer and execution of a contract, the Offeror/Contractor agrees in performance of the contract in the case of a contract for—
(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the 50 percent subcontract amount that cannot be exceeded;
(2) Supplies (other than procurement from a nonmanufacturer of such supplies), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the 50 percent subcontract amount that cannot be exceeded;
(3) General construction, it will not pay more than 85 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the 85 percent subcontract amount that cannot be exceeded; or
(4) Construction by special trade contractors, it will not pay more than 75 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the 75 percent subcontract amount that cannot be exceeded.
(f) A joint venture agrees that, in the performance of the contract, the applicable percentage specified in paragraph

The contracting office also shall coordinate with the SBA prior to processing any novation agreement. The contracting office may assign contract administration functions to a contract administration office.
(c) The 8(a) Contractor agrees that it will notify the Contracting Officer, simultaneous with its notification to the SBA (as required by SBA’s 8(a) regulations at 13 CFR 124.515), when the owner or owners upon whom 8(a) eligibility is based plan to relinquish ownership or control of the concern. The successful Offeror’s transition-in plan will be made a part of the awarded contract.
VOLUME 5 – FACTOR 5: COST/PRICE:
Price/cost data shall only be included in the cost volume, Volume 5, and not within any other proposal volume. Major subcontractors must provide a separate cost proposal directly to the Government and in accordance with the information below.
This volume shall consist of all information, required to support proposed costs and prices.
Competition is anticipated therefore Certified Cost and Pricing Data are not currently required in accordance with FAR 15.403-1(b)(3); however, the Government reserves the right to request such data prior to award if none of the exemptions in FAR 15.403-1(b) apply. The information submitted in this volume shall comply with the cost element format FAR 15.408, Table 15-2, and the requirements set forth below. There is no page limitation for this volume.
Offerors shall consider the Section H clause which states, “Offerors shall be required to manage to the contract ceiling stated in their proposal. Offerors will be evaluated on their ability to manage to the target cost for each year of the contract. Any overrun above the target cost will result in a negative CPARS rating under cost control.”
Proposed cost/price will not be adjectively rated. A total price will be evaluated for each Offeror.
The total evaluated price will be the summation of the Section B CLINs, including any probable cost adjustments made by the Government. Each offeror must propose manpower identical with the levels stated in the LOE_Spreadsheet.xls.
Each offerors’ cost/price proposal will be evaluated for price fairness and reasonableness in accordance with FAR 15.404-1. Only cost reimbursable requirements/CLINS will be evaluated for cost realism in accordance with FAR 15.40-1(d). Each offeror’s proposed direct labor rates will be analyzed for realism. If more than 16% of the individual direct labor rates are determined to be unrealistic, the offerors entire cost proposal may be determined to be unrealistic and un-awardable. In accordance with FAR 15.404-1, the Government may use various statistical analysis techniques to determine realism. The agency may perform (but is not limited to) a standard deviation analysis or median absolute deviation analysis under which direct labor rates will be determined unrealistic if they fall more than one standard deviation or one median absolute deviation below the competitive mean or median, respectively. It is incumbent upon all offerors, subcontractors, and teaming partners to propose realistic direct and indirect rates.
To support its total compensation plan of professional employees in accordance with FAR 52.222-46, offerors shall submit a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract. Supporting information will include data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used in establishing the total compensation structure.
Part of the level of effort includes labor categories that are subject to the Service Contract and as such statutory requirements must be met for the employees’ pay and fringe benefits. Included in the level of effort cost model are SCA labor code identifiers and Attachment 5 is the respective Collective Bargaining Agreement. The offerors are required to propose labor rates in accordance with the level of effort requirements. If a labor category is identified as being subject to the Service Contract Act, either wage determinations based on prevailing rates or wage determinations based on collective bargaining agreements, the offeror shall not deviate from that requirement. Labor categories identified as professional categories shall be proposed as such and shall not be converted to wage determined categories.
As noted above, the offeror's proposed costs will be evaluated by determining what the Government expects the offeror's approach would most probably cost the Government when the work performed under the contract is completed. To the degree that the Government's most probable cost estimate is higher or lower than the Offerors proposed cost; the cost will be adjusted upward/downward for the purposes of evaluation only.
NOTE: The Government may use external sources of information in performing its cost analysis to include, but not limited to, Bureau of Labor Statistics, Department of Labor, Department of State, DCAA, or DCMA. This DOES NOT excuse the Offeror from following the proposal submission instructions.
Offeror and subcontractor proposals will be evaluated based on the cost/price reasonableness and realism criteria contained in FAR 15.404-1. The manner and degree of the criteria used will be determined by the contracting officer based on competition and other factors. A proposal is presumed to represent the offeror's best effort to respond to the solicitation. Any significant inconsistency, if unexplained, raises a fundamental issue of the offeror's understanding of the nature and scope of the work required and may be grounds for rejection of the proposal.
Offerors shall provide proposed cost and/or fee as required for all CLINs in Section B.
Each offeror’s cost/price proposal shall contain sufficient quantitative and narrative documentation necessary to adequately support and explain the reasonableness and realism of the proposed cost/price proposed in proposal Section B. Offeror proposals shall conform to the reporting criteria in FAR 15.408, Table 15-2. FAR 15.408, Table 15-2 prescribe the FAR’s generally accepted format for cost proposals. More specifically, each offeror’s cost proposal shall be broken out by cost element as specified in Table 15-2, II Cost Elements. To help ensure this requirement, a Microsoft Excel workbook titled "LOE_Spreadsheet" has been provided as an attachment to this solicitation. Instructions for completing LOE_Spreadsheet.xls are contained in that file. FAR 15.403-5(b) allows the Contracting Officer to specify the format of other than cost or pricing data or data other than cost or pricing data to facilitate and enhance cost/price and cost realism analysis. These spreadsheets will help facilitate a more efficient, consistent, and fair evaluation of each offeror’s proposal, and aid in post-award contract administration. Offerors are permitted to alter the format of the spreadsheet (i.e. add and subtract rows, columns, and formulas as necessary, etc) in order to conform to the nuances of the offeror’s accounting and estimating systems. However, it is requested that the general format be maintained as much as possible for Government evaluation purposes. Offerors are required to fill in rates for all labor categories included in the LOE_Spreadsheet, regardless of whether or not projected LOE hours are associated with the labor category. However, only those labor categories with projected LOE hours will be used in calculating each offeror’s total evaluated cost/price. Offerors must not deviate from the stated LOE hours provided in the LOE_Spreadsheet.xls, or their proposal will not be considered for award.
Offerors shall provide a FFP price for the Transition-In (CLIN 1000) which will include the labor mix required to accomplish the Transition-In mission and shall reflect the Transition In Plan described under Technical Factor 4, Transition Plan. The offerors shall propose CPFF for the Transition-Out (CLIN 3000), in accordance with the LOE specified in the LOE Spreadsheet.
Each transition period shall be for a period of 45 calendar days described in Volume 4 above.
The Transition-In (CLIN 1000) price shall include all costs associated with the Offeror’s proposed transition-in plan which shall include, but not be limited to, travel and material during the transition-in period of performance. Each Offeror shall enter the number of personnel and hours specified in the LOE Spreadsheet in the Transition-Out sections of Solicitation Attachment 7 (LOE Spreadsheet). The Transition-Out personnel and hours shall not be adjusted by the offerors.
For proposal purposes, CLINs with an “estimated” normalized amount for Other Direct Costs (ODC) are the following: CLIN 1100, 2100, and 3100. Each Offeror shall include these estimated normalized amounts in their proposal. Any material handling and/or G&A may be applied to ODCs as appropriate. Since ODCs are estimated amounts that may or may not occur, NO FIXED FEES shall be proposed on normalized CLIN amounts for the purposes of this solicitation.
Offerors are encouraged to provide whatever supplemental information necessary to help the Government understand why the proposed costs are reasonable and realistic. Supporting narrative and supplmental information shall be submitted in Adobe PDF or Excel (2007 or later) compatible format. Any supporting schedules shall be submitted in a Microsoft Excel (2007 or later) compatible readable format.
Each offeror is to provide two electronic copies of their cost/price proposal. The Excel version of the completed LOE_Spreadsheet.xls shall also be included with the rest of the proposal submission. One shall be locked (read only) and one shall be open. Worksheet formulas shall be readable.
