SECTION L - INSTRUCTIONS

Section L Instructions to Offerors

52.212-1 Instructions to Offerors-Commercial Items.

(2018)

Instructions to Offerors-Commercial Items (Aug 2018)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show-

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart

4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers.

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is "late" and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and-

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation.

(1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101- 29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to- GSA Federal Supply Service Specifications Section Suite 8100 470 East L'Enfant Plaza, SW Washington, DC 20407 Telephone (202) 619-8925 Facsimile (202) 619-8978.

(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a single copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained free of charge by submitting a request to the addressee in paragraph (i)(1)(i) of this provision. Additional copies will be issued for a fee.

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.

(j) Unique entity identifier. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database.)

The Offeror shallenter, in the block with its name and address on the cover page of its offer, the annotation "Unique Entity Identifier" followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the

Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.

(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.

(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.

(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.

(4) A summary of the rationale for award;

(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.

(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

(End of Clause)

Addendum to FAR 52.212-1 Instructions to Offerors – Commercial Items

1.0 General Instructions

The offeror’s proposal shall be submitted electronically by the date and time for receipt of offers indicated in the solicitation. These instructions prescribe the format for the proposal and describe the approach for the development and presentation of the requested information.

The offeror’s proposal must include all data and information requested by these instructions and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS). Non-conformance with these instructions may result in an unfavorable proposal evaluation.

The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the contractor’s experience matches these requirements.

Offerors shall assume that the Government has no prior knowledge of their experience and will base its evaluation on the information presented in the contractor's proposal.

All proposals must demonstrate that the Offeror has an understanding of the requirements and associated risks as well as possesses the resources and acumen in providing the solutions necessary to meet the requirements set forth in this solicitation. The Government considers statements that the prospective Offeror understands, can or will comply with the statements paraphrasing the requirements or parts thereof, to be inadequate and unacceptable. The Government further considers mere reiteration of the requirement or standard reference material to also be inadequate and unacceptable.

Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.

The contractor shall make a clear statement in Volume I that the proposal is valid for 90 days from submission.

2.0 General Information

2.1 Points of Contact

The designated point of contact for this acquisition is Mr. Peter W. Maley. Address any questions or concerns you may have to Mr. Maley. Email is the preferred method of communication. Mr. Maley’s contact information is listed below.

Mr. Peter W. Maley Department of Defense HQ Joint Interagency Task Force South Regional Contracting Office Key West Key West, FL 33040-9051

(305) 293-5347 E-mail address: peter.w.maley.civ@mail.mil

2.2 Solicitation Questions:

Offerors may email questions regarding this solicitation to the Contracting Officer, Peter.W.Maley.civ@mail.mil.

The Government will answer all questions provided that the questions are received by the cut-off date of 22 April 2019. Questions will be answered via amendment to the solicitation adding a Questions and Answers attachment.

The attachment will be updated as additional questions are received. The Government reserves the right not to respond to any questions received concerning this solicitation after the cut-off date. Accordingly, Offerors are encouraged to carefully review all solicitation requirements and submit questions to the Government early in the proposal cycle.

2.3 Discrepancies

If a contractor believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the contractor shall immediately notify the Contracting Officer in writing with supporting rationale as well as the remedies the contractor is asking the Government to consider as related to the omission or error.

2.4 Discussions

2.4.1 It is the Government’s intent to award without discussions. However, The Government reserves the right to conduct discussions if it is determined to be in the best interest of the Government.

2.4.2 If the Government determines, after the initial evaluation of the lowest priced proposal, that discussions are necessary; the Government may make a competitive range determination (limited to a restricted number of the lowest priced proposals) in order to establish a list of offerors with a reasonable chance of award. Communications for the purpose of clarification or past performance information do not constitute discussions.

2.4.3 If discussions are held, offeror responses to Evaluation Notices (ENs) and the Final Proposal Revision (FPR) will be considered in making the source selection decision. If the offeror’s proposal was initially evaluated as acceptable, any changes or exceptions in the FPR are subject to evaluation and may introduce risk that the offeror’s proposal could be determined unacceptable and ineligible for award.

2.4.4 Discussions will be initiated by the Contracting Officer upon issuance of ENs to the offerors within the competitive range. ENs may be orally briefed to offerors prior to written release to ensure complete understanding by the respective offeror of any discrepancies.

2.4.5 Any offeror excluded at any time during the source selection process will be afforded the opportunity to request either a pre-award or post-award debriefing in accordance with FAR 15.503. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait and request a post award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing.

2.4.6 Oral Presentations: Oral presentations will not be permitted.

2.5 Subcontractors:

2.5.1 Subcontractor submissions: If an offeror wishes to propose a subcontractor under this solicitation, the proposed subcontractor shall prepare a complete proposal (identical is all regards to the prime contractor’s proposal under this solicitation) as an attachment to the offeror’s proposal. The subcontractor’s proposal will be evaluated for acceptability using the same standards as applied to the prime under this solicitation.

2.5.2 Subcontractor agreement: In addition, the prime contractor shall submit a letter or other document indicating the intent to contract with a third party (subcontractor). This document must be signed by both the prime and the proposed subcontractor.

3.0 Amendments to Solicitation

If this Request for Proposal (RFP) is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of all amendment(s) to the solicitation in their proposal submission.

4.0 North American Industry Classification System (NAICS) code and small business size standard.

The NAICS code and small business size standard for this acquisition are:

NAICS: 561612 Size Standard: $20.5 Million

5.0 Acceptance

A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. The Government may accept an offer (or part of an offer) before the offer’s specified expiration time, whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

All offeror’s proposals shall be valid for 90 days after submission.

Offerors must possess a Top Secret Facility Clearance (FCL) at time of proposal submission. Proposals submitted by offerors without a Top Secret FCL will be considered non-responsive and will not be evaluated or considered for award.

6.0 System for Award Management (SAM).

Unless exempted by an addendum to this solicitation, by submitting an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.sam.gov.

Past Performance _

Technical Acceptability, Past Performance and Price will be evaluated as stipulated in the 52.212-2 Addendum attached.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. (End of Provision)

Addendum to FAR 52.212-2 Evaluation – Commercial Items

1.0 Basis for Contract Award.

1.1 This is a competitive 8(a) Low Price, Technically Acceptable (LPTA) best value source selection conducted in accordance with Federal Acquisition Regulation (FAR) 15.3, Source Selection, utilizing Department of Defense Source Selection Procedures and the Army Source Selection Supplement.

1.2 The Government will select the Lowest Priced, Technically Acceptable offer based on an assessment of Technical Acceptability, Past Performance, and Price. A contract may be awarded to the offeror who is deemed responsible in accordance with the FAR, as supplemented; whose proposal conforms to the solicitation’s requirements (including all stated terms, conditions, representations, certifications, and all other information required by Addendum to FAR 52.212-1 of this solicitation; and is judged as Acceptable based on the evaluation factors and sub factors. The SSA will base the source selection decision on an assessment of proposals against the source selection criteria described below. While the Government source selection evaluation team and the SSA will strive for maximum objectivity, the source selection process, by its nature, is subjective; and therefore, professional judgment is implicit throughout the entire process.

2.0 Number of Contracts to be Awarded.

2.1 The Government intends to award a single contract under this solicitation.

3.0 Security Acceptability.

3.1 Offerors must possess a Top Secret Facility Clearance (TS/FCL) and the TS/FCL must be on file with the National Industrial Security Program (NISP) Central Access Information Security System (NCIASS) at time of proposal submission. Proposals submitted by offerors without a current active Top Secret FCL on file will be found non-responsive and will not be considered for award.

4.0 Proposals.

4.1 Noncompliance with the RFP proposal requirements may raise serious questions regarding your technical acceptability and/or pricing. Failure to include all information requested may adversely affect your evaluation. A proposal that is orderly and sufficiently documented will be easy for the Government to understand and will enable the Government to perform a thorough and fair evaluation. The Contracting Officer will begin the evaluation process by conducting a proposal compliance review for determination of basic proposal adequacy prior to providing the proposals to the evaluators. The Government also reserves the right to obtain additional information from the offeror solely for the purpose of making a responsibility determination after receipt of proposals. Requests for responsibility information do not constitute discussions. By submission of the offer, the offeror agrees that all items proposed (if applicable e.g., Program Manager, subcontractors, etc.) will be utilized for the duration of the contract and any substitutions shall require prior Contracting Officer's approval.

5. Source Selection Process.

5.1 Award will be made utilizing the source selection procedures found at FAR 15.101-2, Lowest Price Technically Acceptable Source Selection Process. All proposals will be evaluated for accuracy and completeness; then put in rank order by proposed price, from lowest price to highest. The Government will evaluate the lowest priced proposal for acceptability first. If the lowest priced proposal is deemed acceptable, award will be made on that proposal without further consideration of other proposals. If the lowest priced proposal is unacceptable in any regard, a complete evaluation is made of the second low; and so on until an acceptable proposal is found.

6. Evaluation Approach and Factors for Award.

6.1 Evaluation of Non-Price Factors: Non-price Factors will be evaluated in the context of Government risk. Risk, as it pertains to source selection, is the potential for unsuccessful contract performance. Unacceptable technical or past performance evaluations increase the Government’s risk of contract failure to an unacceptable level.

6.1.1 Technical Factors: The term "technical factors” refers to non-price factors other than past performance.

The purpose of technical factors is to assess the offeror's ability to satisfy the Government's minimum requirements. Proposals will be evaluated against requirements to determine whether the proposal is acceptable or unacceptable, using the ratings and descriptions outlined in Tables M-1and M-2 below.

6.1.1.2 The four technical factors to be evaluated are: Past Experience, Manning Tables & Duty Schedules, Contractor / Service Personnel Security Clearances and State of Florida required Licenses. Past Experience is further broken down into five sub-factors covering five areas of Security Support Services (S3) critical to success of the S3 contractor as shown in Table M-2. All factors and sub-factors are of equal importance. An unacceptable rating in any factor or sub-factor will make the proposal ineligible for award.

6.1.1.3 Table M-1.Technical Acceptable/Unacceptable-Rating for Past Experience

Rating Description Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.
