Addendum to Evaluation - Commercial Product and Commercial Services

Miscellaneous text in this section has been modified to:

FAR 52.212-2 Addendum - EVALUATION FACTORS FOR AWARD

1. BASIS FOR AWARD

This is a competitive acquisition for commercial services conducted in accordance with FAR Part 12, utilizing evaluation techniques from FAR Part 15. The evaluation will be conducted using the Highest Technically Rated with a Fair and Reasonable Price (HTR-FRP) methodology, informed by FAR 15.103-3. The Government will award a contract to the responsible offeror whose offer, conforming to the solicitation, is most advantageous to the Government. Offerors are advised that the Government will not consider tradeoffs between cost or price and non-price factors. This acquisition will utilize the Highest Technically Rated with a Fair and Reasonable Price (HTR-FRP) source selection methodology. The evaluation process will be conducted as follows:

All proposals will first be evaluated based on the non-price factors outlined in this solicitation, and the Government will determine the highest technically rated proposal.

The price of the highest technically rated proposal will then be evaluated to determine if it is fair and reasonable.

If the highest technically rated proposal's price is determined to be fair and reasonable, that proposal will be selected for award.

If the price is not fair and reasonable, that proposal will be rejected. The Government will then determine the next highest technically rated proposal and evaluate its price for fairness and reasonableness. This process will continue until a contract is awarded to the highest technically rated responsible offeror with a fair and reasonable price.

2. EVALUATION PROCESS

The Program Management factor is the basis for the technical evaluation and rating of offers. The overall rating for this factor is a consolidated assessment derived from the evaluation of three equally weighted subfactors:

Subfactor 1: Relevant Experience

Subfactor 2: Staffing and Personnel Management

Subfactor 3: Host Nation Compliance Approach

All proposals will be evaluated against the non-price criteria under Factor 1, Program Management.

Adjectival ratings will not be assigned to the Price. Price will not be used in the technical evaluation. Price is evaluated for the highest technically rated offeror solely to determine whether the proposed price is fair and reasonable, utilizing the price analysis techniques described in FAR subpart 15.4.

3. EVALUATION FACTORS

Factor 1: Program Management

The Government will evaluate the Program Management factor by assigning the highest technically rated, overall adjectival rating. This rating will be based on a consolidated assessment of the proposal against all three subfactors.

Subfactor 1 - Relevant Experience

The Government will evaluate the Offeror's submitted contract reference to assess the degree to which their experience provides a sound basis for predicting successful performance of this requirement. The evaluation will consider the following aspects of the Offeror's experience:

Relevance: The Government will assess the overall relevance of the offeror's experience. A more relevant contract reference is one that is similar in scope (e.g., ACS-type functions), magnitude (e.g., managing a 3-6 FTE/PTE workforce), and complexity to the requirements of this PWS. As stated in 52.212-1 instructions, experience performed within Italy will be considered more relevant and therefore more advantageous to the Government.

Recency: Whether the experience was performed within the required timeframe. More recent experience will be viewed as more indicative of current capability and understanding.

Applicability: The extent to which the described experience is a direct predictor of the Offeror's ability to successfully perform the PWS requirements for this effort

The Government will assign a combined technical/risk rating for this subfactor based on how the Offeror's demonstrated experience reflects an understanding of the requirements and the associated level of performance risk.

Subfactor 2 - Staffing and Personnel Management

The Government will evaluate the offeror's plan to determine if it provides a realistic and effective approach to maintaining a qualified and stable workforce. The evaluation will assess the proposed methods for:

- Recruitment and Retention: The Government will evaluate the Offeror's approach for recruiting, qualifying, and retaining the necessary workforce. The quote must demonstrate a understanding of the local Vicenza labor market and the effectiveness of its processes for verifying all PWS-mandated qualifications and ensuring long-term workforce stability.

Continuity of Operations: The Government will evaluate the degree to which the Offeror's proposed Vacancy Management process presents a clear, actionable, and low-risk approach to maintaining a full workforce. The evaluation will assess the plan's effectiveness in preventing service degradation by addressing both routine and sudden, unplanned personnel vacancies

Quality Control Approach: The effectiveness of the proposed QC methodology as demonstrated by its specific application to the deliverables and performance standards identified in 52.212-1 Section 5.2(c). Generic QC descriptions without demonstrable application to this contract's specific requirements will not receive credit.

Subcontracting Plan: If subcontractors are proposed, the Government will evaluate the soundness of the offeror's proposed subcontracting approach. The evaluation will assess the degree to which the plan presents a clear, integrated, and effective strategy for managing subcontractors to ensure successful contract performance. The Government will also evaluate the signed, legally binding agreements submitted for any subcontractor proposed to perform 10% or more of the total contract value to assess the level of commitment and stability within the proposed team.

The Government will assign a combined technical/risk rating for this subfactor based on the credibility of the Offeror's integrated approach to staffing, quality, and subcontractor management, and the resulting level of risk associated with that approach.

Subfactor 3 - Host Nation Compliance Approach

The Government will evaluate the degree to which the Offeror's proposed Host Nation Compliance Approach presents a credible, comprehensive, and substantiated plan for ensuring full compliance with Italian legal, labor, and tax requirements throughout the contract. The assessment will focus on the viability and clarity of the company infrastructure and processes proposed.

The Government will assign a combined technical/risk rating based on the confidence provided by the Offeror's approach and the resulting risk of non-compliance with host nation laws.

Factor 2: Price

Adjectival ratings are not assigned to price. The Government will evaluate the Offeror's Price proposal for completeness and reasonableness using one or more of the analytical techniques in FAR 15.404-1. The price evaluation will include:

Completeness: All CLINs must be priced. Incomplete proposals may be determined non-compliant.

Reasonableness: The Government will compare proposed prices against the Independent Government Estimate (IGE), prices received from other offerors, and any other available pricing data. Prices that appear unreasonably high may render the proposal ineligible for award.

Unbalanced Pricing: Proposals will be screened for unbalanced pricing per FAR 15.404-6. Significant imbalance between CLINs for example, front-loading early ordering period pricing at the expense of later ordering periods will be assessed as a performance risk.

Unrealistically Low Pricing: Should the Government determine proposed prices are unrealistically low (an indication of "buy-in"), this will be considered a performance risk and may be deemed ineligible for contract award.

Total Evaluated Price: The Total Evaluated Price will include the sum of all CLIN prices plus six (6) months of the final ordering period price, calculated by dividing the final ordering period total by two and, in accordance with FAR 52.217-8 (Option to Extend Services). The Total Evaluated Price will be used solely for the purpose of determining whether the Offeror's proposed price is fair and reasonable.

4. EVALUATION RATING

Factor 1 and its subfactors will be assigned one of the adjectival ratings defined in the table below, which includes an assessment of performance risk.

Rating Description

Outstanding Offer demonstrates an exceptional ability to meet the requirements. The approach clearly exceeds expectations in multiple areas, providing the Government with high confidence in successful contract performance.

Good Offer demonstrates a strong ability to meet the requirements. The approach exceeds expectations in one or more areas, providing the Government with above-average confidence in successful contract performance.

Acceptable Offer demonstrates an adequate ability to meet the requirements. The approach meets expectations, providing the Government with reasonable confidence in successful contract performance.

Marginal Offer does not adequately demonstrate the ability to meet the requirements.

The approach has gaps or shortcomings that create significant doubt about successful contract performance.

Unacceptable Offer fails to meet the requirements of the solicitation and is not eligible for award.

5. COMMUNICATION WITH OFFERORS

The Government intends to evaluate proposals and award a contract without conducting exchanges. However, the Government reserves the right, at its sole discretion, to conduct communications with one, some, or none of the offerors if determined necessary by the Contracting Officer. Such communications may include requests for an offeror to clarify, modify, or revise its proposal. The Government is not required to provide all offerors with the same opportunity to revise their proposals. The specific procedures governing all communications with offerors are detailed in the Addendum to FAR 52.212-1.

6. Government Use of Artificial Intelligence (AI) in Proposal Evaluation

The Government reserves the right to utilize authorized Artificial Intelligence (AI) tools, including natural language processing and generative AI technologies, to assist and advise in the administrative review, organization, and evaluation of proposals submitted in response to this solicitation. Authorized AI tools may be used to assist and advise Government evaluators in tasks such as locating specific information, cross-referencing proposal volumes, and summarizing narrative text against the solicitation requirements. Offerors are advised of the following parameters regarding the Government's use of AI:

Human-in-the-Loop: AI tools may be used strictly as an assistive and advisory technology. If used, AI-generated outputs, summaries, or analyses may be independently reviewed and verified by Government evaluators. All final evaluation ratings, responsibility determinations, and the ultimate Source Selection Decision will be made exclusively by authorized human Government personnel. AI will not be used to autonomously score proposals or make the award decision.

Data Protection: Any AI tools utilized by the Government will operate within secure, authorized Government IT environments. Offeror proposal data, including confidential business strategies, pricing, and proprietary technical approaches, will be strictly protected and will not be shared with unauthorized third parties.
