About this file

This file is a Questions and Answers (Q&A) document addressing industry inquiries regarding the consolidated Army Community Service (ACS) contract solicitation W912PF-26-R-A005 for USAG Italy, Vicenza. The Q&A provides Government clarifications on Performance Work Statement (PWS) requirements, staffing constraints, personnel qualifications, compliance obligations, and operational procedures, with several responses resulting in formal PWS updates.

Key clarifications include: staffing constraints permit temporary cross-over between positions during absences or surges provided no concurrent duties overlap and qualifications are met; the Contract Manager and Alternate Contract Manager are not required to be physically on-site or fluent in Italian, provided communication and response-time requirements are met; periodic progress meetings may be conducted remotely at the Contracting Officer's discretion; Italian Language Instructor positions are part-time limited to active session weeks (12 sessions annually: 8 beginner plus 4 intermediate); the Government provides bus transportation for Orientation and Cultural Integration tours, with the Contractor responsible for securing train tickets and activity-specific costs; resumes are required only for the Contract Manager and Alternate at proposal submission, with other personnel documentation maintained during performance; all pricing must be submitted in Euros with no exchange rate conversion applied; compensation floors are determined by the applicable Italian Collective Bargaining Agreement (CCNL) selected by the Offeror, not by U.S. wage standards; the Service Contract Labor Standards (SCA) do not apply as performance is entirely outside the Continental United States; and Contract Manager and Alternate Manager costs must be allocated proportionally across existing CLINs rather than added as separate line items. The document also confirms this is a new consolidated acquisition replacing five predecessor contracts, clarifies the Quality Control Plan requirements, addresses Italian labor law compliance obligations, and specifies procedures for key personnel substitution and background check processing.

PWS UpdatesQuestionAnswer
No PWS updateWe do not have an IVA, but we have a EIN and American CoC Number with the IRS, and chamber of commerce. In accordance with the Addendum to 52.212-1, Subfactor 3 (Host Nation Compliance Approach), Offerors must clearly identify their workforce employment model and demonstrate the legal ability to operate and employ personnel in Italy. An American EIN and IRS registration alone do not satisfy Italian tax and labor laws.
No PWS update'closet' is troubling me. What is this? Do I need people who manage forklifts, or moving vans, etc? Or is this an administrative only post?In accordance with PWS paragraph 5.3.4, Lending Closet Operations, the requirement is an administrative function overseeing a storage room of first necessity items (e.g., kitchen utensils). The Contractor is responsible for maintaining inventory and managing the checkout/return process. Clients are responsible for collecting and transporting the items. The management or operation of forklifts or moving vans is not required.
No PWS updateOrientation Tours, which is right up my alley: Are vans included, or do I need to procure them myself? In accordance with PWS paragraph 3.7, Transportation Support, 'The Government will provide bus transportation for Orientation Tours (PWS 5.1.4) and Cultural Integration Tours (PWS 5.1.5).' The Contractor is not required to procure vans for these specific tours.
No PWS updateIs there a security clearance any staff members may be required to attain? In accordance with PWS paragraph 1.11.2, Personnel Security Clearance Requirements are 'RESERVED,' indicating a formal security clearance (e.g., Secret) is not required. However, in accordance with PWS paragraphs 1.11.3 through 1.11.5, Contractor personnel must successfully pass required background investigations to obtain a Common Access Card (CAC) and local installation access.
No PWS updatehowever, am I allowed to hire ex-pats? As well as Italians? In accordance with the solicitation, the Government does not restrict the nationality of personnel hired; PWS paragraphs 1.11.4 and 1.11.5 outline requirements for U.S. Citizens, Local Nationals, and Third Country Nationals. However, this contract does not grant U.S. Status of Forces Agreement (SOFA) privileges or logistical support. American ex-pats residing in Italy without SOFA status must be hired under Local National/Italians labor conditions. The Contractor is solely responsible for ensuring all personnel hold the appropriate visas, work permits, and legal authorization to reside and work in Italy in accordance with Italian labor and tax laws.

No PWS update Regarding the solicitation for ACS Services at USAG Italy, Vicenza (W912PF-26-R-A005), could you please confirm whether this is a recompete of an existing contract? If it is a recompete, could you also provide the PIID of the predecessor contract? This requirement is a new consolidated acquisition that replaces multiple predecessor contracts currently providing these services. The predecessor contract numbers are W912PF21P0026, W912PF21P0009, W912PF22P0019, W912PF24P0053, and W912PF24P0067. PWS updatedPWS §5.0.1 – Staffing Constraints (one person per task requirement)] PWS §5.0.1 requires that each position be filled by a unique individual. Please clarify whether this restriction applies only to concurrent performance, or whether the Government permits the use of part time or qualified personnel as temporary backfill to maintain continuity of services during short term absences (e.g., illness, leave), provided no duties overlap. In accordance with the updated PWS section 5.0.1, Staffing Constraints, an employee "may not concurrently perform the duties of another position... during the same scheduled hours." However, "Qualified personnel are permitted to temporarily cross-over to another position to maintain continuity of services (e.g., during short-term absences or surges), provided the individual meets all required qualifications for the covered position and no concurrent performance duties overlap.

PWS updatedPWS §1.18 – Key Personnel/ PWS §1.18.1 – Contract Manager and Alternate Contract Manager Qualifications] PWS §1.18 requires the PM and APM to be readily available between 0800 and 1700. PWS updatedPWS §5.0 – Level of Effort and Staffing Estimate] Can the Government confirm whether the staffing estimates provided in PWS §5.0 (FTE/PTE by position) represent the total staffing requirement across all supported locations, or whether the Government anticipates replicating these staffing positions at multiple physical locations within Italy? In accordance with the updated PWS Section 5.0, Level of Effort and Staffing Estimate, "These estimates represent the total consolidated requirement specific to the USAG Italy, Vicenza location only; the Government does not require these staffing positions to be replicated at other physical locations".
PWS updatedPWS §3.7 – Transportation Support/PWS §§5.1.4 and 5.1.5 – Tour Requirements/PWS §4.4 – Vehicles and Equipment] For Orientation Tours and Benvenuti Cultural Integration Tours (PWS §§ 5.1.4 and 5.1.5), can the Government clarify:
(a) whether transportation (bus) is Government furnished or contractor provided;(b) if contractor provided, whether the contractor is responsible for providing the driver; and (c) whether the contractor is responsible for obtaining and maintaining any required driver licenses, certifications, or permits. (b) Not applicable; transportation is Government-provided for these specific tours in accordance with PWS 3.7 "The Government will provide bus transportation"

(c) In accordance with the updated PWS 4.4, Vehicles and Equipment, for activities requiring off-installation travel not supported by Government transportation (e.g., Italian Language Class field trips under PWS 5.5.2 and 5.5.3), Contractor personnel must coordinate their own transportation and possess a valid driver’s license if operating a Privately Owned Vehicle (POV) to reach these locations.

PWS updatedPWS §1.18 / §1.18.1 – Key Personnel Qualifications/Attachment 2 – Language Fluency Clarification] Will the Government independently validate Level 4 language fluency (English/Italian) for contractor personnel, or will compliance be based on resumes, certifications, and employer attestation? In accordance with the solicitation, the Government has removed the Italian language requirement for the Contract Manager and Alternate (see updated PWS 1.18.1). For all other positions requiring Level 4 fluency in English and Italian (e.g., Tour Operator, Bilingual Support Assistant, Italian Language Instructors), the Government will not independently administer language proficiency tests prior to award; compliance is evaluated based on the Offeror's proposal. However, in accordance with the updated PWS, contractor personnel must be able to communicate with no difficulty of comprehension during contract performance. Compliance with this standard remains the responsibility of the Contractor.
PWS updatedPWS §1.18 – Key Personnel/FAR 52.212 1 Addendum (Communications / Clarifications)] In the event the proposed Contract Manager or Alternate becomes unavailable post award, what is the Government’s anticipated approval process and timeline for key personnel substitution? In accordance with the updated PWS Section 1.18, Key Personnel, "In the event the Contract Manager or Alternate becomes unavailable, the Contractor shall identify a qualified replacement to the Contracting Officer and COR within ten (10) calendar days. No PWS updatePWS §1.7.3 – Contractor Support Hours/PWS §5.0 – Level of Effort and Staffing Estimate/PWS §1.26 – Phase In / Ramp Up] Does the Government permit the use of on call or surge personnel pools to address short term increases in workload (e.g., peak PCS season), provided all PWS qualifications are met?Yes. In accordance with PWS Section 5.0, the Offeror is responsible for proposing a staffing plan sufficient to perform all requirements. Furthermore, in accordance with the updated PWS Section 5.0.1, Staffing Constraints, "qualified personnel are permitted to temporarily cross-over to another position to maintain continuity of services (e.g., during short-term absences or surges), provided the individual meets all required qualifications for the covered position and no concurrent performance duties overlap."
No PWS updatePWS §5.3 – Host Nation Compliance Approach/Italian Labor Law Compliance (CCNL discussion)] Will the Government confirm whether a specific CCNL is preferred or anticipated for the labor categories under this PWS, or is CCNL selection left entirely to the Offeror’s discretion? The requirement for the "Host Nation Compliance Approach" is located in the Addendum to FAR 52.212-1, Subfactor 3, not PWS 5.3. In accordance with the solicitation, the Government does not mandate or prefer a specific National Collective Bargaining Agreement (Contratto Collettivo Nazionale di Lavoro — CCNL). The selection of the applicable CCNL is at the Offeror's discretion. However, in accordance with Subfactor 3, the Offeror must specifically identify their selected CCNL and provide a rationale for why it applies to the proposed workforce and services required.
No PWS updateGeneral Requirement. Is there an incumbent for this position? If so, can the Government share the contract number? This requirement is a new consolidated acquisition that replaces multiple predecessor contracts currently providing these services. The predecessor contract numbers are W912PF21P0026, W912PF21P0009, W912PF22P0019, W912PF24P0053, and W912PF24P0067. Historical award details regarding these contracts are a matter of public record and can be accessed by the public via USAspending.gov or the Federal Procurement Data System (FPDS).
No PWS update2. General Requirement. If there is an incumbent, is there an incumbent contractor employee whom the awardee should consider for “right of first refusal” (i.e. Nondisplacement of Qualified Workers Under Service Contracts)? The FAR provisions regarding the Nondisplacement of Qualified Workers Under Service Contracts do not apply to this Outside the Continental United States (OCONUS) requirement. The Government confirms there are currently staffed personnel performing similar services under predecessor contracts (with the exception of the Lending Closet). However, the Government does not mandate a right of first refusal. The Offeror is solely responsible for determining if applicable host-nation labor laws or their selected National Collective Bargaining Agreement (CCNL) require offering employment to incumbent personnel, in accordance with the Offeror's Host Nation Compliance Approach (Addendum to FAR 52.212-1, Subfactor 3)
No PWS update3. PWS 1.5.1.3 Quality Control Plan. The Government will evaluate performance via a QASP, but it is not included in the PWS. Can the Government provide the QASP or performance metrics before proposal submission?

a. What are the specific Acceptable Quality Levels (AQLs) for each task?

b. What are the consequences for failing AQL thresholds? The Quality Assurance Surveillance Plan (QASP) is the Government's surveillance tool and is not included as an attachment to the solicitation.

(a) The specific Acceptable Quality Levels (AQLs) and performance standards (STDs) are explicitly detailed within each specific task area throughout Part 5 of the Performance Work Statement (PWS) (e.g., PWS 5.5.1, PWS 5.6.3.1.2).

(b) Consequences for failing to meet PWS requirements and AQL thresholds are governed by the standard commercial terms and conditions included in the solicitation, specifically FAR 52.212-4(a), Inspection/Acceptance.

No PWS update4. Does the Government want a management structure physically located in Europe? In accordance with the updated PWS Section 1.18, Key Personnel, the Contract Manager and Alternate Contract Manager "are not required to be physically on-site, provided all communication, response-time, and performance requirements are strictly met." The Government does not mandate the physical location of the Offeror's broader management structure. However, in accordance with the Addendum to FAR 52.212-2, Evaluation - Commercial Products and Commercial Services, the Offeror's proposed management structure, recruitment, retention, and continuity of operations must demonstrate a thorough understanding of the Vicenza, Italy labor market and the ability to successfully execute the PWS requirements.
No PWS update5. PWS Attachment 1 requires the contractor to submit a Quality Control Plan to the COR withing 10 Days. Could the Government provide what it requires in this plan?In accordance with PWS paragraph 1.5.1, Quality Control Plan (QCP), the QCP is the means by which the Contractor assures that the work provided complies with the requirements of the contract. Paragraph 1.5.1 explicitly details the minimum requirements for an acceptable QCP, stating: "At a minimum, the QCP shall include and answer the following to be acceptable: a. How the Contractor will monitor work to ensure that performance complies with all deliverables (etc. timelines, deadlines, and goals). b. How the Contractor will monitor work to ensure that performance complies with all specifications and requirements of the contract, including clauses. c. How the Contractor will identify, investigate, and correct any non-conforming performance and prevent similar deficiencies in the future. d. How the Contractor will file and save all Quality Control related documents for the life of the contract plus 5 years.
No PWS update6. The PWS 5.0.1 states that each position “shall be filled by a unique individual. An employee performing the duties of one position (e.g. Tour Operator) may not concurrently perform the duties of another position (e.g. ESL Instructor), as performance requirements may overlap.” For backfill/absences:

a. Would qualified personnel be permitted to temporarily cross-over to another position during approved absences, emergencies, or temporary staffing shortages?

b. What is the policy for backfill coverage during illness, vacation times, or other reasons in which the key personnel may be absent? (a) In accordance with the updated PWS paragraph 5.0.1, Staffing Constraints, "Qualified personnel are permitted to temporarily cross-over to another position to maintain continuity of services (e.g., during short-term absences or surges), provided the individual meets all required qualifications for the covered position and no concurrent performance duties overlap."

(b) The Contractor shall maintain an adequate workforce for the uninterrupted performance of all tasks, as required by PWS paragraph 1.7.3. For scheduled absences (e.g., vacations), the Contractor shall provide the COR with a minimum of two weeks' advance notice regarding backfill arrangements. In the event of an unplanned absence or if the Contract Manager/Alternate becomes unavailable, the Contractor shall identify a qualified replacement in accordance with the timelines and procedures established in the updated PWS paragraph 1.18.

No PWS update7. The Solicitation 7.c requires resumes for key personnel. PWS 6.1.7 states “All personnel shall have the following qualifications to be provided in a resume” but falls under the Tour Providers Subparagraph...: Can the Government please confirm that resumes are only required for the Tour providers, Contract Manager and Alternate? The Offeror's reference to PWS 6.1.7 is understood to mean PWS 5.1.7 (Personnel Qualifications), which applies specifically to the Orientation Tour Operator. In accordance with the Addendum to FAR 52.212-1, Paragraph 7 (Volume III - Mandatory Documentation), the Offeror is only required to submit resumes for the proposed Contract Manager and Alternate Contract Manager with their proposal submission. While the Contractor must maintain resumes documenting the required qualifications for all other positions (e.g., Tour Operator, Bilingual Assistant, Instructors) during contract performance as specified in the PWS, those resumes are not required to be submitted with the initial proposal.
No PWS update8. Solicitation 3 Evaluation Factors – Factor 2. Price - If quoting in Euros, what is the exchange rate the Government will use and does the Government prefer bids in Euros? In accordance with the Addendum to FAR 52.212-1, Paragraphs 1 and 6, all pricing shall be submitted strictly in Euros (€). The Government does not merely prefer Euros; it is a mandatory submission requirement. Because all Offerors must submit pricing in Euros, the Government will not apply an exchange rate for the purpose of the price evaluation.
No PWS update9. PWS 5.1.8 - Who is responsible for arranging and paying or reimbursing tour travel for sponsored individuals, as well as contractor personnel? In accordance with PWS paragraphs 5.1.4 and 5.1.5, the Government will provide bus transportation for Orientation and Cultural Integration tours. However, for any portion of a tour where a Government bus is not used (e.g., a train), "the cost of tickets for attendees will be paid by the attendees. The Contractor shall be responsible for purchasing their own tickets." Furthermore, in accordance with PWS paragraph 4.5, Activity-Specific Costs, "The Contractor shall be responsible for all activity-specific costs required for contract performance that are not explicitly identified as Government-furnished... this includes the cost of all train tickets required for the Verona/Padova portion of the tour, and any meals the contractor wishes to purchase." The Government will not separately reimburse these costs.
No PWS update10. PWS 5.6.3.1.2 - Hours vary widely by function and can be adjusted with 2 weeks’ notice:

a. What is the historical frequency of schedule changes?

b. Will pricing adjustments be allowed if hours materially change?

c. Are split shifts or staggered schedules acceptable? (a) The Government does not provide historical frequencies for schedule changes. The Offeror must propose a staffing plan sufficient to perform all PWS requirements, as detailed in PWS 5.0.

(b) No. This is a Firm-Fixed-Price (FFP) contract. In accordance with PWS 1.7.3, "ACS reserves the right to adjust service schedules, including workdays and times... with a minimum of two weeks' notice." The Contractor is responsible for maintaining an adequate workforce for uninterrupted performance, and routine schedule adjustments within the scope of the PWS will not result in an equitable adjustment or pricing change. Any changes that materially alter the overall scope or level of effort of the contract will be governed by the standard Changes clause, FAR 52.212-4(c).

(c) The Government does not dictate the Offeror's internal shift management, provided the proposed solution ensures uninterrupted in-person support during the designated operating hours for each functional area, in accordance with PWS 1.7.3.

No PWS update11. PWS Part 5. How should vendors handle workload spikes without overtime (since OT is prohibited)? In accordance with the updated PWS paragraph 5.0.1, Staffing Constraints, "qualified personnel are permitted to temporarily cross-over to another position to maintain continuity of services (e.g., during short-term absences or surges), provided the individual meets all required qualifications for the covered position and no concurrent performance duties overlap." As stated in PWS Section 5, General Scope of Limitations, "The Contractor is not authorized overtime under this contract." The Offeror is responsible for proposing a staffing plan and management approach sufficient to perform all PWS requirements without the use of overtime.
No PWS update12. PWS 5.0 - Some roles are capped (e.g., 20–25 hrs/week, 30 hrs/week, etc.), are these hard ceilings or estimates? In accordance with PWS Section 5.0, the Level of Effort and Staffing Estimates (e.g., 1.0 FTE, Part-Time) are provided as historical estimates for planning purposes and do not dictate the Offeror's proposed staffing solution. Similarly, the specific weekly coverage hours noted in PWS paragraph 1.7.3 (e.g., "20-25 hours per week" for the Lending Closet, "no more than 30 hours per week" for Bilingual Support) represent the Government's historical operational coverage. They are provided as estimates and not as ceilings. The Offeror must propose a staffing plan sufficient to meet all performance requirements based on their own review of the PWS.
No PWS update13. PWS Part 5.0 - Are the employees expected to attend training, conferences, or meetings off-site? If so, where will such events take place and what is the expected duration? If so, how will travel be reimbursed? In accordance with PWS paragraph 1.20, Contractor Travel is "RESERVED," indicating that off-site travel for conferences or external training is not required under this contract. In accordance with PWS paragraphs 3.7, 4.4, and 4.5, off-site travel is strictly limited to the execution of Orientation Tours (PWS 5.1.4), Cultural Integration Tours (PWS 5.1.5), and Italian Language Class field trips (PWS 5.5.2 and 5.5.3). The Contractor is responsible for all activity-specific costs not explicitly identified as Government-furnished; the Government will not separately reimburse travel costs.
No PWS update14. PWS 3.6 - the Contractor must develop full curriculum and testing:

a. Are there any required standards (e.g., CEFR levels, DoD language frameworks)?

b. Is there an existing curriculum or must it be created from scratch?

c. What is the expected student proficiency outcome? (a) The Government does not mandate specific external frameworks (e.g., CEFR, DoD). In accordance with PWS paragraph 5.5.4, the Contractor must propose a detailed course syllabus detailing course objectives, lesson structure, evaluation methods, and learning outcomes for COR approval.

(b) The Offeror must propose their own curriculum and teaching aids in accordance with PWS paragraphs 3.6 and 5.5.4. The Government will not provide incumbent-developed curriculum materials.

(c) In accordance with PWS paragraph 5.5.5, End-of-Course Testing, the Contractor shall develop and administer a test to evaluate comprehension and proficiency, wherein "Students must achieve a minimum passing score of 70% to advance to subsequent classes.

No PWS update 15. PWS Paragraph 5.5.3 states: ‘The Contractor shall only be entitled to payment for instructional services that have been successfully delivered. If a scheduled class is missed, the Contractor may, with prior COR approval, reschedule the class. Compensation for the rescheduled class will be made only after the instruction has been successfully completed. Invoices shall only reflect classes that have been conducted.’

a. That verbiage does not align with the CLIN structure in the pricing sheet which asks for monthly prices based on each labor category. E.g. If a re-scheduled class is held in a subsequent month, would a contract change to the CLIN be required to allow for billing?

b. How are cancellations handled due to low enrollment or Government cancellation?

c. Will minimum class sizes be enforced? (a) The solicitation contemplates a Firm-Fixed-Price (FFP) contract utilizing monthly CLINs. If a class is rescheduled and made up, or if alternate duties are performed during a cancellation, the monthly FFP CLIN amount remains unchanged and no contract modification is required for billing.

(b) In accordance with the updated PWS paragraphs 5.5.2, 5.5.3, and 5.6.3.1.2, "In the event a scheduled class is cancelled by the Government or due to low attendance, the Contractor may still invoice for the scheduled instructional time, provided the instructor remains on-site at the ACS facility during those hours to perform alternate preparatory or administrative duties (e.g., curriculum development, course material preparation) as approved by the COR."

(c) Yes. Class sizes and suspensions will be enforced strictly in accordance with the parameters defined in the PWS (e.g., PWS paragraph 5.6.3.1.2 explicitly establishes a minimum of two (2) students for ESL classes).

No PWS update16. Solicitation 3. Subfactor 3. Host Nation Compliance Approach. The Contractor is required to abide by Host Nation labor law for employees employed under the Host Nation system which requires Host Nation employees to observe Italian Federal Holidays. Could the Government add that to the PWS?In accordance with PWS paragraph 1.6.2, Host Nation Holidays, "Work shall not be performed on local Host Nation holidays occurring during the normal workweek unless otherwise directed by the Contracting Officer." The PWS explicitly lists the observed Host Nation holidays (e.g., Epiphany, Liberation Day, Republic Day, Assumption Day, All Saints' Day, Immaculate Conception, and St. Stephen's Day).
PWS Update17. PWS Para 5.5.1 specifies that Italian as a Second Language (ISL) instruction consists of 12 sessions per year (8 Beginner + 4 Intermediate), with 16 classes per session delivered twice weekly over 8 weeks. This equates to approximately 192 instructional hours per year at approximately 2 hours per class. However, PWS Para 1.7.3 lists ISL Instructor hours as '0830-1700 Monday through Friday,' which implies a full-time schedule. Please clarify:

a. (a) Is the ISL Instructor position full-time (35-40 hrs/wk year-round), or part-time and limited to active session weeks?

b. (b) What activities are the ISL Instructor expected to perform during weeks when no session is scheduled?

c. (c) What is the Government's expected FTE level for pricing purposes? (a) The position is part-time and limited to active session weeks and necessary preparation time. The Government has updated PWS paragraph 1.7.3(5) to remove the "0830-1700 Monday through Friday" text. The updated text states: "The Contractor shall provide support for scheduled classes on Mondays and Wednesdays between the hours of 0900-1100 and 1130-1330 in accordance with PWS 5.5.1."

(b) The Government does not mandate scheduled activities or coverage during weeks when no instructional session is scheduled.

(c) In accordance with PWS Section 5.0, Level of Effort and Staffing Estimate, the Government estimates the historical requirement as "Two (2) Part-Time Instructors." The Offeror is responsible for proposing a staffing plan sufficient to cover the required classes.

No PWS update 18. The solicitation paragraph 5.2 does not include a Wage Determination (WD) or reference to the McNamara-O'Hara Service Contract Act (SCA) yet performance will be OCONUS. Please confirm:

a. (a) Is this contract subject to Service Contract Labor Standards (FAR 52.222-41) given that performance is entirely OCONUS at USAG Italy?

b. (b) If SCA does not apply, what compensation floor, if any, does the Government expect the contractor to observe for Local National employees (e.g., applicable CCNL minimum wage, host nation statutory minimums)?

c. (c) Does the 'staffing and personnel management' require the prime contractor to be the direct employer of record for all contract personnel? (a) No. In accordance with FAR 22.1003-2, the Service Contract Labor Standards (SCA) do not apply to contracts performed outside the United States. Therefore, FAR 52.222-41 is not included and a Department of Labor Wage Determination is not provided.

(b) The Government does not establish a U.S. compensation floor for this OCONUS requirement. In accordance with the Addendum to FAR 52.212-1, Subfactor 3 (Host Nation Compliance Approach), the Offeror is responsible for ensuring compliance with all applicable Italian labor laws, including identifying the applicable National Collective Bargaining Agreement (CCNL) that dictates minimum wage and benefit requirements for their workforce.

(c) No. The Government does not mandate the Contractor's corporate structure. In accordance with the Addendum to FAR 52.212-1, Subfactor 3, the Offeror must identify their workforce employment model (e.g., direct hire, subcontractor, employer-of-record, or staffing agency). If a third-party arrangement is used, the Offeror must describe how they will maintain legal responsibility for compliance with Italian employment law.

No PWS update19. PWS 1.11.3 - Can the Government clarify who processes and initiates the background checks for the contractor personnel for this contract? The Contractor is responsible for initiating the process by submitting all required information and documentation for their personnel. In accordance with PWS paragraphs 1.11.3 and 1.13, background checks and installation access procedures are governed by Army in Europe (AE) Regulation 604-1 and AE Regulation 190-16. The Offeror is responsible for reviewing these regulations to understand the submission and processing requirements for U.S. Citizens, Local Nationals, and Third Country Nationals.
PWS Update20. PWS1.18 requires contract managers to interreact in Italian at level 4. Other USAG ACS consolidated contracts execute successfully without the contract managers being fluent conversant in the local language, with the individuals conducting the PWS duties verified to have the required level of fluency. In order to not unduly restrict otherwise qualified applicants, could the government clarify how the contract managers will be required to be fluent in Italian and detail what interactions the contract managers should expect in the Italian language? The Contract Manager and Alternate Contract Manager are not required to be fluent in Italian. The Government has updated PWS paragraph 1.18.1 to remove the Italian language requirement for these specific key personnel positions. The requirement for Level 4 fluency in both English and Italian remains in effect for the Tour Operator (PWS 5.1.7), Bilingual Support Assistant (PWS 5.4.6), and Italian Language Instructor (PWS 5.5.7).
No PWS update1- Given that the course is scheduled to start on 15 June, when do you expect to respond regarding the award? The Government cannot guarantee a specific date for contract award. Award will be made upon the conclusion of the evaluation process. If the evaluation timeline impacts the anticipated performance start date, the Government will adjust the Period of Performance accordingly at the time of award.

However, to be eligible for payment during a cancelled or suspended class, the Contractor's instructor must remain on-site at the ACS facility during the scheduled hours to perform alternate preparatory or administrative duties (e.g., curriculum development, copying materials) as approved by the Contracting Officer's Representative (COR).
No PWS update4- Are there specific deadlines for payment of the invoice once it has been issued via WAFF? Do separate invoices need to be issued for CLIN?In accordance with the solicitation clause FAR 52.212-4(i), Payment, the Government will make payment in accordance with the Prompt Payment Act (30 days). No PWS updateI am the owner of a sole proprietorship; therefore, I understand that I may not be required to hold all the documentation typically requested (such as Health and Safety Officer, First Aid Officer, etc.). I would like to confirm whether I am nevertheless eligible to participate in the solicitation. Could you also please advise whether it is necessary to submit in advance the CVs of my collaborators, or if my own CV would be sufficient at this stage?
(a) Eligibility & Host Nation Compliance: Any responsible entity is eligible to submit a proposal. However, the Government does not grant exemptions to host nation legal requirements based on corporate structure. In accordance with the Addendum to FAR 52.212-1, Subfactor 3 (Host Nation Compliance Approach) and PWS Section 1.27 (Safety), the Offeror is solely responsible for ensuring and documenting compliance with all applicable Italian labor, tax, and safety laws (including D.Lgs. 81/2008). If the Offeror believes their specific corporate structure legally exempts them from certain Italian statutory requirements, they must explicitly cite the applicable Italian law and provide a substantiated rationale within their Subfactor 3 proposal narrative.

(b) Submission of CVs: In accordance with the Addendum to FAR 52.212-1, Paragraph 7 (Volume III - Mandatory Documentation), the Offeror is only required to submit resumes (CVs) for the proposed Contract Manager and Alternate Contract Manager with their initial proposal. While the Contractor must maintain resumes documenting the required qualifications for all other positions/collaborators during contract performance as specified in the PWS, those resumes are not required to be submitted with the initial proposal.

No PWS update The PWS identifies the Contract Manager and Alternate Contract Manager as required Key Personnel with specific availability and responsibility requirements. However, these roles are not expressly identified as standalone CLINs in the pricing structure. Please confirm whether the Government intends for CM and ACM labor to be:

(a) included within an existing CLIN, or

(b) allocated proportionally across applicable service CLINs, or

(c) new rows added in the pricing worksheet and "Continuation of Supplies or Services and Prices/Costs" on the original solicitation document. The Government will not add dedicated CLINs for the Contract Manager or Alternate Contract Manager. In accordance with the Addendum to FAR 52.212-1, Paragraph 6 (Volume II - Price Proposal), "The Offeror shall not alter pre-existing formulas, structure, or values within the workbook." Therefore, Offerors are prohibited from adding new rows to the pricing worksheet. As this is a Firm-Fixed-Price commercial acquisition, the Offeror shall allocate the costs of contract management, supervision, and overhead proportionally across all applicable direct-service CLINs.
