1. INTRODUCTION

1.1. SCOPE: You are invited to submit a proposal in response to our Request for Proposal (RFP) entitled, “Minnesota Construction MATOC Solicitation” for construction services for National Guard locations throughout the State of Minnesota. As a result of this solicitation, the Government will award an Indefinite-Delivery/Indefinite- Quantity (IDIQ) contract to all qualified offerors. This solicitation is set-aside 100% for small business concerns. The Contracting Officer may set-aside task orders for SBA Certified 8(a) participants; Certified Historically-Underutilized Business Zones (HUBZones), Service-Disabled Veteran-Owned Small Businesses (SDVOSBs), or Women-Owned Small Businesses (WOSBs) provided two (2) or more qualified contractors in each category present qualifying offers and are awarded an IDIQ.

1.1.1. Awards will be made to all qualifying offerors in accordance with Federal Acquisition Regulation (FAR) 15.304(c)(1)(ii)(A).

1.1.2. Projects will be bid-build type from already completed designs, and/or projects specified by a Statement of Work using the Master Specification. It should be noted that the majority of work under these contracts will be for sustainment, repair and maintenance (SRM) at or under the $5M dollar level.

1.1.3. The Government reserves the right to issue additional solicitations and award additional contracts within the activities covered by this contract. In this event, new MATOC contractors, in accordance with the terms of their contracts, may compete for Task Orders with the Contractors selected under this solicitation. This is not a solicitation for a Requirements Contract.

1.2. PROJECT CATEGORIES: Work performed under these multi-discipline contracts will generally be of, but are not limited to, the following general project categories:

1.2.1. Construction, repair, and alteration of various facilities (to include renovations)

1.2.2. Construction, repair, and alteration of Mechanical Systems (e.g. HVAC systems, and controls)

1.2.3. Roof Installation and Repair

1.2.4. Construction, repair, and alteration of Fire Suppression systems

1.2.5. Construction, repair, and alteration of Electrical Systems (ES)

1.2.6. Concrete and/or Asphalt Paving

1.3. CONTRACT DURATION, LIMITS AND AMOUNTS: Each of the resulting contracts will have a five-year ordering period. The contract program ceiling amount will not exceed $49 million for all task orders awarded over the life of the MATOC program amongst all contracts awarded. The Minimum and Maximum values for a single Task Order are $2,000 and $5 million, respectively. The minimum guaranteed order for each contract is one (1) task order valued at $2,000. After the award of the IDIQ contract, a task order for $2,000 will be issued within 10 calendar days. This task order will be de-obligated and closed out when a future task order is awarded in excess the $2,000 minimum guarantee. See Division 01, SPECIAL CONTRACT REQUIREMENTS, for details.

1.4. TASK ORDERS

1.4.1. As requirements develop, Task Orders will be competed among the MATOC awardees, or negotiated on a sole source basis as described in Division 01, SPECIAL CONTRACT REQUIREMENTS. These Special Contract Requirements describe the Task Order process in detail. Offerors are highly encouraged to read the Special Contract Requirements before submitting a proposal.

1.4.2. The MATOC will be administered by the contracting office at Minnesota USPFO, 15000 Hwy 115, Little Falls, MN 56345.

1.4.3. Individual Task Orders will be awarded and administered by Federally appointed Contracting Officers, and may be issued by any Army or Air National Guard location in the State of Minnesota. Organizations outside of the issuing office of the basic contract will be responsible for the complete administration of Task Orders issued.

SECTION 00 22 16 - SUPPLEMENTARY INSTRUCTIONS TO PROPOSERS

BASIS FOR AWARD

Items highlighted in yellow are revised as a result of Amendment 0001.

SECTION 00 22 16 PROPOSAL EVALUATIONS AND BASIS FOR AWARD

1. GENERAL INFORMATION

A. BASIS FOR AWARD

The Government intends to award a Multiple Award Task Order Contract (MATOC) from this solicitation. An IDIQ contract will be awarded to all qualifying offerors. A qualifying offeror is an offeror that is determined to be a responsible source and submits a technically acceptable proposal that conforms to the requirements of the solicitation. For this evaluation process, interested Offerors submit certain specified performance and capability proposals for review and consideration by the Government. The Government will evaluate these performance and capability proposals in accordance with the criteria described herein.

The Government’s intent is to make the MATOC awards without holding discussions with Offerors (except clarifications as described in FAR 15.306(a)). Therefore, Offerors should include their best terms and conditions in the initial offer. Offerors should not assume that they will have an opportunity to participate in discussions or be asked to submit a revised offer. The Government reserves the right to conduct discussions if the Source Selection Authority (SSA) later determines them to be necessary. By submitting an offer in response to this solicitation, Offerors are agreeing to comply with all terms and conditions contained in the solicitation.

The source selection process will be conducted in accordance with FAR Subpart 15.3, Source Selection procedures.

Offers will be evaluated using the criteria listed in “Evaluation Factors for Award.” Noncompliance with the RFP requirements may raise serious questions regarding an offeror’s technical ability and/or past performance and may be grounds to eliminate the proposal from consideration for contract award. Failure to include all information requested may adversely affect the evaluation. A proposal that merely reiterates or promises to accomplish the requirements of the RFP will be considered unacceptable. A proposal that is orderly and sufficiently documented will be easy for the Government to understand and will enable the Government to perform a thorough and fair evaluation.

The Contracting Officer will begin the evaluation process by conducting a proposal compliance review for all timely proposals for determination of basic proposal adequacy prior to providing the proposals to the evaluators. Failure to provide a complete proposal may result in the proposal being removed from further consideration for award. Failure to address any one (1) of the listed evaluation factors shall be grounds for elimination from evaluation and consideration for award.

ENFORCEABILITY OF PROPOSAL: The proposal must set forth full, accurate and complete information as required by this solicitation. By submission of the offer, the Offeror agrees that all items proposed (if applicable e.g., key personnel, subcontractors, etc.) will be utilized for the duration of the contract and any substitutions shall require prior Contracting Officer's approval.

B. FACTORS TO BE EVALUATED

The following evaluation factors will be used to evaluate each proposal. Award will be made to all qualifying offerors whose proposals are determined to be acceptable for each of the evaluation factors described below.

Factor 1. Corporate Experience

Factor 2. Past Performance

Factor 3. Single Project Bonding Capacity

C. EVALUATION APPROACH

All proposals shall be subject to evaluation by the Source Selection Evaluation Board (SSEB). The overarching evaluation approach for all factors is as follows:

The proposal submitted will be used to determine whether the Offeror is a responsible source, has a proposal that meets the requirements of the solicitation, and provides no reason why the Offeror would likely offer other than fair and reasonable pricing.

The Contracting Officer and Contract Specialist will initiate the source selection process and convene the Source Selection Evaluation Board (SSEB), providing the proposals that conform to the solicitation to the SSEB.

Non-conforming proposals will not be further reviewed by the SSEB. A detailed debriefing will not be available for those proposals not selected for review by the SSEB. While the intent is to award without discussions, if at any stage in this process it is determined to be necessary to conduct discussions, the SSA will determine the proposals to be included in the competitive range consistent with FAR 15.306(c).

Proposals will be evaluated consistent with the uniform evaluation procedure set forth in this section of the solicitation. The SSEB will conduct an in-depth review and evaluation of all conforming proposals received against the factors established in the solicitation. Each member of the SSEB will independently evaluate all information provided in a proposal against the prescribed evaluation factors. The overall evaluation approach for all factors will include evaluating proposals to determine whether the Offeror’s proposal satisfies the requirements specified in the solicitation. The proposals will be evaluated to identify significant strengths, strengths, weaknesses, significant weaknesses and deficiencies.

Proposal evaluations will then be discussed among the SSEB voting members to reach consensus on each evaluation factor and on the overall proposal. The results of these evaluations will be summarized in an SSEB report, which will be forwarded to the Source Selection Authority (SSA) for use in making a final award decision.

As indicated, awards will be made to all qualifying offerors. The final selection of contractors will be made from the single evaluation.

Offerors are reminded that unsupported promises to comply with contractual requirements will not be sufficient. Proposals must not merely parrot back the contractual requirements, but rather provide substantive, understandable and realistic evidence to support promised performance.

Factor 1. Corporate Experience:

Offerors are required to provide the following information as part of their proposal for Factor 1, Corporate Experience:

Offerors shall identify a minimum of three (3) and no more than five (5) projects that have been performed by the Offeror/team member and for which the Offeror was the prime contractor performing and/or managing the work. The projects shall demonstrate the Offeror’s experience in performance of work similar to the work required by this solicitation. If less than three (3) projects are submitted, the Offeror will be considered ineligible for award. If more than five (5) projects are submitted, only the first five (5) projects as identified in the proposal will be evaluated. Offerors must submit projects that meet the following criteria:

At least one (1) submitted project of the three (3) to five (5) to be evaluated shall be for new construction, renovation, or repair of a facility within the State of Minnesota.

At least one (1) submitted project of the three (3) to five (5) to be evaluated shall be for roof installation or repair within the State of Minnesota. This is not to be a general renovation that included roofing, but rather a project that was specifically for roofing. This project may be a larger construction project that includes roof installation or repair, but the offeror needs to clearly demonstrate that the award value of just the roof work exceeds the $70,000.00 size limit identified in the “Relevancy” paragraph below. This project must be different than the project submitted for “new construction, renovation, or repair of a facility within the State of Minnesota”.

At least one (1) submitted project of the three (3) to five (5) to be evaluated shall be construction, repair, or alteration of a mechanical system (e.g. HVAC systems or controls) within the State of Minnesota. This is not to be a general renovation that included a mechanical system, but rather a project that was specifically for mechanical systems. This project may be a larger construction project that includes mechanical system construction or repair, but the offeror needs to clearly demonstrate that the award value of just the mechanical system exceeds the $30,000.00 size limit identified in the “Relevancy” paragraph below. This project must be different than the project submitted for “new construction, renovation, or repair of a facility within the State of Minnesota”.

At least one (1) submitted project of the three (3) to five (5) to be evaluated shall have been completed in an occupied facility. The offeror should indicate very clearly which project (or projects) were occupied during the construction. This does NOT need to be submitted as its own separate project.

All submitted projects shall have been awarded to the Offeror as the prime contractor. In the case of an

Offeror which is a joint venture (JV), the project shall have been awarded to one (1) of the members of the JV as the prime contractor. In the case of an Offeror that is a prime contractor - subcontractor team, the project may have been completed by the subcontractor if a formal teaming agreement is provided.

Recency: All submitted projects shall have been completed no earlier more than five (5) six (6) calendar years before the closing date of this solicitation or, if active, shall be in progress for at least one (1) year (with at least sixty percent (60%) construction progress completed) before the closing date of this solicitation. As of Amendment 0001, the closing date of this solicitation is 24 August 2022, so the date for six (6) years prior would be 25 August 2016. Projects completed prior to 25 August 2016 will NOT be considered recent.

Relevancy: Projects submitted within the facility new construction, renovation, or repair category shall convey experience with interior and exterior construction, renovations, or repairs and located in Minnesota.

The value of the submitted project(s) shall have an award value of no less than $50,000.00. Projects submitted within the roofing category shall convey repair and/or replacement of standard roofing types and located in Minnesota. The value of the submitted project(s) shall have an award value of no less than $70,000.00. Projects submitted within the construction, repair, or alteration of a mechanical system (e.g.

HVAC systems or controls) must be located in Minnesota. The value of the submitted project(s) shall have an award value of no less than $30,000.00. Where a project was awarded as a task order or delivery order under an IDIQ-type contract, Offerors are cautioned to submit information specific to the project awarded by task order or delivery order rather than the umbrella contract. The Government will not permit multiple projects, such as individual task orders or delivery orders, to be combined to meet the minimum value of any of the three (3) types of projects. Projects with an award value less than the above values will not be considered. Offerors shall provide sufficient detail to clearly demonstrate relevancy.

For recognized contractor team arrangements, Offerors shall submit a minimum of one (1) relevant project from each member of the team, but Offerors remain responsible to collectively submit at least three (3) relevant projects. Offerors shall not exceed the five (5) project maximum. Offerors shall indicate whether the team members were the prime contractor on each project. Offerors shall also describe their primary roles/duties in execution of the work (i.e., the major components of the project which were completed by the prime’s staff and major components which were subcontracted). Additionally, Offerors shall provide information as to the size, complexity, distinctive/unique features of each project and any specific information to demonstrate that the project is relevant to the work required by this solicitation.

Offerors shall clearly demonstrate how their submitted projects are similar in size, scope and complexity, including any distinctive/unique features of each project and any project-specific information that support project relevance to the work required by this solicitation.

Where performance of a project consisting of a base award and one (1) or more option awards is submitted by an Offeror to meet the recency, relevancy or value criteria for Factor 1, the same base contract and contract option(s) will be evaluated for purposes of the remaining criteria for Factor 1 (and Factor 2, Past Performance).

This section shall not exceed thirty-five (35) pages.

Factor 2. Past Performance Evaluation Criteria

The Offeror submitted past performance ratings for each of the projects submitted for the Corporate Experience factor. All past or current performance records must have overall ratings of satisfactory or above. Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

In the case of an offeror without a record of recent, relevant past performance (and for which there is also no recent, relevant past performance information for its predecessor companies or key subcontractors), or for whom information on past performance is not available or cannot be verified, the offeror will not be evaluated favorably or unfavorably on past performance (FAR 15.305(a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable”.

Unacceptable The Offeror’s past performance ratings did not receive an overall rating of satisfactory or above. Based on the offeror’s performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.

The Government will evaluate past performance information to assess the level of acceptability associated with the offeror’s likelihood of success in performing the requirements stated in the solicitation. The recency and relevancy of the information (as determined by the Government), the source of the information, context of the data, and general trends in the contractor’s performance may be considered.

This assessment of past performance information is separate from the responsibility determination required under FAR Subpart 9.1.

In general, example projects that the Government did not consider relevant for the purposes of evaluating experience will not be considered relevant for the purposes of evaluating past performance.

For the purpose of the past performance evaluation, the Government may include the past performance of the offerors’ business arrangements and relationships, such as Joint Venture participants, teaming partners, and key subcontractor(s) if the Government believes that such business arrangement may impact the offeror’s performance of work under this Contract.

The evaluation may take into consideration the offeror’s quality; schedule/timeliness of performance; customer satisfaction; management/personnel/labor; cost/Financial Management; and Safety/security.

Relevant performance recognition documents received within the last five (5) years from the issue date of this solicitation, such as awards, award fee determinations, customer letters of commendation, and any other forms of performance recognition may result in a more favorable rating.

The Contractor Performance Assessment Reporting System will be utilized to validate past performance ratings on Department of Defense contracts, as well as any other past performance information the Government has available to evaluate a contractor’s past performance.
