(5) Acknowledgment of Solicitation Amendments;
(6) Offer must include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(7) Technical, Past Performance, and Price Volumes;
(a) Proposal Preparation Instructions. Offeror’s proposal shall consist of the following three (3) volumes.
i. Volume I: Technical
ii. Volume II: Past Experience
iii. Volume III: Price
(b) Page and Format Limitations. The number of pages for each volume shall not exceed 20 electronic pages (PDF, Word, or Excel). The page limit includes all appendices, charts, graphs, diagrams, tables, photographs, drawings, etc. The page limit does not include covers for volumes, tables of contents, glossary of abbreviations and acronyms, indices, title pages, cross reference indices, and section dividers/tables if they are inserted solely to provide ease to the reader in locating parts/sections of the proposal. They will be counted if they contain any other information, i.e., diagrams, extraneous data, etc. Pages marked “This page intentionally left blank” will not be counted. A page shall be an 8 ½ X 11” sheet of paper (minimum of ½” margins). Letter size and spacing requirements for illustrations and tables can be at the discretion of the offeror but must be easily readable. The offeror shall number each page in order to eliminate any confusion. In the event contractor creates an ambiguity in their numbering of pages, the Government may exercise its own discretion in counting pages.
(c) Volume I – Technical. The technical proposal shall define the policies and procedures for the overall management and execution of the requirements of the contract to ensure quality, efficiency, and timeliness. The technical proposal should be practical and be prepared simply and economically, providing straightforward, concise delineation of what the offeror will do to satisfy the statement of objectives and performance requirements schedule of the contract. The technical volume shall also provide the following information:
i. Statement of Understanding. The offeror shall submit a brief statement that demonstrates that he/she understands the mission statement and objectives the Government has established with the PWS. This cannot be a repeat or mere summary of the materials provided in the RFP, but rather the offeror’s statement of understanding of the detailed work.
ii. Plan of Action. The offeror shall present a plan of action that describes the performance of events. To include details of how, the contractor intends to fill required positions with personnel that are technically proficient with Army National Dining Facility processes, policies, guidance, and initiatives as outlined PWS/PRS.
iii. Personnel Qualifications. Submit qualifications, certifications, and professional licenses of staff as they relate to the scope of work as listed in the PWS.
iv. Management Capability. Submit a management plan that briefly explains how the team is organized to respond to the needs described for the services. The offeror should identify the overall effort proposed by the company as it relates to other work in which the company may be engaged. Key personnel should be identified along with each member’s contribution to the project, as well as their commitment to other work underway or planned. Include a simple staffing/organization chart that identifies the various team members and their position on the team.
v. Quality Control Plan (QCP). In the QCP, include a description of how quality, timeliness and budgets shall be tracked and controlled, and the method of interaction and reporting to the Government.
(d) Volume II – Past Experience. Include recent and relevant contracts similar in scope and other references (including contract numbers, client name, total contract amount, description of work performed, points of contact with telephone numbers, email addresses, and other relevant information). May include work performed for federal, state, and local government and commercial firms; and may include work performed as a prime contractor, team member, or subcontractor. An offeror lacking direct relevant past performance and/or experience shall provide citations and discuss projects that nearest approximate the type of work, complexity, size or work that otherwise demonstrates the quality of the work they can provide. Offeror must submit three (3) samples similar in scope. The government reserves the right to verify the validity of these projects via Contractor Performance Assessment Reports System (CPARS), Past Performance Information Retrieval System (PPIRS), or by references provided in offeror’s submission.
(e) Volume III – Price. Use the “CLIN STRUCTURE” template in EXHIBIT I to fill out pricing information and include it with offer. Pricing information will be used to evaluate the completeness, realism, and reasonableness of the cost numbers. The pricing must include all costs required to manage and perform all outlined tasks identified in the PWS.
(f) Evaluation of volumes. Refer to 52.212-2 Evaluation – Commercial Items for details on how the volumes will be evaluated.
(b) Questions. Questions shall be submitted electronically only via email to Mr. Robert Ellis at robert.w.ellis.civ@mail.mil no later than Wednesday, February 12th 2020 at 2:00 PM EST. If an offeror believes that the requirements in these instructions contain an error, an ambiguity, omission, or are otherwise unsound, the offeror shall immediately notify the KO via email with supporting rationale.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(e) Late submissions, modifications, revisions, and withdrawals of offers.
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified above.
(2) (i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and—
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers or oral offer withdrawals are NOT authorized. Facsimile offers are NOT authorized. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(f) Contract award. The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(g) Intentionally left blank
(h) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.
(i) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
1. The agency’s evaluation of the significant weak or deficient factors in the debriefed offeror’s offer.
2. The overall evaluated cost or price and technical rating of the successful and debriefed offeror and past performance information on the debriefed offeror.
3. The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
4. A summary of rationale for award;
5. Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

EVALUATION OF OFFERS
Evaluation Factors for Award
1. Basis for Contract Award. This is a best value source selection conducted in accordance with Federal Acquisition Regulation (FAR) 15.3, Source Selection, as supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS), and the Army Federal Acquisition Regulation Supplement (AFARS). Award will be made to a single offeror who is deemed responsible in accordance with the Federal Acquisition Regulation (FAR), whose proposal conforms to the solicitation requirements, and whose proposal, judged by an overall assessment of the evaluation criteria and other considerations specified in this solicitation, represents the Best Value to the Government. (FAR 15.101.2)
2. Trade-offs between cost/price and non-cost/price factors are permitted. Unreasonably high/unrealistically low, unbalanced, inaccurate or incomplete price proposals, may be the grounds for eliminating a proposal from competition.
3. The Government will evaluate proposed prices for reasonableness using price analysis techniques. Proposed prices evaluated as unreasonable may be grounds for eliminating a proposal from competition.
4. The Government intends to award one contract as a result of this solicitation. Offers received for less than the stated number of items listed in the Bid Schedule will be considered ineligible for award. As set forth in FAR 52.215-1 (f) (4), the Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a), Clarifications and award without discussions). Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. In the event that discussions are held, a competitive range determination will be made. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.
5. Evaluation Criteria.
(1) Evaluation criteria consist of factors and elements. The proposals will be evaluated under three (3) evaluation factors:
| Factor 1: Technical (Mission Capability) | |
| Element 1: Statement of Understanding | |
| Element 2: Plan of Action | |
| Element 3: Personnel Qualifications | |
| Element 4: Management Capabilities | |
| Element 5: Quality Control Plan |
| Factor 2: Past Performance |
| Factor 3: Price |
Factor 1: Technical: The Technical Factor evaluation provides an assessment of the offeror’s capability to satisfy the Government’s minimum requirements. The Government will evaluate each Offeror’s Technical capability by assessing their proposed approach and processes for meeting or exceeding the minimum requirements in the PWS and assigning risk rating as shown in Table 1 below.
Subfactor 1: Statement of Understanding: The Offeror’s Statement of Understanding will be evaluated to determine whether the Offeror has demonstrated that he/she understands the mission statement and objectives the Government has established with the PWS.
Subfactor 2: Plan of Action: When evaluating this element the Government will evaluate the plan of action to ensure it describes the performance of events, to include details of how the contractor intends to fill required positions with personnel that are technically proficient with Army National Dining Facility processes, policies, guidance, and initiatives as outlined PWS/PRS.
Subfactor 3: Personnel Qualification: The Government will evaluate each Offeror’s qualifications, certifications, and professional licenses of their staff as they relate to the list of requirements as listed in the PWS.
Subfactor 4: Management Capabilities: The Government will evaluate each Offeror’s management plan that briefly explains how the team is organized to respond to the needs described for the services.
Subfactor 5: Quality Control Plan: The Government will evaluate the offeror’s understanding of the technical requirements and assess the offeror’s ability and methodology in meeting, or exceeding, the performance standards.
The Technical Capability Factors will receive one of the adjectival ratings defined below. The element ratings will be used to determine an overall rating for the factor.
(2) Factor 2 - Past Performance. Past Performance is assessed at the factor level after evaluating aspects of the offeror’s recent past performance and focusing on performance that is relevant to the services being procured under this solicitation. Offerors are cautioned that in conducting the performance risk assessment, the Government may use data provided in the offeror’s proposal and data obtained from other sources.
(a) Past performance areas of evaluation include: Business Relations, Quality of Service, Schedule, and Customer Satisfaction.
Each offeror will receive a performance confidence assessment rating based on the Offeror’s recent past performance, focusing on performance that is relevant to the Contract requirements.
(b) Recency Assessment. An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past 3 years from the date of issuance of this solicitation. Past performance information that fails this condition will not be evaluated.
(c) Relevancy Assessment. To be relevant, the effort must be similar in nature of work, size, and complexity. The Government will conduct an in-depth evaluation of all recent performance information obtained to determine if it is the same or similar in nature of work, size, and complexity to the services/products being procured under this solicitation. Recent past performance is defined as not more than 3 years from the RFP release date; relevant in terms of similar nature of work, size and complexity.
A relevancy determination of the offeror’s (including joint venture partner(s) and major and critical subcontractor(s)) past performance will be made. In determining relevancy for individual contracts, consideration will be given to the effort, or portion of the effort, being proposed by the offeror, teaming partner, or subcontractor whose contract is being reviewed and evaluated. In establishing what is relevant for the acquisition, consideration should be given to what aspects of an offeror’s contract history would give the most confidence that the offeror will satisfy the current procurement. The past performance information provided in the proposal and obtained from other sources will be used to establish the relevancy of past performance.
d) The Past Performance Evaluation Team will review this past performance information and determine the quality and usefulness as it applies to performance confidence assessment.
(e) Assigning Ratings. The Past Performance Factor will be assigned one of the ratings defined below.
(f) Offerors without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”
(4) Factor 3 – Price. Price will not be scored or rated. Evaluation of price will be performed using one or more of the price analysis techniques in FAR 15.404-1(b). Through these techniques the Government will determine whether prices are reasonable, complete and balanced.
Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). As part of price evaluation, the government will evaluate its option to extend services (see FAR Clause 52.217-8) by adding one-half of the offeror's final option period price to the offeror's total price. Thus, the offeror's total price for the purpose of evaluation will include the base period, 1st option, 2nd option, and 1/2 of the 2nd option. Offerors are not required to enter a price for the six-month period.
Unbalanced Pricing may be evaluated in accordance with FAR 15.404-1(g), as applicable, to assess potential performance risk which could result in unreasonably high prices
Definitions.
Reasonableness. A price is reasonable if, in its nature and amount, it does not exceed that which would be incurred by a prudent person in the conduct of competitive business.
Completeness/Accuracy. The offeror’s proposal is in compliance with the Price Volume instructions in the solicitation.”
