(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation.

Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation "Unique Entity Identifier" followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Evaluation criteria consist of factors and subfactors. The proposal will be evaluated under three (3) evlauation factors: Technical Capability, Past Performance, and Price.

Factor 1: Technical Capability

Subfactor 1: Onboarding Plan Subfactor 2: Task Execution Approach

Factor 2: Past Performance Factor 3: Price

Factor 1 is somewhat more important than Factor 2. When combined Factor 1and Factor 2 are approximately equal to Factor 3. Subfactors are equally weighted. Evaluation of subfactors will occur at the factor level.

(b) Option to Extend the Term of the Contract (FAR Clause 52.217-9). The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) Option to Extend Services. As part of price evaluation, the Government will evaluate its option to extend services (FAR Clause 52.217-8) by adding six (6) months of the offeror’s final ordering year price to the offeror’s total price. Offerors are not required to enter a price for the six month extension period.

(d) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

1.2. Offeror is notified the Government will not reimburse costs incurred for solicitation preparation.

1.3. The Government will follow FAR Part 12 (Acquisition of Commercial Items) in conjunction with the streamline procedures listed at Federal Acquisition Regulation (FAR) Part 13. The Government reserves the right to select a response that provides benefit to the Government that exceeds the minimum requirements but is not required to do so. The Government will evaluate proposals using the procedures outlined in FAR 13.106-2.

1.3.1 This procurement is subject to the Randolph-Sheppard Act (R-SA), 20 U.S.C.

§107, Operation of Vending Facilities and 34 CFR §395.33, Operation of Cafeterias by Blind Vendors, which establishes a priority for blind persons recognized and represented by the State Licensing Agency (SLA), in the award of contracts for the operation of cafeterias on federal facilities. Accordingly, although the solicitation is set-aside 100% for small business, the State Licensing Agency will also be permitted to submit a proposal in accordance with 34 CFR 395.33(b). This notice is not designed to discourage competition rather, it notifies all potential offerors that the priority established by the R-SA for proposals received from SLAs and their blind vendors is applicable to this procurement.

1.3.2 Communications: The Government intends to evaluate proposals and award a task order without further communicating with the Offerors. Consequently, Offerors are highly encouraged to proposal their best technical and pricing proposals in their initial submissions. However, the Government reserves the right to communicate with any or all Offerors submitting a proposal, if it is determined advantageous to the Government to do so. The Government need not enter into communications or clarifications with all Offerors. An Offeror may be eliminated from consideration without further communication if its technical and/or pricing proposals are not among those Offerors considered most advantageous to the Government based on a best value determination. If the Government enters into further communication, it will be with those Offerors considered to be within the Competitive Range. During the negotiation process all proposal revisions must be submitted electronically in MS Word track changes format and accompanied by a complete electronic resubmission of the electronic file.

1.3.3 After initial evaluation of timely received proposals in accordance with (IAW) the evaluation criteria specified in this solicitation and based on those initial evaluations, to include the total evaluated price (TEP), a Competitive Range (CR) will be established from proposals evaluated as “Acceptable”. If the Contracting Officer determines that a proposal should be excluded from the CR, the Contracting Officer will provide written notice of the exclusion to that offeror. If the SLA’s proposal is excluded from the CR, the SLA may file a complaint with the Secretary of Education under the provisions of 34

CFR § 395.37.

1.3.4 If the SLA’s proposal was included in the CR, found to be technically acceptable with acceptable past performance and the SLA demonstrates through its proposal that it can provide such an operation at a fair and reasonable price as determined by the Government after applying the source selection criteria contained in the solicitation and provide food of high quality comparable to what is currently provided to service members, then priority/award will be given/made to the SLA subject to a determination of contractor responsibility and consultation with the Secretary of Education (IAW 34.CFR § 395.33(b).

1.3.5 If the SLA proposal does not meet all criteria listed in the RFP, the SLA priority will not apply and award will be made to the offeror who submits the proposal that offers the best value to the Government, price and other factors considered, subject to a determination of contractor responsibility. If the SLA is dissatisfied with an action taken relative to its proposal, it may file a complaint with the Secretary of Education under the provisions of 34 CFR § 395.37.

1.4. Although the Government does not intend to hold discussions, the Government reserves the right to conduct discussions with the Offeror(s).

1.5. Offerors shall submit an unclassified proposal demonstrating their ability to perform and to meet the requirements in PWS. The proposal shall conform to all the requirements of this solicitation.

1.6. Take extreme care and attention to ensure all required documents are included in your company’s proposal. Additionally, exceptions, deviations, or assumptions are NOT allowed as the Contractor will have time to provide questions to the Government.

1.8. Noncompliance with the Request for Proposal (RFP) requirements may hamper the Government’s ability to properly evaluate the proposal and may result in elimination of the proposal from further consideration for contract award.

1.9. Proposals shall remain valid for 120 days following the date specified for receipt of offers.

2.0. Submission Instructions:

2.1. The Offeror shall provide a Cover Page with the following information in each proposal volume as the first page. This page does NOT count towards the Offerors total page count.

Responses that are overly verbose or include marketing material are not desired.

2.4. E-MAIL SUBMISSIONS: The Government cautions Offerors that e-mail is not instantaneous. We recommend you submit your proposal prior to the closing date to allow enough time to ensure the entire proposal is received on time to be considered for award. If all portions of any e-mail proposal are not received by the solicitation closing date and time, the Government could rejected your proposal as late. Re-send your e-mail submission if you do not receive a receipt confirmation. If you do not receive a receipt confirmation after the second transmission, contact the Contract Specialist at

(608) 427.7274. Due to government exchange size limitations, we cannot receive individual e-mails that exceed 10 MB, including the e-mail itself plus all attachments. If your electronic proposal, including all attachments, is larger than 10 MB, the Government requires you to segment your proposal submission in more than two e-mails that individually are no larger than 10 MB. The Receipt of Proposal shall be based on the time the GOVERNMENT received the email.

2.5. Offerors shall identify in the e-mail subject line the solicitation number, “Message # of #”, and the company’s name. For example ONLY: “W912J2-21-R-0002, Message 1 of 3, ABC Company.”

3.0. Volume 1: Technical Capability (Factor 1) – 2. The Technical rating reflects the degree to which the proposed approach meets or does not meet the minimum performance or capability requirements through an assessment of the strengths, weaknesses, deficiencies, and risks of a proposal. This is a combined rating that includes risk associated with the technical approach in a single rating. Although there are subfactors listed below, the ratings will be at the factor level only. Based on evaluation results, the Government will assign a technical rating for the overall technical proposal. The subfactors, 1-2, are of equal importance. An offer which fails to provide information in any of the specified areas may be deemed incomplete, and eliminated from the competition and ineligible for further consideration for award. The following table represents the ratings used to evaluate technical capability:

Color Rating

Adjectival Rating

Description

Blue Outstanding Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

Purple Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

Green Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

Yellow Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

Red Unacceptable Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is unawardable.

The Offeror shall submit their Technical Capability addressing the following information:

3.1 Onboarding Plan (Subfactor 1) – The Offeror shall provide their Phase-In Plan showing the Offeror’s ability to provide realistic processes and assumption of responsibility for providing services which will meet all contractual requirements on the first day of the period of performance. The Offeror shall provide their schedule in their format that clearly shows the Offerors “on-boarding” tasks and time it will take in order to transition into this contract. Please remember, work SHALL BEGIN prior to June 16th, 2021.

The Onboarding Plan shall describe in detail the approach for staffing and managing personnel assigned to support the requirements described in the PWS, inclusive of any initial or ongoing training. The Offeror shall explain how and why the proposed personnel’s labor categories and number of each, will be able to perform the tasks specified in the PWS.

The Offeror shall provide, how they will go about hiring their proposed staff. The Offeror shall provide a detailed narration of how they will provide trained personnel to complete the tasks/deliverables and the type of personnel they would provide.

3.2. Task Execution Approach (Subfactor 2) – The Offeror shall outline in detail, specifically HOW, an approach and ability to effectively and efficiently implement and accomplish the requirements specified in the provided PWS. Offeror shall not merely “parrot” the PWS back to the Government. The Government requires the Offeror’s unique assessment and approach to accomplishing the tasks identified in the PWS.

Proposals found to merely "parrot" the PWS may receive a lower rating. The Offeror may use creativity by proposing above the standards, tasks, and deliverable set-forth in the PWS; however, keep in mind the Government will closely evaluate whether any creative solutions warrants a possible “increase” in price (if any). As with all aspects in the Technical Execution Plan, the Offeror should explain how the proposed creative solution would benefit the Government and manner in how you would execute said creative solutions.

Offerors shall provide an outline of how the effort required by the solicitation will be assigned for performance within the Offeror’s corporate entity and among any proposed subcontractors. The Offeror shall also detail how they will ensure they will perform at least 50% of the work under this contract if subcontractors are proposed. The information provided for the prime Offeror and each proposed major subcontractor must include the entire company name, company address, CAGE Code, DUNS Number and type of work to be performed by citing the applicable Government PWS subparagraph number. This includes all subcontractors who will be providing critical services or whose subcontract is for more than 10% of the total proposed cost/price.

4.0. Volume 2: Past Performance (Factor 2)- The Government will evaluate the offeror’s record of past and current performance to ascertain the probability of successfully performing the required efforts of the Performance Work Statement.

The Past/Present Performance evaluation will consist of a “relevancy” rating and a “confidence” rating as defined in the tables below:

Past Performance Relevancy Ratings Rating Definition

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Performance Confidence Assessments
