Section G - Contract Administration Data

CONTRACT ADMINISTRATION INFO

G.1. UNAUTHORIZED INSTRUCTIONS FROM GOVERNMENT OR OTHER PERSONNEL

a. The Contractor shall not accept any instructions issued by any person, employed by the Government or otherwise, other than the Contracting Officer or the Contracting Officer’s Representative (COR) acting within the limits of the COR’s Authority. Only a warranted Contracting Officer (either a Procuring Contracting Officer (PCO), or an Administrative Contracting Officer (ACO)), acting within their delegated limits, has the authority to issue modifications, task orders, or otherwise change the terms and conditions of this contract. If an individual other than the Contracting Officer attempts to make changes to the terms and conditions of this contract you shall not proceed with the change and shall immediately notify the Contracting Officer.

b. Administration of the actions under this contract will be performed by the Contracting Office, USACE Charleston District.

Section H - Special Contract Requirements

CONFLICTS OF INTEREST

H.1. NOTICE FOR ORGANIZATIONAL CONFLICT OF INTEREST

The work to be performed may create an apparent or actual organizational conflict of interest on future acquisitions.

Contractors should refer to FAR subpart 9.5 – ORGANIZATIONAL AND CONSULTANT CONFLICTS OF INTEREST. An organizational conflict of interest may arise when a contractor performing a government contract is in a position to

1) set the ground rules for a subsequent government procurement and skew the competition in its favor;

2) have access to nonpublic information which may provide it an unfair competitive advantage in a later competition for a subsequent government contract; or

3) evaluate itself, its affiliates, or its competitors through assessment of proposals or performance on another government contract.

Contractors should also refer to FAR subpart 36.209 -- Construction Contracts With Architect-Engineer Firms. “No contract for the construction of a project shall be awarded to the firm that designed the project or its subsidiaries or affiliates, except with the approval of the head of the agency or authorized representative.”

Contractor means a party to a government contract other than the government. Contractor means the total contractor organization, including not only the business unit or segment that signs the contract but also all subsidiaries and affiliates. Contractor also includes any and all subcontractors teamed with the Contractor.

If the Contractor identifies a potential organizational conflict of interest that has not been previously disclosed to the Contracting Officer and/or waived, the Contractor shall make a prompt and full disclosure in writing to the Contracting Officer. The Contractor has an on-going duty to disclose any organizational conflicts that arise prior to contract award or during contract performance as well as newly discovered conflicts that existed before contract award.

If the Contractor identifies and promptly reports an organizational conflict of interest that cannot be resolved in a manner acceptable to the Government, the Contracting Officer may terminate this contract or a task order awarded under this contract for the convenience of the Government. Contractor’s nondisclosure or misrepresentation of any relevant facts regarding organizational conflicts of interest may constitute a breach and result in termination of this contract for default or exercise of other remedies as may be available under law or regulation.

The Contractor shall include the substance of this clause in subcontracts where the work includes or may include tasks that may create a potential for an organizational conflict of interest.

In future procurements, the Contractor or its subcontractors may request a determination from the Contracting Officer of its ability to participate in a particular procurement.
