D. BASIS OF AWARD

1. Award will be made to the offeror whose proposal represents the best overall value to the Government and has been determined to be responsible in accordance with FAR Subpart 9.1. The Best Value Tradeoff (BVTO) process (see FAR 15.101-1) will be used to determine which proposal provides the greatest overall benefit to the Government, in response to the requirements.

2. The technical evaluation team, using reasoned judgment, shall evaluate proposals by identifying significant strengths, strengths, significant weaknesses, weaknesses, uncertainties, and deficiencies in each offeror’s proposal and assigning a combined technical/risk rating to each offeror’s proposal for each technical factor.

3. The Government intends to select one offeror for an award without discussions, but reserves to the right to hold discussions if the Government determines that to do so would be in its best interest. Therefore, an offeror’s proposal should contain the offeror’s best terms from a technical and pricing standpoint. The Government reserves the right to conduct discussions if it is determined by the Contracting Officer/Source Selection Authority (SSA) to be necessary.

E. TECHNICAL EVALUATION DEFINITIONS

1. In the evaluation of the offeror’s technical proposal, the Government may identify significant strengths, strengths, significant weaknesses, weaknesses, uncertainty, and deficiencies, relying on the below definitions, as provided in the Army Source Selection Supplement (AS3).

a. Significant Strength is an aspect of an offeror's proposal that has appreciable merit or appreciably exceeds specified performance or capability requirements in a way that will be appreciably advantageous to the Government during contract performance.

b. Strength is an aspect of an offeror's proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

c. Significant Weakness is a flaw in the proposal that appreciably increases the risk of unsuccessful contract performance.

d. Weakness is a flaw in the proposal that increases the risk of unsuccessful contract performance.

e. Uncertainty is any aspect of a non-cost/price factor for which the intent of the offer is unclear (e.g. more than one way to interpret the offer or inconsistencies in the proposal indicating that there may have been an error, omission, or mistake).

f. Deficiency is a material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

g. A risk as it pertains to source selection, is the potential for unsuccessful contract performance.

The consideration of risk assesses the degree to which an offeror’s proposed approach to achieving the technical factor or subfactor may involve risk of disruption of schedule, degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.

2. There may be contained within the evaluation factors certain mandatory or minimum requirements to be met for evaluation. There are also contained within the described factors requirements for the submission of certain documents. Failure to satisfy any mandatory or minimum requirement may result in a determination that a proposal contains deficiencies, as defined under (E)(a)(6) above. A final determination that an offer is unacceptable means that an award to the offeror involved cannot be made.

F. EVALUATION FACTORS

1. EVALUATION FACTORS

FACTOR 1: CORPORATE CAPABILITY

FACTOR 2: PRELIMINARY SCHEDULE

FACTOR 3: PAST PERFORMANCE

FACTOR 4: PRICE

a. Notice Regarding Subcontractors: The Government recognizes that an Offeror/Prime Contractor often utilizes major subcontractors to perform portions of the work. The offeror shall submit a Letter of Intent signed by each major subcontractor it intends to employ. A major subcontractor is defined as a subcontractor that will perform twenty percent (20%) or more of the total dollar value of the project. See instructions in Volume 1, Factor 1, for further instructions.

b. Relative importance of the evaluation factors: For evaluation purposes, the Corporate Capability (Factor

1), and Past Performance (Factor 3) are equal to one another, and when combined, are significantly more important than Preliminary Schedule (Factor 2). Corporate Capability (Factor 1), Preliminary Schedule (Factor 2) and Past Performance (Factor 3) make up the non-pricing aspects of an offeror’s proposal, and when combined, are approximately equal in importance to the Price (Factor 4) aspect of an offeror’s proposal in the selection process.

2. FACTOR 1: CORPORATE CAPABILITY

a. Proposal Submission Requirements:

The Corporate Capability portion of an offeror’s proposal will be limited to six (6) pages in length, not including registrations, licenses, letters of intent, or the Performance Distribution Statement. Information provided that exceeds the page limit will not be evaluated.

An offeror should provide a detailed narrative that demonstrates the offeror’s understanding of the overall scope of work for the project and describes the offeror’s corporate capability to completing the work.

The Offeror shall submit the following:

(1) Iraq Commercial Registration Certificate (business license): The offeror shall exhibit the ability to secure a copy of a current Iraq Commercial Registration Certificate (business license) or may already hold one in the offeror’s name in English or translated into English. In the event that the offeror’s licensure or authorization to perform construction in Iraq, permitting it to perform the work required by this solicitation, is in some form other than a Commercial Registration Certificate, the offeror must provide documentary proof of each and every element of such licensure or authorization and a full explanation as to how its licensure or authorization, currently in effect, complies with the laws of the Republic of Iraq. The requirement of the previous sentence applies to any form of licensure or authorization other than a Commercial Registration Certificate in the name of the prime offeror itself (the same legal entity), including the commercial registration of one or more coventurers in an offeror that is a joint venture if that is sufficient for performance of the resulting contract under the laws of Iraq.

(2) Letters of Intent: The offeror shall submit a Letter of Intent signed by each major subcontractor it intends to employ. A major subcontractor is defined as a subcontractor that will perform twenty percent (20%) or more of the total dollar value of the project.

Each Letter of Intent must:

(1) be written on the subcontractor’s company letterhead;

(2) be addressed to the offeror;

(3) describe and agree to a specific scope of work without caveats or disclaimers; and

(4) be executed by the subcontractor’s authorized representative.

After award, the Offeror shall not change major subcontractors for which it submitted a Letter of Intent without the Contracting Officer’s written approval. Approval will not be given unless the contracting officer considers the proposed substitute to be equal or better in all respects to the originally proposed major subcontractor and that the substitution is in the best interests of the Government.

(3) Self-Performance: The proposal shall contain a Performance Distribution Statement that identifies the type and percent of work to be performed by the offeror and any major subcontractor(s), supporting that the offeror will perform at least 20% of the work. See Attachment B for instructions for completing the required Performance Distribution Statement.

(4) Base Access: An offeror should explain how it will comply with relevant base access procedures, such as:

(1) Independent of both the Iraqi Ministry of Defense (IMoD) and Ministry of Interior (MoI), this independent, quasi-ministerial level requirements for access to Iraq military installations. This three-tiered organizational structure which includes the CTS headquarters, the Counterterrorism Command (CTC), and three Iraqi Special Operations Forces (ISOF) Brigades created by the U.S.

(2) Plan to control access to the work site.

(3) Plan for obtaining base access for personnel, subcontractors, and construction materials and equipment.

(5) COVID-19/ Variants Pandemic’s Impact on Contract Performance:

A possible challenge with this project is dealing with the effects of COVID-19 and variant outbreaks during performance.

Government contractors have experienced curfews, quarantines, base shut-downs and similar restrictions due to the pandemic. Secondary impacts to contract execution include, but are not limited to, supply chain disruptions, subcontractor delays, closed government offices, and the degradation of trade services for construction.

The offeror should:

(1) Describe its experience(s), during the pandemic, with restrictions on base access and secondary impacts (as described above) and the efforts made to mitigate the impact on contract performance;

(2) Explain its knowledge of Iraqi law, regulations and visa restrictions regarding COVID-19 and the impact of these measures on contract performance;

(3) Explain its knowledge of the contractual obligations for staffing critical positions. The offeror should propose a solution if, or when, a critical employee such as a project manager, quality control manager, or safety manager requires extended personal leave due to COVID-19; and

(4) Explain its plans and procedures for the following: 1) screening employees returning from leave or who are known to have had contact with…
