Joint Ventures (JV). A joint venture is defined as follows for purposes of this procurement: a legal business entity formed between two or more companies (parties) to undertake the performance activities of a contract together. This does not include other arrangements such as “teaming agreements” or “strategic alliances”, which are not recognized as bona fide joint ventures for the purposes of this solicitation.

Offerors proposing as joint ventures shall provide evidence that the Joint Venture as a legal entity has been duly formed. Joint ventures shall include a copy of the legal joint venture agreement signed by an authorized officer from each of the firms comprising the joint venture with the chief executive of each entity identified. The Government will not evaluate the capabilities of any entities that are not included in a JV offeror’s joint venture agreement.

If submitting a proposal as a joint venture, the experience and past performance of each of the joint venture partners must be submitted for the joint venture entity. The experience for each joint venture partner will be considered the experience of the joint venture entity. Page and project form limits apply to the joint venture as a whole. An offeror that submits a proposal may not change the identity of any legal entity or any component of a Joint Venture firm from the identity submitted in its offer (including in obtaining LOCs and with regard to proposed subcontractors).

Subcontractors. The Government recognizes that completion of a project is often a team effort. Therefore, if an offeror wishes to be credited with capabilities, experience or past performance of a subcontractor (i.e., a firm that is not a member of the Joint Venture), an unequivocal letter of commitment signed by the firm must be submitted.

The letter of commitment must be submitted even if the firm is in some way related to a Joint Venture partner (for example, the subcontractor is a subsidiary of a Joint Venture partner or a subsidiary of a firm of which a Joint Venture partner is also a subsidiary). If such a letter of commitment is not submitted, the experience and past performance of subcontractor firms will not be considered.

System for Award Management (SAM). Contractors (including Joint Venture entities) shall be registered in the System for Award Management (SAM) prior to submitting offers. Offerors will be eliminated if they are not registered in SAM. For more information, see the SAM website at https://www.sam.gov/portal/public/SAM/.

BASIS FOR AWARD

Subject to the provisions herein, award will be made to the offeror who is deemed responsible according to the FAR, whose offer conforms to the RFP, and whose proposal, judged by an overall assessment of the evaluation criteria and other considerations specified in the Letter RFP, represents the best value to the Government using the Subjective Tradeoff Process (STO) in accordance with the STO source selection process from the DoD Source Selection Procedures and DFARS PGI Subpart 215.300.

Award of a contract shall be made to the responsible offeror whose overall proposal is determined to be the most advantageous to the Government. Pricing shall be evaluated for completeness and reasonableness. Non-pricing features of each proposal shall be evaluated against the Request for Proposal (RFP) requirements, assessing their strengths and significant strengths, weaknesses and significant weakness as well as associated risks, and deficiencies of each proposal in light of the non-pricing evaluation criteria that are also described herein. Non-pricing features of an offeror’s proposal shall be evaluated in such a manner as to assess the value of those features as compared to the proposed prices or costs to the Government. Implicit in this process is the Government’s willingness to accept other than the lowest priced offer, if the added benefits of a higher priced offer outweigh the additional cost or price involved.

All non-price evaluation factors, when combined, are approximately equal to price.

In evaluating proposals and in making the contract award, the Government is as concerned with obtaining the best non-pricing features as it is in doing so at a competitive reasonable price. The Government will not make a contract award to an offeror whose superior non-pricing features causes the total cost of the project to become unreasonably high. Nor is the Government willing to make a contract award to an offeror submitting the lowest price if the non-pricing features of its proposal indicate a reasonable likelihood that successful project completion will not occur. An unsuccessful project would be a project that, among other things, fails to meet acceptable quality standards of work in a timely and safe manner at reasonable cost.

The Government intends to award a contract without discussions, although the Government reserves the right to conduct discussions if it is determined to be in the Government's best interests. Therefore, an offeror that desires consideration for the contract award is advised to comply with all mandatory requirements of this solicitation for submission of price and non-price factors.

FACTORS TO BE EVALUATED AND EVALUATION APPROACH

Factor 1: Management/Technical Approach – This factor evaluates (1) the offeror’s management and technical capability to perform the requirements of the contract based on their understanding of the scope of work and their approach to executing projects.

Factor 2: Construction Experience – This factor evaluates the offeror’s experience in design-bid-build construction projects ($5-$10 million) in the Central Asian region (which includes Pakistan, Kyrgyzstan, Tajikistan, Kazakhstan, Uzbekistan and Turkmenistan).

Factor 3: Past Performance – This factor evaluates each offeror’s record of past and current performance to (1) determine the probability that the offeror will successfully perform required efforts of the solicitation, (2) determine relevancy of the past performance information, and (3) conduct a confidence assessment of the offeror’s past and current performance on contracts/projects.

Factor 4: Financial Surety – Offerors are required to submit proof of their ability to obtain surety in the form of performance and payment bonds, irrevocable letters of credit, or other surety as described in FAR Part 28.

Factor 5: Price – The Government will evaluate the completeness, reasonableness and price realism of each offeror’s price proposal. To the extent that line item prices are requested, the price evaluators will also check for appearance of unbalanced line item prices. Reasonableness will be determined by comparing each offeror’s proposed prices against each other and the Independent Government Estimate, or by other techniques outlined in FAR 15.404-1(b).

FACTOR 1: MANAGEMENT / TECHNICAL APPROACH

Offerors shall submit the following for Factor 1:

The Offeror shall submit a Management and Technical Capabilities narrative not to exceed ten (double sided) pages in length. The ten page limitation excludes Resumes, Letters of Commitment and Organizational Charts. The narrative shall address the following two sub-factors under the Management and Technical Capability, as well as the six (6) narratives below:

Organization and Staffing: Identify at least 20% of the on-site construction work that will be performed by the Prime contractor and all remaining work that will be done by subcontractors. In the event a single subcontractor is responsible for greater than 30% of the on-site work, then each such subcontractor shall be identified and its intended scope of work shall be described.

Provide an Organizational and Staffing Chart that includes the names, titles, and organization of key management and supervisory personnel that will be located at the Construction Site Office. Organizational charts shall depict lines of authority/communication to home office leadership.

In addition, the narrative shall specifically address the following elements:

Element 1 – Licensing: Offerors shall provide documentary evidence and any necessary narrative to prove that they are currently registered, licensed, and legally permitted to perform construction work in Pakistan.

Element 2 – Base Access: Offerors must describe, in detail, their current processes and procedures for obtaining access to Shahbaz. This includes their own experience as well as any key subcontractors’ experience with processes and procedures for obtaining base access to Shahbaz.

Element 3 – Permit Requirements: Describe in detail your understanding of the Pakistani permit requirements as they apply to performing Design-Bid-Build construction providing: (1) a list of necessary permits applicable to a construction project that you performed, (2) a detailed plan to obtain the necessary permits for this project, and (3) if possible, evidence of obtaining applicable permits for projects performed on Pakistani military bases.

Element 4 – Subcontractor Management: Submit a Subcontractor Management Plan which describes by name and position all key subcontractors (anticipated to perform 30% or more of the work) for this project in accordance with the Statement of Work, and how you plan to integrate those subcontractors into the overall contract effort. Provide a copy of each key subcontract binding agreement or letter of commitment that obligates the parties if no subcontract is in place. Provide a name, address, telephone number, and email point of contact for each of the subcontractors you identify. Describe plans for implementing and maintaining oversight and management of subcontractors to ensure performance is consistent with contract requirements.

Element 5 – Organization: Provide a narrative on project organization, defining the roles, responsibilities, and authority to be delegated to the staff in each position.

Discuss how work flows through the organization. Identify all of the major components of the team for the project and explain how their work will be integrated into the overall scope. Provide an organizational chart showing the relationship between the offeror, sub-contractors, Quality Control (QC) personnel, safety personnel, and

USACE.

Element 6 – Quality Control: Each offeror shall describe its capabilities to assure quality control by describing its quality control approach, corporate systems, and capabilities to maintain quality control of the construction. Each offeror shall provide specific information on how it will manage quality control and changes to meet the schedule and to facilitate quicker Government review, as well as how it will handle internal and external requests for information, shop drawings, submittal reviews, progress meetings, site visits, contract completion, closeout, as-built, and completion documentation.

EVALUATION APPROACH FOR FACTOR 1

The overarching evaluation approach for Factor 1 elements is as follows:

Element 1 – Licensing: The offeror will show that they have the necessary construction licenses and documentation to prove that they have worked and can currently work in Pakistan. Offerors must submit copies of their current licenses to perform construction projects in Pakistan as part of their proposals. Offerors will explain what licenses and registrations will be necessary to perform the work under this contract in order to show the sufficiency of the licenses and registrations proven.

The greatest credit will be given to offerors that are able to prove to the satisfaction of the Government the sufficiency of their current, valid licenses and registrations to allow them to perform the work under this contract.

Element 2 – Base Access: The Government will evaluate each offeror’s understanding of current base access/pass procedures, requirements and potential constraints. The completeness, reasonableness, feasibility, and timeline of the offeror’s plan to gain a sufficient number of base passes to meet the offeror’s staffing plan will be considered.

Greater weight will be given to an offeror who demonstrates that both the offeror and its key subcontractors have the ability to access Shahbaz Air Base.

Element 3 – Permit Requirements: The Government will evaluate the offeror’s understanding of current Pakistani permitting requirements, the completeness of the offeror’s list of necessary permits applicable to performing construction in Pakistan, and the offeror’s timeline and detailed plan to obtain the necessary permits.

Element 4 – Subcontractor Management: The Government will evaluate the clarity and strength of the overall Subcontract Management Plan to manage subcontractors’ performance and to integrate subcontractors into the project team to successfully execute the entire scope of work. The Government will evaluate how well the offeror will implement and maintain surveillance over subcontractors to ensure performance is in compliance with requirements.

Element 5 – Organization: The Government will evaluate the extent to which an offeror’s Organization Plan includes well defined organization and lines of authority, responsibility, communication, and tracking of schedules. The offeror shall clearly describe its organization structure, including lines of authority and the relationship between its home office, site office (office which is directly responsible for performing work as described in this solicitation), and USACE. An organization chart including titles and explanations of the major responsibilities and authorities for Key Personnel in the home office, support office, and site offices shall be provided. The Organization Plan shall clearly explain the proposed project staffing and how the work effort can be effectively managed. The organization chart should clearly identify where positions/personnel are located and whether they are filled by the Prime Contractor or their subcontractor’s personnel. The roles of any Joint Venture partners and/or major subcontractors (i.e. subcontractors anticipated to perform 30% or more of the work) must be clearly stated in this section. A subcontract or binding agreement must be included in the proposal for all major subcontractors. If a Joint Venture, the offeror should address the respective roles of the Joint Venture partners. Greater weight will be given to offerors who can effectively demonstrate organizational structure, process, and procedures that minimize the risk to the Government.

The Government will more heavily weight proposals that demonstrates an understanding of: (1) how the requirements will be accomplished under the proposed organizational structure; (2) how supervision will be accomplished during all phases of work; and (3) how various types of problems will be effectively and efficiently resolved within the organization.

Element 6 – Quality Control: The Government will evaluate each offeror’s capabilities and understanding of the contractually required quality control processes for construction. The Government will evaluate the adequacy of the staffing plan to cover all required tasks and responsibilities. The Government places a high value upon early integrated participation by contractor personnel during the construction quality control process.

ADJECTIVAL RATINGS AND DEFINITIONS FOR FACTOR 1

The Technical Factor Rating for Factor 1, shown below focuses on strengths, deficiencies, weaknesses, risks and uncertainties of the offeror’s proposal. The color rating depicts how well the offeror’s proposal meets Factor 1 Technical factor requirements.

FACTOR 2: CONSTRUCTION EXPERIENCE

Each offeror’s experience will be examined for breadth and depth of work performed in design-bid-build and construction projects ($5-$10 million) in Pakistan and the Central Asian Region (which includes Pakistan, Kyrgyzstan, Tajikistan, Kazakhstan, Uzbekistan and Turkmenistan), as stated in this solicitation. The successful offeror will possess demonstrated experience performing design-bid-build construction projects similar to the solicitation. Relevant types of project experience include, but are not limited to:

construction of infrastructure to include: utilities infrastructure entry/access control points; perimeter fence and guard towers; road construction; drainage system projects;

etc.

Offerors shall provide information about projects, delineating the project name, major feature (building, runway, road, etc.), overall contract value (US dollars), overall contract value the entity was responsible for (dollars or percent), location of project site (country, nearest city), contract duration (calendar days) and year in which it was completed, or its current completion date. If any offeror has multiple divisions or units, limit the project examples to those performed by the division or unit submitting the offer. Additional experience examples may be submitted for consideration on any other member of a Contractor Teaming Arrangement that will perform a major or critical aspect of the project (i.e. greater than 30% of the work). Projects cited shall be currently well underway (fully designed and at least 75% construction progress completed) or construction completed within five years preceding the date of this solicitation.

The offeror shall submit a completed Construction Experience Overview Sheet (Attachment A) capturing all projects being submitted for evaluation, as well as Construction Experience Information Sheets (Attachment B) for no more than five (5) projects that have been completed by the offeror within the past five years or are currently being performed and well underway (at least 75% construction complete) in the Central Asian Region (which includes Pakistan, Kyrgyzstan, Tajikistan, Kazakhstan, Uzbekistan and Turkmenistan). At least two (2) projects must have a construction value greater than $5 million but less than $10 million. At least one (1) project must have been performed in Pakistan within the past five years. Projects less than $1 million will not be considered. If more than five projects are submitted for this factor, only the first five will be evaluated.

EVALUATION APPROACH FOR FACTOR 2

The Government will evaluate each offeror’s experience and will rate each offeror on the basis of relative depth of their experience in managing and executing projects that are similar in price ($5-10M) and complexity in the past five years and as stated in the solicitation.

The Government places a greater weight on a proposal that demonstrates successful experience in the following areas in order of importance:

(1) Construction projects similar to the solicitation requirements in the following locations in order of precedence:

a) Construction projects on a Pakistani military base

b) Construction projects in Pakistan

c) Construction projects on a military base in the Central Asian Region above

(2) Construction projects for which the prime offeror served as the prime contractor.

(3) Performance of multiple concurrent projects across Pakistan similar to the solicitation requirements.

(4) Construction projects in Pakistan which maximized the use of local subcontractors/businesses.

(5) Offerors who demonstrate the ability to obtain access to PAF Bases.

(6) Offerors with quality control experience on a USACE project.

(7) Offerors with USACE QC experience on a project in the Central Asian Region.

(8) Offerors that demonstrate previous experience with subcontractors on relevant projects included in experience/past performance factors.

ADJECTIVAL RATINGS AND DEFINITIONS FOR FACTOR 2

The Technical Factor 3 rating shown below focuses on the strengths, deficiencies, weaknesses, risks and uncertainties of the offeror's proposal. The color rating depicts how well the offeror’s proposal meets the Technical Factor 3 requirements.

FACTOR 3: PAST PERFORMANCE

The Government will evaluate each offeror’s record of past and current performance to ascertain the probability of successfully performing the required efforts of the solicitation.

a. Evaluation of past performance shall be in accordance with this plan utilizing the forms and questionnaires set forth herein.

b. The Government will focus its inquiries on the offeror’s (and major subcontractor’s) record of performance as it relates to all solicitation requirements, including cost, schedule, performance and management of subcontractors.

c. The Government may consider a wide array of information from a variety of sources, but is not compelled to rely on all of the information available.

EVALUATION APPROACH FOR FACTOR 3

An offeror’s past performance will be evaluated based on its performance on projects submitted under Factor 2, Construction Experience, including the past performance of any subcontractors or joint venture partners whose projects the offeror may have submitted. Proposals will be evaluated based on the information provided and any other information determined appropriate by the Government. There

are two aspects to the past performance evaluation. Past performance evaluation considers an offeror’s demonstrated recent and relevant record of construction that meets the solicitation requirements. A “recent” project is one that is currently well underway (designed and at least 75% construction progress completed) or completed within five (5) years preceding the issuance date of this solicitation. A “relevant” project is one that contains a similar scope of activities (i.e.: construction of roadways and concrete walls) as the subject solicitation as further described in Factor 2, Construction Experience, and as will be more fully set forth in the Statement of Work in the Solicitation.

The Government will complete a performance risk assessment on the projects submitted based upon the quality of the offeror’s past performance as it relates to the probability of successful accomplishment of the required effort. Performance risks are those associated with an offeror’s likelihood of success in performing the solicitation’s requirements as indicated by that offeror’s record of past performance. The Government will consider the relevancy of the performance information, source of the information, context of the data, and general trends in contractor performance. The offeror and proposed major subcontractors (i.e. anticipated to perform 30% or more of the work) will be assessed in their totality to derive the offeror’s Past Performance rating. Greater weight will be given to the prime offeror’s past performance as the prime contractor than to subcontractors’ past performance or the prime offeror’s past performance as a subcontractor.

The Past Performance Questionnaire (PPQ) (Attachment C) included in the solicitation is provided for the offeror or its team members to submit to the client for each project the offeror includes in its proposal for Factor 2, Past Performance. There will be one combined report per offeror. Ensure correct phone numbers and email addresses are provided for the client points of contact. Completed PPQs should be submitted with the Non-Price proposals. If the offeror is unable to obtain a completed PPQ from a client for a project(s) before the proposal closing date, the offeror should complete and submit with the proposal the first page of the PPQ, which will provide contract and client information for the respective project(s). Offerors should follow-up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government’s point of contact, Ms. Shanda M. Weekes via email at shanda.m.weekes@usace.army.mil prior to proposal closing date and time. Offerors shall be permitted to reuse PPQs; however, PPQs that were previously submitted for other RFPs may not be incorporated by reference into their proposals. The Government is not precluded from utilizing previously submitted PPQ information in the past performance evaluation.

Also include performance recognition documents such as awards, award fee determinations, customer letters of commendation, and any other forms of performance recognition received for the projects submitted as past performance. Greater weight will be given to PPQs completed within the last 6 months for projects not yet completed as of the times when the PPQs were completed.

In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members ( in any partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate relationship) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the offeror.

FACTOR 3 – PAST PERFORMANCE RELEVANCY RATING

(i) RELEVANCY: The first aspect of the past performance evaluation is to assess the offeror’s past performance to determine how relevant each recent effort accomplished by the offeror is to the effort to be acquired through the source selection. Relevancy is not separately rated; however, the following criteria will be used to establish what is relevant, which shall include similarity of service/support, complexity, dollar value, contract type, and degree of subcontracting/teaming.

Past Performance Relevancy Ratings Rating Definition

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

(ii) CONFIDENCE: The second aspect of the past performance evaluation is to assess the offeror’s past performance to determine Government’s level of confidence in each offeror’s ability to accomplish the effort to be acquired through the source selection based upon the relevancy and performance quality disclosed by the recent projects assessed as past performance.

Performance Confidence Assessments Rating Description

Substantial Confidence Based on the Offeror’s recent/relevant performance record, the Government has a high expectation that the Offeror will successfully perform the required effort.

Satisfactory Confidence Based on the Offeror’s recent/relevant performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort.

Neutral Confidence No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort

No Confidence

Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

FACTOR 4 – FINANCIAL SURETY

Offerors are required to submit proof of their ability to obtain surety in the form of performance and payment bonds, irrevocable letters of credit, or other surety as described in FAR Part 28. The surety or bank shall attest to the offeror’s ability to obtain bonding or a satisfactory Irrevocable Letter of Credit (ILC) for 10% of the total proposed amount in the offeror’s CLIN Schedule of the RFP for each of the performance and payment sureties. A performance and payment bond must be supported by acceptable security as defined in FAR 28.201. A letter of commitment from an acceptable surety as defined in FAR Part 28 will provide acceptable proof of the offeror’s ability to obtain the required coverage. Only federally insured financial institutions shall confirm the offeror’s ability to obtain the ILC. Offerors must submit proof of their ability to obtain the required surety to receive a “Go” rating. Offerors who receive a “No-Go” rating will be eliminated from consideration for award.

Financial Surety Ratings Rating Definition

Go Offeror provided proof of their ability to obtain performance and payment bonds, irrevocable letters of credit or other surety as described in FAR Part 28.

No-Go Offeror did not provide proof of their ability to obtain performance and payment bonds, irrevocable letters of credit or other surety as described in FAR Part 28.

FACTOR 5 – PRICE

The Government will evaluate the completeness, reasonableness and price realism of each offeror’s price proposal. To the extent that line item prices are requested, the price evaluators will also check for appearance of unbalanced line item prices.

Reasonableness will be determined by comparing the offerors’ proposed prices against each other and the Independent Government estimate or other techniques outlined in FAR 15.404-1(b). The Government will evaluate the price realism of offerors’ proposed prices to determine whether the price is realistic for the work to be performed, reflects a clear understanding of the requirements, and is consistent with the methods of performance described in the offeror’s proposal. Price realism will be used as part of the Government's assessment of performance risk. The Government reserves the right to seek explanation of cost breakdowns. Any such request for explanation will constitute clarification or communication under FAR 15.306. Offerors will not be permitted to change proposed prices unless the Government conducts discussions. If deemed necessary, the supplemental price breakdown information will be used to assist the Government in performing the price evaluations described herein.

If an offeror’s price is deemed to be unrealistic in any of these respects, the Government will factor this consideration into the evaluation. Since the Government’s evaluation of the price proposal will represent a portion of the total evaluation, it is possible that an offeror might not be selected for an award because of unreasonable, unrealistic, incomplete, or inaccurate proposal information. Offerors are cautioned to make all accompanying written descriptions complete, clear, and understandable. The Government will not be responsible for any misunderstandings concerning the basis for costs proposed by an offeror that results from that offeror’s failure to provide written descriptions that are clear, complete, and easily understood.

Offerors with prices found to be unreasonably high, unrealistically low, or unbalanced may be considered unacceptable and may be rejected on that basis.
