INSTRUCTIONS TO OFFERORS:

This supplements the Provision FAR 52.212-1. In addition to any proposal instructions contained in that provision, the contractor shall provide the following with its proposal:

This solicitation is identified as part of a combined acquisition effort between the U.S. Army

Corps of Engineers (USACE) and South Pacific Division (SPD).

1.1 This is a regional acquisition for SPD. The U.S. Army Corps of Engineers (USACE), Sacramento District, in conjunction with SPD, intends to conduct this acquisition by use of

Competitive Source Selection Procedures in accordance with the provisions set forth in the

Request for Proposal (RFP), Federal Acquisition Regulation (FAR) 15.3, Department of Defense

Federal Acquisition Regulation Supplement (DFARS) 215.3, Army Federal Acquisition

Regulation Supplement (AFARS) 5225.3, Department of Defense Source Selection Procedures, and Army Source Selection Supplement (AS3) to the Department of Defense Source Selection

Procedures. The Government intends to award multiple Indefinite Delivery/Indefinite Quantity contracts as part of a Multiple Award Task Order Contract (MATOC) pool for Environmental and Cultural Resources Services in support of the U.S. Army Corps of Engineers, South Pacific

Division (SPD) and SPD customers, to the Offerors submitting proposals determined to be most advantageous to the Government.

NOTE: The Contracting Officer has the discretion of adjusting that number or awarding none at all. In any case, the Government may not award any contract if the resulting contract would not represent a "best value" to the Government using trade-off selection procedures as required by the federal acquisition regulations and guidance.

1.2 There are no drawings associated with this Request for Proposal. Copies of the solicitation are available by INTERNET ACCESS ONLY at beta.SAM.gov. All solicitation documents will be posted to beta.SAM.gov.

DEADLINE OF QUESTIONS SUBMISSION: 14 JANUARY 2021 at 5:00 PM PACIFIC

PROPOSAL DUE DATE: See SF 1449.

System for Award Management (SAM) applies to this procurement. Contractors must be registered prior to award; lack of registration in beta.SAM.gov will make an offeror ineligible for award. Information on SAM registration may be obtained at http://www.beta.SAM.gov

Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award.

1.3 To assure timely and equitable evaluation of proposals, Offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. The Offeror shall submit in the proposal all requested information specified in this section of the Request for Proposal (RFP) solicitation at or before the exact time specified. There will be no public opening of the proposals received as a result of this solicitation. Failure to meet a requirement may result in an offer being ineligible for award.

1.3.1 The government anticipates two pools: A) Cultural Resources Services, and B) Cultural and Environmental Resources Services. Offerors shall affirmatively indicate whether the Offeror is proposing to provide cultural resources services only, or both cultural and environmental resources services under Volume I, Factor I of the proposal. Offerors need only to submit a proposal for the pool(s) that are affirmatively indicated.

For example, and not limitation, an offeror may submit a technical proposal and price proposal for Cultural Resources Services pool only and thus will not have to provide a technical and cost proposal for the sample task order Cultural and Environmental Resources Services.

Furthermore, no offeror may be assigned to both pools. However, Offerors may submit separate proposals for both pools. In this case, the Government will assign a successful offeror a pool that is in its (the Government’s) best interest.

Note: At the issuance of task order solicitation, the Government in its’ sole discretion will determine which pool to assign the solicitation. All awardees in the pool will be given a fair opportunity to be considered for each task order in excess of $3,000, unless an exception to fair opportunity applies.

1.4 The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the Contracting Officer will review this determination and if, in the Contracting Officer's opinion, adequate price competition exists, certification under FAR 15.406-2 will not be required. However, if at any time during this competition, the Contracting Officer determines that adequate price competition no longer exists; Offerors may be required to submit information to the extent necessary for the

Contracting Officer to determine the reasonableness and affordability of the price.

1.4.1 The Sample Task Order Cost Proposal shall be used for proposal evaluation purposes and will not be awarded as a Standalone Task Order. It is used as an Illustrative Task Order for

Price/Cost Analysis.

1.4.2 The Overhead rates and general/administrative (G&A) rates proposed in Section B

Attachment 7 – Fixed Overhead and G&A Schedule will be legally binding and will be the maximum rates that the Offeror will use for any Firm-Fixed-Price task orders issued against the

MATOCs within the five year ordering period of the contract. Lower rates may be offered at the task order level.

1.5 North American Industry Classification System (NAICS) code and Small Business Size

Standard. The NAICS code for this acquisition is 541620. However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture is $15 $16.5 Million for NAICS 541620.

1.6 The Contracting Division Points of Contact (POCs) listed below are the sole points of contact for this acquisition. Contact regarding the requirements set forth in this notice shall only occur with the following personnel:

4.0 Volume II - Price Information and Representations, Certifications, and Other

Statements of Offerors

(1) General: This volume shall consist of all information required to support proposed costs and prices. Certified cost and pricing data are not currently required; however, the Government reserves the right to request such data prior to award. The information submitted in this volume shall comply with the requirements set forth below. There are no page limitations for this volume. Page numbers are not required for pricing spreadsheets. The Offeror shall ensure that the information submitted in this volume is consistent with and fully supports the amounts set forth in the SF1449 and continuation sheets.

The Cost/Price Factor consists of two parts:

a) Sample Task Order Cost Proposal: The Government will evaluate the Offeror’s proposed price and the methodology used to develop the proposed price for the Sample

Task Order Project(s).

Price evaluation will consist of a review of the price portion of a contractor’s proposal to determine if the resulting overall cost to the government proposed is realistic for the work to be performed, if the prices reflect an accurate understanding of the requirements, and if the price is consistent with the Technical Proposal.

Evaluation of the price proposal will consider but not be limited to the following:

• Price reasonableness and completeness of the price proposal and supporting documentation

• Overall price control/price savings evidenced in the proposal (avoidance of prices that exceed reasonable requirements)

• Verify the contractor’s understanding of the requirements

• Assess the degree to which the price proposal accurately reflects the technical approach and proposed work effort

Although technical evaluation criteria are significantly more important than price, the closer the technical evaluation scores of the various proposals are to one another, the more important price considerations will become. The evaluation of proposed prices may therefore become a determining factor in the award as technical scores converge. Note: The Sample Task Order Cost

Proposal shall be used for proposal evaluation purposes and will not be awarded as a Standalone

Task Order. It is used as an Illustrative Task Order for Price/Cost Analysis.

However, Labor rates may be escalated at the beginning of the option period (but See

FAR 52.222-43 (b) for limitations) as provided in the Schedule; however, the labor The proposed rates in effect at the time a task order is awarded will remain in effect through completion of the task order, unless modified due to an increase in the Department of

Labor wage rates in accordance with FAR 52.222-43, FAR 52.222-44, and Chapter 7 of

Engineer Pamphlet 1180-1-1.
