1.2.1 Type of Contract
The contract is an Indefinite Delivery, Indefinite Quantity contract against which Task Orders will be issued. Award of a contract does not guarantee that the Government will order any or all of the types of services or materials covered by the contract from the Contractor.
Multiple contracts may be in place which cover the same type of work. The Government may issue Requests for Proposals to any or all of the contractors for a particular proposed Task Order. The criteria to be used in allocating non-competitive task orders among the similar contracts will be based on the following:
a. Contract minimum - task Orders will be distributed to assure the guaranteed minimums are met.
b. Past performance on previous Task Orders - the quality and timeliness of work delivered on previous Task Orders under the current contract.
c. Current capacity to accomplish the Task Order in the required time.
d. Unique or specialized experience.
e. Equitable distribution of work among the contractors.
The Government also reserves the right to either perform any portion of the work with Government forces or through a separate contract.
1.2.2 Task Orders
All work under this contract will be ordered by issuance of individual Task Orders. Task Orders shall be issued under the procedures specified in Section 01 31 10 TASK ORDERS. Each Task Order will be Firm-Fixed-Price, individually-bonded, and shall include all costs of labor, materials, equipment, overhead, and profit.

1.2 GENERAL PROCEDURES
The following paragraphs describe the general procedures which will be used for issuing Task Orders. Specific procedures for the various types of Task Orders will be described in the individual Request for Proposal for each Task Order.
1.2.1 Project Identification and Prioritization
Government project personnel, project management personnel, or design personnel will identify and prioritize candidate projects for performance under this contract and furnish a general description of the work to the Contracting Officer. The Government will designate one person to be the point-of-contact for Task Orders under this contract.
1.2.2 Preparation of Scope of Work
A Scope of Work will be prepared for each Task Order. The Scope of Work may be any of the following types:
a. Fully Developed Project Design. The Scope of Work will be a fully developed project design having a detailed Scope of Work with drawings, specifications and very specific criteria and/or tasks, similar to a conventional construction project.
b. Partially Developed Project Design. The Scope of Work will be a detailed list of general items that will require further development of the details of the design. The Scope of Work may include a partially completed design developed (plans and/or specifications) to a level of detail that both parties understand the Scope of Work and can adequately price a Task Order to develop details needed to complete the design and execute the construction or repair work.
c. Design/Build. The Scope of Work will be a general statement (such as, "replace roofs", "construct warehouse", etc.) which is too general for both parties to fully understand and determine the scope of work requirements and/or price ("an undefined scope"). The Scope of Work
SECTION 01 31 10 Page 2 will require design by the Contractor. The Scope of Work will include design criteria and requirements.
The specific procedure for each type of Task Order is described below.
1.2.3 Technical Specifications
The base contract includes technical specifications for various types of work typically covered by the Task Orders anticipated under this contract.
Each Task Order will describe the applicability of the individual technical specifications and the materials, methods, and procedures covered by each section that will be applicable to the work under the Task Order.
Additional technical specifications that will be required for work under the Task Order, that are not included in the base contract, and additional requirements for work which is specified in the base contract will be included in the Task Order summary of work (Section 01 11 00 SUMMARY OF
WORK.
1.2.4 Measurement and Payment
Each Task Order will be set up as firm fixed price, with lump sum prices as described in Section 01 22 00.00 10 MEASUREMENT AND PAYMENT. The Task Order may also include a Bid Schedule and supplemental Measurement and Payment section. The unit and lump sum prices on the Bid Schedule will give estimated quantities for individual items of work covered by the Task Order. These unit and lump sum prices will be used to determine progress payments and final price for the Task Order as described in Section
01 22 00.00 10 MEASUREMENT AND PAYMENT.
1.2.5 Request for Proposal
The Contracting Officer will provide the Request for Proposal (RFP) to the Contractor. The Request for Proposal will include the Summary of Work, applicable prevailing Davis-Bacon labor wage rates, including applicable fringe benefits, for the area where the work is to be performed, a statement as to whether it is non-competitive or competitive, completion time, submittal requirements, special safety or environmental requirements, anticipated adverse weather days, and drawings and technical specifications where applicable. The Request for Proposal may be issued to either a single contractor or to multiple contractors. If the Request for Proposal is issued to only one contractor, the Contractor and the Contracting Officer will negotiate a price and any other details or special terms. If the Request for Proposal is issued to multiple contractors, award may be made to that responsible offeror offering the lowest price, or award may be made in accordance with specific evaluation criteria outlined in the Request for Proposal for the individual Task Order.
1.2.6 Preparation of Proposal
After receipt of the Request for Proposal, the Contractor shall prepare a proposal for submission to the Contracting Officer. The following steps shall be performed in the preparation of the proposal, as applicable. No separate payment will be made for the cost to prepare and negotiate a Task Order proposal.
1.2.6.1 Preproposal Conference
When required by the request for proposal, the Contractor shall visit the project site with the Contracting Officer's Authorized Representative
SECTION 01 31 10 Page 3 and/or other Government representatives. Clarification of the Scope of Work will be done at this time as required. No separate payment will be made for such efforts to visit the site or to otherwise assist the Government in jointly identifying the Scope of Work for the proposed Task Order. Information provided by project or other Government personnel will not change the requirements of this Task Order Request for Proposal. Any questions or comments resulting from Contractor site visits should be addressed to the Task Order Point of Contact. Any changes to the requirements of the Task Order Request for Proposal required to address such questions or comments will be made by formal revision.
1.2.6.2 Pricing
Labor costs for construction shall be based on applicable Davis Bacon wage determinations. Applicable wage decisions will be provided with the Request for Proposal for each Task Order.
1.2.6.3 Time for Submittal
Time for submittal of the Contractor's proposal will be as stated in the Request for Proposal for each Task Order.
1.2.7 Issuance of Task Order
The procedure for negotiating the proposal and issuing the Task Order will be as stated in the Request for Proposal for each type of Task Order. Upon conclusion of negotiations or evaluation of proposals, the Contracting Officer will issue a Task Order, using a DD Form 1155. Each Task Order will include, as a minimum, the following information:
a. The Task Order date.
b. Contract and Task Order numbers.
c. Task Order price and performance date.
d. Accounting and appropriation data.

Order at a fair and reasonable price. Upon receipt of the Contractor's proposal, the Government will review the proposal for completeness and analyze it for fairness and reasonableness. Once negotiated, the Contractor must perform the work using the agreed upon method of work at the cost agreed upon during negotiations.
1.3.1 Special Pricing Requirements for Negotiated Task Orders
When the Contracting Officer determines that negotiation will be conducted on a Task Order, the Contractor shall provide copies of his proposed subcontractors' proposals as part of his proposal for a Task Order.
Prices shall be based on the Contractor's costs in accordance with FAR Part 31. Subcontractors shall identify costs for direct labor tradesmen and site overhead costs within their proposals to the Contractor, using the wage decisions applicable to the Task Order geographic location.
Subcontractors shall separately identify all markups for general and administrative expense and profit in their proposal to the Contractor.
