Section A - Solicitation/Contract Form
EXECUTIVE SUMMARY
1. This Executive Summary is provided as a synopsis of important and relevant features of this solicitation. If conflict exists between this summary and the provisions of the solicitation, the provisions of the solicitation govern.
Offerors are required to submit their proposals in two steps, in accordance with the following schedule:
Step 1: Volume 1 – No later than Thursday, November 19, 2015, 1:00PM Eastern Standard Time
Step 2: Volumes 2-5 for Force Projection Pool and Volumes 2-6 for Train & Sustain Pool – No later than Tuesday, December 1, 2015, 1:00PM Eastern Standard Time
Proposals shall be submitted in accordance with paragraph L.5 Proposal Preparation Instructions.
2. This acquisition is being issued under the authority of the Federal Acquisition Regulation (FAR) Part 37 and
Defense Federal Acquisition Regulation Supplement (DFARS) 237, which describes the policy and procedures for procuring services in a performance based contracting environment. This solicitation is for Department of Defense
Language Interpretation and Translation Enterprise II (DLITE II) service support. This contract will be used to support DoD and other federal agencies, as required. The intent of this solicitation is to address the expanded scope of linguist support for military operations and exercises throughout the world. The Government’s demand for contractor-provided foreign language support has grown substantially in terms of size and scope since the events of
9/11. The need for contract foreign language support to meet the threats to U.S. interests is expected to grow and continue to become more diverse over the anticipated contract period of performance. In turn, contractor’s proposals will need to be sufficiently comprehensive and flexible in order to successfully adapt to these changing threats and increasing requirements. As part of this strategy change, the Department of the Army (DA) made a decision to award separate contracts based on mission areas. FAR Part 15 and Subpart 16.504 procedures will be utilized for negotiated and Indefinite-Quantity contracts.
3. To meet the need for contract foreign language support, the U.S. Army Intelligence and Security Command
(INSCOM) intends to award multiple Indefinite Delivery Indefinite Quantity (IDIQ) performance based services contracts using a BEST VALUE trade-off analysis covering the following two mission areas: 1 ) Force Projection
Operations and 2) Train and Sustain Operations. Contracts for Force Projection Operations will be awarded under full and open competition; contracts for Train and Sustain Operations will be set-aside for small business. Small businesses may propose in both mission areas; however, offerors must submit a separate proposal for each mission area. Evaluation shall be in accordance with Sections L and M of this solicitation.
4. Offerors must meet the following security requirements for their proposal to be considered responsive. The offeror must possess a current U. S. TOP SECRET (TS) facility clearance IAW DoDD 5220.22, National Industrial Security
Program Operation Manual (NISPOM). All offerors shall submit proof of the required facility clearances. The documentation identifying the offers’ facility clearance(s) shall be submitted by the proposal due date listed on the solicitation. Failure to meet these requirements may remove the offeror from further consideration for contract award (see sections H.11, L.5.1.3, and M.2.1(g) of this solicitation).
5. As noted, INSCOM anticipates awarding multiple performance-based contracts under this solicitation. Each contract will be awarded as an IDIQ type contracts with a minimum guarantee of $10,000. The minimum guarantee for each contract will be for the first year only. Task orders awarded under the IDIQ contracts may be of any contract type including, but not limited to, Firm Fixed Price, Fixed-Price Level of Effort, Fixed-Price Incentive
Fee, Cost Reimbursement, Cost Plus Fixed Fee, Cost Plus Incentive Fee, Time and Materials, and Labor-Hour;
but a preference will be given for structuring task orders on a Firm Fixed Price basis when the conditions are right to support its use. Cost type task orders will generally be structured on Cost Plus Fixed Fee basis, but incentives may be used where the performance metrics to measure the delivered results support their use. Task orders on a Time and Materials or Labor-Hour basis will be permitted on a limited basis when it is determined to be the best contract type to use. The Government will decide the contract type for each task order based upon the need, type and complexity of the requirement, schedule, and regulatory guidance.
6. Awards may be made from the initial offers without discussions, pursuant to FAR clause 52.215-1. Therefore, initial proposals should contain the offeror's best terms from a technical, small business, past performance, and cost/price standpoint. The Government reserves the right to conduct discussions if the Contracting Officer (KO) determines them to be necessary, pursuant to FAR Clause 52.215-1 Alt I. If discussions are held, discussions will only be held with those offerors determined to be in the competitive range. Offerors will be given an opportunity to address unfavorable Contractor Performance Assessment Reporting System (CPARS) or Past Performance Information
Retrieval System (PPIRS) reports of past performance, if the offeror has not had a previous opportunity to review the report(s). In accordance with FAR 15.306(c)(2), the competitive range may be limited for purposes of efficiency.
6.1 As part of the initial source selection for the DLITE II IDIQ, the Government reserves the right to award Sample
Task Order Alpha (STO A), Sample Task Order Bravo (STO B), or neither.
7. The Government anticipates awarding cost-reimbursement and fixed price type task orders. All offerors are subject to the provisions of FAR part 30. Offerors may be subject to Pre-award Survey of prospective Contractor
Accounting System (SF1408) by their cognizant DCAA office prior to contract and task order awards.
8. The total estimated contract ceiling is $9.864 billion (B). The Government intends to award a target of ten (10) contracts in each mission area as a result of this solicitation. The Government, however, reserves the right to award more or less than ten (10) contracts in each of the mission areas. Each contract awarded will have one five (5) year
IDIQ base ordering period with one option for an additional five (5) year ordering period. The Government envisions awarding task orders under the contracts as new requirements are identified. Individual task orders will have a base period and up to four (4) option periods with no single period of performance exceeding one (1) year.
a. The overall ceiling for DLITE II is $9.864 billion, divided into two mission areas. It is INSCOM'S intent to award 20% of the $9.864 billion value to small businesses in support of mission area "Train and Sustain" with an estimated maximum of $1.97 billion and 80% to large businesses in support of mission area "Force
Projection" with an estimated maximum of $7.89 billion.
b. The $9.864B contract ceiling is intended for the entire contract ordering period of performance;
however, the Government reserves the right to exhaust the entire $9.864B ceiling earlier than the end of the ordering period of performance, if needed.
c. The Government may assess annually whether to conduct an open season competition (“on ramp”) to add additional contract holders or consider use of an “off ramp” process for contractors that perform unsatisfactorily and/or are unable to maintain cost control/effectiveness. The need for additional contract holders will be at the discretion of the Government and may be influenced by factors such as a lack of adequate task order competition, the need to enhance the pool of expertise for new task orders, or other causes as determined by the KO. On/off ramp process is set forth in Section H.3.
9. As set forth in Sections H.4 and L.2 of this document, it is the Government’s intent to use the services of a contractor for administrative and advisory support to the Government during the source selection process (L.2) as well as for any post award (H.4) actions under this solicitation and subsequent awards. However, the exclusive responsibility for source selection and post award task order evaluation remains with the Government.
Offerors are hereby notified that Federal Acquisition Strategies, LLC (FAS) will be given access to the proposals submitted under this solicitation. The INSCOM contract with FAS prohibits the unauthorized use or disclosure of any data submitted with proposals or in any way associated with this acquisition. In accordance with FAR 9.5, FAS is prohibited from either offering on the solicitation or participating in any resultant contract.
Offerors are hereby notified that JAB Innovative Solutions, LLC (JAB) will be given access to the proposals submitted under this solicitation. The INSCOM contract with JAB prohibits the unauthorized use or disclosure of any data submitted with proposals or in any way associated with this acquisition. In accordance with FAR 9.5, JAB is prohibited from either offering on the solicitation or participating in any resultant contract.
10. Deployment of contractor personnel. Contract performance in support of combat or contingency operations is inherently dangerous. The contractor accepts the risks associated with contract performance in support of military operations that may be required for performance of the contract and/or task order. Each contingency operation will evolve differently depending upon Theater Commander’s guidance, which will have a direct impact on the deployment. Current theater business clearance (TBC) requirements apply to all theater support contracts that require contractors to deploy to the Afghanistan Combined Joint Theater of Operations (CJOA). TBC is a two-phase review process which provides Joint Force Commanders and the CENTCOM Joint Theater Support
Contracting Command (C-JTSCC) Commander visibility over all contracts and contractors performing work in their area of responsibility. Current requirements are included in sections H.24, H.25, and I (applicable clauses) of this solicitation, however, these requirements and clauses are subject to change. Requirements in effect at contract award and award of individual task orders may be different than the requirements included in this solicitation. Any applicable requirements and clauses will be incorporated at the task order level, as required.
11. INSCOM intends to structure the contract in a manner that ensures that the contractors are in alignment with the objectives of the Department of Defense (DoD). Contactors are highly encouraged to form subcontracting arrangements and teaming efforts to perform seamlessly within the framework of the contract. However, DLITE II prime contractors are not permitted to subcontract with other DLITE II prime contractors within the same mission area to fulfill DLITE II requirements.
12. Changes to the RFP will be in the form of an amendment to this solicitation and will be posted to FedBizOps
(https://www.fbo.gov/). If a discrepancy or ambiguity exists between any Q&A document you receive from the agency and an amendment, the amendment WILL rule.

PERFORMANCE WORK STATEMENT
C.1 Performance Work Statement Overview.
C.1.1 Non-Personal Services. This is a non-personal services contract to provide foreign language interpretation, translation, and transcription services. The Government will not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the contractor who, in turn is responsible to the Government.
C.1.2 Background. In October 2005, the Department of Defense (DoD) designated the Army as the DoD Executive
Agent for contract foreign language support. The Secretary of the Army (SECARMY) subsequently delegated responsibility to the Deputy Chief of Staff (DCS) G-2 for identifying and managing the DoD Enterprise foreign language service support requirements. Furthermore, the SECARMY designated U.S. Army Intelligence and Security
Command (INSCOM) as the supporting contracting agency responsible for providing solutions to identified foreign language service support requirements. The DoD Enterprise is defined as the Military Departments, the Joint Staff, the Combatant Commands, the Defense Agencies, the DoD Field Activities, and all other organizational entities within the DoD (hereafter referred to collectively as the "DoD Enterprise") unless exempted per DoD Directive 5160.41E.
C.1.3 Strategic Languages List (SLL). Based on national security and defense strategies, and representing the collective needs of the Military Services, the DoD SLL projects language priorities through 2019. In accordance with
DoD Directive 5160.41E, the Under Secretary of Defense for Personnel and Readiness publishes an updated list annually. DoD's SLL is prioritized into "Immediate Investment" and "Stronghold" languages. Immediate Investment languages are those for which DoD requires a substantial organic capability through 2019. Stronghold languages are those for which an on-call, surge capability is required in response to crisis and contingency needs.
C.1.4 Purpose. Through the DLITE II acquisition, the government seeks to centralize its management of contract foreign language support to promote a coherent DoD-wide program, advance its Defense Language Program objectives, and avoid duplicative efforts. The need for foreign language support is greater than the Army’s ability to resource with military-trained linguists. As a result, contract linguists are needed to work in support of a wide variety of military activities ranging from international conferences and criminal legal proceedings to real world military operations and intelligence functions. The primary objective of the DLITE II program is to get the right linguist, to the right location, at the right time to perform interpretation, translation, and/or transcription services.
C.1.5 Mission Areas. The Department of Defense Language Interpretation and Translation Enterprise II (DLITE II)
Performance Work Statement (PWS) is aligned with the Army Force Generation (ARFORGEN) process. The overarching purpose of ARFORGEN is to provide combatant commanders (CCDR) and civil authorities with a steady supply of trained and ready units that are task organized in modular expeditionary force packages and tailored to joint mission requirements. These operational requirements focus the prioritization and synchronization of institutional functions to recruit, organize, man, equip, train, sustain, mobilize, and deploy units on a cyclic basis. ARFORGEN’s adaptability addresses both emerging and enduring requirements. Simultaneously, Army institutional adaptations to
ARFORGEN maximize potential efficiencies while ensuring effective capabilities are built to support operational requirements. ARFORGEN sequences the unit readiness activities of US forces returning from and deploying to various real world missions. The ARFORGEN objective is to maintain an increasing level of available unit readiness over time sufficient to carry out the President’s National Security Strategy objectives. To help accomplish this, DLITE
II is structured to align with ARFORGEN’s cyclical activities, which are divided into two active mission areas:
1) Train and Sustain Operations and
2) Force Projection Operations
C.1.6 Performance Work Statements. In addition to this overarching Performance Work Statement (Section C.1), the
Government has developed specific Performance Work Statements at the IDIQ level to ensure a more detailed understanding of the program level requirements in each mission area. The first mission area is Train and Sustain
Operations, which has been set-aside for small businesses and its requirements defined in Section C.2 of the IDIQ
PWS. The second mission area is Force Projection Operations, which will be competed under full and open competition and its requirements are further detailed in Section C.3 of the IDIQ PWS.
C.1.6.1 Train and Sustain Operations. The Train and Sustain Operations mission area includes military training/field exercises, language enabled role players, cultural familiarity and awareness missions, and performance in day-to-day fixed station operations in both CONUS and OCONUS locations. The linguist requirements supporting training operations are intermittent and temporary in nature, while those supporting the sustainment operations are typically optioned in one (1) year increments.
C.1.6.2 Force Projection Operations. The Force Projection Operations mission area requires linguist support services in support of forces engaged in humanitarian, peacekeeping, contingency and combat operations, typically without a well-defined timeframe or quantity for delivery.
C.1.6.3 Language Services. In addition to the examples included in C.2 and C.3, services may also include, but are not limited to, interpretation, translation, or transcription of legal trials, reference materials, products, pubic services announcements, professional conferences, meetings, training course materials, etc. Specific services will be defined at the task order level.
C.2 Performance Work Statement (PWS)
IDIQ – Contract Level: Train and Sustain Operations Mission Area
Department of Defense Language Interpretation and Translation Enterprise II (DLITE II) Program
(Small Business Set-Aside)
C.2.1.0 OVERVIEW.
Train and Sustain (T&S) – This mission area includes military training/field exercises, cultural familiarity and awareness missions, and performance in day-to-day fixed station operations in both CONUS and OCONUS locations.
The linguist requirements supporting training operations are intermittent and temporary in nature, while those supporting the sustainment operations are typically optioned in one (1) year increments.
C.2.1.1 PURPOSE.
Foreign language skills and associated regional expertise are considered critical competencies essential to the DoD mission and shall be managed to meet the DoD’s mission needs. The DLITE II acquisition ensures that these critical skills are available to meet ongoing, new, and/or evolving mission requirements. The Contractor shall meet all requirements and responsibilities in support of DoD as outlined in this PWS including all subsequent task orders. All support and staff shall be fully trained, professional, and customer oriented, consistently providing responsive, flexible, innovative, and cost effective service. The Contractor shall ensure quality work performance in accordance with applicable standards and guidelines. The Contractor shall perform the standards of this PWS in an environmentally acceptable and safe manner consistent with Federal, State and Local laws as well as applicable policies, regulations and instructions. The Contractor shall provide all personnel, equipment, tools, materials, supervision, and other items necessary to perform the services and provide support to mission areas as specified in this PWS and ordered under individual task orders.
C.2.1.2 SCOPE.
The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform language support services as defined in this PWS and subsequent task order PWS’ except for those items specified as Government Furnished Equipment (GFE). The contractor shall perform to the standards in this contract and as specified in awarded task order(s).
C.2.1.3 PERIOD OF PERFORMANCE.
The Government anticipates award of multiple IDIQ contracts with a five (5) year ordering period with one optional five (5) year ordering period. Subsequent task orders may have up to one (1) year base period and may have up to four (4) option periods (no option period will exceed one (1) year in duration).
C.2.1.4 PLACE OF PERFORMANCE.
To include the 48 contiguous states, the District of Columbia, Hawaii, Alaska, and all United States territory including
Guantanamo Bay, as well as some OCONUS locations. The specific place(s) of performance for each task order will be defined at the task order level.
C.2.1.5 TASK ORDERS.
Task orders issued against DLITE II contracts require all of the performance objectives contained in this IDIQ level
PWS to be met at task order level. Task orders may also contain performance objectives specific to the mission that are not included in the IDIQ PWS or are of a higher/stricter standard.
Based on historical data, it is anticipated that approximately 40-50 DLITE II task orders will be set-aside for small businesses over the entire contract period (including available options). This number will fluctuate as missions evolve over time (some task orders may increase FTE requirements and some may be reduced or go away). A total of 34
Train & Sustain (T&S) Task Orders were issued (as of 30 May 2014) under the DLITE II contract. The below table provides a historical snapshot of the 56 SCRLs and category levels of more than 1,180 linguists that were required between 30 May 2012 and 30 May 2014 to support T&S mission area requirements.

C.2.2 FOREIGN LANGUAGE SUPPORT OBJECTIVES.
C.2.2.1 TRAIN AND SUSTAIN OPERATIONS FOREIGN LANGUAGE SUPPORT OBJECTIVES.
C.2.2.1.1 The contractor shall provide foreign language support services, including direct interpretation, transcription, and translation services during military field training exercises as well as ongoing sustainment operations. For field training exercises the primary objective is to provide US military forces with a realistic simulation of the host nation environment prior to actual deployment so that personnel become familiar with, and are able to appropriately and decisively react to, a variety of situations requiring interactions with a host nation’s population, military organizations, local businesses, religious leaders, and/or government officials. Training exercises may also include scenarios with linguist participation as captured enemy combatants and non-combatants subject to interrogation (non-hostile) simulations.
C.2.2.1.1.1 Friendly force objective is to exercise U.S. personnel in learned techniques for identifying questionable data translations and enforcing procedures for verifying and validating information prior to release to US forces for operational planning and/or immediate action. To accomplish training objectives, linguist shall follow scenario driven instructions in providing accurate/inaccurate, complete/partial, and/or trusted/sabotaged interpretation and/or translation of data from a variety of sources. The goal is for military personnel to cull out actionable data in near real-time while minimizing the false commitment of U.S. resources or endangerment of U.S. forces due to interpretation, transcription, and/or translation errors, partial interpretation and/or translation, or intentional sabotage.
C.2.2.1.1.2 Enemy force objective is to prevent/disrupt/delay friendly force collection of accurate and actionable information through use of misinformation and other tactics as directed by the scenario or requiring activity (RA).
C.2.2.1.2 For ongoing sustainment operations the contractor shall provide foreign language support services, including direct interpretation, transcription, and translation services in support of real world military missions (non-contingency), interrogations, intelligence collection, legal proceeding, and other operational missions. False commitment of U.S. resources, endangerment of U.S. Forces, or excessive/ unnecessary collateral damage due to interpretation, transcription, and/or translation errors, partial interpretation and/or translation, or intentional sabotage must be minimized.
