AMENDMENT 0001

1. The purpose of this amendment is to revise Paragraph L.4.4.1.3 to remove "Name" from the list of examples of

Personally Identifiable Information (PII).

2. This amendment also corrects Provision 52.216-1 "Type of Contract" to state "...Cost Plus Incentive Fee (CPIF)..." instead of "...Cost Plus Incentive Fee (CPFF)...."

3. This amendmentt also revises Attachment 1 - SOM Performance Specification, paragraph 3.3.2.4.f to clarify the requirement for software upgrades.

4. This amendment also updates Attachment 7 - Past Performance Questionnaire to add a form field in Section A where it had been previously omitted. Offerors shall use this updated version in proposal preparation.

5. The proposal submission deadline is NOT EXTENDED as a result of this amendment.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

INSTRUCTIONS TO OFFERORS

L.1 Executive Summary

Offerors shall submit two separate solutions (Threshold and Objective) to meet the performance requirements of the Screening Obscuration Module (SOM) and provide the optimum solution to the warfighter. To be considered responsive, the offeror’s submission shall consist of two parts; (1) a proposal for Threshold requirements and (2) a proposal for Objective requirements.

The Threshold proposal shall respond to the requirements as set forth in the PWS and the SOM Performance Specification. The offeror may propose to exceed any of the requirements in the solicitation to include those Threshold items identified in L.1.1 and L.1.2 in the threshold proposal submissions.

The Objective proposal shall respond to the requirements as set forth in the PWS and the SOM Performance Specification, to support enhanced specific Objective requirements. Offerors may propose to exceed any of the requirements in the solicitation and shall propose to meet or exceed Objective requirements identified in L.1.1 and L.1.2.

These specific Threshold/Objective requirements are the following:

L.1.1 Reliability. Mean Time Between System Aborts (MTBSA):

Threshold: ≥ 46 hours Objective: ≥ 69 hours.

L.1.2 Field Level Repair. The modular nature of the SOM design shall facilitate repair of system aborts at the Field Level of Maintenance:

Threshold: ≥95% of all repairs Objective: 100% of all repairs

L.2 Proposal Submission Instructions:

L.2.1 In order for proposals to receive full consideration for award, the offeror shall ensure that the information furnished in support of the proposal is factual, accurate, complete and defensible. Failure to provide the information requested by the solicitation may render the offeror’s proposal incomplete and ineligible for further consideration for award.

L.2.2 The offeror’s unclassified proposal shall be submitted electronically via the Federal Business Opportunities (FedBizOPPS) Bid Module in the files set forth below. Files shall not contain classified data. The use of hyperlinks in proposals is prohibited and if provided will not be evaluated or considered as part of the proposal.

L.2.3 The solicitation will be issued electronically, as well as any amendments subsequently issued thereto. It is the sole responsibility of all interested parties to periodically access the FedBizOPPS website (www.fbo.gov) described below in order to obtain any amendments, which may be issued. Failure of an offeror to obtain any said amendments and to respond to them prior to the date and time set for receipt of proposals is at the sole risk of the offeror, and may result in proposals (or any portion thereof) being declared nonresponsive that can result in the rejection of proposal submissions.

L.2.4 All submissions shall strictly comply with all filing requirements and content as specifically set forth in the solicitation. Failure to fully comply with all filing requirements shall result in rejection of a proposal submission as non-responsive.

L.2.5 Requirements/Instructions for the FedBizOPPS Bid Module:

L.2.5.1 Offerors must be registered in the System for Award Management (SAM) at www.sam.gov and have a Data Universal Numbering System (DUNS) number.

L.2.5.2 If the solicitation is found by searching on FedBizOPPS, within the Notice Details sub-tab of an opportunity, a note will be visible indicating that the opportunity allows for electronic responses. Note: a vendor must login to the system to be able to submit electronic responses for opportunities.

L.2.5.2.1 There will be a link to submit a response; if selected, the system will open a new tab called Electronic Response.

L.2.5.2.2 There are two possible types of electronic response: 1) Line Item Builder form and; 2) document upload.

What the offeror sees depends on which response type(s) the buyer enabled for that particular opportunity.

Therefore, the user may see only the Line Item Builder form, only the Document Package upload, or both the form and upload options.

L.2.5.2.3 The Line Item Builder form will provide the following information in spreadsheet fashion: 1) Line Item Description; 2) Child Line Item Description which will be indented under the related parent Line Item and; 3) Quantity per Line Item and Child Line Item.

L.2.5.2.4 The user must enter a price per Line Item in the Unit Price column; the Total column will calculate the Quantity multiplied by the price entered; the system will also calculate the Grand Total price (sum of all Line Item Totals) which will be displayed in the last row of the form.

L.2.5.3 The Documents section allows the user to submit files as part of their electronic response to the opportunity.

L.2.5.3.1 The user can enter a description for every file to be uploaded, note this is optional.

L.2.5.3.2 To select a file for upload, the user clicks on the Browse button. (Note, for files over 10 Mb, please use the Large Upload (JAVA) button.) This will allow the user to select a file located on their computer for upload.

L.2.3.5.3 After selecting the file, the user can click the Add New button to select additional files for upload.

L.2.3.5.4 The user can delete any file(s) previously selected for upload by clicking on the Delete button.

L.2.3.5.5 Submit saves and electronically submits the response to the government point of contact for the opportunity in the system. Note: the system will send an email to the email address on file for the user confirming the electronic submission.

L.2.5.4 Prospective offerors shall have sole responsibility for ensuring that all electronic responses are submitted correctly, are properly identified, contain all the information requested by the Government, are responsive, and filed in a timely manner.

L.3 Proposal Preparation Instructions.

L.3.1 Format: The offeror’s Support and Ownership, Technical Approach, Producibility & Manufacturing, Program Management, Past Performance, Small Business Utilization, Cost/Price, Uncosted Information, Administrative Information and Test Reports submissions shall be submitted in separate volumes as set forth in Table L-2.

L.3.2 Offerors shall prepare a separate proposal (Objective), which will address the SOM objective requirements outlined in the evaluation criteria set forth in this solicitation. If there is no change to a Volume specified in Table L-2 as a result of Objective requirements, the offeror shall include a statement to that effect in the beginning of the Volume.

Changes shall be highlighted in yellow. Tracked changes shall not be used. Additionally, offerors shall include a change matrix/summary. This matrix will not count against page count limitations.

L.3.3 All information the offeror wishes to have considered must be submitted with the initial proposal and shall be confined to the appropriate volume and within the specified page limitation. The Government will not consider any information that is not included in the appropriate volume as required.

L.3.4 The title page for each volume shall include volume number, volume subject, and company name.

L.3.5 The offeror shall use indices to the proposal and cross-references between the proposal and the solicitation to ensure that all pertinent sections of the proposal are fully understood. The offeror shall include a cross-reference matrix with its proposal.

L.3.6 Pages shall not exceed 8.5 inches in width and 11 inches in length; however, foldout pages, as appropriate, not exceeding 11 inches x 17 inches, depicting such items as charts, matrices, or schedules may be used and will count as a single page. The offeror shall number all pages within each volume.

L.3.7 The offeror's proposal shall not exceed the above page limitations and must use 12-point Times New Roman font (tables, graphics foldout pages or electronic spreadsheets in 10-point font) with one-inch margins (top, bottom, left, and right). The cover letter, cover page, table of contents, resume appendix, cross-reference matrices, change matrix/summary, and acronym list do not count against page count limitations.

L.3.8 Offerors are cautioned that the Government will not read or consider any information on pages in excess of the above page limitations. Pages exceeding the limitation will be removed from the proposal prior to evaluation.

L.3.9 Offerors shall provide sufficient detail in a clear and concise manner to completely and logically address every aspect the Government intends to evaluate. The Government does not desire excess verbiage, unnecessary and elaborate brochures, or lengthy, repetitious, disorganized presentations beyond what is sufficient to present a complete and clear offer. Such presentations may be construed as an indication of the offeror’s lack of understanding of the requirement. All offerors are reminded that unsupported promises to comply with the contractual requirements are not sufficient. Proposals shall not merely restate the contractual requirements, but shall demonstrate convincing documentary evidence in support of any statements relating to the promised performance.

L.3.10 The offeror’s proposal shall represent the offeror’s best effort to respond to the solicitation. The offeror shall identify and explain all inconsistencies, whether real or apparent, between proposed performance and price.

L.3.11 The offeror shall include cost information ONLY in Volume VII: Cost/Price. Inclusion of cost data in Volumes I, II, III, IV, V, VI ,VIII, IX, or X will result in the removal of each page containing the cost data and the entire page or pages will not be evaluated or considered part of the proposal.

L.3.12 The offeror shall use Section C, Table 1, Schedule of Events, as a guide when developing its proposal. The dates provided in the table are only an estimate on when the events will occur and are provided for proposal development. All testing dates may shift during the contract due to test site availability.

L.4 SPECIFIC INSTRUCTIONS BY VOLUME.

The offeror shall submit its proposal, segregated by volume, as indicated in Table L-4:

L.4.1 Support and Ownership (Volume I).

L.4.1.1 The offeror shall demonstrate its approach for integrating, coordinating, managing, and achieving the Integrated Product Support (IPS), including Human Systems Integration (HSI), Manpower & Personnel Integration (MANPRINT), and SOM System Reliability, Availability, and Maintainability (RAM) requirements specified in the SOM PS and in the PWS of this contract. The offeror’s discussion shall demonstrate its approach for the integration of supportability-related design considerations and disciplines into the overall systems engineering and design process and its proposed methodology to achieve minimal SOM support and ownership costs.

L.4.1.2 The offeror shall demonstrate its approach for design-inherent reliability and maintainability and the offeror’s approach for SOM reliability and maintainability growth during prototype development. The offeror shall demonstrate how its development approach will result in a SOM system that is operable, maintainable, and sustainable, over its service life IAW the PS and PWS, including what key consumables and spare/repair parts may likely be required and their future commercial availability and producibility. The offeror shall demonstrate how it would mitigate potential adverse impact of the following: (1) any stated design requirements which may require additional User input and/or clarification for proper operation, employment, maintenance, and sustainment of the proposed system in its intended environment, and (2) of the lack of Government access, or limited Government access, to technical data required to properly assess, analyze, plan, and cost out the logistical support resources necessary to operate, maintain, and sustain the SOM, and to minimize SOM support and ownership costs.

L.4.1.3 The offeror shall demonstrate its approach for designing embedded diagnostics and applying embedded diagnostics to the SOM system for the purpose of facilitating ease of operation, minimizing Mean Time to Repair and complexity of maintenance tasks, maximizing repairability at field level, minimizing repair at sustainment level, and minimizing SOM support and ownership costs. The offeror’s discussion shall demonstrate its approach for displaying and presenting diagnostic information; eliminating diagnostic errors, ambiguity and potential for trial-and-error maintenance; minimizing false removals; accessing error codes history; and how the offeror envisions the SOM’s embedded diagnostic capability interfacing with the SOM technical manual(s), graphic training aid (GTA), and with any proposed or potential external test equipment, computing device(s), and communication network(s).

L.4.1.4 The offeror shall assert any restrictions of the Government’s right to use, release, or disclose technical data as set forth in the offeror’s proposal and IAW DFARS 252.227-7013, 252.227-7014 and 252.227-7015.

L.4.2 Technical Approach (Volume II).

L.4.2.1 The offeror shall describe a technical approach that demonstrates a clear, thorough, and complete understanding of the requirements outlined in the PS and PWS. The offeror shall demonstrate a feasible approach for complying with the requirements of the PWS and PS, the identification of any problem areas or areas of concern, and the offeror’s proposed approach to solving the identified problem areas.

L.4.2.2 The offeror shall demonstrate its proposed approach for the design and integration of the SOM IAW the PWS and PS. The offeror shall provide sketches detailing its proposed concept. The offeror shall describe its concepts for each application relative to how the requirements of the PS and PWS are to be achieved.

L.4.2.3 The offeror shall demonstrate its technical approach for executing the test and evaluation program; to include the offeror’s approach for conducting Technical Feasibility Testing–Contractor (TFT2–C) and Technical Manual Validation.

L.4.3 Producibility and Manufacturing (Volume III).

L.4.3.1 The offeror shall demonstrate how the production effort will be executed given the low-rate of production in accordance with the Delivery Schedule in Section F. The offeror shall demonstrate its internal quality assurance processes and procedures that shall ensure a successful First Article Test (FAT) and consistent production results.

The offeror shall demonstrate its approach to ensure configuration control throughout the production process.

L.4.4 Program Management (Volume IV).

L.4.4.1 The offeror shall demonstrate its management approach that provides for effective organization, visibility and control of the contract and its deliverables. The offeror shall demonstrate its management approach for managing critical resources, handling critical priority tasking, rectifying technical problems, planning, controlling expenditures, reporting overruns, and managing government property. The offeror’s discussion shall at a minimum, include each of the elements listed below:

L.4.4.1.1 The offeror shall demonstrate its implementation and use of Integrated Product Teams (IPTs), consisting of in-house, subcontractor, and Government personnel, to successfully meet the objectives of the contract. The offeror shall incorporate IPTs into processes that govern the development of the system hardware, documentation, and logistic support concepts.

L.4.4.1.2 The offeror shall demonstrate its approach to establish, implement, and maintain a Shared Data Environment (SDE). The offeror shall demonstrate its approach to provide information that Government personnel may view, print, download, and annotate, as necessary. The environment shall allow the parties to exchange, manage, and use current program information in a collaborative effort, while allowing each party to execute its respective mission.

L.4.4.1.3 The offeror shall provide résumés, not to exceed three (3) pages each, for the technical and management key personnel proposed to perform the contract. . The résumés shall include the individual’s proposed role, education, and qualifications for this effort, and examples of relevant experience. Relevant experience is defined as work contributing to projects in smoke/obscurant technology, engineering and manufacturing development, integrated product development, acquisition logistics, test and evaluation, prototype fabrication and program management. The résumés shall not include Personal Identifiable Information (PII), such as Address, Phone Number, e-mail address, etc. Key personnel positions required to support this contract are as follows:

Program Manager RAM/Logistics Engineer Quality Control Specialist Systems/Design Engineer Test and Evaluation Specialist

L.4.4.1.4 The offeror shall propose a Contract Work Breakdown Structure (CWBS) to three or more levels that is consistent with the offeror’s business processes and is cross referenced to the SOM PWS and PS. The offeror shall provide an integrated master program schedule defining the offeror’s proposed plan of action to implement the requirements of the PS and PWS. The Integrated Master Schedule (IMS) shall define dates and time frames for all contract tasks, milestones, reviews and deliverables. The IMS shall identify the critical path. For evaluation purposes, the IMS shall be defined in days after contract award, not by a specific calendar date.

L.4.4.1.5 The offeror shall provide a Property Management Plan, in accordance with FAR 45.202(b), describing its approach to managing government property throughout the performance of the contract. This plan shall address each of the following ten outcomes (10) and provide a brief overview of how it is addressed within the offeror’s written Property Management Procedures:

a. Acquisition. How property acquisitions are documented, per FAR 52.245-1(f)(1)(i).

b. Receipt. How property receipt is documented, recorded, and identified per FAR 52.245-1(f)(1)(ii).

c. Records of Government Property. How property records are created and maintained, per FAR 52.245- 1(f)(1)(iii).

d. Physical Inventory. Methods to perform, record, and disclose physical inventory results, per FAR 52.245- 1(f)(1)(iv).

e. Subcontractor Control. Whether contractual terms and conditions are flowed down to subcontractors, per FAR 52.245-1(f)(1)(v)(A); how subcontracts are properly administered; and, when reviews of subcontractor Property Management Systems are performed, per FAR 52.245-1(f)(1)(v)(B).

f. Reports. The process to create and provide property-related reports, per FAR 52.245-1(f)(1)(vi).

g. Relief of Stewardship Responsibility and Liability. The process to recognize, investigate, and report losses of Government property, per FAR 52.245-1(f)(1)(vii).

h. Utilization. How Government property is to be used, consumed, moved, and stored, per FAR 52.245- 1(f)(1)(viii).

i. Maintenance. How Government property is to be maintained, and when property requiring replacement and/or capital rehabilitation is to be reported to the Property Administrator, per FAR 52.245-1(f)(1)(ix).

j. Property Closeout. How property closeout is performed and when it is reported to the Property Administrator, per FAR 52.245-1(f)(1)(x).

L.4.4.1.5.1 A Schedule of the Government-Furnished Property (GFP) to be provided to the contractor during contract performance is included as Attachment 6.

L.4.5 Past Performance (Volume V).

L.4.5.1 This volume shall be organized into the following sections:

L.4.5.1.1 Section 1 – Contract Descriptions. This Section shall include the following information:

L.4.5.1.1.1 The offeror shall submit with its proposal contract descriptions representing its recent and relevant performance under Government and/or commercial contracts. The past performance information may be from predecessor companies, key personnel who have relevant experience, or Subcontractors that will perform major or critical aspects of the effort for the threshold or Objective requirements. For the purposes of this acquisition, “Relevant” means performance that demonstrates the offeror has developed, designed, or manufactured a smoke or obscuration system. “Recent” means any contract under which any development, design or manufacturing has taken place during the past five (5) years of the issuance of this solicitation.

L.4.5.1.1.1.1 For large multi-function firms, all past performance information provided shall be specific to the offering segment of the firm (e.g., division, group, unit, etc.) that is submitting the proposal.

L.4.5.1.1.2 The prime contractor and major subcontractors shall submit all relevant contract references on active or completed Government or private-sector contracts or task orders completed or at least 70 percent physically completed by the offeror as a prime offeror or major subcontractors within the past five (5) years. A major subcontractor is defined as one who will be providing critical services or who is responsible for efforts totaling at least 20 percent of the labor support cost.

L.4.5.1.1.2.1 The following information shall be included for each contract reference:

L.4.5.1.1.2.1.1 The name, address, telephone number, and email address of the Government contracting activity and the Procuring Contracting Officer or, for subcontracts, the Administrative Contracting Officer.

L.4.5.1.1.2.1.2 Contract place of performance, contractor’s CAGE Code, and DUNS Number. If the work was performed as a subcontractor, also provide the name of the prime contractor and Point of Contact (POC) within the prime contractor organization (name, current address, e-mail address, and telephone and fax numbers).

L.4.5.1.1.2.1.3 Government contract administration activity (DCMA / ONR) and the Administrative Contracting Officer’s name, current e-mail address, and telephone and fax numbers.

L.4.5.1.1.2.1.4 Contract or subcontract number. In the case of Indefinite Delivery type contracts, GSA contracts, and Blanket Purchase Agreements, include Delivery Order numbers.

L.4.5.1.1.2.1.5 Contract Type. (e.g., Fixed-Price (FP), Cost Reimbursement (CR), Time & Materials (T&M), etc.).

In the case of Indefinite Delivery contracts, indicate specific type (i.e., Requirements, Definite Quantity, and Indefinite Quantity) and secondary contract type (e.g. FP, CR, T&M, etc.)

L.4.5.1.1.2.1.6 Award price/cost.

L.4.5.1.1.2.1.7 Final or projected final price/cost.

L.4.5.1.1.2.1.8 Original delivery schedule, including dates of start and completion of work.

L.4.5.1.1.2.1.9 Final or projected final delivery schedule including dates of start and completion of work.

L.4.5.1.2 Section 2 – Performance. Offerors shall provide a specific narrative explanation of each contract listed in Section 1, Contract Description, describing the following:

L.4.5.1.2.1 A detailed narrative for each contract cited and the similarities and relevance of that work to the work required by this solicitation, objectives achieved, and cost growths or schedule delays encountered. Offerors shall provide copies of Quality Deficiency Reports and Corrective Actions submitted by the Defense Contract Management Agency (DCMA) office (or other cognizant Government contract administration office) within the past five (5) years. For Government contracts that did not or do not meet original requirements with regard to either cost, schedule or technical performance the contractor shall provide a brief explanation of the reasons for such discrepancy(ies) and any corrective actions taken to avoid recurrence. The offeror shall not exceed two (2) pages for each contract cited.

L.4.5.1.2.2 The offeror shall also provide the aforementioned information for all contracts terminated in whole or in part, for any reason during the past five (5) years. This includes contracts currently in the process of termination as well as contracts that are not for work similar to the proposed effort. The offeror shall also provide the aforementioned information for any proposed major subcontractor for either the threshold or Objective requirements.

L.4.5.1.2.3 The offeror shall submit recent information on its performance over the past five (5) years which demonstrates compliance with FAR 52.219-8, Utilization of Small Business Concerns, and FAR 52.219-9, Small Business Subcontracting Plan, as applicable. Information relating to compliance with FAR 52.219-8 shall include a description and available documentation of the methods employed to promote small business utilization and the internal methods used to monitor such utilization. For compliance with FAR 52.219-9, the offeror shall include documentation for achieving goals established under Subcontracting Plans of prior contracts for the past five (5) years. If the offeror does not establish compliance with these goals, the offeror shall include an explanation with its narrative for each contract cited under L.4.5.1.1.2. If an offeror has not been subject to the requirements of FAR Part 19, including never holding a contract incorporating FAR 52.219-8 or 52.219-9, the offeror’s proposal shall include a statement to that effect and a rationale as to why.

L.4.5.1.2.4 For large multi-function firms, all past performance information provided shall be specific to the offering segment of the firm with the same Data Universal Numbering System (DUNS) number and CAGE code as the business unit that is proposed to be performing the effort.

L.4.5.1.2.5 An offeror with no past performance experience shall provide an explanation that it has no recent or relevant experience.

L.4.5.1.2.6 The offeror shall include in its proposal the written consent of any proposed major subcontractors to allow the Government to discuss the subcontractor's past performance evaluation with the offeror during negotiations.

L.4.5.1.3 Section 3 – Past Performance Questionnaire. For each contract reference submitted in compliance with L.4.5.1.1.2, the offeror shall include with its proposal a completed Past Performance Questionnaire (Attachment 7).

The offeror shall complete Part I of the Past Performance Questionnaire and e-mail the questionnaire to both the Government contracting activity and technical representative responsible for the past/current contract. The respondent shall be instructed to electronically complete the questionnaire and email the completed questionnaire to Mr. Alex Schupp, Contract Specialist (alex.m.schupp.civ@mail.mil) no later than the proposal due date. The offeror shall include with its proposal a list of all respondents who were forwarded a questionnaire for completion. This list does not count toward the page limits in Table L-2.

L.4.6 Small Business Participation (VOLUME VI).

L.4.6.1 Small Business (SB) Participation Factor (Large Businesses and Small Businesses). The SB Participation Plan shall describe, in sufficient detail, the offeror’s approach to maximizing opportunities for small businesses in terms of the percentage of overall contract dollar value. This plan is required from all offerors, regardless of the offeror’s size status. The offeror’s SB Participation Plan percentages are to be presented in terms of total dollars of work for each SB category, divided by the total contract value. The cover page of the SB Participation Plan shall list these percentages as follows:

L.4.6.1.1 The offeror shall identify the extent and nature of participation of small businesses (SB), small disadvantaged businesses (SDBs), woman-owned small businesses (WOSBs), HUBZone small businesses (HUBZone SBs), Veteran Owned Small Businesses (VOSBs), Service Disabled Veteran Owned Small Businesses (SDVOSBs), and Historically Black Colleges/Universities or Minority Institutions (HBCU/MIs) in the performance of the proposed contract. The offeror’s own participation as a SB, SDB, WOSB, HUBZone SB, VOSB, SDVOSB, or HBCU/MI shall be identified. Specifically, the SB Participation Plan shall address the following:

L.4.6.1.1.1 The extent of the commitment of the selected SB firms, including whether or not the selected SB firms are supported by enforceable commitments.

L.4.6.1.1.2 The complexity and variety of the work that each SB firm is to perform is clearly identified.

L.4.6.1.1.3 The extent of participation of SB firms in terms of the value of the total acquisition is clearly identified.

L.4.6.1.1.4 SB Participation Plan Goals. The Government’s Participation Plan goals for this acquisition are as follows:

Small Business - 7.0% Small Disadvantaged Business - 1.7% Women-Owned Small Business - 1.05% HUBZone Small Business - 0.20% Service Disabled Veteran-Owned Small Business - 0.85%

L.4.6.1.1.4.1 Historically Black College or University (HBCU) / Minority Institution (MI) Participation. The Government has not established a goal for HBCU/MI participation. HBCU/MI participation is encouraged, but not required. If an offeror chooses to include HBCU/MI participation, it shall identify this participation in accordance with the methods described L.4.6.1.

L.4.6.1.1.5 For each category in which the offeror’s SB Participation Plan contains goals below those described at L.4.6.1.1.4, the offeror shall provide a detailed explanation as to why.

L.4.7 Cost/Price (Volume VII).

L.4.7.1 CLIN Structure: The Contract Line Item Numbers (CLINs) as set forth in Section B shall be priced as follows for both the threshold and Objective proposals:

L.4.7.1.1 CLIN 0001 (SID Phase) shall be priced as a Cost-Plus-Incentive Fee (CPIF) contract type. Offerors shall propose share ratios, as well as minimum, target, and maximum cost and fee amounts. The share ratios and fee structure shall remain the same for both threshold and Objective proposals.

L.4.7.1.2 CLIN 0002 (Accounting for Contract Services - SID). As part of its proposal, the Offeror shall provide a total price (if any) incurred to comply with Clause 5152.237-4900 "Accounting for Contract Services Requirement - Enterprise-wide Contractor Manpower Reporting Application." If the Offeror elects to separately price CLIN 0002 it shall be priced as a firm-fixed-price contract type. If the Offeror separately prices CLIN 0002, the contractor shall bill all the costs associated with the CMRA requirement to that CLIN. The CMRA requirement only applies to the SID phase of this contract; it does not apply to any exercised production options.

L.4.7.1.3 CLIN 0003 (Option 1, First Article Testing) shall be priced as a Fixed Price Incentive – Successive Targets type. Offerors shall propose share ratios, ceiling percentage, as well as initial target cost and profit amounts. The share ratios, fee structure, and ceiling price shall remain the same for both threshold and Objective proposals.

L.4.7.1.4 CLIN 0004 (Option 1, first production year option) shall be priced as a Fixed-Price-Incentive Successive target type. Offerors shall propose share ratios, ceiling percentage, as well as initial target cost and profit amounts.

The share ratios, profit structure, and ceiling price shall remain the same for both threshold and Objective proposals.

L.4.7.1.5 CLIN 0005 (Option 2, second production year option) shall be priced as a Fixed-Price-Incentive Successive target type. Offerors shall propose share ratios, ceiling percentage, as well as initial target cost and profit amounts. The share ratios, profit structure, and ceiling price shall remain the same for both threshold and Objective proposals.

L.4.7.1.6 CLIN 0006 (Option 3, third production year option) shall be priced as a Fixed-Price-Incentive Successive target type. Offerors shall propose share ratios, ceiling percentage, as well as initial target cost and profit amounts.

L.4.7.1.7 CLIN 0007 (Option 4, fourth production year option) shall be priced as a Fixed-Price-Incentive Successive target type. Offerors shall propose share ratios, ceiling percentage, as well as initial target cost and profit amounts.

The share ratios, profit structure, and ceiling price shall remain the same for both threshold and Objective proposals.

L.4.7.1.8 CLIN 0008 (Contract Data Requirements List (CDRLs) shall be "Not Separately Priced (NSP)."

L.4.7.2 Required Files: The Offeror shall submit the following two parts in the Cost/Price Volume:

L.4.7.2.1 Cost Narrative [Offeror Name, Date, Cost Narrative.doc(x)/pdf]: The primary purpose of this document is to provide factual documentation that supports the accuracy of proposed rates in the Excel Cost Proposal. Offerors are discouraged from duplicating tables shown in the Excel “Cost Proposal” workbook. Offerors shall submit two cost narratives, one for Threshold and one for Objective. In the Cost Narrative for the Objective proposal, offerors shall identify and explain where there are differences in the supporting documentations between Threshold and Objective.

L.4.7.2.2 Cost Proposal [Offeror Name, Date, Cost Proposal.xls(x)]: The offeror shall furnish supporting breakdowns for each cost element within each proposed contract line item, consistent with the offeror’s cost accounting system. To assist with this requirement, a Government- developed Microsoft Excel file entitled “Cost Proposal.xls” is included as Attachment 8 to Section J of the solicitation. The file is available to each offeror and contains the Government-required format for the proposal cost schedules. Offerors may need to make minor modifications to the model to reflect its cost accounting structure. The first worksheet in the file contains general guidelines for using the model. The rates and cost information included in the model are for example purposes only and are not intended to be used as a guideline for proposal preparation. Offeror shall submit two cost proposals, one for Threshold and one cost proposal for Objective. Offeror shall use the same excel format for both Threshold and Objective cost proposals.

L.4.7.2.2.1 Labor Matrix worksheets in the cost proposal: Offerors shall fill in the following for each labor category/individual:

a. A Descriptive Labor Category: Only labor categories specific to job functions shall be presented (e.g., “Sr.

Chemist”, “Jr. Environmental Scientist”, and “Mid-Level Physicist” are all sufficiently descriptive;

whereas, “Scientist” is not specific to the job function).

b. If the individual identified by the labor category is part of the Offeror’s current workforce or would be a new hire.

L.4.7.2.2.2 Material and MAT/ODC worksheets in the cost proposal: Offeror shall identify specific equipment and show specific materials that will be required to complete contract performance by providing either a National Stock Number (NSN) or part number for each items. The offeror shall include information clearly identifying all spare and repair parts by providing either NSN or part number for each items.

L.4.7.2.2.3 It should be noted that for production/manufacturing phase (CLINs 0003 through 0007), each cost elements such as labor hours, material, travel costs, etc. shall be identified and summed up by contract line item in the cost proposal.

L.4.7.2.2.4 For the SID Phase (CLIN 0001), with the exclusion of Subcontractor costs, ODCs shall not be subject to fee.

L.4.7.3 Cost Narrative Contents: This file shall contain the following sections:

L.4.7.3.1 Table of Contents: Identifies the location of required Cost Narrative sections.

L.4.7.3.2 Identifying Information: The name and address of the Offeror; solicitation number; name, email address, and phone number of the point of contact and alternate; and a list containing either the Data Universal Numbering System (DUNS) number or the Commercial And Government Entity (CAGE) code for the prime contractor and each subcontractor.

L.4.7.3.3 Cost Accounting Business System: State if the Offeror has a DCAA approved Cost Accounting Business System. Offeror shall state whether the subject proposal is complying with the approved cost accounting system. If an Offeror does not have a DCAA approved Cost Accounting Business System, Offeror shall state its plan to obtain one and provide the point of contact at its cognizant DCAA office.

L.4.7.3.4 Direct Labor: For each labor category describe how proposed labor rates were estimated (e.g. category average of current employees, pay rate of current employee, letter of intent, labor statistics such as http://data.bls.gov/oes/, etc.).

L.4.7.3.5 Labor Escalation: Provide the rationale behind proposed escalation.

L.4.7.3.6 Indirect Expense Rates: Offeror shall describe the allocation base for each indirect expense rates, and support the proposed indirect rates by one of the following:

a) A copy of a Forward Pricing Rate Agreement;

b) A copy of a Forward Pricing Rate Recommendation;

c) A copy of a DCAA audit or DCMA review of indirect rates incurred during a period within the past two years from the solicitation due date;

d) Claimed/actual indirect expense pool (aggregate dollars), allocation base, and rate data for the past three fiscal years; or

e) An agreement to cap reimbursable indirect expense rates at proposed amounts IAW FAR 42.707.

NOTE: Provisional Billing Rates and Forward Pricing Rate Proposals will not be accepted as a basis for proposed indirect rates; unless they are supported with three (3) years of claimed or actual indirect expense pool, allocation base, and rate data.

L.4.7.3.7 Subcontracts: For every subcontract, provide a quote regardless of contract type and dollar value that supports how the Offeror arrived at the subcontractors’ proposed prices and quantities of uncosted elements (e.g.

labor hours, material quantities, etc.) presented in the Excel Cost Proposal. For each cost reimbursable subcontract (e.g. CPFF), a Cost Narrative and Cost Proposal shall be provided to the Government with the same level of detail as is required of the Prime Offeror (may be provided by either the Prime or Subcontractor).

L.4.7.3.8 Equipment, Materials, and ODCs: The Offeror shall fully describe how it arrived at proposed equipment, material, and other direct costs; and provide data used to arrive at the specific dollar value proposed. Any analogous or parametric estimate used must be supplemented by data and calculations used to arrive at proposed rates and/or dollar values. All equipment, materials, and ODCs that contribute more than $10,000 in proposed costs shall be supported by vendor/supplier quotes, catalog pricing, or historical pricing documentation.

L.4.7.3.9 Travel: Proposed travel costs do not need to be addressed in the Cost Narrative, but shall conform to the Joint Travel Regulations (JTR). The JTR can be accessed via http://www.defensetravel.dod.mil/site/travelreg.cfm.

L.4.8 Uncosted Information (VOLUME VIII).

L.4.8.1 Uncosted Information: For purposes of this solicitation, Uncosted Information includes all resources that the Offeror and any of its subcontractors intend to contribute to accomplish its technical approach to meet Government requirements. Examples of what makes up Uncosted Information include labor hours, material quantities, trip details (to/from, people, duration). Cost information shall not be included in this Volume. Any pages containing cost information will be removed from this volume prior to its evaluation.

L.4.8.2 Purpose: Technical Evaluators are firewalled from Offerors’ proposed costs during technical evaluations, so this workbook is a means to present what is being proposed for consideration by Technical Evaluators. As such, Offerors shall ensure that Uncosted Information provided is comprehensive and is void of all cost information. The Government will use information presented in this workbook to determine if proposed uncosted elements are realistic for the Offeror’s technical approach, with results incorporated in the Cost Realism Analysis.

L.4.8.3 General Format: Offerors shall provide a sanitized copy of the cost proposal IAW L.4.7.2.2 with the costs removed.

L.4.9 Administrative (VOLUME IX)

L.4.9.1 General Instructions. The Offeror shall include the following information in Volume IX.

L.4.9.1.1 The solicitation number: W911SR-16-R-0002;

L.4.9.1.2 The date of submission;

L.4.9.1.3 The name and address of the Offeror;

L.4.9.1.4 The name, email address, and telephone number of the offeror’s point of contact and an alternate, and the names, company titles, telephone numbers, and email addresses of two (2) individuals that the Offeror has designated as responsible for receiving and responding to Government Evaluation Notices (ENs) through the Acquisition Source Selection Interactive Support Tool (ASSIST).

L.4.9.1.5 A list containing either the DUNS number or the CAGE code for the prime contractor and each subcontractor.

L.4.9.1.6 Name and address of contract administration office and point of contact to include name, email address and telephone number (if known).

L.4.9.1.7 Name and address of cognizant DCAA Office and point of contact to include name, email address and telephone number (if known).

L.4.9.1.8 A statement that the proposal is/is not consistent with established estimating and accounting principles and procedures and FAR Part 31, Cost Principles and if not an explanation. (Yes/No – explanation)

L.4.9.1.9 Proposal and price validity period (minimum is ninety (90) days).

L.4.9.1.10 Whether the Offeror will require the use of Government property in the performance of the contract, and if so, what property.

L.4.9.1.11 A statement that the Offeror grants the Contracting Officer and authorized representative(s) the right to examine, at any time before award, any records, and other data, regardless of the type and form, or whether such supporting information is specifically referenced or included in the proposal as the basis for pricing, that will permit an adequate evaluation of the proposed price.

L.4.9.1.12 Name, title, and signature of authorized representative(s).

L.4.9.1.13 One (1) signed and completed copy of Standard Form 33 and continuation sheets (if applicable) to include acknowledgement of all amendments to the solicitation and a completed Section B.

L.4.9.1.14 One (1) completed copy of Section K, Representations, Certifications and Other Statements of Offerors.

L.4.9.1.15 SB Subcontracting Plan (Large Business Only). As part of Volume IX, each Large Business Offeror shall provide a Small Business Subcontracting Plan meeting the requirements of FAR 52.219-9 and DFARS 252.219-7003 (or DFARS 252.219-7004 if the Offeror has a comprehensive subcontracting plan). This plan shall be submitted separately from the Small Business Participation Plan required in L.4.6, which applies to both large and small businesses. The Small Business Subcontracting Plan is a requirement for award to a large business and will be incorporated into any resultant contract. Subcontracting plans shall reflect and be consistent with the commitments offered in the Small Business Participation Plan. This plan is only required from an offeror which is itself other than a SB, SDB, WOSB, HUBZone SB, VOSB, SDVOSB, or HBCU/MI.
