The following have been modified:

INSTRUCTION TO OFFERORS

L.1 Introduction and Administration

L.1.1. All Offerors are required to submit proposals by the closing date and time identified in block 9 of the SF 33 in accordance with the instructions provided below. All the requirements specified in the solicitation are mandatory.

By submitting a proposal, the Offeror is representing that its firm is capable and committed to performing all the requirements specified in the solicitation. Offerors shall demonstrate their capability, understanding, and willingness to satisfactorily perform all requirements as described in the Basic IDIQ MATOC PWS located in Section C of this solicitation. Capabilities may be established within either the Offeror’s corporate structure or through contractor teaming arrangements. The proposal shall be valid for three hundred and sixty (360) calendar days from date of initial proposal submission.

L.1.2. The Offeror’s written proposal shall be organized as stated in paragraph L.2. below.

L.1.3. It is the Offeror’s responsibility to ensure that the entire proposal is submitted prior to the proposal due date and time. Failure of an Offeror to submit its proposal by the date and time deadline or in the manner specified in the solicitation may result in a determination that the Offeror is ineligible to be considered for award. Partial proposals or attachments submitted late will not be considered. Proposals will be handled IAW FAR 15.207. All late proposals will be handled IAW FAR 15.208.

L.1.4. Proposals shall be submitted electronically by email only in the formats noted in paragraph L.2.1, to the address listed below. For Internet email account such as Outlook.com or Gmail, the combined file size limit is 20 megabytes (MB) and for Exchange accounts (business email), the default combined file size limit is 10 MB.

MICC-Fort Eustis Attn: Ms. Delphia Celano and Mrs. Natisha Felix delphia.j.celano.civ@mail.mil and natisha.m.felix.civ@mail.mil Solicitation No.: W911S0-19-R-0002, 705 Washington Blvd, Suite 126 Fort Eustis, VA 23604

L.1.5. The points of contact (POC) responsible for supplying additional information and answering all inquiries is the Contracting Officer. All questions regarding this solicitation shall be submitted in writing via email. The email shall contain the solicitation number in the subject line. All questions shall identify the Government source document by page and paragraph number. Offerors shall submit all Questions in one consolidated document. The Government discourages multiple submissions of questions from a single Offeror. All questions regarding this solicitation shall be submitted in writing via email by 02 March, 2020 at 10:00AM EST. All questions received before the question due date will be responded via amendment online via the beta.sam.gov website (https://beta.sam.gov/). Answers shall be posted without Offeror identification. Questions received after the deadline may not be answered.

L.1.6. Offerors are required to meet all solicitation requirements. Proposals shall clearly and convincingly demonstrate that the Offeror has a thorough understanding of the entire requirement and associated risks and has the resources necessary to meet the requirement. Statements that the Offeror understands, can, or will comply with the requirements, and statements paraphrasing the requirements or parts thereof without supporting information/narrative are considered inadequate and unsatisfactory. Mere reiteration of the requirement or standard reference material is discouraged and is considered inadequate and unsatisfactory. The Offeror shall include any data necessary to illustrate the adequacy of the various assumptions, approaches, and/or solutions.

L.1.7. If the Offeror finds necessary to take exception to any of the requirements specified in this solicitation, the Offeror shall clearly identify the applicable Volume and exceptions with a complete explanation of why the exception was taken, what benefit accrues to the Government (if any), and its impact, if any, on the performance, schedule, and specific requirements of the solicitation. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Offerors are cautioned that taking an exception may render the offer ineligible for award.

L.1.8. Offerors will be evaluated using the criteria under Section M, “Factors to be Evaluated.” Noncompliance with the RFP requirements may hamper the Government’s ability to properly evaluate the proposal and may result in elimination of the proposal from further consideration. Offerors shall respond to the solicitation as posted. Offerors who alter the solicitation (except for completing appropriate fill-in blocks and certifications) may be considered not in compliance with the material requirements of the solicitation and ineligible for award.

L.1.9 The submission of the documentation specified below will constitute the Offeror’s acceptance of the terms and conditions of the initial RFP as amended inclusive of the PWS and the proposed contract type.

L.1.10. As set forth in FAR 52.215-1(f)(1), the Government intends to award a contract resulting from this solicitation to the responsible Offeror(s) whose proposal(s) represents the best value after evaluation in accordance with the factors and elements in the solicitation; therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a price and technical standpoint. The Government intends to hold discussions IAW DFARS 215.306(c)(1). However, the Government may choose to award contracts without discussions. When discussions are held, a competitive range determination will be made. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals IAW FAR Part 15.306(c)( 2).

L.1.11. Debriefings. If a competitive range is established, the Contracting Officer will promptly notify Offerors of any decision to exclude them from the competitive range, whereupon the Offeror may request and receive a debriefing IAW FAR 15.505. The Contracting Officer will notify unsuccessful Offerors who were included in the competitive range, but not selected for award IAW FAR 15.503(b). Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring debriefing must make their request IAW the requirements of FAR 15.505 or 15.506, as applicable.

L.1.12. Proposals shall not contain classified information.

L.1.13. If an Offeror believes that the requirements in these instructions contain an error, an ambiguity, omission, or are otherwise unsound, the Offeror shall immediately notify the Contracting Officer in writing at the email address identified above and shall provide supporting rationale for its assessment.

L.1.14 All referenced documents for this solicitation are available on the betaSAM web site at https://beta.sam.gov/.

The Government may revise this solicitation at any time by means of an Amendment. It is the Offeror’s responsibility to ensure it is accessing the betaSAM website to view potential amendments.

L.1.15. During the conduct of this acquisition, the Acquisition Source Selection Interactive Support Tool (ASSIST) will be used by the Government to support the proposal evaluation and source selection process. A separate tool, the ASSIST2Industry, will be used in conjunction with ASSIST to accomplish all exchanges with Offerors after receipt of proposals pursuant to Federal Acquisition Regulation (FAR) 15.306. ASSIST2Industry provides the ability for the Government to issue, and the Offerors to receive and respond to, all Evaluation Notices (ENs) in a secure online environment.

In order to initiate the use of ASSIST2Industry, the Government requires the names, company titles, telephone numbers, and email addresses of two (2) individuals that the Offeror has designated as responsible for receiving and responding to Government ENs through ASSIST2Industry. The designation of two (2) individuals is for the purpose of insuring availability of one individual if the other individual is not available. The required information regarding these two (2) individuals must be submitted with the Offeror’s proposal and included in Volume VI, Tab G.

After the solicitation’s closing date, the Government will establish an account in ASSIST2Industry for each individual identified by the Offeror that has submitted a proposal in response to this solicitation. The two individuals named by the Offeror will be authorized access to that account. Two (2) separate system generated emails will be sent to each individual. One of the emails will contain the individual’s ASSIST2Industry username.

The other email will contain the individual’s temporary password. Using the provided username and temporary password, each individual can then go to https://ASSIST2Industry.army.mil to access the account. NOTE: The first time a user logs in, the user will be required to change the temporary password before the user can proceed to use the site.

Whenever the Government issues ENs to the Offeror through ASSIST2Industry, the Government’s Contracting Officer will notify the Offeror through a medium independent of ASSIST2Industry ( e.g., e-mail) that the Offeror has ENs in ASSIST2Industry waiting for a response. There will be no ENs in ASSIST2Industry until such notice is issued by the Contracting Officer.

All Offerors are advised that ASSIST2Industry has been updated and it is now the responsibility of PRIME Contractors to establish accounts for their SUBCONTRACTORS to respond to Government ENs. A separate area within ASSIST2Industry has been created to allow authorized Subcontractor POCs to upload proposal files only.

Subcontractors will not be able to access any other information on the ASSIST2Industry website (e.g.

Questions/Evaluation Notices, Responses, etc.). Once a Subcontractor has been added, they will receive a user ID (e.g. subcontractor0001) and password (an initial password) that will be sent via two separate system generated e-mails.

A Subcontractor will have one user ID for all PRIMES and solicitation responses, i.e. if you are a Subcontractor to multiple Prime Contractors and multiple solicitation responses, you will only have one user ID. Once an account has been established for the Subcontractor, go to https://ASSIST2Industry.army.mil to access the account. Prime Contractors will only be able to see the number of files submitted by their Subcontractors; but, will be UNABLE TO VIEW the Subcontractor’s files.

ACCESSING ASSIST2INDUSTRY PRIME/SUBCONTRACTORS

Access to ASSIST2Industry will require a two factor authentication for each Prime and Subcontractor user. All ASSIST2Industry users are required to have a username/password (first authentication) and may select one of the following three methods for implementing the second authentication to access the site:

1) use an authenticator application on your cell phone (e.g. Google or Microsoft Authenticator) to receive a

QR Code;

2) receive a code via an SMS Text Message to your cell phone; or

3) receive a code via e-mail.

If you have any other problems accessing your account, contact the Army Enterprise Service Desk (AESD) at the number listed below:

Phone: 1-866-335-2769 (ARMY), # Option 7

Please be prepared to provide the following:

Contractor POC Name;

Telephone Number;

Email Address;

Procuring Contracting Officer and/or Contract Specialist Name and Telephone Number;

Contractor POCs should not provide any additional information than what is noted above.

NOTE: Both Prime Contractors and Subcontractors are instructed to review the ASSIST2Industry User’s Guide, located under the “Getting Started” tab on the website. The guide has been updated and provides step by step instructions on how to perform functions and navigate the website.

Contractor POCs should not provide any additional information than what is noted above.

THE OFFERORS ARE CAUTIONED THAT THE SYSTEM GENERATED EMAILS REFERRED TO ABOVE

ARE INTENDED FOR ADMINISTRATIVE PURPOSES ONLY. RECEIPT OF THESE EMAILS DOES NOT

CONSTITUTE THE COMMENCEMENT OF ANY TYPE OF EXCHANGE WITH THE OFFEROR IN

ACCORDANCE WITH FAR 15.306(A), (B), OR (D) (I.E., CLARIFICATIONS, COMMUNICATIONS, OR

DISCUSSIONS). ALSO, RECEIPT OF THESE EMAILS DOES NOT SIGNIFY THAT A COMPETITIVE

RANGE DETERMINATION IN ACCORDANCE WITH FAR 15.306(C) HAS BEEN MADE OR THAT THE

OFFEROR’S PROPOSAL WILL BE INCLUDED IN THE COMPETITIVE RANGE WHEN THAT

DETERMINATION IS MADE. ALL NOTIFICATIONS THAT ANY TYPE OF EXCHANGE WITH THE

OFFEROR HAS COMMENCED AND THE OFFEROR HAS EVALUATION NOTICES (ENS) AVAILABLE TO

RESPOND TO, OR ANY NOTIFICATION THAT THE OFFEROR’S PROPOSAL HAS BEEN INCLUDED IN

OR EXCLUDED FROM THE COMPETITIVE RANGE, WILL BE SENT TO THE OFFEROR BY THE

CONTRACTING OFFICER INDEPENDENTLY OF THE ASSIST2INDUSTRY.

L.5.3 The Offeror’s Proposal must demonstrate the quality of each past performance reference.

L.5.3.1. For each past performance reference, the Offeror shall provide a copy of all completed Contractor Performance Assessment Reports (CPARs). Teaming Partners may submit CPARs directly to the points of contact responsible for receiving proposal submissions no later than the closing date and time identified in block 9 of the SF

33. The Offeror shall identify in its proposal whether CPARs for a past performance reference will be separately submitted by a Teaming Partner as described above.

L.5.3.2. The past performance data shall document the Offeror’s history of past contract performance. For any contracts that the Offeror did not/do not meet original requirements with regard to cost, schedule, or technical performance, the contractor shall provide a brief explanation of the reason(s) for such shortcomings and any demonstrated corrective actions taken to avoid recurrence. Offerors may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. L.5.3.3.1. Offerors shall provide a statement indicating whether any negative information has been reported in the past three years concerning the Offeror’s past compliance with FAR 52.219-8 and/or FAR 52.219-9, if applicable for past performance references cited in this volume. If any such negative information has been reported, the Offeror may submit explanations or comments responding to such negative information. Offerors with no prior contracts containing FAR 52.219-8 and/or FAR 52.219-9 shall certify the same.

L.5.3.3.2. For Other than Small Business Offerors, include SF 294 information for references cited in this volume and SF 295 (or Individual Subcontracting and Summary Subcontracting Reports in eSRS) information for DOD Government contracts with these reporting requirements for the last three (3) years.

L.5.3.3.3. Reserved.

L.5.3.3.4. Reserved.

L.5.4 In conducting the Past Performance evaluation, the Government reserves the right to use the information provided in the Offeror’s Past Performance Volume and information obtained from other sources, such as the Electronic Subcontract Reporting System (eSRS), Contractor Performance Assessment Reporting System (CPARs), or other databases; and may be obtained from other sources available to the Government, such as the Defense Contract Management Agency (DCMA) and interviews with Program Managers, Contracting Officers, and Fee Determining Officials. Offerors are reminded that both independent data and data provided by Offerors in their proposals may be used by the Government to evaluate Offeror past performance. However, the burden of providing thorough, complete, and current past performance information as requested in this paragraph remains with the Offerors. Proposals that do not contain the information requested by this paragraph risk rejection or a less than acceptable performance rating by the Government. All past performance comments received will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received.

L.5.5 Additional Submission Requirements. In addition to the above requirements, the Offeror shall submit the following in its Past Performance Volume:

L.5.5.1 Consent Letters. The Offeror shall provide Consent Letters authorizing the release of past performance information executed by each subcontractor, teaming partner, and/or joint venture partner that will perform 25% or more of the proposed effort. The Offeror shall also provide Consent Letters authorizing the release of past performance information executed by each subcontractor, teaming partner, and/or joint venture partner who are performing major, or critical aspects of the requirement when such information is relevant to the instant acquisition.

Past performance information concerning subcontractors cannot be disclosed to or requested from a private party without the subcontractor’s consent. Because a prime contractor is a private party, the Government requires consent before disclosing subcontractor present and past performance information to the prime contractor and/or requesting such information about the prime contractor from references. In an effort to assist the Government’s Past Performance Team in assessing an Offeror’s past performance relevancy and confidence rating, the Government requests that a consent form be completed for each reference identified in your proposal. The completed consent forms should be submitted as part of the Past Performance volume.

L.5.5.2. Commercial Client Authorization Letters. The Offeror shall provide, for each identified past performance reference, a Commercial Client Authorization Letter authorizing the Government to request information from the Commercial Client regarding the Offeror's and/or or Teaming Partner’s performance.

L.5.5.3. Organization Structure Change History. The Offeror shall provide information regarding the organization structure change history of the Offeror and its Teaming Partners. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, the Offeror shall include in its past performance volume a chart or schedule describing all such changes in the organization of the Offeror and Teaming Partners over the past three years. As part of this explanation, the Offeror shall show how these changes impact the relevance of any identified past performance efforts. The Government intends to consider present and past performance information provided by other sources as well as that provided by the Offeror(s), Organization Structure Change History must be both specifically applicable to the efforts “identified” by the Offeror in the past performance volume of its proposal, and “general enough to apply to efforts on which the Government receives information from other sources”.

L.6 VOLUME 4: Factor 4 – Small Business Participation

FACTOR 4 – Small Business Participation

These requirements apply at the prime contract and first tier subcontract levels.

Offerors are required to submit a Small Business Participation Proposal individually addressing the following areas:

□ The extent to which small business firms are identified by name in each category proposed.

□ The extent of commitment to use such firms (and binding agreements will be considered more favorably than non-binding agreements);

□ The complexity of the work small business firms are to perform;

□ The extent of participation of small businesses firms in terms of the value of the total contract based on the

$240M IDIQ ceiling. The minimum small business participation requirement is 30% of total contract dollar.

For estimating purposes at the IDIQ Contract Level, Offerors shall use the $240M IDIQ ceiling over the five-year ordering period and assume an even distribution of funded work annually for the three IDIQ contract awards.

Offerors shall provide a Basic IDIQ Contract-Level Summary of their proposed small business participation including percentage and associated total contract dollars for each of the five ordering periods.

A Small Business Subcontracting Plan deemed as ‘unacceptable” shall preclude an Offeror from being eligible for contract award. To the extent there is any overlapping content between an Offeror’s proposed Small Business Subcontracting Plan and its Small Business Participation Proposal, the overlapping content must be consistent for a Subcontracting Plan to be deemed “acceptable”.

Note:

*Subcontracting plan goals are calculated as a percentage of subcontracted dollars as opposed to small business participation which is calculated as a percentage of the TCV dollars.

**The Small Business Subcontracting Plan shall be submitted as an individual file, separate from the Small Business Participation Proposal submission. The Small Business Subcontracting Plan is excluded from Volume IV page number limitation.
