OCIs may exist at least in the following three ways:

Unequal access to information- access to non-public information that gives a contractor an unfair competitive advantage.

Biased ground rules- when a contractor has in some sense set the ground rules for another procurement action creating the potential that the contractor may have tilted the playing field in the new competition (usually toward its own strengths and away from its weaknesses).

Impaired objectivity - when the contract requires exercise of judgment and the independence of its judgment may be affected (e.g., when the contractor may be required to evaluate its own work in a way that could be adverse to its economic interests).

c) Any submitted OCI analysis and plan will not be evaluated unless the Offeror is considered the Apparent Successful Offeror under the evaluation Factors listed in this RFP. If the OCI analysis and plan needs to be evaluated, the Government will determine if an OCI exists and whether adequate mitigation is proposed. If adequate mitigation is not proposed, the Government may engage in exchanges with the Apparent Successful Offeror to determine if the problems with the mitigation plan may be resolved. If an OCI exists that cannot be adequately mitigated, the Government may seek waiver of the OCI issue or may award to another Offeror who does not have an OCI, or who has an OCI and has submitted a mitigation plan that is adequate or may be made so after exchanges between the Government and the Offeror.

a) Offerors are required to meet all solicitation requirements, including all terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. Failure to meet a requirement or taking exception to a requirement may result in an offer being ineligible for award. Offerors shall clearly identify any exceptions to Terms and Conditions of the solicitation. Exceptions are strongly discouraged. Failure to comply with all terms and conditions of the solicitation may result in the Offeror being removed from consideration for award.

b) Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken.

c) Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation.

Describe the impact of each identified risk in terms of its potential to interfere with or prevent the successful accomplishment of other contract requirements (for example: PWS or specification requirements), whether or not those requirements are identified as Factors. Propose realistic risk mitigations strategies and contingency plans that will eliminate or reduce risk(s) to an acceptable level. The risk evaluation should include the decision logic, identified thresholds, and timing for implementation a mitigation strategy and/or contingency plan if the proposed approach proves incapable of meeting the Performance Objectives within the Performance Periods.

Summary Table: Provide a summary table including the following information for each site listed in the PWS: Installation, Performance Objective, Performance Period, Date of Achieving Performance Objective, and Brief Description of the Technical Approach. For proposal purposes, the Offeror may choose to group sites for which the Offeror is proposing the same technical approach. However, where the Offeror chooses to do group sites with regards to same technical approaches, the price information shall be provided on a per CLIN/sub-CLIN basis only.

Demonstrate ability to meet the unique requirements for conducting work at the Department of Defense Installations, to include remote Alaska, and meet the appropriate access and security requirements.

Include an Integrated Master Schedule (IMS) organized in a Work Breakdown Structure (WBS) aligned with the CLIN/Sub-CLIN Structure provided with the RFP, consistent with the Offeror’s proposed approach, and in accordance with the requirements in PWS Section 4.2. The IMS should:

The Offeror shall submit a maximum of five (5) contract/task order (TO) summaries (narratives) demonstrating examples of relevant experience as it relates to the requirements of the PWS. The Government will not consider experience on a contract/TO that concluded more than five (5) years prior to the date of this solicitation. For contracts/TOs that are actively being performed, performance must be substantially complete (minimum 50% complete as of the date of solicitation) to be evaluated under this Factor 2. Contracts/TOs submitted by the Offeror should be the most relevant in demonstrating their experience and capability to perform the proposed effort. At least three (3) of the five (5) example projects must be from the Prime Contractor. Include the exact same contract/TO summaries in the volume for Factor 4, Past Performance.

Contract/TO Summary Submissions should include the following:

The individual task order or stand-alone contract number.

Title of the project and a brief description of the effort including the characteristics or aspects of the project that the Government will consider in determining relevance. Focus on the PWS aspects identified in the Technical/Risk Factor.

5.4 Organizational Structure Change History

Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection.

As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of the Offeror (including Prime Contractor and all teaming partners). A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts submitted for past performance evaluation/performance confidence assessment.

5.5 Past Performance Information Sheets

Provide copies of the project summaries submitted under Factor 2 Corporate Experience as a part of the submission for this Factor 4. Projects must demonstrate relevant experience in that projects submitted are of a nature similar to the efforts addressed under this solicitation in terms of size, scope, and technical and regulatory complexity in accordance with the requirements outlined in the PWS. The Government will not consider performance on a project that concluded more than five (5) years prior to the date of the solicitation. For projects that are actively being performed, performance must be substantially complete (minimum 50% complete as of the date of solicitation).

Information provided in the Past Performance Information (PPI) Sheets will assist the Government in determining both the relevance and confidence ratings for past performance.

5.6 Past Performance Questionnaires (PPQs)

a) Submit the information shown in the project summaries for each relevant project identified in Factor 2 – Corporate Experience and in accordance with (IAW) Section 5.6. The responsibility to track and ensure the completion/submission of the PPQ rests solely with the Offeror. Offerors shall ensure that the information is submitted directly to the Contract Specialist, John McComas, John.L.Mccomas@usace.army.mil. The PPQ form is included as Attachment L-2 to this solicitation.

b) Even though the assessment of Past Performance is separate and distinct from Determination of Responsibility required by FAR 9, past performance information contained herein may be used to support the Determination of Responsibility for the successful Offeror.

c) Information provided on PPQs assist the Government in determining both the relevance and confidence ratings for past performance.

5.7 Consent Letters

Provide original consent letters from each team member and/or joint venture partner. This letter allows the release of team member adverse present/past performance information to the Offeror so the Offeror can respond to such information. For each identified effort for a non-federal Government customer, the Offeror shall also submit a client authorization letter (see below), authorizing release to the Government of requested information on the Offeror's performance. Offerors are advised that the Government will use data provided by each Offeror in this volume and data obtained from other sources in the evaluation of past performance.

5.8 Client Authorization Letters

a) Provide original client authorization letters for the Prime and each team member and/or joint venture partner who identifies present/past performance efforts for a commercial customer. This letter allows the release of Prime and team member present/past performance information from the non-federal Government customer to the Government.

b) The Prime and each team member and/or joint venture partner shall execute a Client Authorization Letter for non-federal Government customers.

c) Client authorization letters are evaluated only to the extent that they are complete and present for each team member, and/or joint venture partner that presented past performance information for a non-federal Government customer in the proposal.

5.9 Specific Content

Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an Offeror may have subsequently demonstrated the ability to overcome the problems encountered. Clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified.

LIST OF SECTION L ATTACHMENTS

L-1 Present/Past Performance Questionnaires (PPQ)

PAST PERFORMANCE QUESTIONAIRE

The Past Performance Questionnaire (PPQ) included in the solicitation is provided for the offeror or its team members to submit to the client for up to three relevant projects. Ensure correct phone numbers and email addresses are provided for the client point of contact. Completed Past Performance Questionnaires should be submitted with your proposal. If the offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the offeror should complete and submit with the proposal the first page of the PPQ, which will provide contract and client information for the respective project(s). Offerors should follow-up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government’s point of contact, John McComas via email at John.L.Mccomas@usace.army.mil prior to proposal closing date. Offerors shall not incorporate by reference into their proposal PPQs previously submitted for other RFPs.

However, this does not preclude the Government from utilizing previously submitted PPQ Information in the past performance evaluation.

Also include performance recognition documents received within the last seven (7) years such as awards, award fee determinations, customer letters of commendation, and any other forms of performance recognition.

In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.
