Refer to the Defense Transportation Regulation, DoD 4500.9-R, Part
II, Chapter 203, for marking of 463L System pallets.
Passive RFID tag means a tag that reflects energy from the reader/interrogator or that receives and temporarily stores a small amount of energy from the reader/interrogator signal in order to generate the tag response. The only acceptable tags are EPC Class 1 passive RFID tags that meet the EPCglobal\TM\ Class 1 Generation 2 standard.
Radio frequency identification (RFID) means an automatic identification and data capture technology comprising one or more reader/interrogators and one or more radio frequency transponders in which data transfer is achieved by means of suitably modulated inductive or radiating electromagnetic carriers.
Shipping container means a MIL-STD-129 defined exterior container that meets carrier regulations and is of sufficient strength, by reason of material, design, and construction, to be shipped safely without further packing (e.g., wooden boxes or crates, fiber and metal drums, and corrugated and solid fiberboard boxes).
(b)(1) Except as provided in paragraph (b)(2) of this clause, the Contractor shall affix passive RFID tags, at the case- and palletized- unit-load packaging levels, for shipments of items that--
(i) Are in any of the following classes of supply, as defined in DoD 4140.1-R, DoD Supply Chain Materiel Management Regulation, AP1.1.11:

(G) Class IX--Repair parts and components including kits, assemblies and subassemblies, reparable and consumable items required for maintenance support of all equipment, excluding medical-peculiar repair parts; and
(ii) Are being shipped to one of the locations listed at http://www.acq.osd.mil/log/rfid/ or to--
(A) A location outside the contiguous United States when the shipment has been assigned Transportation Priority 1, or to--
(B) The following location(s) deemed necessary by the requiring activity:
Contract line, subline, or exhibit Location name City State DoDAAC line item number
To be Defined at the Individual Delivery Order Level
(2) The following are excluded from the requirements of paragraph (b)(1) of this clause:
(i) Shipments of bulk commodities.
(ii) Shipments to locations other than Defense Distribution Depots when the contract includes the clause at FAR 52.213-1, Fast Payment Procedures.
(c) The Contractor shall--
(1) Ensure that the data encoded on each passive RFID tag are globally unique (i.e., the tag ID is never repeated across two or more RFID tags) and conforms to the requirements in paragraph (d) of this clause;
(2) Use passive tags that are readable; and
(3) Ensure that the passive tag is affixed at the appropriate location on the specific level of packaging, in accordance with MIL-STD-129 (Section 4.9.2) tag placement specifications.
(d) Data syntax and standards. The Contractor shall encode an approved RFID tag using the instructions provided in the EPC\TM\ Tag Data Standards in effect at the time of contract award. The EPC\TM\ Tag Data Standards are available at http://www.epcglobalinc.org/standards/.
(1) If the Contractor is an EPCglobal\TM\ subscriber and possesses a unique EPC\TM\ company prefix, the Contractor may use any of the identifiers and encoding instructions described in the most recent EPC\TM\ Tag Data Standards document to encode tags.

You must notify the PCO of any noted technical deficiencies or deviations not specifically approved by the PCO. The PCO may seek your technical advice from time to time, especially concerning the technical qualifications of contractor key personnel. b. The PCO shall have discretion as to the mix of contract types to be utilized under each order.
H.2 SOFTWARE TRANSFER RIGHTS
Software License Transfer Rights and End User License Agreements (EULA)
The Department of Defense (DoD) shall have the right, without the prior written consent of the Publisher or its Authorized Resellers, to assign, reassign, or transfer software licenses or DoD’s rights in the Software to an “Affiliate” of DoD, to include any governmental organization or commercial entity that is managed, operated or controlled by the DoD. “Affiliates” means associated business concerns or individuals if, directly or indirectly--
(1) Either one controls or can control the other; or
(2) A third party controls or can control both.
Such authorization includes sublicensing, assignment or transfer among or between “Authorized Users”. In the event an Authorized User is reorganized or restructured such that its responsibilities and operations are transferred to another DoD agency, the agency shall have the right to assign the affected program licenses to a successor. The licensed agency and the successor agency agree to be bound to this EULA. The transferee shall be bound by the license metrics and limitations in this license. DoD shall complete any required Licensor documentation required to facilitate the transfer of license and continuation of support for the transferee.
The Contractor, whether it be the buyer, authorized reseller or publisher of the software in question, shall not accept, transfer or inact automatic renewal provisions related with the EULA of the associated software without prior determination and consent by the PCO.

H.4 TEAMING AGREEMENTS
UTILIZATION OF TEAMING AGREEMENTS AND ASSOCIATE CONTRACTOR AGREEMENTS (ACA)
The Government does not expect the utilization of agreements between parties to be binding for the entire length of the contract or Delivery Order (DO) performance period under which it is to be established. Agreements shall comply with the language contained herein only for the time period determined adequate to meet or exceed the requirements for which it is to be drafted. Each DO will stand alone and, given the unknown nature of future requirements under SOFAST-E, the Government acknowledges the unlikelihood that the Prime contractor will be able to satisfy these future requirements with the same subcontractor(s).
The Contractor shall enter into Teaming Agreements or ACAs for any portion of the contract requiring joint participation in the accomplishment of the Government’s requirement. The agreement(s) shall include the basis for sharing information, data, technical knowledge, expertise, and/or resources essential for the successful completion of the subject SOFAST-E requirement(s) and which meet the terms of the contract. At a minimum each agreement shall include the following information:
(1) Specify the associate contractor and their relationships.
(2) Identify the program involved and the relevant Government contracts of the associate contractors.
(4) Specify the type of work to be performed by or information to be exchanged with the associate contractor.
(5) Include the expiration date (or event) of the ACA.
(6) Identify potential conflicts between relevant Government contracts and the ACA; include agreements on protection of proprietary data and restrictions on employees.
(a) A copy of such agreement shall be provided to the Contracting Officer for review before bilaterally signed execution of the document by the cooperating contractors.
(b) The Contractor is not relieved of any contract requirements or entitled to any adjustments to the contract terms because of a failure to resolve a disagreement with an associate contractor.
(c) Liability for the improper disclosure of any proprietary data contained in or referenced by any agreement shall rest with the parties to the agreement, and not the Government.
(d) All costs associated with the agreements are included in the negotiated cost of this contract. Agreements may be amended as required by the Government during the performance of this contract.
(e) Bilaterally signed copies of each agreement shall be provided to the Government prior to the associate contractors performance.
H.5 CLICKWRAP LICENSING CLAUSE
H.5 USE OF “CLICKWRAP” LICENSES
(a) Except with respect to commercial computer software as defined in DFARS 252.227-
7014(a)(1), no contractor, subcontractor, or third-party license or other restriction shall be included with or imposed on software delivered pursuant to this contract, the terms of which differ from or conflict with the terms of this contract, including, but not limited to, terms relating to rights in technical data, rights in noncommercial computer software and noncommercial computer software documentation, indemnification, and liability; unless such license(s) or restriction(s) are approved by the Contracting Officer in writing and expressly incorporated into the contract prior to the delivery of software subject to such license(s) or restriction(s). Such licenses or restrictions include, by way of illustration and not limitation, so-called “clickwrap” licenses.
(b) For any commercial computer software as defined in DFARS 252.227-7014(a)(1) that the contractor intends to incorporate into or deliver with any software to be delivered pursuant to this contract, the contractor shall identify such software or documentation to the Contracting
Officer or the Contracting Officer’s designated representative prior to delivery thereof. The contractor shall also supply to the Contracting Officer or the Contracting Officer’s designated representative a copy of any licenses applicable to such software at the time the software is identified. The contractor, in accordance with the Contracting Officer’s instructions, shall negotiate any changes to the license that are required to make the license consistent with
Federal procurement law and the Government’s needs regarding such software. No such software shall be incorporated into or delivered with other software delivered pursuant to the terms of this contract without the Contracting Officer’s express written permission.
(c) (1) For any open source software (as defined at Section 3.1 of the CENDI report at http://www.cendi.gov/publications/09-1FAQ_OpenSourceSoftware_FINAL_110109.pdf.)
that will be included in any deliverable item or part thereof under this contract, or will be used to create any deliverable item or part thereof under this contract, the contractor shall:
(i) identify the open source software;
(ii) provide, for each of the software identified in (i), copies of any and all licenses associated with such software;
(iii)ensure, for each of the licenses identified in (ii), that the Government’s rights under such licenses permit the Government to use the deliverable(s) for its intended purpose; and
(iv) ensure that the contractor has complied with any and all requirements of the licenses identified in (ii).
(2) Any licenses relating to open source software shall be subject to all the requirements of this clause.
(d) Notwithstanding the requirements of paragraphs (a) and (b) hereof, no software shall be delivered pursuant to this contract if the software or any part thereof is subject to any copyright, license, or other reservation of rights (hereafter “reservation”) that imposes any requirement of subsequent action by the Government, unless express written permission for such inclusion is obtained from the Contracting Officer prior to delivery of such software.
Such requirement of subsequent action includes by way of illustration and not limitation: a requirement that upon distribution the Government must make such software available in any form to any entity; a requirement that prior to a distribution of the software by the
Government the Government is obliged in any way to ensure that the entity to which it distributes the software abides by the terms of the reservation or acquires any license or other right; or any requirement that is inconsistent with Federal laws including but not limited to national security requirements, export control laws and regulations, or acquisition laws and regulations.

H.6 - REOPENER CLAUSE FOR OPTION PRICE REDETERMINATION FOR FIRM-FIXED-PRICE (FFP) SPARE PART LINE ITEMS
The Government reserves the right to downward equitable adjustment for contract pricing involving Firm-fixed-price (FFP) spare part option line items. In accordance with The Office of the Secretary of Defense (OSD) Memorandum, Cost and Price Analysis of Spare Parts Required Before Exercising an Option, dated 15 December 2011, any FFP Option line items for Spare Parts awarded under this contract shall require a written determination of price reasonableness by the PCO prior to exercising. The purpose of this analysis is to ensure that the proposed costs associated with the aforementioned spare parts remains fair and reasonable based upon current market listings (i.e. catalog pricing, supplier quotes and volume discounts (if applicable)). This determination will be in conjunction with and does not preclude the requirements found under 52.217-8 Option to Extend the Term of the Contract and FAR 17.207 – Exercise of Options.
Upon receipt of the Government’s notice of intent to exercise any FFP Option, which falls under the auspices of this clause, the Contractor shall comply with the following:
(a) Within 10 business days from the notice of intent to exercise the subject Option, the Contractor shall submit a supplemental cost impact proposal to the procuring Contracting Officer for purposes of performing a cost/price analysis to determine reasonable substantiation for a downward equitable adjustment in the subject contract and Option price. The supplemental proposal shall, at a minimum, provide (i) a revised Bill of Material (BOM) for the subject line item, reflecting any downward cost differentials and (ii) include the effect of any potential accounting system changes and/or contract modifications which may impact the amount of the adjustment. This proposal shall also incorporate the degree of change (in U.S. dollars) from the original awarded price.
(b) If determined necessary by the Contracting Officer, the Contractor agrees to commence negotiations concerning the amount of the adjustment within 10 business days after receipt of the supplemental proposal by the Government.
(c) Should the Contractor fail to submit the information in part (a), or should there be no agreement as to the amount of the price adjustment contemplated by this clause, then the Contracting Officer may make a unilateral determination and modify the contract accordingly. Failure to agree with such change in the contract price shall be resolved in accordance with the Disputes clause of this contract.
(d) The Contractor warrants that the revised contract and Option pricing does not include any other allowances and represents, to the best of the Contractors knowledge, the current commercial/market costs.
(e) The Government reserves the right to, upon request, receive the Contractor's cost and pricing data supporting the supplemental cost proposal, in whole and in part.
