Orlando, FL 32826-3276

L.1.6 All proposals must clearly and convincingly demonstrate the Offeror has a thorough understanding of the requirements and associated risks, and is able, willing, and competent to devote and maintain the resources necessary to meet the requirements and has valid and practical solutions for all requirements.

Statements that the prospective Offeror understands, can, or will comply with the specifications, and statements paraphrasing the requirements or parts thereof are considered inadequate and unsatisfactory. Mere reiteration of the requirement or standard reference material is discouraged and may be considered inadequate and unsatisfactory.

L.1.7 Any data previously submitted in response to another solicitation, whether submitted to the

Program Executive Office for Simulation, Training and Instrumentation (PEO STRI) or another agency should be assumed to be unavailable during this proposal evaluation and source selection process. Proposal data shall not be incorporated into the proposal by referring to another proposal or other source.

L.1.8 The Offerors shall ensure that each proposal volume submitted contains only the information relevant to that specific volume. The Offerors are cautioned that each volume of the proposal is evaluated standalone against the criteria set forth in Section M of the RFP and the evaluators for one volume may be different than the evaluators of another volume. It is incumbent upon the

Offerors to ensure they properly submit their proposals. If the data is not contained in the appropriate volume of the proposal it will not be evaluated. For example, if the IMS is submitted under the Management Volume rather than the volume specified, the proposal will be evaluated as if no IMS were submitted at all.

L.1.9 If a discrepancy exists between the paper copy of the proposal and the electronic copy, the paper copy will take precedence.

L.1.10 After final RFP release Offerors will have 14 days to provide questions/comments regarding the solicitation. After that time period the Government may not respond to inquiries.

L.1.11 The proposal shall be valid for not less than 270 calendar days from the proposal due date.

Offeror’s shall state this actual time frame in their proposal and revise it if in the event a change to the proposal is necessary and warranted by the PCO.

L.1.12 The Government intends to make award without discussions. However, the Government reserves the right to request additional information (for purposes of clarification only) after receipt of

Offeror’s response to the RFP.

L.1.13 Proposals shall not contain classified information.

L.1.14 Security Clearance Requirements: Contractor employees working under the resultant contract must have a Secret Security Clearance issued by the U.S. Government.

L.1.15 Government Technical Data will be available in support of proposal preparation. In order to obtain access to this data, the Offeror shall complete the Distribution Agreement, included as Attachment

14 to the solicitation, and email to matthew.sanders6@us.army.mil with a copy to lovisa.parks@us.army.mil. The deadline for this request is not later than 12:00 PM, EDT on 7

November 2012. Upon receipt of this notification, the Government will provide for pick-up or will provide electronic access to the technical data package within five business days from receipt of email request.

Please note, due to the amount of data and the methods in which most of it is archived (hard copy) not all the GFI indicated in Attachment 9 of the RFP will be provided to Offerors for the purposes of proposal preparation. The first tab of Attachment 9 represents the inventory of data that will be made available to the Awardee upon finalization of contract award. The GFI available for proposal preparations is to be provided by the Government as a courtesy and is made available only for those approved Offerors that wish to utilize it for proposal assistance. The Government will not guarantee that the data made available represents the most recent version or that it conveys a complete system, subsystem or architecture. Offerors shall not assume or expect that any data provided in the library constitutes technical direction on the part of the Government. This information is provided only for the purpose of assisting Offerors in gaining a better understanding from a technical perspective. The Government will not accept responsibility for any errors or misleading assumptions proposed by the Offerors from information derived from this

GFI proposal preparation library.

L.1.16 Questions regarding this solicitation shall be submitted by electronic mail to the POCs identified in paragraph L.1.4, with the solicitation number in the subject line utilizing the RFP Comment

Form, listed as Attachment 11 to the RFP. If the Government deems the question appropriate, the answer will be published through the issuance of a solicitation amendment prior to the deadline for final proposal submissions provided those questions are received by 12:00 PM, EDT on 13

November 2012. If an Offeror perceives the questions may reveal proprietary or protected information they must clearly mark the subject sentence or paragraphs and notify the Government that they consider the information proprietary (if the Government does not agree the information is proprietary the Government may choose not to answer the question). Questions received after the above referenced deadline may not be answered prior to proposal submission or at all.

The Government does not anticipate that the closing date for receipt of offers will be extended.

The Government will post the non-proprietary answers, without Offeror identification, to the

FedBizOpps website located at https://www.fbo.gov.

L.1.17 Offerors shall not make any changes to the solicitation. Any objections to the terms and conditions of the solicitation must be addressed to the PCO prior to submittal due date of proposals. Once the final RFP is released, the Government does not envision any changes to the terms and conditions will be accepted or made.

L.1.18 Proposal submittal milestones apply to this solicitation:

Deadline for Submission of RFP Questions 13 November 2012

Proposals Due (Electronic & Hard Copy) 11 December 2012

Estimated Contract Award June 2013

L.1.19 If the PCO determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the PCO may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

L.1.20 The Government reserves the right to incorporate the awardees proposal, in whole or in part, into

Section C of the Contract and/or all subsequent Delivery/Task Orders.

L.1.21 The Government reserves the right to request copies of all internal documentation generated in performance of the SOFAST-E contract and subsequent Delivery/Task Orders. The Offeror shall describe any key personnel working on the program, to include their anticipated percentage of effort, lines of authority, and interaction with the Government (PM STS). The Offeror shall describe any processes or functions that provide management value for DO 0001. The Offeror shall delineate between which personnel and/or processes and functions are core capabilities of the

Prime, and those that are augmented by subcontractors, teaming arrangements, or similar agreement.

The Offeror shall provide qualification statements (resumes) with assumptions and supporting rationale for proposed key Program Management and Lead Technical personnel for both the

SOFAST-E base contract and DO 0001.

L.6.2 Sub-factor 2.2- Team Integration Plan

The Offeror shall provide a Team Integration Plan that describes its strategy for assembling teams, on an order-by-order basis, in an expedited/streamlined fashion, to meet the requirements of delivery orders under this contract. This includes its methodology for selecting subcontractors. The Offeror shall describe, in detail, its approach for managing subcontractor performance, to include but not limited to, its mitigation plan for subcontractor problem resolution.

Specifically for the DO 0001 effort, the Offeror shall provide, in table format, the extent of its subcontractor participation for this effort. This table shall include company name, the type of supply/service to be rendered, the nature of its complexity, where complexity is defined as the level of involvement for development/performance of components/services to be provided, and that level of involvement from a total delivery order perspective.

The Offeror shall provide evidence of the joint venture/teaming or subcontracting arrangement established for the performance of DO 0001. The Offeror shall provide signed and legally binding agreements (i.e., Teaming Agreements or Associate Contractor Agreements). Each agreement shall identify the proposed team member by company name, address, and point of contact in the

Offeror’s preferred format.

L.6.3 Sub-factor 2.3- Transition Approach

The contractor shall describe their proposed management plan for transitioning those systems upgraded/updated under DO 0001 for sustainment, to include spares/repair parts, documentation, warranties, licenses and support equipment to a third party for LCCS and explain how a seamless transfer of CLS support will be achieved. The Offeror shall include in this plan any systems, hardware/ software, or training functionality that was not directly upgraded/updated, but could be affected by the upgrade/update in DO 0001.

L.7.0 VOLUME III – FACTOR III - PAST PERFORMANCE: This Factor provides Offerors with an opportunity to provide information substantiating their experience and capability to perform the required work.

Offerors are advised that the Government is not limited to Past Performance information submitted by Offerors in conducting Past Performance evaluations. This volume shall be organized into the following sections:

L.7.1 Section 1 - Past Performance List

This section shall include a list of all Government or commercial awarded contracts to the business unit or division proposed to perform this effort over the past three years that are relevant to the efforts required by this solicitation. Relevant efforts are defined as efforts involving work on aviation simulation systems, virtual simulators, or simulation systems that required significant software upgrades to an existing baseline that include content such as that required on this program. This may include work where the relevant business unit or division performed as a prime or major subcontractor and should be identified accordingly. Data concerning the prime

Offeror shall be provided first, followed by its proposed major subcontractor(s), in alphabetical order. A major subcontractor is defined as one whose subcontract is proposed as a significant portion (10% or more) of the total contract (DO 0001) performance.

L.7.2 Section 2 - Contract Descriptions

Each Offeror shall provide detailed information concerning past performance on six (3 from the

Prime and 3 from its major subcontractors) recent (within last three years) and relevant programs that are most representative of the proposed performance on the SOFAST-E ID/IQC. If the

Offeror is a recently established joint venture comprised of two or more small business interests with no past performance history, the past performance for the prime will constitute submissions from one, both or all (up to 3 submissions) of the partners. Providing no past performance under the recently established joint venture will not be found acceptable. If the Offeror is proposing as a protégé in a mentor-protégé joint venture for this contract, past performance information must be provided for the protégé only. The Government understands that this may prompt a neutral rating if the protégé has no performance history; however, utilizing the performance history of its mentor is seen as artificial skewing of the evaluation findings. This section shall include the following information on each program:

a. Contract Type (specific type such as Firm Fixed Price (FFP), Cost Reimbursement (CR), Time & Materials (T&M), etc.) In the case of Indefinite Delivery contracts, indicate specific type (Requirements, Definite Quantity, and Indefinite Quantity) and secondary contract type

(FP, CR, T&M, etc). The Offeror may provide information regarding its performance on a total contract or individual Order basis.

b. Contractor/Subcontractor place of performance, CAGE Code and DUNS Number. If the work was performed as a subcontractor, also provide the name of the prime contractor and Point of

Contact (POC) within the prime Contractor organization (name, and current address, e-mail address, and telephone and fax numbers).

c. Contract Number and, in the case of Indefinite Delivery type contracts, General Services

Administration (GSA) contracts, and Blanket Purchase Agreements (BPAs), include Delivery

Order Numbers also.

d. Awarded price/cost.

e. Final or projected final price/cost.

f. Original delivery schedule, including dates of start and completion of work.

g. Final or projected final, delivery schedule, including dates of start and completion of work.

j. Government contract administration activity and the Administrative Contracting Officer's

(ACO) name, and current e-mail address, telephone and fax numbers.

k. Narrative explanation describing the objectives achieved and detailing how the effort is relevant to the requirements of this solicitation. Any relevant work identified under the provided references shall be specific to the Offeror or Offerors major subcontractors and should not represent work accomplished by other entities, unless said entity is a recognized teaming partner under this solicitation.

l. Provide a brief explanation of the reason(s) for problems or shortcomings that occurred during contract performance and any corrective action(s) taken to avoid recurrence. Address any failures to meet the proposed delivery schedule, requirements for Requests for Deviation and

Requests for Waiver with respect to causes and corrective actions, and any Cure Notices, Show Cause Letters or any Terminations received along with a description of any corrective action implemented.

m. Provide a summary description of how the Offeror tracked, managed, and closed discrepancies during contract execution.

L.7.3 Section 3 - New Corporate Entities

New corporate entities may submit data on prior contracts involving its officers and employees.

However, in addition to the other requirements in this section, the Offeror shall discuss in detail the role performed by such persons in the prior contracts cited. Information should be included in the files described in the sections above.

b) The customer representatives shall be instructed to electronically complete Part II and III of the questionnaire and e-mail the entire questionnaire to the POCs specified in the RFP

(matthew.sanders6@us.army.mil) by 11 December 2012.

c) The Offeror shall provide a list of all the customer representatives that were sent a questionnaire by email to the POCs specified in the RFP

(matthew.sanders6@us.army.mil). The Government must receive this list along with the

Offerors proposal submission. This list of customer representatives shall be submitted in a Microsoft Excel spreadsheet to include the following fields: Solicitation Number;

Company Name; Contract Number; Government Agency; Customer Representative Last

Name, First Name; Title; Telephone Number; E-mail Address; Date E-Mailed to the

Customer Representative (month/day). The Offeror shall advise the reporting

Government Agency or commercial entity that the completed questionnaire is to be considered source selection sensitive in accordance with FAR 3.104. The Offeror shall advise the responding Government Agency or commercial entity of the applicable date.

L.8.0 VOLUME IV – FACTOR IV - COST/PRICE: This Factor requires Offerors to submit cost or pricing data in support of the SOFAST-E Basic SOW as well as the Delivery Order (DO) 0001 – Section B CLIN schedule and

SOW. Offerors shall prepare and submit a Cost/Price Volume containing the following information:

L.8.1 The Offeror shall submit their basis of estimates (BOEs) for each DO 0001 task and provide traceability back to the corresponding DO 0001 Section B CLIN and DO 0001 SOW reference.

Each BOE shall provide at a minimum, the Offeror’s synopsis of the work to be performed, any assumptions regarding cost, schedule and performance, a breakdown of the individual labor categories, rates and hours for each. Pricing shall be supported with detailed cost breakdowns in support of the DO 0001 efforts proposed.

The Offeror shall identify the BOEs and present them within the Pricing Volume as a separate spreadsheet in Attachment 8, to be editable by the Government evaluator(s). Offerors must clearly present (historical or factual) data upon which their costs are based. The submittals should provide documentation such that a reviewer or auditor can readily understand the estimating and accounting practices being used.

L.8.2 The Offeror shall submit a completed Total Evaluated Price (TEP) to be calculated in a Microsoft

Excel spreadsheet within Attachment 8. This should include, at a minimum, direct labor categories, rates and total hours, all indirect rates and profit. This spreadsheet shall be included as part of the Cost/Price Volume and must be fully editable, to include all formulas.

The Total Evaluated Price (TEP) is the summation of FFP CLINs of the DO 0001 Base and all

Option Periods.

L.8.3 The Offeror shall provide sufficient information to support the reasonableness of their proposed direct labor rates and indirect rates for DO 0001 as well as any proposed escalation to be used for all subsequent orders under the SOFAST-E contract. The order of preference is:

1. FPRA (Forward Pricing Rate Agreement)

2. FPRR (Forward Pricing Rate Recommendation) by their cognizant ACO

3. ACO approved interim billing rates

In the absence of any agreements on the use of forward pricing rates/factors, the offeror should show how indirect rates were computed and applied. If none of the above is available, the Offeror will provide the following:

1. Direct labor rates: Offeror shall submit the most recent actual average rate for each and every proposed category related to DO 0001. The Offeror shall provide its direct labor by using its own internal direct labor categories. Offeror will submit its actual average rate, as of the end of each of the last two completed fiscal years, for each and every proposed category as a spreadsheet within

Attachment 8.

2. Indirect rates (for each and every proposed indirect rate): Offeror will identify the start and end of their fiscal year and the allocation/application base for each indirect rate to be proposed in relation to DO 0001. Offeror will state whether or not the prior years’ actuals have been audited by

DCAA. Offeror will submit base, pool and calculated actual rates for the last 2 fiscal years and current year to date. Offeror will provide the material handling overhead, subcontractor handling overhead, any other indirect rates and fee/profit utilized to derive the TEP under DO 0001 as a spreadsheet within Attachment 8. If labor is the allocation base for indirect costs, the labor cost should be summarized in order that the application of overhead rate can be easily understood.

L.8.4 The Offeror shall submit contact information (name, telephone number and email address) for their cognizant DCMA ACO and cognizant DCAA supervisory auditor. If the Offeror is not assigned to DCMA for contract administration or is not assigned to DCAA for contract audit, the

Offeror will identify their cognizant federal agency or agencies (and include the individual contact information). The Offeror shall submit a copy of the most recent ACO letter regarding the status of their accounting system. If that letter is more than a year old and the Offeror has a more current

DCAA audit report commenting on the status of their accounting system, a copy of that report will also be submitted. If the Offeror’s accounting system was disapproved or deemed to be not adequate, the Offeror will identify all deficiencies along with steps taken, or to be taken, to correct the deficiencies and a timeline to include audit by the cognizant audit agency after corrective action has been implemented. If the Offeror’s accounting system has never been audited by their cognizant federal audit agency, or the most current audit is more than two years old, a DCAA

Standard Form 1408 (Attachment 12), Pre Award Survey of Prospective Contractor Accounting

System, must be filled out and included in the Cost/Price Volume.

L.8.5 The Offeror shall disclose any other known activity that could materially impact the costs (i.e., existing excess material, company reorganizations, new technology acquisitions, labor union discussions, etc.).

L.8.6 The Offeror shall provide a consolidated priced summary of individual material items (with quantities) mapped to the various contract line item tasks and the basis for pricing (vendor quotes, invoice prices, etc). The offeror must include parts, components, assemblies and services to be produced or performed by others. For all items proposed, the offeror must identify the item and show the source, quantity, and price.

L.8.7 Prior to award, the Contracting Officer may require the awardee to provide the following: 1) a properly executed Corporate Guaranty Agreement (DCMA Form 1620, or equivalent), if the selected awardee is a subsidiary and/or is found to have insufficient sources of working capital; 2) a properly executed Subordination Agreement (DCMA Form 1619, or equivalent) from each/ every creditor that has a lien on “inventory” or “all inventory”. Selected awardee (and/or guarantor) may be required to provide financial information (financial statements [with notes], aged receivables and aged payables reports, etc.) to assist in the responsibility determination (in accordance with FAR 9.1) by the PCO.

L.8.8 If applicable, the Offeror(s) shall disclose information pertaining to the proposed Joint Venture

(JV) or mentor-protégé agreement. The Offeror shall provide information identifying all affiliates and provide evidence validating the legally binding JV or mentor-protégé business relationship.

L.8.9 The Offeror shall provide a schedule of Time and Material (T&M) labor rates containing all proposed direct labor categories. The schedule shall also include any indirect rates that are applied to direct material, subcontracts and/or other direct costs. FAR prohibits payment of profit on non-labor costs on T&M type contracts. This schedule will be broken down by the offeror’s fiscal year and shall cover the entire 60 month performance period. This schedule will be incorporated into the contract at time of award and used as ceiling T&M labor rates under this IDIQ contract for both the Prime and their Subcontractors for the entire 60 month performance period. Offerors shall identify all indirect rate percentages utilized in calculating these burdened rates and any associated escalation factors. Offerors shall provide labor rates based on a 40-hour work week.
