The following have been modified:

ADDENDUM TO 52.212-1

Pursuant to FAR Subpart 12.302(a), FAR Provision 52.212-1, Instructions to Offerors (ITO) – Commercial Items, is tailored. The basic provision paragraphs (a), (f), and (h) – (k) of FAR Addendum 52.212-1 are not replaced. The basic provision paragraph (e) is deleted for this solicitation. The following paragraphs of specific instructions to offerors for this solicitation replace the basic provision paragraphs (b) through (d), (g), and (l).

FAR Provision 52.212-1, Instructions to Offerors - Commercial Items is tailored by addendum to as follows:

D. Proposal Submission – Addendum to FAR Provision 52.212-1, Instructions to Offerors - Commercial Items.

1. General Instructions

a. This addendum prescribes the format for proposals and describes the approach for the development and presentation of proposal data. The offeror’s proposal shall include all data and information requested herein and shall be submitted in accordance with these instructions. Offerors are required to submit all documentation/information detailed herein, including terms and conditions, representations and certifications, and technical requirements. Failure to submit all required documentation/information may result in a proposal being ineligible for award. In submitting a proposal, offerors are agreeing to the terms and conditions as written in the entire solicitation.

b. These instructions are designed to ensure the submission of information essential to the understanding and comprehensive evaluation of proposals. The instructions permit the inclusion of any additional data or information an offeror deems pertinent within the stated page limitations. Offerors are cautioned to follow the detailed instructions fully and carefully, as the government reserves the right to make an award based on initial proposals received, without discussion of such proposals. However, if deemed necessary, and at its sole discretion, the government may request additional information from offerors.

c. All required elements of the RFP shall be submitted by the offeror with their proposal no later than the date/time shown in block 8 of the Standard Form (SF) 1449, Solicitation/ Contract/Order for Commercial Items.

The proposal shall be submitted to the address identified in block 9 of the SF 1449, Solicitation/Contract/Order for Commercial Items. Facsimile offers are unacceptable. Any offeror that submits an offer that is incomplete, does not comply with requirements stated in the PWS, or otherwise does not conform to the requirements specified herein may result in the offeror being removed from consideration for award.

d. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal shall not simply rephrase or restate the government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume the government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the offeror’s proposal. Any proposal that modifies, or fails to conform, to the essential requirements or specifications of the RFP may cause the proposal to be judged unacceptable resulting in the offer being removed from consideration for award. Any aspect of the proposal judged to be unacceptable may render the entire proposal unacceptable. If the proposal is determined to be unacceptable, upon completion of proposal evaluations, the offeror will be notified promptly of the basis of the determination.

e. In accordance with FAR Subpart 4.8, Government Contract Files, the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.

f. Period for acceptance of offers. The offeror shall provide a statement that the offeror’s proposal and prices will remain in effect for 180 calendar days after solicitation closing date.

g. Product samples. Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.

h. Questions, Clarifications, or Discrepancies. Address all questions, clarifications, or concerns regarding this full proposal submission in writing to Ms. Lizete M. Greene, Contract Specialist, via e-mail at lizete.m.greene.civ@mail.mil, referencing solicitation number W81K04-19-R-0030. Questions may be submitted up to 14 calendar days prior to full proposal submission date located in block 8 of the SF 1449 in the format at Attachment 5, “Question and Answer Template”. In the event of solicitation discrepancies (e.g., errors, omissions, or is otherwise unclear or unsound), offerors shall immediately notify the Contracting Officer (KO) in writing with supporting rationale. Be advised that all correspondence sent via e-mail shall contain a subject line that reads “W81K04-19-R-0030, Healthcare Environmental Cleaning, Womack Army Medical Center”. Note that e-mail filters at Fort Sam Houston are designed to filter e-mails without subject lines or with suspicious subject lines or contents (i.e. .exe or .zip files); therefore, if this subject line is not included, the e-mail may not get through the e-mail filters. Also be advised that .zip or .exe files are not allowable attachments and may be deleted by the e-mail filters at Fort Sam Houston. If sending packages via e-mail, ensure only .pdf, .doc, or .xls documents are sent. The e-mail filter may delete any other form of attachments.

i. Debriefings. The KO will promptly notify unsuccessful offerors in accordance with procedures outlined in FAR Subpart 15.5, Preaward, Award, and Postaward Notifications, Protests, and Mistakes. Unsuccessful offerors may request and receive a debriefing in accordance with FAR Subpart 15.5.

j. Electronic Offers. The offeror shall submit Volumes I through IV in electronic format on read-only CDs (CD-

Rs) with an indication on each CD of the volume number and title. (a) Offerors shall include a statement that the offeror and all subcontractors shall be in compliance with the Service Contract Labor Standards, as amended. For certain labor categories, the FAR Clause 52.222-42, Statement of Equivalent Rates for Federal Hires, provides the government’s assessment of the corresponding titles and occupational codes from the Service Contract Labor Standards Directory of Occupations. The minimum qualification requirements set forth in the PWS allow the Offeror to propose either Service Contract Labor Standards or non-Service Contract Labor Standards covered personnel for certain labor categories. The government is not making a predetermination of whether or not a particular labor category is Service Contract Labor Standards;

or, if covered, which category from the Directory of Occupations applies. It is the responsibility of the offeror and the subsequent contract awardee to comply with the Service Contract Labor Standards.

(b) Offerors shall include a statement of the offeror’s appointed individual to make contractual decisions, and include the offeror’s Commercial and Government Entity (CAGE) code, DUNS number, Tax ID number, along with an email address, telephone and facsimile (FAX) number.

In addition, the offeror shall provide a summary narrative that specifically delineates what each partner will do in regard to performing the contract. As such, a contractor teaming arrangement means an arrangement in which –

(a) Two or more companies form a partnership or joint venture to act as a potential prime contractor; or

(b) A potential prime contractor agrees with one or more other companies to have them act as its subcontractors under a specified government contract or acquisition program. A major subcontractor is defined as a subcontractor performing more than 25% of the contract effort. Offerors proposing a contractor team arrangement shall include a statement that fully discloses the contractor team arrangement and company relationships pursuant to FAR Subpart 9.603, Policy.

b. Volume II, Factor 1 - Technical Approach. Offerors shall submit one virus-free sanitized CD-R and one virus-free un-sanitized CD-R of the technical proposal.

If the offeror does not have a CAGE code for any reason at the time proposals are due, a five character, alphanumeric, code created by the offeror shall be used. The codes used shall be identified in the Administrative section of the proposal.

(2) Volume II shall be organized according to the following outline. The intent of this outline is to give the offeror a general format to facilitate a timely evaluation by the government.

(3) All technical proposal information shall be confined to the appropriate volume and section. For example, only information included in the section labeled “Section A - General Requirements, PWS Section 1” will be evaluated for General Requirements, PWS Section 1.6. – 1.6.6., 1.9. – 1.9.4., and 1.13. – 1.13.5.. If General Requirements, PWS Section 1.6. – 1.6.6., 1.9. – 1.9.4., and 1.13. – 1.13.5. information is included elsewhere in the proposal (e.g., different volume or section), it will not be evaluated as part of the Section A – General Requirements, PWS Section 1.6. – 1.6.6., 1.9. – 1.9.4., and 1.13. – 1.13.5.. The government will not adapt their evaluation to comply with an offeror’s proposal submission or otherwise go in search of information that an offeror omitted or failed adequately to present. Proprietary information shall be clearly marked.

(4) The technical proposal (Volume II) shall not make reference to price data. The technical proposal will be evaluated strictly on technical approach.

(5) As the technical proposal will primarily describe how your company meets the solicitation requirements, it shall be specific and complete in every detail. A positive statement to the effect that you will accomplish all requirements per the solicitation is not acceptable. The technical proposal shall not merely offer to perform work in accordance with the solicitation but shall outline the actual methods proposed as specifically as possible. It is the

b. Pursuant to the Service Contract Labor Standards, the determination by the Secretary of Labor as to the applicable minimum monetary wage and fringe benefits will be made part of any resulting contract. For evaluation purposes only, the government has incorporated the applicable Collective Bargaining Agreement as Exhibit H and the applicable Wage Determination as Exhibit K of this RFP.

c. The staffing chart shall be accompanied with specific narrative details and/or descriptions of the basis of estimate (BOE) to include the offeror’s processes and methodologies used in estimating the productive hours for each shift, total productive hours, and total number of FTEs.

c. Volume III, Factor 2 – Past performance. Offerors shall submit one virus-free, unsanitized CD-R.

(1) The offeror shall submit past performance information for up to three contracts the offeror considers recent and relevant. Recent and relevant past performance information for this solicitation is past performance for a total of 24 months of the previous 36 months (from the date established for submission of proposals) in a medical facility same or similar to WAMC performing services similar in scope and complexity this solicitation requires.

The word “contract” is defined as a single contract or a single task order on an Indefinite-Delivery, Indefinite- Quantity (IDIQ) contract. The word “contract”, as defined herein, does not mean basic IDIQ contract, for the purpose of past performance submissions under this solicitation. If an offeror submits more than three contracts, the government will evaluate only the first three listed contracts for recency and relevancy. The three contracts may include prime and any major subcontractor(s) projected to perform on any resultant contract. Only those subcontractors that meet the definition of a major subcontractor, as defined as performing more than 25% of any resultant contract arising from this solicitation, will be used in the offeror’s past performance assessment.

(2) Past performance information may include data on efforts performed by other divisions, corporate management, and critical subcontractors or teaming arrangements, if such performance is recent and relevant to the requirements of the solicitation. If a contractor teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past performance information on teaming arrangements with the same partner. Provide with the proposal a letter of release from all subcontractors who will perform services under the contract that permits the offeror to submit subcontractor past performance information as part of the offeror’s proposal.

(3) The offeror shall provide a list of all past performance customer reference points of contact (POCs). POC customer reference information shall be submitted in the format referenced in Attachment 6, “Reference Customer Information Sheet”. Provide a complete description of the work involved to include a rationale as to why and how the healthcare environmental cleaning services is relevant to WAMC. Since the government may obtain past performance information from sources other than those provided by the offeror, offeror’s are encouraged to provide details on any past performance problems and the corrective actions taken. Additionally, the government may or may not obtain information on all of the offeror’s listed contract references and/or may or may not contact all of the identified POCs. Each submission shall include the following:

(a) Reference Customer Information Sheet (Attachment 6). The offeror shall provide a completed sheet for every submission and shall include this sheet as part of their performance assessment submission.

(b) A narrative shall accompany each Reference Customer Information Sheet and shall include your capability in performing the following types of cleaning for a medical facility same or similar to WAMC: 1) Type I (Surgery Areas); 2) Type II Services (Patient Areas, Isolation Rooms, Intensive Care units, Emergency Rooms and Nursery; 3) Type III Services (Restrooms, Locker Rooms and Showers); 4) Type IV Services (Support Areas, i.e., clinical support areas, exam rooms); 5) Type V Services (Administrative Areas); 6) Type VI Services (Common Areas, Entrances, Elevators, Lobbies, Waiting Areas, Dining Facilities, Fitness Facilities)

(4) Past performance shall meet the recency and relevancy definition stated in the Addendum to FAR

Provision 52.212-2 of the solicitation.

(5) An offeror without a record of relevant past performance or when information on past performance is not available, the offeror’s lack of past performance will be evaluated as having no favorable or unfavorable impact on the evaluation.

d. Volume IV, Factor 3 – Price. Offerors shall submit one virus-free, un-sanitized CD-R.

(1) Pricing information shall be addressed only in Volume IV. A proposal may not be evaluated if it contains pricing information outside of Volume IV.

(2) The offeror shall submit their monthly unit prices up to two decimal places (example: $158.03). All dollar amounts provided in response to these instructions shall be stated in United States (U.S.) currency.

(3) The offeror shall verify the accuracy of its prices entered in Attachment 3, Price Matrix.

(4) An offeror’s total proposed price includes the sum of the all prices for all CLINs for five-year ordering period submitted on Attachment 3, Price Matrix.

(5) Offeror’s shall include a completed Attachment 3, Price Matrix in Volume IV, Factor 3 – Price. Offerors shall not re-format or remove cells from Attachment 3. Submission of the pricing data shall be complete and accurate. All pre-loaded formulas shall remain intact on the CD-R. Errors created due to the offeror changing pre-loaded formulas will not be corrected by the government and may render the offeror’s proposal ineligible for award.

The offeror may submit with their price proposal written pricing rationale in Microsoft Word format. Failure to submit prices for all healthcare environmental services shall render a proposal ineligible for award.

(a) Contractor Manpower Reporting (CMR) (see CLIN 0001) and Deliverables (see CLIN 0045).

Offerors shall not provide separate pricing for annual CMR requirements.

(b) Phase-In (see CLIN 0044). Offerors shall provide price for 45-day phase-in requirements.

(c) Minimum Guarantee (Post-Award Conference) (see CLIN 0043). The minimum guaranteed amount is priced by the government and therefore will not be evaluated. The awarded contract will include a minimum guaranteed amount of $1.500.00 and shall not be separately priced by the offeror.

(6) For pricing purposes, minimum through maximum estimated quantities of square feet to be cleaned are established in the solicitation and Attachment 3, Price Matrix, for each applicable CLIN (CLINs 0002 – 0040) with stepladder price range structures. The minimum through maximum estimated quantities of SF to be cleaned are developed from the government-furnished Exhibits C and D. Exhibit D is provided to offerors for INFORMATION PURPOSES ONLY to illustrate not only the square feet to be cleaned but the normal operational requirements (not cleaning frequencies) for each building by room.

(7) In Attachment 3, Price Matrix, CLINs 0002 – 0040 (stepladder price range structures), the “MAX CLIN AMOUNT” will be based on the pre-loaded formula calculation of the average weighted unit price multiplied by the maximum quantity of SF to be cleaned per building multiplied by the number of months that can be ordered on the CLIN. The average weighted unit price formula is pre-loaded in Attachment 3, Price Matrix.

(8) In Attachment 3, Price Matrix, offerors shall propose monthly firm-fixed unit prices (“Monthly Unit Price”) for each stepladder price range identified in CLINs 0002 – 0040. The monthly firm-fixed unit prices are inclusive of all tasks. Offerors shall annotate monthly firm-fixed unit prices that correspond to the stepladder increments for SF quantity to be cleaned for each building. Attachment 3, Price Matrix, is pre-loaded with the formula to calculate the “MAX CLIN AMOUNT” column for each CLIN.

(9) In Attachment 3, Price Matrix, CLIN 0041 (RMW Services), CLIN 0042 (Linen Services), and CLIN 0044 (Phase-In Services), the offeror shall propose monthly firm-fixed unit prices (“Monthly Unit Price”).

Attachment 3, Price Matrix, is pre-loaded with the formula to calculate the “MAX CLIN AMOUNT” column for each CLIN.

(10) The KO has determined there is a high probability of adequate competition on this acquisition. Upon examination of the initial proposals, the KO will review this determination and if in the KO’s opinion, adequate competition exists, no additional price information will be requested. However, if at any time during this competition the KO determines that adequate competition no longer exists or unrealistically low, offerors may be required to submit information to the extent necessary for the KO to determine the reasonableness of price.

3. Special Instructions. Regarding FAR Clause 52.228-5, Insurance – Work on Government Installation, see FAR

28.307 for minimum insurance requirements. In accordance with FAR Clause 52.228-5, before commencing work under this contract, the contractor shall notify the KO in writing that the required insurance has been obtained.

E. Discussions

1. General Information. In accordance with FAR Subpart 15.306(d), discussion sessions with each offeror may be held.

2. Discussion Scheduling. If discussions are conducted, the KO will schedule the discussions sessions with offeror and each offeror will be notified of the time and place.

3. The primary objective of discussions will be to maximize the government’s ability to obtain best value, based on the requirement and the evaluation factors set forth in the solicitation.

4. If discussions are conducted, the KO will establish a competitive range based on the rating of each proposal against all evaluation criteria (see FAR 15.306(c)). The establishment of the competitive range will be formally documented by the government in a competitive range determination. If discussions are necessary to establish technical acceptability, the KO may conduct discussions with offerors whose proposal(s) are determined to be reasonably capable of being corrected without a major rewrite of the proposal.

5. Discussions will be tailored to each offeror’s proposal and will be conducted by the KO with every offeror within the competitive range. The scope and extent of discussions will be a matter of KO’s judgment. As a minimum, during discussions, the KO will indicate to, or discuss with, each offeror in the competitive range the following: (a) significant weaknesses; (b) any deficiencies that were identified during the evaluation; and (c) adverse past performance information to which the offeror is not yet had an opportunity to respond. This will be accomplished through the release of Evaluation Notices (ENs). All ENs will clearly indicate the type of exchange being conducted (e.g. clarification, communication, etc.). Any EN addressing a proposal deficiency or significant weakness will clearly indicate that a deficiency and/or significant weakness exists. The KO may discuss other aspects of the offeror’s proposal that could in the opinion of the KO be altered or explained to enhance materially the proposal’s potential for award. However, the KO will not be required to discuss every area where the proposal could be improved as outlined at FAR 15.306(d) and (e). All discussions will be documented in writing.

End of ADDENDUM to FAR Provision 52.212-1.

ADDENDUM TO 52.212-2

Pursuant to Federal Acquisition Regulation (FAR) Subpart 12.301(c), FAR Provision 52.212-2, Evaluation – Commercial Items, Paragraph (a) is replaced in its entirety by addendum as follows:

A. Basis for Award.

Acquisition will use Performance-Price Trade-Off (PPT) Source Selection procedures to make a best value decision in accordance with FAR 15.101-1, as supplemented, to make a best value award decision. Best Value is defined as those most advantageous offers, performance and other factors considered, that are consistent with the government’s stated evaluation criteria, in order of importance. This is a competitive best value source selection in which an offeror’s past performance history will be evaluated on a basis of being slightly more important than price. By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. All technically acceptable offers shall be treated equally except for their prices and performance records. Failure to meet a requirement may result in an offer being determined technically unacceptable. This may result in an award being made to a higher-rated, higher-priced offeror, where the KO determines that the benefits of past and present performance offered by the offeror outweigh the cost difference.

B. Factors To Be Evaluated. The following evaluation factors will be used to evaluate each proposal:

1. Factor 1 – Technical Approach: Evaluation of the offeror’s proposal shall address the technical factor as it applies to the PWS. A detailed explanation of the criteria for the technical evaluation is set forth in the “Evaluation Approach,” Paragraph C of this section. During evaluations of each proposal, the government will assign the technical factor an adjectival rating and write a narrative evaluation reflecting the identified findings.

2. Factor 2 – Past Performance: Each offeror’s past or present performance will be evaluated to determine recency, relevancy, and performance confidence assessment.

3. Factor 3 – Price: The resulting award will be an IDIQ contract. Price reasonableness will be utilized in the evaluation of the IDIQ effort.

C. Evaluation Approach.

1. The application of the PPT technique in the contract award selection and approval process is as follows:

a. The government will evaluate technical proposals on an acceptable/unacceptable (pass/fail) basis to determine technical acceptability. Each technical proposal will receive a rating of acceptable or unacceptable. Only those offerors whose technical proposal has been determined to be technically acceptable will receive further consideration for award. All technically acceptable proposals are considered equal. However, if discussions are necessary to establish technical acceptability, the KO may conduct discussions with offerors whose proposal(s) are determined to be reasonably capable of being corrected without a major rewrite of the proposal. Only those proposals determined technically acceptable, either initially or as a result of exchanges will be considered for award.

Technical proposals rated unacceptable will not be considered for award.

b. Using questionnaires and data independently obtained from other government and commercial sources, the KO will evaluate relevant and recent past or present performance information of all offerors based on (1) the past and present effort provided by the offeror and (2) data independently obtained from government and commercial sources. Relevant performance includes performance of efforts involving Healthcare Environmental Cleaning services that are same or similar in scope, magnitude and complexity to the effort described in this solicitation. The purpose of the past performance evaluation is to allow the government to assess the offeror’s ability to perform the effort described in this RFP, based on the offeror’s demonstrated present and past performance. The assessment process will result in an overall performance confidence assessment of Substantial Confidence, Satisfactory Confidence, Limited Confidence, No Confidence, or Unknown Confidence as defined in the DoD Source Selection Procedures, Table 5. Past or present performance regarding predecessor companies, or major sub-contractors, will be rated as highly as past or present performance information for the principal offeror. Offerors with no relevant past or present performance history shall receive the rating "Unknown Confidence" meaning the rating is treated neither favorably nor unfavorably. Past or present performance effort will be evaluated for recency, relevancy, and quality of performance. The government will evaluate an offeror’s past performance submission using the following procedures:

(1) Recency – Past or present performance efforts will first be evaluated for recency. To be recent, the performance effort must have occurred in healthcare environmental cleaning for a total of 24 months of the previous 36 months from the date established for submission of proposals. Performance not qualifying as recent will not receive further evaluation or consideration.

(2) Relevancy – The government will next evaluate the relevancy of performance that qualified as recent. Relevant performance involves Healthcare Environmental Cleaning services and will be categorized as Very Relevant, Relevant, or Somewhat Relevant.
