SUMMARY OF CHANGES
SECTION SF 1449 - CONTINUATION SHEET
SOLICITATION/CONTRACT FORM
The required response date/time has changed from 04-Nov-2016 05:00 PM to 15-Nov-2016 12:00 PM.
The following have been modified:
ADDENDUM TO 52.212-1 (SECT. L)
(INSTRUCTIONS TO OFFERORS - COMMERCIAL ITEMS)
GENERAL:
The Government intends to award a single firm-fixed-price (FFP) contract with a 12-month base period of performance and four (4) 12-month evaluated option periods and include FAR Clause 52.217-8, Option to Extend Services for up to 6 additional months. Option to Extend Services for up to six additional months will be evaluated at time of award. The Acquisition Source Selection Interactive Tool (ASSIST) automated application is the workflow tool that will be used to manage and document the proposal evaluation.
INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS:
L.1 GENERAL INSTRUCTIONS
a. This NEC-RI Information Technology Support Services (ITSS) acquisition will be procured using FAR 15 – Contracting by Negotiation. This RFP is restricted to Section (8a) Contractors. Contractors must provide (8a) Certification with their proposal. This requirement is under NAICS 541519 – Other Computer Related Services.
b. The Contract will be FFP. A small part of the Contract will consist of Travel and
Materials which will be procured as cost-reimbursement.
c. During the transition period the successful offeror may station up to 15 personnel on-site beginning 1 February 2017. A 30-day Phase-In period and 30-day Phase-Out period are applicable to this RFP per Priced Option CLINs 0010 and 4010. The Offeror should assume that there will be a 30-day overlap of incumbent services during the Offeror’s proposed transition period.
d. Contractor shall furnish the information required by this RFP. The proposal must be executed and signed by a representative of the Contractor authorized to commit the Contractor to contractual obligations. Contractor shall provide the name of the authorized negotiator or the signatory, the position title, telephone number, FAX number, and electronic mail (email) address of that individual.
e. The evaluation and discussion procedures, FAR 15.3 Source Selection, do apply to this acquisition. The Government will conduct evaluations using the best value trade-off approach and will follow FAR 15.3 Source Selection Procedures, and paragraph M.4 Evaluation Criteria in considering the Contractor’s responses to this RFP.
f. The Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a)). Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer (KO) later determines them to be necessary. If the KO determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the KO may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.
g. The Contractor shall submit an unclassified proposal that demonstrates its ability to perform and meet the requirements in the Contract Performance Work Statement
(PWS).
h. Contractors are cautioned to examine this RFP in its entirety and to ensure their proposals conform to all the requirements. Contractors are cautioned that merely re-stating the requirements with a statement of intent to perform DOES NOT reflect an understanding of the requirements or capability to perform. The Government will consider a Contractor’s noncompliance with the proposal instructions, to include incomplete proposals, to be indicative of the type of conduct that it may expect from the Contractor during contract performance and may result in the Contractor’s proposal being rejected and no longer considered for award.
i. Since this Contract is expected to exceed $10,000,000, Contractor shall be in compliance with the Equal Employment Opportunity (EEO) regulations before award of the resultant Contract. Contractor shall ensure they are on the Department of Labor EEO National Pre-Award Registry or can provide verification of EEO compliance if requested by the Government. See https://ofccp.dol-esa.gov/preaward/pa_reg.html for more information. This registry is updated every two years and it does not provide information on the Parent Organization or other facility locations that have not been reviewed.
j. The Government assumes no liability for disclosure or use of unmarked data and may use or disclose the unmarked data for any purpose. Unless restricted, information submitted in response to this request may become subject to disclosure to the public pursuant to the provisions of the Freedom of Information Act (5 USC. 551).
k. Contractors are hereby notified that the Government will not reimburse costs incurred for Contract proposal preparation.
L.2 SUBMISSION OF QUESTIONS
Contractors are expected to examine this entire RFP. Failure to do so will be at the Contractor’s own risk. If Contractors have questions, they are requested to submit them grouped by RFP section and make reference to the particular section /subsection number. It is the responsibility of the Contractors to ensure their questions are received by 5:00 P.M. Central Daylight Time, 21 October 2016. Questions are to be sent to David Fields, Contract Specialist, at david.s.fields16.civ@mail.mil. Questions that result in answers providing specific information necessary for the submission of proposals will be provided to all Contractors electronically.
Therefore, questions/comments shall not be marked with a restrictive legend and shall not include proprietary information. The Government is not obligated to provide responses to all questions, but will consider them and incorporate changes into the RFP as deemed necessary.
Questions or requests for extension submitted after the cut-off date might not be considered. The Government will distribute any amendments to this RFP via the Federal Business Opportunities (FedBizOpps) Website: www.FedBizOpps.gov.
L.3 SITE VISIT
A non-mandatory site visit will be conducted at 9:00 a.m. Central Daylight Time, on 5 October 2016 in the IT Conference Room Building 102, 2nd Floor, Northeast Corner. THIS WILL BE THE ONLY ORGANIZED SITE VISIT. Requests for visits at other times will not be entertained.
Vendors wishing to submit a proposal for this project are encouraged to visit the site and take steps to ascertain the nature and location of the work, and the general or local conditions that can affect the cost thereof. Failure to do so will not relieve the vendor from the responsibility for properly estimating the difficulty or cost of successfully performing the work. In no event shall failure to inspect the site constitute grounds for a claim after contract award.
Reservations for the site visit are MANDATORY. Attendance is strictly limited to two (2) persons per team. The prime contractor along with its subcontractor(s) combined are allowed to send up to two representatives in total to the site visit. Reservation requests must include the company name and names of the individuals that will participate in the visit, exactly as it appears on their photo ID. L.5 EXCHANGES
During the evaluation process, the Government may, at its discretion, conduct exchanges as needed. The Government need not enter into exchanges with all Contractors.
a. All exchanges with Contractor are accomplished through the release of Evaluation Notices (ENs). ENs will be issued via the ASSIST Tool. However, the Government reserves the right to conduct exchanges with Contractors outside the ASSIST Tool if it is determined to be in the best interest of the Government.
b. The ASSIST Tool will be used during the evaluation process. The Army may issue ENs for this procurement via ASSIST. ASSIST will allow Contractors to receive and respond to ENs securely online.
c. A separate tool, the ASSIST2Industry, will be used in conjunction with ASSIST to accomplish all exchanges with Contractors after receipt of proposals. ASSIST2Industry provides the ability for the Government to issue, and the Contractors to receive and respond to, all ENs in a secure online environment.
d. In order to initiate the use of ASSIST2Industry, the Government requires the names, company titles, telephone numbers, and email addresses of two (2) individuals that the Contractor has designated as responsible for receiving and responding to Government ENs through ASSIST2Industry. The designation of two (2) individuals is for the purpose of insuring availability of one individual if the other individual is not available. The required information regarding these two (2) individuals must be submitted with the Contractor’s Proposal and included in the cover letter.
e. After the RFP’s closing date, the Government will establish an account in ASSIST2Industry for each individual identified by the Contractor that has submitted a Proposal in response to this RFP. The two individuals named by the Contractor will be authorized access to that account.
Two (2) separate system generated emails will be sent to each individual. One of the emails will contain the individual’s ASSIST2Industry username. The other email will contain the individual’s temporary password. Using the provided username and temporary password, each individual can then go to https://ASSIST2Industry.army.mil to access the account. NOTE:
The first time a user logs in, the user will be required to change the temporary password before the user can proceed to use the site.
f. Whenever the Government issues ENs to the Contractor through ASSIST2Industry, the
Government’s KO will notify the Contractor through a medium independent of ASSIST2Industry (e.g., e-mail) that the Contractor has ENs in ASSIST2Industry waiting for a response. There will be no ENs in ASSIST2Industry until such notice is issued by the KO.
Contractors can contact the ASSIST2Industry helpdesk at (609) 562-7050 or (609) 562-7031 for any technical assistance that may be needed.
g. THE PROPOSALS ARE CAUTIONED THAT THE SYSTEM GENERATED EMAILS
REFERRED TO ABOVE ARE INTENDED FOR ADMINISTRATIVE PURPOSES ONLY.
RECEIPT OF THESE EMAILS DOES NOT CONSTITUTE THE COMMENCEMENT OF
ANY TYPE OF EXCHANGE WITH THE OFFEROR. ALL NOTIFICATIONS THAT ANY
TYPE OF EXCHANGE WITH THE OFFEROR HAS COMMENCED AND THE OFFEROR
HAS ENs AVAILABLE TO RESPOND TO, WILL BE SENT TO THE OFFEROR BY THE
KO INDEPENDENTLY OF THE ASSIST2INDUSTRY.
h. EN Response. Responses to ENs and any resulting proposal revisions must be provided in accordance with the following instructions:
1) A complete response must be provided within the EN response, including an explanation of any revisions to the Contractor’s proposal. Please do not simply provide a reference to revisions in the Contractor’s proposal. If a response to an EN requires a revision to the Contractor’s proposal, identify a reference in your response(s) to the location (e.g., Filename, Section #, paragraph #, etc.) of the revision in the Contractor’s proposal.
In order to be considered as part of the Contractor’s proposal evaluation, the changes should be made in the Contractor’s proposal submission and the proposal must conform to the page format/limitation requirements. If a response to an EN simply requires a clarification, Contractors shall not submit a revised proposal.
2) Attach the complete resubmission file containing the proposal revisions for each file as ‘Attached Files’ with the Contractor’s reply in the last EN for the respective file (i.e. one attached file per EN, same file structure as initially submitted). Do not submit change pages or multiple copies of Contractor’s revised proposal. Contractors are requested to limit changes to items identified in the EN. For clarity purposes, Contractors are required to clearly identify the corresponding changes/additions in the Contractor’s proposal (e.g. use track changes to show date, vertical line in margin, bold, and/or underline by using the redline and strikeout features).
3) Each revision on each revised page shall be identified by date (DD/MM/YY) and by revision number, which shall be done by adding a footer to indicate such revision (i.e., date of submission of the revision) for each file affected. Contractor shall also place their names within the header or footer of each page along with the section number.
4) After all ENs have been issued and responses submitted, and, when instructed by the
KO, Contractors shall submit Final Proposal Revisions as specified in the Final Proposal Revision letter.
L.6 FACTOR 1: SECURITY REQUIREMENTS (ACCEPTABLE/UNACCEPTABLE)
(VOLUME I)
Offerors must provide proof of a current U.S. Facility Clearance at the SECRET level in accordance with Department of Defense Directive (DoDD) 5220.22, National Industrial Security Program Operating Manual. This SECRET level clearance requirement applies to the prime and subcontractors that will perform this contract. For those Offerors submitting a proposal as a newly formed partnership, joint venture, or limited liability company, the requirement can be satisfied through the submission of documentation evidencing the fact that all of the partners or member companies of the Partnership/JV/LLC currently possess the required Facility Clearance.
Offerors shall provide at the time of proposal submission the following information: name of company, company CAGE code, company facility clearance level, and company Facility Security Officer (FSO) contact information (name, phone number, and e-mail address).
The KO will verify that the Offeror and the teammates/subcontractors identified possess a SECRET Facility Clearance via the Defense Security Services (DSS) Industrial Security Facilities Database (ISFD). Failure to obtain and submit proof of the required SECRET Facility
Clearance by the proposal closing date shall render the Offeror ineligible to receive a contract award and will result in the proposal not being evaluated further. If the CAGE code for the Offeror, teammate and/or subcontractor provided does not possess a SECRET Facility Clearance, the Offeror will be found noncompliant. If found noncompliant, the Offeror’s proposal will not be further evaluated and will not be further considered for award.
L.7 FACTOR 2: OVERALL MANAGEMENT APPROACH (VOLUME II)
L.7.1 SUBFACTOR 2A: ORGANIZATIONAL STRUCTURE AND KEY PERSONNEL
The Offeror’s proposal shall propose a Basis of Estimate (BOE) containing the staffing level and skill mix for the prime offeror, team member(s), and subcontractor(s) efforts required to execute the PWS. Offerors shall utilize the Staffing Levels and Skill Mix Schedule, Attachment 0008, in proposing an approach to staffing the work outlined in the PWS. All tabs within the Staffing and Skill Mix Schedule should be completed to present the direct productive labor hours, full-time equivalents for the prime offeror, team member(s), and subcontractor(s), per labor category, by PWS task area. Identify key positions that will ensure success to the program (including those that will be filled by subcontractor(s), including rationale for using these key positions and how personnel will interact with Government officials. The period for the Staffing Levels and Skill Mix Schedule shall correlate to the CLINs and POPs (base period plus options). The schedule shall span multiple years and capture labor hours for each year if differing from the prior year’s hours. Attachment 0008 – Staffing Levels and Skill Mix Schedule is separate document that will be evaluated as part of this proposal.
The Offeror’s proposal shall address how the functions in the organizational chart cross reference to the PWS structure to ensure success in performing the PWS. The Offeror’s proposal shall explain how the minimum qualifications for and numbers of non-key positions were established. The proposal must describe decision-making authority responsibility for staffing, and reporting chain. The proposal shall include for each key position, a full description with associated responsibilities and accountabilities, required certifications, skill levels, etc. Key Personnel shall have demonstrated experience and qualifications to successfully lead and manage an information technology organization commensurate with their proposed roles. The Offeror shall provide resumes and signed letters of commitment for employment for each Key Person.

L.10 FACTOR 5: PRICE (VOLUME V)
1. A proposal is presumed to represent the Offeror’s best response to this RFP. Any inconsistency, whether real or apparent, between promised performance and cost or price shall be explained in the proposal. Any significant inconsistency, if unexplained, raises a fundamental issue of the offeror’s understanding of the nature and scope of the work required and may be grounds for rejection of the proposal. The burden of proof as to cost/price credibility rests with the Offeror. Offerors shall ensure that all sections of the PWS have been priced.
2. The price proposal shall be submitted in Microsoft Office (2013 Word, Excel, etc.) format.
The Price proposal shall be a separate volume from the technical and overall management approach proposals.
3. Offerors are encouraged to submit accompanying written explanations, as deemed necessary, in order to enable the Government to understand the basis for the prices that might otherwise seem unreasonable or incomplete. Offerors are cautioned against placing conditions or qualifications upon its price proposals that are contrary to, or otherwise attempt to amend, the requirements of the solicitation; doing so may result in an offer being deemed non-responsive or unacceptable for further consideration of award.
4. Offerors are to complete the Pricing Matrix (Attachment 0006) for the Base Year and all Option Years. For the Option to Extend Services, the Total Evaluated Price will be one-half of the Offeror’s Total Evaluated Price for the final option period price (Option Period 4).
This effort will be awarded under a combination of FFP CLINs and Cost Reimbursable CLINs. CLINs 0005 and 0010 are Option CLINs, but must be priced. Offerors are allowed to add additional lines to the pricing templates under each CLIN, as needed, in order to propose the Labor Skill Mix to support the CLIN requirement.
5. The CLINs for Material (CLIN 0006) and Travel (CLIN 0007) will be added to each performance period when required. The Government will provide funding for these CLINs on a not-to-exceed (NTE) Cost Reimbursable basis at the time of the contract award. Travel cost will be reimbursed in accordance with FAR 31.205-46 Travel costs. For evaluation purposes only, a NTE yearly amount of $10,000.00 is included for Material and NTE yearly amount of $1,000.00 is included for Travel. These NTE yearly amounts are for evaluation purposes only and are not a guarantee of the NTE yearly amount to be awarded during any performance year.
6. The Government will evaluate offers based on CLIN prices proposed for the Base Year and all Option Years and any other price related factors required by the RFP. All prices will be binding.
7. For all CLINs (including Option CLINs/SubCLINS), Offerors shall enter its Labor Category, Exempt/SCA designation, Total Productive Hours (#FTEs x Productive Hours per FTE), and Fully Burdened Hourly Labor Rate for the Base Year and all Option Years on the attached Pricing Matrix (Attachment 0006). All proposed fully burdened hourly labor rates shall be expressed as a value and be rounded to two decimal places when proposed on the Price Matrix and used in the computation of the Total Price for each labor category. The Fully Burdened Hourly Labor Rates will then be applied by the proposed Total Productive Hours which will result in a Total Price for that labor category.
8. For CLIN 0005 Standardized Above –Baseline Services (A la Carte Services), Offerors are to provide its Fully Burdened Hourly Labor Rate for each SubCLIN, for the Base Year and all Option Years. For evaluation purposes only, a not to exceed (NTE) Total Productive Hours is included in the Pricing Matrix for each SubCLIN. The Fully Burdened Hourly Labor Rates will then be applied by the NTE Productive Hours which will result in a Total Price for each SubCLIN.
9. SCA Labor Rates: On Attachment 0006-Price Matrix, referencing Tab titled "ATT 0007 SCA Labor Rates", the Offeror will provide a breakout of its proposed SCA fully burdened hourly labor rates. This fully burdened labor rate breakout shall include the CLIN, SCA Labor Category, Wage Determination Occupation Code and Title, Base Hourly Labor Rate, Health & Welfare (H&W) Rate, Fringe Benefits/Indirects, Profit, and Fully Burdened Hourly Labor Rate. The contractor must proposed base labor rates and H&W rates in accordance with the current SCA.
10. The FTEs and Labor Hours proposed in the Attachment 0008 titled “Staffing Levels and Skill Mix Schedule” will be reconciled to the offeror’s price proposal to verify that the labor mix, FTEs, and hours are being priced.
11. The Government anticipates receiving competitive proposals using competition to determine price reasonableness. However, the Government reserves the right to request certified cost or pricing data, or data other than certified cost or pricing data, after receipt of proposals, to determine price reasonableness if competition is not adequate for that purpose.
