INFORMATIONAL PRICING NOTE:
TUPE - (Transfer of Undertakings (Protection of Employment) Regulations 2006
Definition. The United Kingdom’s Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE) is the main piece of legislation governing the transfer of an undertaking, or part of one, to another. The regulations are designed to protect the rights of employees in a transfer situation.
During the solicitation phase and award of the resultant contract the Government does not have access to specific
TUPE information nor becomes involved with related TUPE processes and associated liabilities (to include indemnification) that may transpire during pre-award or post-award phases between transferor and transferee. While the Government fully understands the relevance of TUPE-information in proposing fixed prices, the responsibility to provide TUPE-information rests solely with the transferor; governed by Regulation 11 of the Transfer of
Undertakings (Protection of Employees) Regulations 2006 (TUPE). As the transferor need only provide TUPE information to the transferee prior to the transfer, the Government will only make available the listing of the current, incumbent contractor(s) with associated points of contact if requested. The Government is not responsible for determination of TUPE applicability; the responsibility lies solely with the transferor.
As this is a firm-fixed price contract it is incumbent upon the offeror to calculate any anticipated TUPE pricing at time of proposal submittal. TUPE costs cannot be submitted as a conditional proposal, if submitted as such the offeror’s proposal will be considered unacceptable and the offeror may be excluded from competition.
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
A. The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.
The following factors and respective sub-factors shall be used to evaluate offers:
1. Technical Capability
a. Transition Plan
b. Quality Control Plan
c. Management Plan
2. Past Performance
3. Price
B. A Lowest Price Technically Acceptable (LPTA) Source Selection Process in accordance with FAR part
15.101-2 will be utilized for the purpose of the Government’s evaluation of proposals and resultant award determination. Under the LPTA evaluation process, Technical Capability will be evaluated and rated on an acceptable or unacceptable basis (pass/fail), whereby unacceptability of any respective sub-factor will result in an unacceptable technical capability-rating. In addition, ratings for past performance will be assigned utilizing an evaluation basis of acceptable or unacceptable.
C. A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offeror's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
(End of provision)
Addendum to 52.212-2
BASIS FOR CONTRACT AWARD: The Government’s evaluation of offeror’s proposals will be conducted utilizing the evaluation factors of: 1. Technical Capability, 2. Past Performance, and 3. Price. Evaluation of these factors will utilize a Lowest Price, Technically Acceptable (LPTA) evaluation approach in accordance with FAR
Part 15; whereby the Government seeks to award on the basis of the lowest evaluated price of proposals which meet the listed technical specifications and past performance. Under the LPTA evaluation process, trade-offs will NOT be permitted between price, and the non-price factors. Only one award will be made as a result of this solicitation. The government’s evaluation of offeror’s will also include a past performance assessment.
The Government intends to award a contract without formal discussions. Upon completion of the Government’s initial evaluation of proposals, exchanges with offerors may occur, for purpose of clarifications and communications in accordance with FAR Part 15. The Government reserves the right to conduct formal discussions with offerors for the purpose of negotiations at any point during the evaluation if deemed in the best interest of the Government. Once discussions, if conducted, have been concluded, the Contracting Officer will request Final Proposal Revisions from each of the offerors remaining within the competitive range.
1. EVALUATION FACTORS FOR AWARD: Three (3) evaluation factors will be used to evaluate proposals: Technical Capability, Past Performance, and Price.
a. Technical Capability. The government will evaluate technical proposals and the below listed sub-factors on a pass/fail-basis, assigning an overall rating of Acceptable, or Unacceptable. An unacceptable rating for any of the below sub-factors will result in an unacceptable rating for this Technical Capability primary factor. Accordingly, under the LPTA evaluation approach, offerors who receive an unacceptable rating for this factor, may not be considered for award. Note that the government intends to award a contract without discussions with respective offerors. The government, however, reserves the right to conduct discussions if deemed in its best interest. If the Government elects to award without discussions, an initial technical rating of unacceptable will render the entire proposal unacceptable. Technical Acceptability shall be evaluated against the following sub-factors where all sub-factors are considered equal:
i. Subfactor 1: Transition Plan Measure of Merit: This requirement is met when the offeror has thoroughly addressed all transition activities identified in 52.212-1 Addendum, Transition Plan paragraphs a through b. This includes, but is not limited to evaluation of transition plans by offerors that detail descriptions and complete timeline of all transition activities necessary to begin successful performance on the performance start date. The Offerors’ transition approach must reflect that they are aware of all transition requirements to achieve successful transition. In addition the offerors’ approach must successfully demonstrate that they can meet all associated time lines.
ii. Subfactor 2: Quality Control Plan Measure of Merit: This requirement is met when the offeror has thoroughly addressed all quality control activities identified in 52.212-1 Addendum, Quality
Control Plan paragraphs a through e. This includes, but is not limited to evaluation of quality control processes proposed by the offeror, with reference to surveillance, and/or validation frequency and methods. The Offeror’s quality control approach must demonstrate to the
Government that the offeror can successfully control the quality of service delivery and offer to the
Government for acceptance, only services that conform to contract requirements. Additionally evaluated is whether the offeror’s overall control of quality addresses and meets the specified performance thresholds for each requirement in the Services Summary.
iii. Subfactor 3: Management Plan Measure of Merit: This requirement is met when the offeror has thoroughly addressed all management activities identified in 52.212-1 Addendum, Management
Plan paragraphs a through g. This includes, but is not limited to recruitment, training and retention plans, procedures to safeguard and control any Government provided passes, keys, or lock combinations, and proposed organizational structure. The Offerors’ management approach must demonstrate to the Government that the offeror fully understands the PWS requirements and can successfully obtain and managed the personnel and resources required to successfully perform the work detailed in the PWS.
As a result of the government’s evaluation of the aforementioned technical sub-factors of Transition Plan, Quality Control Plan, and Management Plan and all associated elements accordingly, a determination of acceptable or unacceptable will be assigned for this factor of Technical Acceptability using the following ratings and descriptions:
Technical Acceptable/Unacceptable Ratings
Rating Description
Acceptable Proposal clearly meets the minimum requirements of the solicitation.
Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.
b. Past Performance. The Offeror will send questionnaires to the points of contact listed in the proposal.
The Government will also utilize data independently obtained from other government and commercial sources during past performance evaluation. Based upon feedback from respondents to the questionnaires listed herein, and information gained from other government/commercial sources, past performance evaluation will further assess the recency and relevancy of associated projects, and if found recent and relevant, if the offeror had successfully demonstrated an ability to perform. Recent performance includes contract performance within three (3) years of the date of this solicitation. Relevant performance includes performance of efforts involving services that are similar or greater in scope, magnitude, complexity, and multiple sites/locations than the effort described in this solicitation. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the acquisition.
Note that the past performance evaluation performed in support of this requirement does not establish, create, or change the existing record and history of the offeror’s past performance on past contracts; rather, the past performance evaluation process gathers information from customers on how well the offeror performed those past contracts.
Measure of Merit: This requirement is met when the offeror’s proposal includes a maximum of five (5) customer references for whom services have been or are being performed that meet the recency and relevency requirements and demonstrate the offeror’s capability to successfully perform the requirements of the Performance Work Statement.
The evaluation of past performance information will result in an overall assessment of acceptable or unacceptable as follows:
Past Performance Evaluation Ratings
Rating Description
Acceptable
Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown. (See note below.)
Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.
Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptable/unacceptable, “unknown” shall be considered acceptable.
c. Price Evaluation. The Government will evaluate prices submitted on Attachment 2 – Pricing
Spreadsheet. Failure to propose all CLINs will render the proposal non-responsive.
The Government Evaluation Team will present a Total Evaluated Price (TEP) to the Source Selection
Authority. An offeror’s TEP will be determined by multiplying the quantities identified in Attachment 2 by the proposed per month unit price for each CLIN (X001-X036) of all years and then by 12 to derive at the extended annual total amount for each CLIN. The extended prices for each CLIN will then be added together.
Additionally, a price for the six-month extension authorized by 52.217-8, Option to Extend Services, will be added to the total arrived at above. The price for the six-month extension will be calculated using 50% of the totaled annual extended price for the last twelve-month period (CLINs 4001-4036). Evaluation of the option period will not obligate the Government to exercise the option.
The total of the annual extended prices for each CLIN and the price for the six-month extension authorized by 52.217-8, Option to Extend Services will be added together to arrive at the TEP.
Offerors should propose the best available pricing to the Government for each CLIN in arriving at the most competitive price. Additionally, as this requirement is commercial, that will result in a “firm-fixed-priced” contract, a comparison of offeror’s TEP will satisfy the requirement for price analysis, in establishing price reasonableness in accordance with FAR Part 15.
Prices will be evaluated for balance IAW 15.404-1(g).
AWARD DETERMINATION: As a result of the Government’s aforementioned evaluation, only those offerors whose proposals are determined to be technically acceptable, either initially or as a result of discussions, will be considered for award. In addition, only those offerors who have been assigned an acceptable past performance rating, will be considered for award. No trade-offs will be permitted between price, and the non-price factors of technical capability and past performance. Of those offerors found technically acceptable, with acceptable past performance ratings, an award determination will be made to the offeror with the lowest TEP that is determined to be fair and reasonable.
