2.3 Blanket Specific

Definitions/ Acronyms,

3.2.1 Base Inventory

and 3.2.2

Demand Inventory

1. NJDOT does not agree to using the term “Stocked Item” in place of “Base Inventory” or “Demand Inventory” and declines the suggested revisions;

however, please see revisions to Section 2.3 of the Bid Solicitation entitled “T3088 Revised Bid Solicitation 12.20.2018”.

1. Will NJDOT consider revising Section 3.1.1.3 to “Where product warranties exist from Aftermarket Parts and OEM parts and/or supplies manufacturers, the Vendor {Contractor} shall convey all warranties for defects in material and/or workmanship.”?

1. The State declines to make modification, as proposed by the Vendor {Contractor}; however, please see revisions to Section 3.1.1 and Section 3.7.5 of the Bid Solicitation entitled “T3088 Revised Bid Solicitation 12.20.2018”.

3.1.3 C

“Access to all area inventories of automotive and H.D. OEM or approved non-OEM replacement parts, paint, supplies and equipment”.

1. Please clarify, what is the State’s intent with this statement. Is the State Just asking the Vendor to have the capability to retrieve product from any and all local suppliers when required?

1. At this point will this be just a list of items we feel should be stocked by the DOT, or the actual physical inventory?

2. Will the DOT provide usage history to help build this inventory?

1. The beginning Base Inventory prior to the completion of the Mobilization Phase will be a listing of items to be stocked. Once a facility transitions from the Mobilization phase to the Operations Phase then the physical inventory should be on site.

The NJDOT is not currently doing cycle counts or a yearly inventory. The numbers given are based on the data entered in NJDOT’s fleet management system.

3. These values are estimates based on the average of NJDOT’s original cost of the parts at the time the Bid Solicitation was advertised. A full inventory will be completed prior to the transfer of parts from NJDOT to the Vendor {Contractor} as per Section 3.12.2. A representative from the Vendor and the NJDOT will be present at the time of inventory.

3.5.2

General Requirements

1. If the Vendor {Contractor} is required to purchase NJDOT's current inventory at NJDOT's original cost then, at contract expiration or termination, does NJDOT agree to buyback items that the Vendor {Contractor} was required to purchase at contract start?.

1. Please refer to Section 3.2.1.4 of the Bid Solicitation, which states:

“Upon expiration or termination of the Blanket P.O., NJDOT reserves the right to purchase the Base Inventory owned by the Vendor {Contractor} at the Vendor’s {Contractor’s} originally purchased cost.”

Additionally, please refer to Section 3.2.2.4 of the Bid Solicitation, which states:

“Upon expiration or termination of the Blanket P.O., NJDOT reserves the right to purchase the Demand Inventory owned by the Vendor {Contractor} at the Vendor’s {Contractor’s} originally purchased cost.”

3.5.2

General Requirements

1. Please revise the first sentence to read as follows:

Subject to the terms and conditions herein, Vendor {Contractor} would be willing to purchase NJDOT’s current vehicle and equipment parts inventory (“NJDOT owned Inventory”) as of the effective date of the Blanket P.O. Any such NJDOT owned Inventory purchased by Vendor {Contractor} hereunder would need to: (i) be in good, clean and saleable condition, (ii) be in its original packaging, (iii) be currently needed by NJDOT’s active fleet/equipment, (iv) have been used by NJDOT within the twelve (12) month period immediately prior to the effective date of the Blanket P.O., and (v) have an accurate value that can be substantiated by NJDOT. On or about the effective date of the Blanket P.O., Vendor {Contractor} and NJDOT shall perform an inventory of the NJDOT owned Inventory to establish the specific inventory to be purchased by Vendor {Contractor} based on the purchase conditions set forth above and the amount of consideration to be paid for such inventory (“Consideration”).

The list of specific NJDOT owned Inventory to be purchased by Vendor {Contractor} and the amount of the Consideration to be paid for such inventory shall be agreed to in writing between the parties. Vendor {Contractor} shall pay the Consideration to NJDOT in full within thirty (30) days following the date that Vendor {Contractor} and NJDOT agree to the list of inventory to be purchased and the Consideration to be paid for such inventory. With respect to the second paragraph, the reason for this added language is that there will be inventory that NAPA will purchase specifically for NJDOT’s facility that cannot be incorporated back into NAPA’s chain of distribution (i.e., non-NAPA branded inventory) and NAPA cannot agree to take the inventory loss associated with these NJDOT-specific inventory items.

3.5.2 General

Requirements

1. In addition, upon termination, expiration, or non-renewal of the Blanket P.O., Vendor {Contractor} shall have the option to require NJDOT to purchase all non-NAPA branded inventory owned by Vendor {Contractor} and located in each on site store at Vendor’s {Contractor’s} on-site store’s current product acquisition cost, and NJDOT shall have the option to purchase all NAPA branded inventory, owned by Vendor {Contractor} and located in each on site store at the Current NAPA Jobber Acquisition Cost.

Upon NJDOT’s request, Vendor {Contractor} shall provide NJDOT with a listing of all NAPA and non-NAPA branded inventory owned by Vendor {Contractor} and located in the on-site stores. “Current NAPA Jobber Acquisition Cost” shall mean Vendor’s {Contractor’s} current gold price as set forth on Vendor’s {Contractor’s} Confidential Jobber Cost and Suggested Resales price list.

Reason for change: With respect to the first paragraph above, NAPA cannot agree to purchase inventory that is obsolete, defective, and/or has not been used by NJDOT within a 12 month period prior to purchase as such inventory has no value to either NAPA or NJDOT with respect to the business relationship under an awarded contract. With respect to the second paragraph, the reason for this added language is that there will be inventory that NAPA will purchase specifically for NJDOT’ s facility that cannot be incorporated back into NAPA’s chain of distribution (i.e., non- NAPA branded inventory) and NAPA cannot agree to take the inventory loss associated with these NJDOT-specific inventory items.

1. The State declines to accept the proposed modification.

3.5.3

General Requirements

1. Please revise this section to read as follows:

The Vendor {Contractor} agrees that it will sell all NAPA Products to NJDOT at the Current NAPA Jobber Acquisition Cost and all Non-NAPA Products to NJDOT at Vendor’s {Contractor’s} current product acquisition cost. Any applicable NAPA Product rebates will be included in the price of the NAPA Product to be issued to NJDOT. Vendor {Contractor} will pass through all available warranty benefits from the manufacturer to NJDOT to the extent permitted by contract. “Current NAPA Jobber Acquisition Cost” shall mean Vendor’s {Contractor’s} current gold price as set forth on Vendor’s {Contractor’s} Confidential Jobber Cost and Suggested Resales price list. “NAPA Products” shall mean all Vendor {Contractor} branded or Vendor {Contractor} cataloged supplier manufactured products, and “Non-NAPA Products” shall mean products which have not been manufactured by Vendor {Contractor} suppliers or do not exist in Vendor’s {Contractor’s} proprietary catalog system but which have been acquired for NJDOT by Vendor {Contractor}.

Reason for change: This language reflects the manner in which cost of products will be defined by NAPA under an awarded contract. NAPA wants to specify exactly how cost is defined so there is no ambiguity between NAPA and NJDOT.

3.5.4

General Requirements

1. Will the DOT require the Vendor to also supply hydraulic hose crimping equipment?

2. Will DOT require the Vendor to make up hydraulic hose for the shops, or just supply the product?

1. No. The NJDOT will not require the Vendor to supply hydraulic hose crimping equipment.

2. No. The NJDOT will not require the Vendor {Contractor} to make up hydraulic hose for the shops.

3.5.7

General Requirements

1. Will NJDOT provide further explanation of the requirement for "tracking and reporting parts use and costs utilizing multiple account numbers"?

2. Beyond capturing the work order number, technician ID, equipment number, and part number what other "account number" or other NJDOT code or ID does the Vendor {Contractor} need to capture?

1. There are multiple facilities in each region. NJDOT requires the ability to track the orders by, but not limited to region, facility, department, account number etc.

2. The Vendor {Contractor} may need to account for parts that may be charged to a Department or Indirect Account instead of a work order.

3.6.1.15

Inventory Systems Requirements

1. What is NJDOT's definition of an obsolete part?

2. To facilitate part obsolescence management, will NJDOT provide the Vendor {Contractor} with an annual notice of vehicle and equipment changes?

1. Please see revision to Section 2.3 of the Bid Solicitation entitled “T3088 Revised Bid Solicitation 12.20.2018”.

2. Please see revision to Section 3.2 of the Bid Solicitation entitled “T3088 Revised Bid Solicitation 12.20.2018”.

3.6.4

Inventory Systems Requirements

1. Will NJDOT clarify what "part activities" need to be provided to NJDOT's fleet management system?

2. Is electronically providing completed parts orders sufficient to meet this requirement?

1. Part Activities include, but are not limited to, orders, returns, exchanges, warranty activities, and core tracking.

Additionally, please reference Bid Solicitation Sections 3.6.1.12, 3.6.1.17 and 3.6.2, for the listing of data that the Vendor {Contractor} must provide to the NJDOT throughout the term of the Blanket P.O.

2. Please see Section 3.15.6 and Section 3.15.17 of the Bid Solicitation entitled “T3088 Revised Bid Solicitation 12.20.2018”.

3.6.4

Inventory Systems Requirement

1. What is the current Fleet Software system current used by the NJDOT?

Is it Asset works M4 and M5?

2. Will the DOT require “full integration” between the Vendor’s inventory management hard/software?

3. What other type of transactions are being referred to here, other than “inventory items and non-stock items”, Parts transfers, cores, etc.?

4. What information will the state require and for how long will they require the vendor to retain this information.

1. The NJDOT is currently using AssetWorks M4. The NJDOT is in the process of upgrading to AssetWorks M5, with no estimated date of completion and therefore, there is not a listing of interfaces available at this time.

2. As per Bid Solicitation Section 3.6.4, Section 3.15.6 and Section 3.15.7, the Vendor {Contractor} shall provide information in a format compatible for use in NJDOT fleet management system. It is not the intent of the NJDOT to have computer system integration.

3. Please refer to Attachment # 4 entitled “NJDOT Parts Spend by Facility.”

3.8.12 Vendor {Contractor}

Personnel Requirements

The suggested staffing chart and staff descriptions detail the NJDOT’s proposed staffing structure for each facility. The NJDOT requires that the Vendor have at least (2) two employees at each facility. Would this apply if one of the two employees needed to be temporarily absent, say for a doctor appointment?

1. While that employee is absent would that mean we must provide a person to fill in during that time period?

1. Please see revisions to Bid Solicitation entitled “T3088 Revised Bid Solicitation 12.20.2018”.

3.12

Mobilization Phase

Attempting to have all 12 facilities simultaneously operating within 45 days of notice of award is a high risk transition strategy. First, typically customers want to adjust processes after a single site implementation because they've recognized a better way to do business. Adjusting processes after transitioning 1 site is manageable, adjusting 12 sites will be a challenge. Second, the most critical factor for program success is preparing the customers' workforce for the changes in their business. Can NJDOT prepare the staff at 12 facilities simultaneously? Third, no responsible Vendor will proceed with hiring employees, purchasing equipment, vehicles, & inventory, establishing accounts with suppliers, etc. without a signed Blanket P.O. A Vendor will not make these significant financial outlays based on a "notice of award" because it is extremely risky to do so, but rather they will wait until receiving a fully executed Blanket P.O. Fourth, successful transition requires lots of prior planning.

For example, NJDOT needs to provide historical demand data, the Vendor needs to analyze the data and calculate stocking levels, NJDOT needs to provide preferred parts brands/quality/price point for each repair application, NJDOT needs to identify Demand Inventory by facility, the Vendor needs to open accounts with suppliers, joint processes need to be developed, etc. Accomplishing these actions for 12 facilities simultaneously will be a challenge. Lastly, dozens of Vendor and NJDOT personnel will need to be simultaneously deployed throughout the state in order to accountably turn over the existing inventory and establish operations. It is unlikely that any Vendor has the human resources to simultaneously transition all 12 facilities and do it well.

1. Will NJDOT consider a Vendor proposed Mobilization Plan which transitions the 12 facilities over a period of time deemed more executable and less risky for both NJDOT and the Vendor?

1. Please see revisions to Bid Solicitation entitled “T3088 Revised Bid

3.12

Mobilization Phase

1. Does the Blanket P.O. Effective Date of 1 November 2018 signify the beginning of the Mobilization Phase or the end of the Mobilization Phase?

1. The Blanket P.O. begin date would signify an anticipated award date;

however, the date is subject to change.

3.12

Mobilization Phase

It states in the first paragraph that “facilities are operational within 45 calendar days of notice of award”. In the first paragraph of Section 3.1.3 (Pg. 27) it states “the operations phase shall commence immediately following the 45 calendar day mobilization phase”. Yet on the “Header Information Page” for this particular Bid Solicitation on NJSTART, it states that the “Blanket/Contract Begin Date” is November 1, 2018.

1. Can you clarify?

1. The Blanket P.O. Begin Date would signify an anticipated award date;

however, the date is subject to change. Vendor’s {Bidder’s} proposed Mobilization Phase, despite the begin date demonstrated within NJSTART, should meet the time requirements set forth in Bid Solicitation Section 4.4.3.3.2, Mobilization Plan.

3.15.3 Electronic TurnKey Computer System

Software And Hardware

“The Vendor’s {Contractor’s} computer system shall be compatible with NJDOT?s fleet management system (AssetWorks M4 and M5) so that information can be shared seamlessly”.

1. There is a cost to any integration. The DOT, in this Bid Solicitation has not addressed how / who would absorb this cost. Can you discuss who would be responsible for this expense?

1. The NJDOT will be responsible for any expenses needed to upgrade or modify its own fleet management system. The Vendor {Contractor} will be responsible for expenses related to the modification or upgrading of their own software system.

Any expense for upgrades to the NJDOT fleet management system would be the responsibility of the NJDOT and any expense to make modification to the vendor’s software would be the vendor’s responsibility.

3.15.4 and 3.15.7 Electronic Turnkey Computer Systems

The report shall include the Vendor’s {Contractor’s} monthly invoice}. In the event that the Monthly Invoice Report is due on a State observed holiday, the Vendor {Contractor} shall provide it by 10:00 1.m.

on the next Business Day.”

1. A requirement for the Vendor’s Monthly invoice are copies of the vendor’s (contractor) invoice from their Suppliers. What if, through no fault of the Vendor (contractor), there are delays receiving copies of invoices from Suppliers, would the state consider extending the deadline to 15 days.

3.19
