Question Response
T8 Exhibit C, Technical Requirements, Page 9, Section 3.1 (xii)
In the Technical Requirements, it specifies: “The CPF is not envisioned to be utilized for bus parking.” Please advise whether or not the CPF shall accommodate bus drop-off.
As stipulated in the RFP and Technical Requirements, the CPF must accommodate a bus drop-off zone. Although the existing bus lot is anticipated to remain open, there is a need for additional bus drop-off capacity during peak hours to avoid buses backing up onto Connecticut Avenue.
T9 Exhibit G, Operating Standards, Page 24, Section 2.20 (m) (ii)
In the Operating Standards, it states “The Developer may request permission from the Smithsonian to provide additional space allocation for specialty vehicles (i.e., bicycles, electric vehicles, etc.) in the Parking System, but the provision of these specialty spaces shall be subject to the Smithsonian’s prior approval (not to be unreasonably withheld or delayed).” Please advise whether or not bicycle (and motorcycle) parking is required and, if yes, how many spaces for bicycles and/or motorcycles shall be provided.
Bicycle and motorcycle parking are not a requirement and the
NZP does not have criteria for the determining the precise number of spaces to be allocated for bicycles and motorcycle parking in the CPF.
T10 Exhibit G, Operating Standards, Page 29, Section 2.24 (a) (x)
In the Operating Standards, it states “Waterproofing membranes shall be reapplied every 10 years or sooner as conditions warrant.” Is the intent that all garage decks have a waterproofing membrane (traffic coating), or just those areas deemed necessary and appropriate by the proposer?
There is no requirement to waterproof all of the garage decks but the GSB must be protected from any water infiltration during the Term. The Developer shall have discretion as to the extent and location of waterproofing, insofar as the Developer is meeting all relevant performance standards.

T11 Technical Requirements
Please Provide site plans of parking lots A, B & D As indicated in the response to question 2 of Part 1 of the Clarifications and Amendment, additional site information (contour lines) for lots A, B & D have been added to the data room. The Smithsonian will upload additional information, as available.
L2 PA
Section 5.27 &
Definitions
Question L2 submitted on 12/7/17 reads as follows: “‘Bond Security’ as defined on Page 38 contradicts ‘Construction Security’ as defined on Page 4. Please confirm that the latter supersedes the former.”
The Smithsonian’s response dated 1/23/18 reads as follows:
“Smithsonian has deleted the term ‘Bond Security’ and made conforming amendments in the Project Agreement.”
Contrary to its response above, in the updated version of the Project (Concession) Agreement recently posted to FBO the Smithsonian has deleted the term “Construction Security” and kept the term “Bond Security”. As had been defined in the prior version of the Project (Concession) Agreement, “Construction Security” is more appropriate than “Bond Security” – please confirm that the Smithsonian intends to adhere to its response to Question L2 issued on 1/23/18, keeping “Construction Security” and deleting “Bond Security”.
The Proposer correctly identifies that the Smithsonian deleted the term “Construction Security.” However, it is the Smithsonian’s intention that the operative provisions of Section 5.27 still apply.
Please note that in the earlier draft of the Agreement, the defined term “Construction Security” meant the “performance bond in respect of the Developer’s obligations to develop and complete the Construction Works under the Agreement [the amount of which would equal 100% of the construction contract price].” Based on a number of requests for clarification, the Smithsonian deleted this definition, as it seemed somewhat confusing when read with Section 5.27 which provided more specificity. Section 5.27 remained unchanged; however, the Smithsonian shall review this further and provide any appropriate revisions in the next version of the Agreement.

L16 N/A As we design the facility to accommodate anticipated traffic flows, it would be helpful to know vehicle counts by time of day.
Please provide vehicle arrival times (per hour if possible) for peak and/or average days.
The Smithsonian has no accurate way of tracking traffic counts by time of day due to parking in Lots A and B being paid upon exit.
L17 RFP
Exhibit A (RFP
Schedule) and Section 6.2(b)
Section 6.2(b) states: “…within a period of one hundred twenty
(120) days following the Agreement Execution Date, the Developer and the Smithsonian shall be required to fulfill a variety of conditions precedent to the Agreement entering into full force and effect (Agreement Effective Date).” The revised Exhibit A (RFP Schedule) shows the Agreement Execution Date as July 2018 and the Agreement Effective Date as September 2018, which provides for only 60 days in lieu of the 120 days required per Section 6.2(b). Please confirm that the Agreement Effective Date should instead be November 2018.
The September deadline for financial close remains firm. The time period following the Agreement Execution Date to fulfill the conditions precedent to the Agreement Effective Date has been reduced to allow more time for the submission of proposals.

L18 RFP Exhibit C, Exhibit C-1, Section 2.5
Section 2.5 (Schedule) of Exhibit C-1 (Technical Proposal Instructions), which is part of Exhibit C (Technical Proposal) of the RFP, states: “The Proposer shall propose a Baseline Substantial Completion Date consistent with its approach to the Project (unconstrained by other parts of the Comprehensive Project) that shall not be later than two (2) years from the Effective Date.” Please confirm that this two-year period pertains to the substantial completion of
(i) the CPF, Pedestrian Bridge, and Mid-Point Connector Pathway, but not (ii) the Ancillary Works, given that the latter is necessarily constrained by the former.
The Agreement defines “Substantial Completion Date” as three separate items: (1) the CPF, (2) the Pedestrian Bridge and Mid-
Point Connector Pathway; and (3) each of the Ancillary
Works. Per Section 5.20.1, the Developer agrees to give the
Smithsonian notice of “Substantial Completion of (i) collectively the CPF and the Pedestrian Bridge and Mid-Point Connector
Pathway, and (ii) each of the Ancillary Works.” The Agreement currently refers to the “Scheduled Date of Substantial
Completion” as being the date set forth in Exhibit D (construction schedule attached as part of the Developer’s proposal in response to the RFP), which will include firm deadlines for Substantial
Completion of (i) the CPF, (ii) the Pedestrian Bridge and Mid-Point
Connector Pathway, and (iii) each of the Ancillary Works.” The
Smithsonian hereby clarifies that the two year substantial completion requirement refers to Substantial Completion of collectively the CPF and the Pedestrian Bridge and Mid-Point
Connector Pathway. An additional period of six months will be provided after Substantial Completion of the CPF, Pedestrian
Bridge and Mid-Point Connector Pathways for completion of the
Ancillary Works. The Agreement and RFP shall be amended accordingly.

L19 RFP Exhibit C, Exhibit C-1, Section 2.5
Please confirm the Smithsonian’s intended use of the $7 million “Initial Payment” called for under Section 7.1 of the Project (Concession) Agreement.
The Smithsonian currently anticipates utilizing the $7 million for project-related expenses, such as design and construction oversight, advisory fees, etc.
