About this file

This file contains Special Provisions applicable to contracts with the State of Colorado, establishing standard legal and administrative requirements for all state contracting activities. The provisions establish mandatory procedures including Controller approval before contract validity, fund availability contingencies for obligations extending beyond the current fiscal year, and preservation of governmental immunity under Colorado and federal law. The contractor shall operate as an independent contractor without employee status or entitlement to state-provided unemployment insurance or workers' compensation benefits, while remaining responsible for all applicable employment and income taxes. The contract term and specific deliverables are not addressed in this document, as these Special Provisions serve as boilerplate terms applicable across multiple state contract types.

The Special Provisions establish compliance requirements including strict adherence to all applicable federal and state laws, prohibition of software piracy using public funds, and conflict-of-interest certifications requiring that no state employee or contractor personnel possess interests conflicting with contract performance. Colorado law governs all contract interpretation and enforcement, with binding arbitration explicitly prohibited. Additional requirements include participation in the state's vendor offset intercept system for debt collection, employment eligibility verification through the E-Verify Program or Department program for newly hired employees, and certification of lawful presence in the United States for natural person contractors. These provisions do not apply to certain contract categories including intergovernmental agreements, securities offerings, investment advisory services, and information technology services, as specifically noted throughout the document.

Any provision rendered null and void by the operation of this provision shall not invalidate the remainder of this contract, to the extent capable of execution.
