About this file
This document is a Special Provisions agreement applicable to state and local contracts with the State of Colorado. The provisions establish standard contractual requirements and legal frameworks governing all contracts executed by the State unless specifically noted otherwise. The agreement outlines fundamental contract terms including requirements for Colorado State Controller approval before contract validity, contingency of financial obligations on future fiscal year appropriations, and preservation of governmental immunity under Colorado and federal law. The contractor is designated as an independent contractor without employee status and bears responsibility for all applicable employment taxes, workers' compensation insurance, and unemployment insurance. The contract term and renewal options are not specified in this document, as these are incorporated into individual contracts to which these special provisions apply.
The agreement establishes compliance requirements including strict adherence to federal and state laws, Colorado law as the governing jurisdiction, and prohibitions on binding arbitration. Additional provisions address software piracy prevention, employee conflict of interest restrictions, vendor offset procedures for state debt collection, employment eligibility verification through the E-Verify Program, and identification requirements for natural persons. Pricing terms, set-asides, incumbent information, and specific funding amounts are not addressed in this Special Provisions document, as it serves as a template of standard legal and operational requirements applied across multiple state contracts. The document was revised effective January 1, 2009.
