IMPORTANT NOTICES TO OFFERORS:

1. The Contractor shall provide all product, supplies, management, tools, equipment and labor necessary for delivery of gaseous helium in accordance with (IAW) the following specifications: the Government plans to award a 2-year Fixed Price with Economic Price Adjustment, Indefinite Quantity/Indefinite Delivery contract for f.o.b. origin delivery of gaseous helium, Type 1, Grade A and Grade E7, into Government furnished cylinders. The Government has provided ESTIMATED NOT-TO-EXCEED Delivery Order amounts by month. If Offerors would like to propose a revised by month schedule the Government will accept all alternate proposals.

(a) NON-BLM - Pressurizing Agent, Gaseous Helium (Cylinder) Type I, Grade A, 99.995% Purity, IAW MIL-PRF-27407C dated 29 Nov 06, NSN 9135-00-926-8888 and associated services for maintenance of Government-furnished cylinders.

(b) NON-BLM - Pressurizing Agent, Ultra High Purity Gaseous Helium (Cylinder) Type I, Grade E7, 99.9997% Purity, IAW Purchase Description dated 9 Feb 04, NSN 6830-01-103-8393 and associated services for maintenance of Government-furnished cylinders.

(c) BLM - Pressurizing Agent, Gaseous Helium (Cylinder) Type I, Grade A, 99.995% Purity, IAW MIL-PRF- 27407C dated 29 Nov 06, NSN 9135-00-926-8888 and associated services for maintenance of Government-furnished cylinders.

(d) BLM - Pressurizing Agent, Ultra High Purity Gaseous Helium (Cylinder) Type I, Grade E7, 99.9997% Purity, IAW Purchase Description dated 9 Feb 04, NSN 6830-01-103-8393 and associated services for maintenance of Government-furnished cylinders.

2. In this solicitation, the Schedule of Supplies/Services is configured with product Contract Line Items (CLINS) and associated services CLINS separated into four sections. Offerors may submit proposals for any or all of the sections. However, only Federal helium suppliers are eligible for award for Bureau of Land Management (BLM) Sections 3 and 4. However, non-BLM offerors are encouraged to submit offers for non-BLM helium for the BLM quantities. If BLM helium is not available, the Government may evaluate and award to a non-BLM helium supplier IAW FAR Part 5.

FOUR SECTIONS OF THE SCHEDULE

SECTION 1: NON-BLM – GRADE A HELIUM (CLINS 0001 THROUGH 0009)

SECTION 2: NON-BLM – GRADE E7 HELIUM (CLINS 0010 THROUGH 0021)

SECTION 3: BLM – GRADE A HELIUM (CLINS 0022 THROUGH 0030)

SECTION 4: BLM – GRADE E7 HELIUM (CLINS 0031 THROUGH 0041)

3. The acquisition of helium by Federal Agencies is governed by Federal Acquisition Regulation (FAR) Subpart 8.5, which implements the Helium Act (50 U.S.C. 167, et seq). Helium purchases under BLM product CLINs in SECTION 3 and SECTION 4 of this solicitation are subject to the Helium Act and as such, FAR Clause 52.208-8 REQUIRED SOURCES FOR HELIUM AND HELIUM USAGE DATA (Apr 2002) applies for award of BLM helium CLINs.

4. The resultant contracts will contain an Economic Price Adjustment (EPA) clause. For ALL Helium requirements, the EPA escalator is mandated by the BLM pursuant to the Helium Privatization Act. All BLM Gaseous Helium product CLINS (SECTION 3 – CLIN 0021 and SECTION 4 – CLIN 0031) will be adjusted using the BLM index (In-Kind rate). For Non-BLM helium (SECTION 1 – CLIN 0001 and SECTION 2 – CLIN 0010) the BLM “Open Market” rate will be utilized. The EPA mechanism will not be applicable to any CLINS for services.

Except for the annual BLM adjustments, the awarded prices for product will remain firm for the length of the contract – two years. Any recovery costs associated with moving crude helium to the refining plant and moving the refined helium to the transfill location for filling or any other production costs must be included in the unit price. All prices proposed for BLM product CLINS (SECTION 3 – CLIN 0022 and SECTION 4 – CLIN 0031) shall be based on the Bureau of Land Management FY2012 (Oct 2011 – Sept 2012) Crude Helium Price of $65.50 (in kind). The Non-BLM product CLINs (SECTION 1 – CLIN 0001 and SECTION 2 – CLIN 0010) shall be based on the BLM FY2012 (Oct 2011 – Sep 2012) crude helium price of 75.75 (open market). Both the crude helium in-kind price and the open market price are considered base reference prices for this procurement. When constructing the yearly pricing proposal, offerors should begin with the base reference prices and add to it any other variable and fixed costs, including profit.

SPE601-12-R-0330

5. Offerors are advised that up to four (one per section) awards will be made based on the evaluated price of each product CLIN for product to be delivered f.o.b. origin based on multiplication of the estimated quantity by the proposed unit price of the product. To each product CLIN, the Government will add as an “other price-related factor” the Government’s estimated costs for transporting the product from the offeror’s proposed transfill location(s), as stated in the offeror’s proposal, to the individual customer locations designated in Attachment 12 to this solicitation. This process will identify the lowest laid-down price to all DLA Energy customer locations listed in the attachment. The calculated evaluation costs will be added to the cost of services, which will be calculated based on the modification of the estimated quantity by the proposed unit prices.

6. Offerors may submit price proposals for as many transfill locations per Product CLIN as desired, as shown in Section B – Supplies/Services. As such, offerors will provide the quantity and proposed price for all BLM and/or Non-BLM helium to be provided out of that transfill location. Offerors may propose the entire yearly estimate for each proposed transfill location, if it is available from that transfill location. Each customer location will be supported from the proposed contractor transfill location that represents the lowest laid down price for that location. However, only Federal helium suppliers as designated by BLM will be eligible for award of any quantities under SECTION 3 – CLIN 0022 and Section 4 – CLIN 0031.

7. All offerors must comply with the requirements listed in L-0003 L2.35 PROPOSAL FORMAT AND CONTENT (AEROSPACE ENERGY)(DLA Energy JAN 2012) . The pricing of the offeror’s proposal shall be consistent with paragraph (a)(i) of L-0003 L2.35. All offers will be evaluated IAW M-0001 M2.14 EVALUATION – COMMERCIAL ITEMS (AEROSPACE ENERGY) (DLA Energy AUG 2009).

8. Central Contractor Registration (CCR) is required and is available at www.ccr.gov or (888) 227-2423 or 269-961-5757.

9. For questions regarding Small Business or Small Disadvantage Business affairs, offerors are directed to Joan Turrisi of the DLA Energy Small Business Office at 1-800-526-2601 or 703-767-9400.

10. The Contracting Officer may request that DLA Energy Region Quality Assurance Representative (QAR) perform a Preaward Survey (PAS) in accordance with FAR 9.106-1. If requested, the offeror and its employees, including those at the fill point and/or production facility, shall be required to participate fully in the PAS process. The DLA Energy Contracting Officer will discuss any recommendation by the QAR as a result of the PAS that is other than “Full Award,” with the offeror during negotiations. This will allow the offeror an opportunity to respond or otherwise provide information in its Final Proposal Revision as to how the offeror intends to correct the issue(s) and/or QAR concern(s) that led to an other than “Full Award” recommendation.

11. The clauses and provisions shown throughout this solicitation and any resultant contract(s) that have only the clause/provision number, title, and date, that is, are not shown in full text, are hereby considered to be incorporated by reference in accordance with FAR 52.252-1, SOLICITATION PROVISIONS INCORPORATED BY REFERENCE or FAR 52.252-2, CLAUSES INCORPORATED BY REFERENCE, as applicable.

Although automatically generated in this solicitation and any resultant contract award(s), the following provisions and clauses do not apply:
