Questions Received under Solicitation SPE600-14-R-0418 Vandenberg AFB RESA

Request for Information (RFI) Group 1

Technical Questions

1. What size do you anticipate the solar project to be? 15-20 MWac? It looks like the site could accommodate a project roughly this size.

Answer: In accordance with C.2.1 of the solicitation, the Government estimates that the Renewable Energy Generation System (REGS) can be up to 20MW in capacity, subject to final specification by the selected developer. The 20MW reference is DC.

2. Typically in the solar industry, project owners and developers will place meteorological stations on or near a potential solar site to collect site specific solar resource information, such as irradiation and precipitation levels. Considering Vandenberg’s unique environment, is it possible for Vandenberg to make this type of information available to the bidders?

Answer: Vandenberg has not performed any detailed studies of the site. Instead the Contractor will need to seek this information out from commercial sources in order to prepare their offer.

3. The Vandenberg documents indicate the desire for a RES designed for 1500 Volts. While the industry is trending in this direction, there are not currently any standards from organizations such as United Laboratories for these types of components. Does the DLA want the bidders to make assumptions about the future standards, or design a RES to the known 1000V standards?

Answer: There is not a requirement to design the RES for 1500 volts and this design detail is the responsibility of the Contractor.

4. The RFP requests to connect to both existing overhead distribution feeders, but it also states that power from the proposed system will be transmitted on one overhead line along SR-1 and Lompoc Casmalia rd to, presumably, the substation. Clarification here would be appreciated.

Where is the preferred interconnection point - Substation A - or a high voltage electric pole(s) on the northwest corner of the “project area” near the school?

Answer: In accordance with Section C.4.1, preference would be to connect to both existing overhead distribution feeders.

5. Section C.2.1 calls for the REGS up to 20MW in capacity. Is that AC or DC capacity?

Answer: DC Capacity.

6. Are there UG utility maps or drawings (GIS file) for the site? This would include abandoned and active utilities. How will the existing UG utilities be determined pre construction?

Answer: We are in the process of gathering this information and it will be provided in a later amendment.

7. Is there a map (GIS file) of easements or right of ways for the project site? If not, is there a title report that defines the ROW easements?

Answer: There are no easements, right of ways, or restrictions for the property in question.

Property is all Air Force owned, as are all roadways and utilities.

8. In Attachment 4 (Maps), page 3 depicts three features that need clarification, Oil # 15, Oil #22, and Oil # 23. Please describe what these features mean. Are they former oil well pads, oil pipelines, exploration areas, etc.?

Answer: Oil #15, Oil #22, and Oil#23 are referencing oil capaciter banks located on a few of the 12 KV lines on site, that are no longer in use.

9. Is the 12kV distribution line on the proposed site energized? Can it be removed or relocated?

Does it have a dedicated easement? Who owns this 12kV line?

Answer: Yes the 12kV line on the proposed site is energized. The 12kV service to facilities can’t be terminated, but lines could be relocated/removed if so desired and the Government approves the relocation to ensure utilities are still provided to end users. No existing utility easements exist. The Installation owns the line.

10. Is Mountain View Blvd part of the project site? Does it need to remain intact? Refer to blue colored project boundary and shading in the Maps provided in Attachment 4.

Answer: Mountain View Blvd needs to remain intact, as does Timber Lane. Mountain View Blvd must remain intact from Vandenberg Middle School (north end) through to Maple School (southern end). The portion of Mountain View Blvd that travels westward from Maple School to Hwy 1 (along the southern edge of the property) doesn't necessarily need to remain.

11. Are topic maps available? Survey data?

Answer: Topographical maps will be made available in an upcoming Amendment.

12. Is there a geotechnical study of the site?

Answer: No.

13. Is Construction water available?

Answer: Yes, in accordance with H.11.

14. Does VAFB utilize large power plants to periodically support mission activities?

Answer: There is mission related generation equipment that is used occasionally throughout the year. One on-site generator with 12-MW export capability is used to support launches. Typical output during launch operations is between 1.5-3.0 MW. All of this power, however, is used by launch activities (not typically on-line).

15. Is the offloading of these mission activities to existing onsite generation reflected in the demand data that's been provided?

Answer: Yes.

16. How does the offeror address risk associated with VAFB self-generation during peak PV production?

Answer: Contractually established minimum energy deliveries will be purchased. The Government is not directing the Contractor as to how to access risk(s) in their offer.

17. What about increasing/decreasing activity (self-generation) during contract term?

Answer: Regarding increased self-generation, the Government will agree to a Minimum Annual Guarantee in accordance with C.2.4. Regarding decreased self-generation, additional energy will be imported through the Utility Distribution Company.

18. Are there underground utility maps for the site? Can these be shared in the near future?

Answer: Yes, they will be provided in an upcoming amendment.

19. Is there a map of easements or rights of way for the project site?

Answer: There are no easements because the Installation owns the lines and the site. There will be utility easements under the lease for the utilities that remain.

20. Are there title reports that define the rights of way/easements?

Answer: No easements exist.

21. Is the 12 KV circuit on the proposed site energized?

22. Is it VAFB intent to target 20 MW DC or 20 MW AC?

Answer: DC.

23. Who owns the 12Kv line?

Answer: Vandenberg AFB owns the 12Kv line.

24. Please clarify on the site map which schools are open and will remain active during and after construction and which schools was closed and abandoned?

Answer: The two schools referenced in the RFP Vandenberg Middle School and Marmaria Public Charter School are both open and active. Maple High School is closed and abandoned.

25. Is Mountain View Blvd part of the project site?

Answer: Yes, Mountain View Blvd is located within the project site.

26. Does Mountain View Blvd need to remain intact?

Answer: In accordance with section C.1.2, yes, both Mountain View Blvd and Timber Lane need to remain intact.

27. Will internal access roads be required? If so what width and turning radius and standards apply?

Answer: No internal access roads will be required by the Government, but in accordance with the solicitation Mountain View Blvd and Timber Lane need to remain intact.

28. The Government estimate of the REGS size is 20 MW; just to be clear, most PV systems are read based on the DC capacity of the modules. Is this your intent?

Answer: DC is Acceptable. The Government is flexible on final installed capacity.

29. Will the trees and existing utility poles that are currently present on the site be removed by other before construction starts or will the contractor be responsible for this work?

Answer: No, tree removal is the responsibility of the contractor.

30. Will PG&E and the Government permit excess electricity production to be exported to the commercial grid?

Answer: No, the government does not intend to export excess power.

31. What are the circuit designations of the two 70KV line near the project site?

Answer: The maps will be updated to provide this information under an upcoming Amendment.

32. Where on the SLD E1.03 are the proposed interconnections located?

Answer: The maps will be updated to provide this information under an upcoming Amendment.

33. Is a line side tap an acceptable means of interconnection?

Answer: The Government will not comment on proposed approaches.

34. Will the Government allow wireless communication between the project site and the owner for remote monitoring?

Answer: Potentially yes, provided coordinated and approved with the base.

35. What are the specific security requirements to access the site? Will escorts be required?

Answer: For a long term presence on the base security background checks will be required.

Escorts are not required once security checks have been done and approved.

36. Is there any other existing PV or other renewables at VAFB (on the same PG&E load meter as proposed REGS).

Answer: Yes, there is a 846 kW DC roof top solar project currently under construction. The project is anticipated to be complete in March of 2015 and annual first year production is estimated at 1,406,430 kWh.

37. RFP expresses desire to tie REGS to 2 70KV feeds. Will doing so require that these lines be paralleled and simultaneous connection of REGS to both feeds and is this permitted?

Answer: In accordance with section C.4.1.1, the Contractor is responsible for all interconnection requirements. The Government will not comment on proposed approaches.

38. Stand-by and PF adjustments are responsibility of contractor per C.2.6. Is this just in the case of failure to meet minimum guarantee or in all circumstances (e.g. Acceptable REGS Performance).

Answer: Power Factor adjustments should be a contractor responsibility/consideration at all times. Standby charges are always applicable (paid by the Installation). Contractor will be responsible for offsetting power purchased when REGS produces less than minimum guarantee.

39. Request detailed site map and project perimeter?

Answer: Information will be provided in an upcoming amendment.

40. Do you have plans indicating the location of any remaining underground obstructions at the site i.e. electrical or water lines?

Answer: A map with underground obstructions (i.e. electrical and water lines) will be provided in an upcoming amendment.

41. Does the water tower stay?

Answer: Yes, the water tower stays.

42. Storm water drain, is it detailed on a map somewhere?

Answer: Yes, the existing storm water drainage is detailed on a map in Attachment 6 Environmental Assessment.

43. Are there any fencing setbacks?

Answer: Proposed fencing plan must be reviewed/approved by the Government. Minimum setback of 2 feet required to prevent damage to existing roadway infrastructure.

44. Since the trees have to be removed, can mulching be done on site?

Answer: Yes, as long as it is done in compliance with state and county laws.

45. Will utilities be available during construction? Water Access?

Answer: Yes, please see section H.1.1.

46. Can topography maps be provided?

Answer: Yes, a topography map will be provided in an upcoming Amendment.

47. Can you provide a budget amount for the interconnection study?

Answer: Please review California Public Utilities Commission (CPUC) Electric Rule 21.

48. Have any geotech studies been conducted yet of the project area? If so, can they be shared with respondents?

Answer: No, they have not been conducted.

49. What is the AFB's current energy management system (manufacturer and product name)?

Answer: Alerton Envision and Automated Logic WebCTRL. Metering is ICONIX with mostly SquareD PowerLogic meters.

50. Is there an updated aerial image available that shows the current state of the site, including any remaining roads or foundations from the former housing area?

Answer: This will be provided in an upcoming Amendment.

51. Will internal access roads be required? If so what width and turning radius and standards apply?

Answer: Internal access roads are as desired by the contractor.

52. Are existing roads in the project site area that can be demolished comprised of just asphalt or asphalt and concrete? If known, what is the thickness of the material?

Answer: This information is not available.

53. Can it be confirmed that there are no unexploded objects in the project site area?

54. The RFP stipulates tying into 2-70 KV poles adjacent to the site. How important is the ability to tie into both?

Answer: In accordance with C.4.1, preference would be to connect to both existing overhead distribution feeders.

55. Can you confirm that your analysis will assume that the utility rate will increase at 1.5% per year?

Answer: In accordance with Note 1 of section B.1.2, the Contractor may propose a rate of up to $0.085/kWh in year two and unit costs in years 3-26 that are less than or equal to $0.085/kWh escalated annually at 1.5%. Additionally, in accordance with section M.1.7, the Government will compare the Contractor's proposal to the Government's projected cost for the same quantity of energy using $0.085/kWh in year two and unit costs in years 3-26 that are escalated annually at 1.5%.

56. Has Vandenberg AFB electrical infrastructure been privatized, if so, to whom?

57. Has Vandenberg AFB completed any ESPC contracts? Who are the service providers?

RFP/Contracting Questions

1. M.1.1 states: The Government contemplates award of a Firm-Fixed Price contract up to 26 years (up to 1-year for construction with a 25-year production term). Section B1.2 Note 1 states: The Government contemplates award of a Firm-Fixed Price contract up to 26 years (i.e. 9 months for construction, a 25-year generation and delivery term, and 3 month restoration period). Which is correct?

Answer: The correct term is 26 years (i.e. 9 months for construction, a 25-year generation and delivery term, and 3 month restoration period). Section M.1.1 has been updated under Amendment 0002.

2. Request VAFB site visit presentation materials?

Answer: All presentations from the site visit will be provided in an upcoming amendment.

3. Will any outside agencies or contractors be on the proposal evaluation team? If yes, who are they?

Answer: Individuals from outside agencies and the Air Force may be used on the proposal evaluation team(s). Contractors may be used to provide advice or otherwise serve as non-voting members of the proposal evaluation team(s). All parties are required to sign non-disclosure agreements. Names will not be provided.

4. It appears that the numbering of L.5.1.2.1 and L.5.1.2.2 should be L.5.1.3.1 and L.5.1.3.2. Is that correct?

Answer: Numbering has been corrected under Amendment 0002.

5. Are replacement RECs acceptable in lieu of CA RECs for CLIN 0002?

Answer: No, replacement RECs are not acceptable for CLIN 0002. The Government is requesting that the RECs associated with the project stay with the project for CLIN 0002.

6. Does the 10 page limit for Volume II Past Performance include Attachment 10 or is it in addition to Attachment 10?

Answer: In accordance with L.4.2.3, the required Attachments (Attachments 3, 9, 10 and 11) do not count towards the maximum page limitations.

7. Does the 2 page limit for Small Business Subcontracting Plan include Attachment 11?

Answer: In accordance with L.4.2.3, the required Attachments (Attachments 3, 9, 10 and 11) do not count towards the maximum page limitations.

8. Should Attachment 11 be included in both Vol III and Vol VI?

Answer: No. Please see Amendment 0002, Attachment 11 is no longer required under Vol V.

9. Previous DLA RFPs called out DFAR 252.225-7017 for Photovoltaic Devices which includes “Qualifying Countries”. The Vandenberg RESA does not include this DFAR, just the Trade Agreement FAR 52.225-5. Will DFAR DFAR 252.225-7017 for Photovoltaic Devices be added in a future amendment?

Answer: This clause has been added under Amendment 0002.

10. Is fencing required around the entire “project area” or just the area with solar panels and related equipment? This is relevant if the entire “project area” is not used.

Answer: In accordance with C.5.1 fencing is required around the Renewable Energy Generation System (REGS).

11. We would like to know if DLA will accept our form of PPA which mirrors the SAPC form (accepted industry wide) and is acceptable to our financing parties? Using this PPA will save on transaction costs as T&Cs will need to be negotiated to be acceptable to our financing parties. Or will DLA be providing the PPA that has been used recently at other DLA military solar installations. If so, can a copy of this PPA be provided to us?

Answer: DLA Energy disagrees. The RESA is a DLA Energy document and will be negotiated, edited, and revised throughout the procurement process.

12. For Contractors to submit responsible bids that consider all available information collected from the Site Visit and questions answered by the Government, we would like to request that the Proposal due date be extended to at least 5 weeks following the Site Walk on October 16 or two weeks following the publication of responses to Contractors’ questions, whichever is later.

Answer: In order to meet operational deadlines DLA does not foresee extending the offer due date at this time.

13. Page 10 - In calculating the Contract Unit Price including FMRV, Attachment 3 assumes an estimated rental figure of ($696/per acre/year)escalated every 5 years per the rent schedule in Section J, Attachment 2 Lease (Draft). Prior to entering into a Contract and lease, the Government will provide the Contractor with an updated FMRV every 5 years, based on a Government appraisal of the property. In lieu of receiving cash rent under the lease, the Government intends to allow the Contractor to provide the Government a credit on the recurring utility bills in amounts equal to the rent due. The Contractor shall not include the cost of rent in its initial unit pricing for the contract. Further information regarding the requirements for consideration can be found in Section J, Attachment 2. For the 182 acre site, this is equal to $126,672 in year 1. Please clarify the process on how DLA envisions the credit appearing on the bill. Also how does the Contractor not add into the unit pricing?

Answer: Please see the updated Attachment 3 per Amendment 0002.

14. Is site walk attendance mandatory in order to provide a proposal?

15. Is there a specific pricing format?

Answer: Yes, Attachment 3. Please note Attachment 3 was updated per Amendment 0002.

16. Will past performance of the team be considered vs only the past performance of the prime?

Answer: Correct. In accordance with L.3.1.2, all past performance information submitted by teaming partners will be considered during the evaluation process.

17. Novation is referenced in the RFP. Will it be acceptable to the Government for the task order holder to novate the executed PPA/RESA and lease to a special purpose entity owned by a non-affiliated third party? (ex. A credit-worthy financial owner or investor-owned utility)

Answer: Yes, in accordance with L.3.4

18. Will the attendee list from the site visit be provided?

Answer: Yes, the attendee list will be provided via an upcoming amendment.

19. Does the RFP require any savings analysis based off current energy payments?

Answer: No. However keep in mind that this is a Best Value award and we will be considering savings as part of our Best Value determination.

20. If a prime contractor does not itself perform significant element of scope for example construction, do they need to name their key team members or subcontractors? If not a firm requirement, will naming their sub improve their scoring?

Answer: Please see section M.1.2.

21. Since this is a PPA energy Purchase we assume no bonding is required. Is this your assumption too? No mention in RFP about bonding.

Answer: See section 8.9 of Attachment 2, Lease (Draft).

22. Do you prefer 0% escalator or up to 1.5% is allowable with no penalty?

Answer: In accordance with Note 1 of section B.1.2, the Contractor may propose a rate of up to $0.085/kWh in year two and unit costs in years 3-26 that are less than or equal to $0.085/kWh escalated annually at 1.5%.

23. Are more points awarded for submitting a feasible response to CLIN 0003?

Answer: In accordance with section M.1.4 optional CLIN 0003 will be considered a strength or neutral under CLIN 0001 and/or CLIN 0002.

24. How will you score DLA/Fed past performance vs other past performance?

Answer: In accordance with section M.1.5 DLA reserves the right to only use past performance from Federal Government contracts or DLA Energy contracts but it is not scored differently than other past performance.

25. Are there any specific environmental regulations that impair development of site?

Answer: Please refer to the Environmental Assessment, Attachment 6.

26. Who will the interconnection coordination be with besides PG&E?

Answer: The interconnection agreement is coordinated with PG&E and the base. In addition, in accordance with C.4.4.3 the contractor will work with the Contracting Officer and the Contracting Officer's Representative for design approval to integrate the conceptual Point of Interconnection into the Installation electrical distribution system.

27. Will exceptions to terms and conditions, in accordance with Section L.4.2.10, and List of Authorized Negotiators count against page limitations?

Answer: Yes, exceptions to the terms and conditions will count against the page limitations. List of Authorized Negotiators is a fillable clause under Section K and should be included in Volume V Contract Documentation.

28. Can the Cross-Reference Matrix, List of Authorized Negotiators and Exceptions to Terms and Conditions be included in Volume 1 only, or do they need to be included with each separate proposal volume?

Answer: A Cross-Reference Matrix and Exceptions to Terms and Conditions should be provided in Volume I and Volume IV. List of Authorized Negotiators should be provided in Volume V.

29. If Contractors choose to provide an offer for OPTIONAL CLIN 0003, does the additional Energy Security section of Volume I count against the page limitation?

30. Are Contractors to submit their Subcontracting Plan both in Volumes V and III?

Answer: No, Subcontracting Plan shall be submitted in Volume III only. Please see Amendment 0002.

31. The solar array must be operational with 9 months of contract award. Just be clear, this 9 months would not start until the interconnection application is approved, correct?

Answer: After the Government issues the Notice of Intent to Award, the contractor shall submit the interconnection application to PG&E. The solar array must be operation within 9 months after contract award.

Lease Questions

1. In section B.1.3 Real-Estate the RFP describes estimated rental $696/per acre/year escalated every 5 years per updated FMRV. It is typical in the industry to define the lease escalation rate for the entire contract period in order to predict cash flows correctly. Will the Government determine the lease payment schedule for the entire contract period ahead of contract signing?

Answer: Exhibit E of the lease will lay out the Rent Rate Schedule for the contract period. AMD 0002 has updated Attachment 2, Lease (Draft) to include this information.

2. Can the developer pay only for land used at the rate of $696/acre/yr. or does this rate apply to the entire “project area” including land where no solar is installed?

Answer: The leased premises will be determined by the final Site Plan and rent will be determined based on the acreage that is used by the Renewable Energy Generation System (REGS). The description and map of the the premises will be included as Exhibit A to the lease.

3. The RFP mentions that the owner of the system must pay Vandenberg a leasing fee per acre, does this fee only correspond to the used area of the site for the entire site area?

Environmental Questions

Questions Received under Solicitation SPE600-14-R-0418 Vandenberg AFB RESA

1. Section C.6.5.2 of the RFP requires an Environmental Baseline Survey (EBS) to be prepared.

However, Section C.6.5.3 of the RFP states that an EBS is being prepared. Please confirm if Vandenberg Air Force Base is preparing the EBS or if the selected Contractor is expected to prepare the EBS. If Vandenberg Air Force Base is preparing the EBS and the EBS is completed, please provide a copy of the EBS. If the EBS is not completed, please provide the most current draft of the EBS and an estimated completion date.

Answer: The Environmental Baseline Survey has been provided under Amendment 0002.

2. Section C.6.5.3 of the RFP states that Mitigation Plan (MP) is being prepared by Vandenberg Air Force Base. If the MP is completed, please provide a copy of the MP. If the MP is not completed, please provide the most current draft of the MP and an estimated completion date.

Is the MP expected to be operational in nature (e.g. negate the need for additional natural resource plans, such as a separate Avian Protection Plan) for the REGS, or are additional natural resources plans, to be completed by the Contractor, expected?

3. We understand based on the RFP that an Environmental Baseline Survey (EBS) is being prepared to evaluate the potential for contamination at the Premises and may contain recommendations for future action. Also, a Mitigation Plan (MP) is being prepared by Vandenberg Air Force Base to explain the implementation expectations associated with the EPMs identified in the Final EA/FONSI. Therefore, additional environmental requirements, not stated in this RESA, may be determined at a later time and Offerors should be able to accommodate any resulting modification. Have the EBS and MP been prepared and can we get a copy?

4. Was there any abatement done during the housing demolition (i.e. asbestos, lead, etc.) and can we get a copy of the report?

Answer: All conditions are documented in the Environmental Baseline Study (EBS).

5. Two cultural resource sites were identified within the proposed project boundaries. Can we get the coordinates for these two locations?

Answer: The cultural resource areas are excluded from the proposed project boundaries.

6. Can we obtain a copy of 1) the Integrated Natural Resources Management Plan and 2) the Integrated Cultural Resources Management Plan?

Does the Integrated Natural Resource Management Plan (INRMP) for Vandenberg Air Force Base have particular restoration requirements (beyond what is discussed in Section C.6.5.1 b of the RFP) that will need to be implemented when coast live oaks are removed? Will re-plantings occur within the Air Force Base?

Answer: The requirements from the INRMP were provided into the Environmental Assessment.

A professional familiar with native coast live oak propagation is recommended to collect and propagate the acorns. If a certain number of oaks need to be removed, collecting and propagating sufficient amounts of acorns as specified from those trees is preferred or from nearby trees. Contractors will have to coordinate with the base to determine the planting location of oak seedlings or acorns within or near the project site on base property. If the planting location will not be within the project area, a Work Order Request will need to be submitted for the new planting area.

11. Due to the environmental impact requirements regarding live oak trees located on the site, we would like to request a map showing the specific location of live oak trees so that we can design our system to minimize impact to these trees.

Answer: Oak trees are plotted on the map provided in the Environmental Assessment.

12. Are eucalyptus trees internal to the solar site (not those along SR-1) to be preserved?

Answer: They do not have to be per the Environmental Assessment; but if you remove them from Timber Lane (and SR-1), they need to be replaced with native low shrubs. Plantings as well as euclayptus resprouting prevention methods, if stump cut, need to be coordinated with the base.
