Part 12 Clauses

Amendment 0001 to Solicitation SPE302-24-R-0005 / Subsistence Items in Thailand.

A. The purpose of this amendment is to respond to questions received by the Government.

Question 1) The solicitation states that the offeror needs to propose with “Proposed Warehouse Facility must listed in the Worldwide Directory of Sanitarily prior to submission of your proposal. https://sph.health.mil/” and “Proof document to show Warehouse Facility (For Distribution of Perishable & Semi-Perishable Products from approved sources for U.S. Armed Forces Procurement).

There are only 2 listed approved facilities in the greater Bangkok. For both warehousing is not listed but only distribution listed. How are interested bidders, other than the two listed approved sources, able to bid this if we must have an approved PHC facility prior to a proposal?

Answer 1) We (the Government) do not dictate how offeror provides the poof document to show offeror has approved PHC facility to a proposal. It is up to the vendor to get an endorsement letter from the one of two (2) listed approved facilities in Thailand. As long as offeror can meet the technical requirements of having the warehouse/ distribution facilities, ability to deliver to all locations, ensure quality of the products, fulfill all administrative required by the terms and conditions of the contract, which are all addressed in the solicitation, offeror's proposal is technically acceptable.

In accordance with Solicitation Document, Page 70 of 95, 52.212-2 Evaluation - Commercial Products and Commercial Services (Nov 2021).

Lowest Price Technically Acceptable (LPTA) source selection procedures will be used as the source selection method in this procurement. The following factors shall be used to evaluate offers:

1. Technical Acceptability - A technically acceptable offer is an offer that takes no exceptions to the terms and conditions in the solicitation and complies fully with all submission requirements. A proposal that takes exception to solicitation terms and conditions or that fails to comply with all submission requirements may be deemed technically unacceptable and, thus, may be found ineligible, and removed from further consideration, for the awards. By submitting a proposal with no exceptions, an offeror is confirming it possesses the necessary facilities, equipment, technical skills and capacity to successfully provide all items required by this solicitation.

a. Proof document to show Warehouse Facility (For Distribution of Perishable & Semi-Perishable Products fromapproved sources for U.S. Armed Forces Procurement) in Thailand approved by the United States Army Medical Command, 2450 Connell Road, Bldg 2264, JBSA Fort Sam Houston, Texas 78234-7664.

Question 3) The catalog has 283-line items listed. When weight or volume is provided in the item description it is metric, does this mean the majority of the NON Local Market Ready (LMR) items can be purchased within local economy?

Answer 3) Yes. Due to infrequent food usage in support of military exercise and to have a realistic business approach, manufacturers supplying the warehouse/distribution facilities in Thailand are not required to have a food protection audit (FPA) performed if all terms are met: (1) Food is for short period military exercise, (2) the warehouse/distribution facilities in Thailand receiving an acceptable FPA rating, and completion of the (3) Food and Water Risk Assessment (FWRA) by the ordering unit (customer). FWRA only applies to catering facilities and NOT to food manufacturers.

Question 4) If question number three is not correct, then please confirm that all NON LMR items must ship from

CONUS.

Answer 4) Non LMR can be purchased within local economy as long as these items go through approved warehouse/ distribution facilities prior to delivery. Please see attached “Process Food Flow_Thailand”.

Question 5) Must the berry amendment be respected for all the NON LMR items?

Answer 5) Yes, the Berry Amendment applies to food items.

Question 6) It appears that the provided quote sheet and non LMR items included do not match with the contractual requirement i.e. items from CONUS. Is this incorrect?

Answer 6) Revised Quote Sheet is provided.

Question 7) On Page 7 / 95 the following is included:

It is neither sufficient nor acceptable for an offeror to be a third-party logistics (“3PL”) company (i.e., a company that does not intend to serve as the grocery supplier but instead intends to subcontract out the majority of aspects required by the contract, including but not limited to ordering, warehousing, distribution, etc.). By offering, an offeror affirms its status as a current and functioning commercial distributor of grocery items. In order to determine whether an offeror meets the technical requirement of being a current and functioning commercial grocery distributor, the Contracting Officer will require an offeror to provide its current, valid Perishable Agricultural Commodities Act (“PACA”) license (Including any sub-contractors license). In addition, the Contracting Officer will require an offeror to submit a valid Good Agricultural Practices (“GAP”)/Good Handling Practices (“GHP”)/Good Manufacturing Practices (“GMP”)/Food Defense audit inspection report(s) / certificate as applicable for each place of performance identified in the offeror's proposal (Including sub-contractors' certificates). The audit report(s) must demonstrate that a passing score(s) was/were received. Please note that a request for the aforementioned information by the Contracting Officer will be used to make a determination of whether or not the offeror meets the technical requirement of being a current and functioning commercial distributor of grocery items. This information is not being sought to determine an offeror's likelihood of success in performing the contract as would be the case in a responsibility analysis.

Since as of today there are only two approved PHC facilities in Thailand is it correct to say that the only two bidders located in Thailand could be Jagota Brothers Trading Company Limited TH-0008 and Joe Ry Family Co. Ltd.

TH-0029?

Answer 7) Yes. There are only two (2) approved PHC facilities in Thailand.

Question 8) If question number 7 is not correct, will the USG explain how it is not correct?

Answer 8) Question number 7 is correct.

Question 9) Does the current BPA holder supplier non LMR items from the local economy i.e. the items do not come from CONUS?

Answer 9) Yes.

Question 10) The solicitation states that within ninety (90) days after award, the Contractor shall be fully prepared to support all customers under the terms and conditions of the new contract. New and fully functional catalogs must be established during this time.

Part 12 Clauses (CONTINUED)

If the non LMR items must come from CONUS how is that possible when the DTS shipping times into the AOR from CONUS are around 90 days?

Answer 10) The Defense Logistics Agency (DLA)'s Defense Transportation System (DTS) will not be provided for this new contract in Thailand. The vendor is responsible for commercial shipping method from CONUS to Thailand if necessary.

Question 11) What is the delivery frequency to the provided locations?

Answer 11) Please see attached Historical Data. (Excel Spreadsheet File Name: SPE30224R0005_Amend 0001_Historical Data_Thailand_20230917_20240914)

Question 12) Can volumes/demands be provided split by per delivery location or per zone?

Answer 12) Please see attached Historical Data. (Excel Spreadsheet File Name: SPE30224R0005_Amend 0001_Historical Data_Thailand_20230917_20240914)

Question 13) Page 66 / 95 How does a single price for all line items work? Especially when considering that other than lbs. and cases an additional 6 units are mentioned. Pricing list does not differentiate between UoI and UoM. Single DP pricing is only possible when proposed price per unit is lbs.

How can you quote a single distribution price per unit of issue when it is unclear if the unit is the UoI or UoM and how to make the conversion to assure that you offer a single distribution price per tier?

iv. Distribution Prices - Multiple Tiers:

1. Multiple Tiers: Only one Distribution Price shall be offered for all items in each Tier Period. Offerors may propose a different Distribution Price per Tier Period. In the event that an offeror includes a Distribution Price for only one Tier but through its proposal submission indicates that it had intended to submit a proposal for multiple Tiers covered by the Solicitation, the Contracting Officer will interpret the offeror's omission of a separate Distribution Price for the other Tiers as its willingness to retain the same Distribution Price as the Tier 1 was provided for and apply it to all Tiers. Per this provision, this interpretation by the Contracting Officer is reasonable and acceptable by the offeror.

v. Product Prices, applicable Rebates/Discounts, and Distribution Prices for all items are to be submitted according to the Government's Unit of Issue. There are NO exceptions to this requirement. Failure to do so may result in an offeror's proposal being deemed technically unacceptable and therefore eliminated from further consideration for award. Please note that all items listed in the Solicitation's Schedule of Items will ultimately become part of the Contractor's catalog.

Answer 13) Please see Revised Item List (Amendment 0001)

Question 14) There are 8 different units listed in column E in the pricing spreadsheet, are these UOE or UOM?

Answer 14) UOE & UOM are same. Please see Revised Item List (Amendment 0001)

Question 15) What is the conversion factor between UOE and UOM?

Answer 15) Please see Revised Item List (Amendment 0001)

Part 12 Clauses (CONTINUED)

Question 16) Should the product pricing be by unit of issue or unit of measure?

Answer 16) Unit of Measure.

Question 17) Below instructions to proposed pricing sheet do not match with pricing sheet. Can you please provide clarification concerning this.

Instructions for Proposal Spreadsheet - Attachment 1

i. Please complete the attached schedule of items. The Government has provided you with the customers' requirements and auto calculations as follows:

ii. The Schedule of Items is an excel spreadsheet. Please be sure to complete all Tiers. PLEASE FILL IN THE

PURPLE BOXES ONLY.

1. Purple box on Row 3 Column B/C for the Contractor's name,

2. Purple box on Row 3 Column F for the Contractor's CAGE code,

3. Purple box on Row 2 Column K for Distribution Price, express each item's distribution fee as a percentage of the delivered price. Distribution Fee: 10% + Delivered Price: $2.00 = $2.00 + ($2.00 x 10% [= $0.20]) = $2.20

4. Purple box on Column E; Item Description matches what Contractor will be offering to the DLA Troop Support Indo-Pacific customers.

5.Purple box on Column J; Delivered/Product Price inputted for each item.

The spreadsheet will automatically per line item calculate the case distribution price and extend case delivered, case distribution prices, and totals for each tier and aggregate total price. All prices must be rounded to two places to the right of the decimal point using standard rounding methods (see paragraph above). Distribution Prices per Tier Period are to be expressed in dollars and cents only. An offeror may elect to offer no change in the Distribution Prices over the life of the contract, even if this is the case enter a distribution price. As a reminder, all offerors must submit ONE DISTRIBUTION PRICE per Tier Period that will apply to every item in the Schedule of Items. Multiple Distribution Prices within the same Tier period will not be accepted. When preparing the spreadsheet, case prices must appear in each item.

Answer 17) Please see Revised Item List (Amendment 0001)

Question 18) For the delivery locations Hat Yao with the following grid coordinates is located in Myanmar N

22.183333 / E 97.983333. Is this correct? Or must we price to deliver to Myanmar as well?

Answer 18) Typo Error. Please see attached actual delivery location for past 1 year (9/17/2023 - 9/14/2024)

Question 19) On page 25 / 95

a. The contractor shall ensure all products are delivered in sanitary trucks that are of a commercially acceptable standard. All delivery trucks must be equipped with a lift gate to expedite the offloading of products. Trucks shall maintain proper temperatures, as determined through standard commercial practices and in accordance with the 2019-revision of USDA Handbook Number 669, “Protecting Perishable Foods During Transport by Truck” ( https://edis.ifas.ufl.edu/publication/HS1328?downloadOpen=true).

It is difficult to meet the truck standard requirements in this region. Standard is a US standard, and all trucks should have lift gate, will trucks without a lift gate be accepted?

https://edis.ifas.ufl.edu/publication/HS1328?downloadOpen=true

CONTINUATION SHEET REFERENCE NO. OF DOCUMENT BEING CONTINUED: PAGE 8 OF 11 PAGES

Answer 19) This contract requires delivery truck without a lift gate AND with a lift gate. It depends on the customer's request.

1. If the customer has a forklift in the unloading location, the vendor will use the trucks without the lift gates.

2. If the customer does not have a forklift in the unloading location, then we will use the trucks with the lift gates.

The vendor needs to ask the port agent before the required delivery date (RDD) to see if the customer has forklift or not.

Question 20) Concerning the pricing spreadsheet, if single price per tier how do we input the prices because the units given are more than likely by unit of issue.

How does that work and what about a split item or catch weight item? Must we convert to lb. or by case or by each?

Answer 20) Please see Revised Item List (Amendment 0001)

Question 21) Unit of measure is either case, lbs. or each since single pricing must be provided how can this be priced since there are three different units of measure?

Example if you have a catch weight product.

Another example would be bottles.

Answer 21) Please see Revised Item List (Amendment 0001)

Question 22) Appendix A clearly shows which categories/items should be or not be from an approved PHC source.

However, in the pricing spreadsheet there are items included such as pizzas and ketchup to name a few where it does not say in column S that they are required to come from an approved source.

There is clearly a contradiction between the pricing spreadsheet and appendix A.

Please clarify which should be followed.

Answer 22) Since this is a catering facility that will only supply DLA customer military exercise, ketchup and pizza will not be required to come from an approved PHC source. To clarify, the caterer must receive an acceptable food protection audit rating (including storages used), the caterer will only be used for military exercise, and the ordering unit will perform a food water and risk assessment (FWRA).

Question 23) Third-Party Logistics Clarification: The solicitation states that it is not sufficient for an offeror to be a third-party logistics (3PL) company. Could you please clarify if a company with its own distribution network, but which occasionally uses third-party logistics for specific deliveries, would still be considered compliant?

Answer 23) It's mandatory to include the Approved Warehouse information in your proposal to be technically acceptable. Approved warehouse in Thailand can be found at US Army VET website. https://sph.health.mil/.

Jagota Brothers Trading Company Limited TH-0008 https://sph.health.mil/86257B8D004A4B6C/xsp/0/27B9205BB466DA3086258AA800553E02?OpenDocument Product Produced: distribution of perishable & semi-perishable products from approved sources

Question 24) Submission Confirmation: Could you confirm the best method for ensuring that our proposal submission, especially if multiple emails are required, is received and acknowledged promptly?

Answer 24) Please see solicitation document, page 65 of 95 for XIII. submission information.

Question 25) Additional Customers: The solicitation mentions that additional customers may be added during the contract period. Could you provide more details on how such additions will be communicated and managed?

Answer 25) Additional US Military customers (Army Troops or Navy Ships) will be added if necessary and communication will be done via emails in advance.

Question 26) On page 7, under the introduction, it is mentioned: "Therefore, an offeror must currently possess the logistical and financial resources to serve as a commercial distributor of a variety of grocery items.
