(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes

clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)
(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. (2) While not required, the Contractor may include in its subcontracts for commercial items a minimal number of additional clauses necessary to satisfy its contractual obligations.
The answers in Section II are provided for clarification purposes only and do not change the solicitation requirements. In the event of any discrepancy between the answers provided in Section II and the solicitation documents, the solicitation documents will take precedence.
SECTION II – QUESTIONS AND ANSWERS
QUESTION 1: With the update of FAR 52.212-3, is DLA requesting Offerors to provide any updates to the Annual Representations and Certifications already provided?
RESPONSE: Yes. All Offerors are required to submit current Annual Representations and Certifications. Registration in SAM.gov is required to be current.
QUESTION 2: How do the updates to FAR 52.212-5 change the customized version of FAR 52.212-5 that appeared in the original solicitation? For example, should we assume that a FAR clause that was not checked in the original solicitation would not be checked in the updated version?
RESPONSE: The previous version of 52.212-5 included in the solicitation is deleted and replaced with the July 2018 version. The latest full-text version of FAR 52.212-5 (Jul 2018) is included in this Amendment.
Question 3: Please clarify DLA's intentions with respect to "new offerors." Have there been, or will there be, additional (new) offerors since the amended close date of May 09, 2017 at 5:00PM, as set forth in Amendment #18 (dated May 04, 2017)?
RESPONSE: The change to the market basket is significant. Such a significant change requires re-opening the solicitation publicly.
Question 4: Please clarify DLA's definition of "currently in stock".
RESPONSE: The item Information Tab Column H: Definition means is the item currently in the offeror’s warehouse Y or N.
Yes: The item is currently in warehouse. No: The item requires sourcing.
Question 5: Please clarify DLA's definition of "signed with an original signature" concerning the DLA Quote Spreadsheet and references to quote spreadsheets.
RESPONSE: The Offeror is required to have the manufacturer/supplier/private label/redistributor original signature. An

Question 6: Please confirm DLA's required length of time for all stated pricing to be good for after submission and close date of this Amendment.
RESPONSE: Please refer to the Addendum to FAR 52.212-1 paragraph (c) Period of Acceptance of Offers. Period of acceptance is 210 days. The Offeror agrees to hold the prices in its offer firm for 210 calendar days from the date specified for receipt of offers. Receipt of offers are due August 3, 2018 by 5:00pm Philadelphia time.
