PART I – SF 1449 CONTINUED

IMPORTANT NOTICES TO OFFERORS

1. The Government has a requirement for two grades of Gaseous Helium in to be delivered FOB Origin in Government-owned cylinders in support of multiple DESC customers. The acquisition of helium by Federal Agencies is governed by Federal Acquisition Regulation (FAR) Subpart 8.5, which implements the Helium Act (50 U.S.C. 167, et seq). According to the Helium Act, major helium requirements for performance of Government contracts must be purchased from Federal Helium Suppliers, who are private helium vendors that have in-kind crude helium sales contracts with the Bureau of Land Management (BLM) and are on the BLM authorized list of Federal Helium Suppliers. Use of the term “BLM Helium” in this solicitation refers to helium requirements that must be purchased from Federal Helium Suppliers. Conversely, the term “NON BLM” refers to helium requirements that may be purchased from non Federal Helium Suppliers.

2. In this solicitation, the Schedule of Supplies/Services is configured with Contract Line Items (CLINS) separated into six groups. Offerors are encouraged to submit price proposals for as many of the six groups as desired:

SIX GROUPS OF THE SCHEDULE

Group (1) EASTERN REGION – NON BLM – GRADE A HELIUM (CLIN 0001 through SubCLIN 0009AB) Group (2) EASTERN REGION – NON BLM – GRADE E7 HELIUM (CLIN 0010 through SubCLIN 0018AB) Group (3) EASTERN REGION – BLM – GRADE A HELIUM (CLIN 0019 through SubCLIN 0027AB) Group (4) EASTERN REGION – BLM – GRADE E7 HELIUM (CLIN 0028 through SubCLIN 0036AB) Group (5) WESTERN REGION – NON BLM – GRADE A HELIUM (CLIN 0037 through SubCLIN 0045AB) Group (6) WESTERN REGION – BLM – GRADE E7 HELIUM (CLIN 0046 through SubCLIN 0054AB)

3. Helium purchases under CLIN 0019 (Group 3), CLIN 0028 (Group 4), and CLIN 0046 (Group 6), which are the BLM Helium CLINS of this solicitation, are subject to the Helium Act and as such, the following FAR Clause applies:

FAR 52.208-8 REQUIRED SOURCES FOR HELIUM AND HELIUM USAGE DATA (APR 2002), as Incorporated by Reference in Clause I1.20-1 CLAUSES AND PROVISION INCORPORATED BY REFERENCE (DESC JAN 2003) as prescribed in FAR SUBPART 8.5 ACQUISITION OF HELIUM.

Only Federal Helium Suppliers, as designated by BLM, will be eligible for award of BLM Helium CLINs 0019, 0028, 0046 and the associated Non-Recurring Services CLINs within their group. In addition, economic price adjustments apply to BLM CLINS 0019, 0028 and 0046 as set forth in the following EPA Clauses: (1) Clause B19.28 ECONOMIC PRICE ADJUSTMENTS – STANDARD SUPPLIES (JAN 1997) and (2) Clause B25.06-2 IMPLEMENTATION OF FAR 52.216-2 , ECONOMIC PRICE ADJUSTMENT – STANDARD SUPPLIES (JAN 2002) – DLAD.

4. Non BLM Helium CLIN 0001 (Group 1), CLIN 0010 (Group 2), and CLIN 0037 (Group 5), as contained in this solicitation, are either exclusively for commercial use and not for Government or Government contractor use, or they are not subject to the Helium Act (50 U.S.C 167, et seq) or FAR Clause 52.208-8 REQUIRED SOURCES FOR HELIUM AND HELIUM USAGE DATA (APR 2002) because the best estimated quantity for the helium use location per year is less than the quantity defined in the Helium Act as a major helium requirement. An offeror does not have to be a Federal Helium Supplier, as otherwise designated by BLM, to be eligible for award under CLIN 0001 and its associated non-recurring services CLINs in Group 1, CLIN 0010 and its associated non-recurring services CLINs in Group 2, and CLIN 0037 and its associated non-recurring services CLINs in Group 5.

EPA Clauses B19.28 ECONOMIC PRICE ADJUSTMENTS – STANDARD SUPPLIES (JAN 1997) and B25.06-2 IMPLEMENTATION OF FAR 52.216-2 ECONOMIC PRICE ADJUSTMENT – STANDARD SUPPLIES (JAN 2002) – DLAD do not apply to CLINs 0001, 0010, and 0037.

5. The Government anticipates the possibility of awarding from one to six requirements type contracts. Up to three contracts may be awarded as Fixed-Price with Economic Price Adjustment (BLM Groups 3, 4, and 6) and up to three contracts may be awarded as Firm Fixed Price with no Economic Price Adjustments (NON-BLM Groups 1, 2, and 5), or any combination thereof.

The requirements involve two grades of helium:

(1) Pressurizing Agent, Gaseous Helium (Cylinder), Type I, Grade A, 99.995% Purity (NSN 9135-00-926-8888), IAW MIL-PRF-27407C dated 29 Nov 06 as specified in the schedule

(2) Pressurizing Agent, Ultra High Purity Gaseous Helium (Cylinder) Type I, Grade E7, 99.9997% Purity (NSN 6830-01- 103-8393) , IAW DESC Purchase Description dated 9 Feb 04 as specified in the schedule

6. Offerors are advised that awards will be made on the basis of lowest evaluated price for each of the Six Groups of the Schedule (described in paragraph 2 above). The evaluated price will be calculated by multiplying the estimated quantity by the proposed unit price and summing the results for each Schedule Group. To each Schedule Group, the Government will add, as an “other price-related factor,” the Government’s estimated costs for transporting the product from the offeror’s proposed transfill location, as stated in Clause E33.10 MANUFACTURING AND FILLING POINTS (AEROSPACE ENERGY)(DESC JULY 2008) of the offeror’s proposal, to the individual customer locations designated in Attachment 1 to this solicitation. This process will form the lowest laid-down price to the Government on for all DESC customer locations listed in the attachment.

7. All offerors shall comply with the requirements listed in Clause L2.35 PROPOSAL FORMAT AND CONTENT (AEROSPACE ENERGY) (DESC AUG 2009) and all offers will be evaluated in accordance with Clause M2.14 EVALUATION – COMMERCIAL ITEMS (AUG 2009). Evaluation and award of a contract(s) will be made on a Group by Group basis, and up to six (6) contracts may be awarded.

8. The Statement of Objectives/Work and/or Specifications is included within the solicitation as an Addendum to Clause I1.03-14.

9. Questions regarding Small Business or Small Disadvantage Business affairs should be addressed to Ms. Virginia Broadnax of the DESC Small Business Office at 1-800-526-2601 or 703-767-9400.

10. The address for overnight delivery of proposals resulting from this solicitation is as follows:

B19.28 ECONOMIC PRICE ADJUSTMENT -- STANDARD SUPPLIES (JAN 1997)

(a) The Contractor warrants that the unit price stated in the Schedule for Bureau of Land Management (BLM) Gaseous Helium (Cylinders) on CLIN 0019, CLIN 0028 and CLIN 0046

(1) Is an established catalog or market price for a commercial item sold in substantial quantities to the general public; and is not in excess of the Contractor’s applicable established price in effect on the contract date for like quantities of the same item. The term unit price excludes any part of the price directly resulting from requirements for preservation, packaging, or packing beyond standard commercial practice. The term established price means a price that--

(2) Is the net price after applying any standard trade discounts offered by the Contractor.

(b) The Contractor shall promptly notify the Contracting Officer of the amount and effective date of each decrease in any applicable established price. Each corresponding contract unit price shall be decreased by the same percentage that the established price is decreased. The decrease shall apply to those items delivered on or after the effective date of the decrease in the Contractor’s established price, and this contract shall be modified accordingly.

(c) If the Contractor’s applicable established price is increased after the contract date, the corresponding contract unit price shall be increased, upon the Contractor’s written request to the Contracting Officer, by the same percentage that the established price is increased and the contract shall be modified accordingly, subject to the following limitations:

(1) The aggregate of the increases in any contract unit price under this clause shall not exceed 10 percent of the original contract unit price.

(2) The increased contract unit price shall be effective--

(i) On the effective date of the increase in the applicable established unit price if the Contracting Officer receives the Contractor’s written request within 10 days thereafter; or

(ii) If the written request is received later, on the date the Contracting Officer receives the request.

(3) The increased contract unit price shall not apply to quantities scheduled under the contract for delivery before the effective date of the increased contract unit price, unless failure to deliver before that date results from causes beyond the control and without the fault or negligence of the Contractor, within the meaning of the Default clause.

(4) No modification increasing a contract unit price shall be executed under this paragraph (c) until the Contracting Officer verifies the increase in the applicable established price.

(5) Within 30 days after receipt of the Contractor’s written request, the Contracting Officer may cancel, without liability to either party, any undelivered portion of the contract items affected by the requested increase.

(d) During the time allowed for the cancellation provided for in subparagraph (c)(5) of this clause, and thereafter if there is no cancellation, the Contractor shall continue deliveries according to the contract delivery schedule and the Government shall pay for such deliveries at the contract unit price, increased to the extent provided by paragraph (c) of this clause.

(FAR 52.216-2)

B25.06-2 IMPLEMENTATION OF FAR 52.216-2, ECONOMIC PRICE ADJUSTMENT -- STANDARD SUPPLIES (JAN

2002) - DLAD

(a) Economic price adjustment (EPA), pursuant to the clause of this contract entitled ECONOMIC PRICE ADJUSTMENT -- STANDARD SUPPLIES (FAR 52.216-2), shall be determined as implemented herein.

(b) Economic price adjustment is limited to changes in the established price for the Contract Line item Number (CLIN) listed below. The offeror shall report the item name, it’s part number, and current established price (as defined in paragraph (a) of the aforementioned EPA clause), its unit of measure and FOB location; shall identify the name, source and date of the document containing such price, and shall attach to its offer a copy of the pages from such document identifying the item and its price:

CLINs 0019, 0028, and 0046. Pursuant to the Helium Privatization Act of 1996 (50 U.S.C. 167) (PL104-273, the Bureau of Land Management (BLM) is the primary administrator for the Federal Helium Program, and as such establishes regulations that ensure proper management of the recovery, transportation, storage, disposal, and reporting programs for the Nation’s helium reserves. BLM field office in Amarillo, TX adjusts unit prices for Crude Helium annually for the upcoming fiscal year which runs from October 1st through September 30st. Adjusted Crude Helium prices are then published on the internet at:

http://www.blm.gov/nm/st/en/prog/energy/helium/helium_operators_information/crude_helium_price.html

CLIN 0019, 0028, and 0046 unit prices shall be adjusted annually in conjunction with the publication by BLM of adjustments to the Crude Helium prices in accordance with the requirements for notification in Sep/Oct Clause B19.28.

Published prices may reflect a decrease or increase and contract unit prices shall be adjusted accordingly.

Contractors are instructed to submit yearly requests for BLM Helium adjustments as soon as they are notified by BLM, or BLM publishes the annual price adjustment.
